Remedial System Construction – Cormans Cleaners December 6, 2024 Stuart, Florida Page 1

CONSTRUCTION WORKPLAN

Preferred Drilling Solutions, Inc. (PDS) has prepared this construction workplan to outline the proposed steps and methodologies that will be followed for the construction of remedial system components at the Cormans Dry Cleaner facility in Stuart, Florida. As indicated in the Request for Bid documentation, the proposed installation will occur around February 2025. Based on this timeframe, a construction schedule of events is included as Attachment I with construction scheduled to commence on February 17, 2025.

Task – Preconstruction Activities

PDS will attend a preconstruction meeting on site with Terracon approximately one week prior to mobilization. Typical topics covered at the meeting include site health and safety, work sequence and methodology, and site owner concerns. Prior to the meeting, PDS will furnish a copy of our site health and safety plan as well as our proposed construction workplan.

Task – Permitting

PDS will work with Terracon to obtain permits from Martin County for the proposed construction activities. Permits will include an electrical permit (provided by electrician under separate task item) and a general construction permit through Martin County. PDS will require Terracon to secure owner signatures on permit forms and a notice of commencement as required by the County.

Task – Mobilization

PDS will mobilize all personnel, equipment, and materials necessary to complete the proposed installation activities. This will include a mini-excavator, box truck, safety barricades/fencing, and system piping.

Task – MAG/VMP Well Conversion

PDS will convert existing wells into the SVE system as appropriate assuming they are fully functional and accessible. This will include coring concrete from around the wellhead and the installation of an 8-inch bolt down manhole. Wellhead assemblies/conveyance connections will be constructed during the piping installation portion of this project. In the event the wells are not able to be utilized, PDS will install new wells per the specifications indicated. The costs included in the bid assume that new wells will be required. Any soil removed during the installation of the wells will be containerized in a 55-gallon drum.

Task – Aboveground Piping

PDS will evaluate the proposed piping run and determine the best location to penetrate the building exterior. Once determined, a 4-inch diameter core hole will be opened to allow the SVE piping to enter the building. As the piping is installed, pipe supports consisting of Unistrut and pipe clamps will be installed. When installed on bar joists, clamps and all-thread will be used; when installed into concrete, concrete anchors (Tapcon or Redhead) will be utilized. If necessary and requested, the piping will be pressure tested before being tied into the vapor extraction point.

Task – Underground Piping

PDS will sawcut and remove the asphalt surface cover along the proposed trenching run. The asphalt will be properly disposed of. The trench run will then be excavated using a mini-excavator to a depth of 2 feet below grade with excavated material placed on visqueen plastic adjacent to the trench. Any deleterious

Remedial System Construction – Cormans Cleaners December 6, 2024 Stuart, Florida Page 2 material will be removed from the trench bed, and the pipe will be installed and connected to the wellhead. If requested, a pressure test will be completed prior to backfilling. The trench will then be backfilled in 6-inch lifts and compacted with a mechanical plate compactor. Following backfilling, the manhole will be set atop the SVE well, and the trench will be finished with a minimum 6-inch thick concrete cap using 4,000 psi concrete with fiber.

Task – Electrical Conduit

PDS will install electrical conduit along the building to a location approximately 130 feet away as specified by the plans. The conduit will be hung on the building utilizing Unistrut and clamps. The actual routing will be determined following an on-site inspection.

Task – Bollards

PDS will install six bollards surrounding the remediation equipment. The bollards will consist of 4-inch diameter Schedule 40 steel set in and filled with concrete. The bollard locations will be opened using a core drill, and the bollard location excavated to depth with a post hole shovel. The hole will be minimum of 10 inches in diameter and 2 feet deep. The bollard will be set in concrete, then painted safety yellow.

Task – Equipment Installation and Anchoring

PDS will offload the remedial equipment using a telescoping boom forklift. The equipment will be inspected then placed in its designated location per the Engineer. Following placement, the conveyance lines installed previously will be connected, and the electrician will perform all wiring connections.

Helical auger hurricane tiedowns will be used to anchor the equipment. Following anchoring, all permit inspections will be completed.

Task – Electrical

A licensed electrician will obtain the necessary permits, construct the required electrical service, disconnect, and meter can, and pass all inspections for their work. Once the system is energized, the electrician will provide up to 4 hours of startup assistance.

Task – Demobilization

Following the completion of all tasks, PDS will perform a broom cleaning of the work area, stage any investigation derived waste drums for management by others, and demobilize from the site.

Client is aware that certain Services provided by PDS to Client may be subject to the provisions of local sales taxes or other federal, state or local taxes or fees. Client understands and agrees that judgments made by PDS and its resultant billings as to which Services are taxable or subject to said fees and which Services are not taxable or subject to said fees may be challenged by the appropriate federal, state or local authority upon audit of PDS. In the event that PDS resolves the audit dispute with the appropriate federal, state or local authority and PDS is required to pay additional tax, fees, penalties or interest due to the manner in which PDS initially billed the Client, PDS shall bill Client for such additional amounts; Client shall indemnify PDS for those expenses and for the cost of the defense of the audit within ten (10) days of receipt of the revised PDS billing. In no event will this give Client the right to intervene or control the dispute between PDS and the appropriate federal, state or local authority.

SECTION 4. SERVICES OF OTHERS

As necessary, PDS engages the specialized services of individual contractors, or other companies to participate in a project. When considered necessary, these firms or other contractors will be used with Client’s approval.

The cost of such services plus a minimum fifteen percent (15%) service charge, unless noted otherwise, will be included in our invoice.

PDS does not undertake a guarantee or assume responsibility for the performance of the contractor(s) or companies(s) or the accuracy of their results or for any subcontractor hired by and under the specific direction of the Client.

SECTION 5. SITE DISTURBANCE

The Client understands that PDS’S use of environmental assessment and remediation techniques and equipment may cause damage to or alteration of the Site or any building or utility line on the Site, as well as other items of real and personal property on the Site. The Client shall use its best and diligent efforts to provide PDS with the plans of public and private utilities which are in Client’s possession and/or other agencies to assist PDS in locating any underground structures including cables, electric lines, tanks, pipes, gas lines, water mains, or other latent or subterranean structures. PDS shall exercise reasonable judgment in performing field exploration required as part of the project.

Efforts will be made to minimize potential alteration of Site conditions during the project.

The parties agree that PDS 1) shall be free from direction and control by the Client except for the selection of work locations (borings, wells, excavations), 2) performs services outside the usual course of, or places of business of, the Client and 3) is engaged in an independently established trade, occupation, profession or business wholly apart from the Client.

The relationship of PDS to Client, therefore, shall be that of independent contractor.

CONTRACTOR PERSONNEL

It is hereby mutually agreed that Client will not directly or indirectly solicit for hire any employee(s) of PDS’ technical staff, who is associated with efforts called for under this effort, for a period of one (1) year after completion termination of this Agreement. In the event the foregoing provision is breached, liquidated damages equal to twelve (12) months of the employee’s compensation plus any legal expenses associated with the enforcement of this provision shall be paid by the Client to PDS.

AND EQUIPMENT

PDS reserves the right to use, for any purpose, any proprietary methods, equipment, skills, and techniques acquired or used by PDS in the performance of the Services. There shall be no restraint to PDS, its employees, agents, or subcontractors in the use of the techniques and skills that may be acquired in the course of performance of this Service. The Client acknowledges that it shall not acquire any Intellectual Property Rights under this Agreement associated with the Services provided or produced by PDS. Any Intellectual Property goodwill arising in the course of this Agreement with respect to said Services developed by PDS shall accrue solely for the benefit of PDS.

SECTION 9. UCC INAPPLICABILITY

Services and/or custom methods provided under this Agreement will not be governed by the Uniform Commercial Code (UCC) and will not be deemed “goods” within the definition of the Uniform Commercial Code.

SECTION 10. TERMINATION

This Agreement may be terminated in whole or in part in writing by either party in the event of a default consisting of substantial failure by either party to fulfill its obligations under this Agreement through no fault of the terminating party; provided that no such termination may be effected unless the defaulting party is given ten (10) days written notice of default and an opportunity to cure the default within a reasonable period. If termination is effected, Client will pay PDS all reimbursable costs which are due as of the effective date of termination, including costs incurred for software and equipment ordered in conformance with the Proposal which is to be delivered to Client and which cannot be canceled or terminated, and in addition, those reimbursable costs incurred in good faith by PDS after the effective date of termination in connection with demobilization of equipment and personnel, and with the cancellation or termination of subcontracts and purchase orders. In the case of termination of Services performed on a fixed price basis, PDS shall be compensated for Services performed as if the Services had been performed on a reimbursable basis.

SECTION 11. CONFIDENTIALITY

PDS will not intentionally divulge technical information designated in writing as “CONFIDENTIAL” and disclosed by Client to PDS other than to its employees or subcontractors with a need to know or to parties designated by Client in writing;

information so marked shall be treated as “Confidential Information”. Confidential Information shall not include: a) information previously known to PDS; b) information that becomes known to PDS through other means;

c) information which is public knowledge; d) information which subsequently becomes public knowledge through no fault of PDS; and

Notwithstanding the limitations set forth herein, PDS may disclose Confidential Information in order to comply with laws, regulations, ordinances, court orders, governmental directives, legal obligations and professional standards of conduct regarding the reporting of findings to appropriate public agencies, and to protect against claims or liabilities arising from the performance of the Services under this Agreement. PDS shall be authorized to disclose the existence of this Agreement in any manner, where such disclosure is solely for the benefit of PDS’S marketing initiatives and unrelated to the Client’s “Confidential Information”.

SECTION 12. STANDARD OF CARE

AND WARRANTY

Services performed by PDS under this Agreement will be conducted in a manner consistent with that level of care and skill ordinarily exercised by members of the profession currently practicing in the same locality under similar conditions. PDS’S liability for failure to meet this standard shall be governed by the Indemnification and Limitation of Liability clause below. No other representation or warranty, expressed or implied, and no warranty of merchantability or fitness for purpose, or any other guarantee is included or intended in this Agreement, or in any report, opinion, document or otherwise.

SECTION 13. MUTUAL INDEMNITY

AND ACKNOWLEDGMENTS

Client acknowledges that PDS has not created or contributed to the creation of any oil and/or hazardous materials, pollutants, asbestos, or other potentially dangerous substance that is now or may be in the future discovered or introduced at the Site.
