Proposal for Quarterly Groundwater Monitoring and Reporting Comet Cleaners 880 S Federal Highway (currently, 824 S Federal Highway) Stuart, Martin County, Florida
ERIC_4928
Task Assignment HW687 DC009B Terracon Proposal No. PHB237004
Dear Mr. Cox:
Terracon Consultants, Inc. (Terracon) appreciates the opportunity to submit this proposal to the Florida Department of Environmental Program (FDEP) Waste Cleanup Program to conduct Quarterly Groundwater Monitoring and Reporting for the Comet Cleaners (ERIC_4928) facility located at 880 S Federal Highway (currently, 824 S Federal Highway) in Stuart, Martin County, Florida.
Scope of Services
Field preparation, mobilize to site, perform quarterly groundwater sampling and laboratory analysis of one (1) existing monitoring well (MW005) including measurement of the water level for three (3) quarters.
Review data and prepare Quarterly Groundwater Monitoring Reports including updated tables and exhibits for groundwater flow and concentration. Make recommendations for SRCO as appropriate See attached LOE for details
Schedule Deliver three (3) Quarterly Groundwater Monitoring Reports within 20 business days following receipt of laboratory results.
Compensation See attached CEF for details.
mailto:Dean.Cox@FloridaDep.gov
SCOPE OF SERVICE DETAILS
Recent site assessment activities were conducted in January 2023. The sampling event identified PCE above the Chapter 62-777, Table I, F.A.C. Groundwater Cleanup Target Level (GCTL) in one monitoring well (MW005) at a concentration of 4.0 µg/L. Concentrations below GCTLs were observed in the other wells sampled. Based on this information and given measured concentrations below GCTLs in the other wells sampled for at least two consecutive prior monitoring events, quarterly sampling is proposed for monitoring well MW005 only as concurred by the FDEP in correspondence from James Dalton and Dean Cox on February 17, 2023.
DELIVERABLES
The Quarterly Groundwater Monitoring Reports will detail and summarize the sampling activities, field observations, and results of monitoring well analysis and will include updates to the site’s historical data tables and updated exhibits of groundwater flow and groundwater analytical concentrations. Conclusions and recommendations will include a summary of results and recommendations for future sampling or should the results indicate the onsite plume is nearing eligibility for Risk Management Option (RMO) I or RMO II closure.
SCHEDULE
It is estimated that the wells could be sampled within two weeks from TA authorization and report issued within 20 business days of receipt of analytical data.
CLOSING REMARKS
Terracon services will be conducted in accordance with the terms and conditions, contained within DEP Waste Cleanup Program (WCP) Contract No. HW687, executed January 5, 2022. It is understood that a Task Assignment will be issued to authorize us to perform this work.
We appreciate the opportunity to provide this proposal and look forward to working with you on this project. If you should have any questions or comments regarding this proposal, please contact either of the undersigned at 813-221-0050.
Sincerely, Terracon Consultants, Inc.

The terms and conditions contained herein shall apply to all services requested by the customer listed in this proposal (“Customer”) pursuant to this proposal issued by contractor (“Contractor”) regarding the transportation, treatment, storage, disposal, recycling, or other services (collectively, “Services”) involving certain waste or other material (“Waste”), and set forth pricing and specific terms and conditions for the Services. Customer and Contractor may be referred to herein as “Parties” and individually as “Party”. The proposal is incorporated herein by reference and, along with these terms and conditions are referred to collectively as the “Agreement”.
2. PROCEDURE. Except as otherwise directed by Contractor, Customer will submit to Contractor a complete waste product questionnaire (“WPQ”) or similar document describing Waste to be managed or Services requested, and provide a representative sample (if Contractor requests). The WPQ or similar document is incorporated by reference into the Agreement. Contractor is not required to perform an exhaustive analysis of the Waste in order to identify every constituent or contaminant, nor will any Contractor analysis relieve Customer of its responsibility to ensure the Waste conforms to the subject WPQ specifications. Contractor does not guarantee that it will accept any particular type of Waste upon receipt of a WPQ. Customer authorizes Contractor to commence performance of the requested Services, as Contractor deems necessary. Customer further authorizes Contractor, unless otherwise mutually agreed in writing referencing the Services, to determine all aspects of the Services in Contractor’s sole discretion.
3. NONCONFORMING WASTE. Any Waste which deviates from the specifications set forth in the WPQ, or contained in any representative sample or supporting information or analyses, or that could alter the hazard, risk, or cost assumed by Contractor in conjunction with its performance hereunder, or cause Contractor to be in noncompliance with any permit or other authorization, is nonconforming waste (“Nonconforming Waste”). If Contractor determines that any Waste is Nonconforming Waste, it will have the right to reject, revoke acceptance of, or determine alternative disposal for, such Nonconforming Waste, and convey it to Customer or another location. In such event, Customer will pay Contractor’s reasonable costs for the handling, analysis, transportation, repackaging, and time involved in conveying such Nonconforming Waste to Customer or other location, or arranging for alternative disposal.
4. TITLE AND LIABILITY. Title to Waste, together with all responsibility and liability in connection therewith, will pass to Contractor upon Contractor’s acceptance of the Waste at Contractor’s facility unless shipment of the Waste is Contractor’s responsibility, in which event title, responsibility, and liability will pass upon delivery to, and acceptance by, Contractor at the commencement of shipment. Title and liability for Nonconforming Waste will remain with Customer at all times, regardless of whether physical possession of Nonconforming Waste has passed to Contractor.
5. LOADING AND TRANSPORTATION. Transportation of the Waste will be the responsibility of Customer unless Customer arranges with Contractor for Contractor to provide transportation. Customer is responsible for proper and legal loading of the Waste on vehicles provided, or arranged for, by Contractor. A reasonable, justified refusal by drivers, or other employees, of Contractor or its subcontractors to load, transport, handle, dispose of, and/or recycle Nonconforming Waste will not be considered a breach of this Agreement.
6. WARRANTIES AND REPRESENTATIONS. Customer warrants and represents to Contractor that (a) all data and information provided to Contractor, and in the WPQ(s), are correct and in accordance with all applicable regulations; (b) The Waste provided to Contractor will conform to the description provided in the WPQ(s), representative samples, supporting information, and analyses; and (c) Customer has advised Contractor of all known potential health and environmental problems associated with the Waste.
7. CUSTOMER INDEMNIFICATION. Customer will indemnify and hold harmless Contractor, its officers, directors, employees, and agents from all penalties, costs, claims, and causes of action, including court costs and reasonable attorney fees, that may be brought against, or incurred by, Contractor, arising out of, or in any way related to, Customer’s acts or omissions, negligence, willful misconduct, breach of this Agreement, provision of Nonconforming Waste, or failure to perform its responsibilities related to this Agreement, or the Services provided hereunder.

Contractor will be an independent contractor for purposes of this Agreement and will exercise exclusive control of the operation and activities of all of its employees, agents, and subcontractors.
10. CONFIDENTIALITY. Customer will keep confidential and not disclose to others, any information provided by Contractor, or that Customer learns during the course of this Agreement, including, information related to Contractor’s business, plants, processes, costs, equipment, operations, or customers. The foregoing obligations will survive this Agreement.

Contractor will also be excused from performance if it loses, or has suspended, any license, permit, or other authorization necessary for its performance. The delayed Party will provide prompt notice of such delay and work diligently to remove such cause.
12. SAVINGS CLAUSE. If any part of this Agreement becomes invalid for any reason, the validity of the remaining Agreement will not be affected.
13. PAYMENT. Contractor will submit each invoice to the address directed by Customer. Customer will pay in cash at the time Waste is accepted, or at the time the Services are provided, unless credit has been approved by Contractor, in which event Customer will pay within 30 days of the invoice date at the address indicated on Contractor’s invoice. All amounts outstanding more than 30 days after invoice date will bear interest at the rate of 1 ½ % per month, and Customer will pay Contractor’s cost of recovery, including attorney fees, for all past due amounts. Customer will notify Contractor of any disputed amounts within 15 days of the invoice date. Any invoice portion not disputed within such period will be deemed accepted by Customer. During the 10 business days following notification of a disputed amount, the Parties will attempt in good faith to resolve said amount and, if resolved, Customer will immediately pay the agreed-upon amount to Contractor. Contractor may change the prices stated in this proposal, the subject price confirmation, or other pricing document, by giving Customer notice of such change at least 7 days before the effective date thereof, and Customer will be bound to such changes.
14. ASSIGNMENT AND TERMINATION. Customer may not assign any of its rights or obligations in this Agreement without Contractor’s written consent. Contractor may assign, or sub-contract any of, its rights and obligations hereunder, to any parent, affiliate, or subsidiary, or other individual or entity. This Agreement shall be binding upon, and inure to the benefit of, the Parties and their respective successors and permitted assigns. Contractor may terminate this Agreement at any time, without liability, upon 30 days’ notice to Customer.
15. ENTIRE AGREEMENT. This Agreement contains the entire agreement between the Parties regarding the Services and matters contained herein. No preprinted or standard terms on any Customer document will apply, and a Customer’s document will only apply to the extent necessary to describe the Services. No modifications or amendments hereto will be effective unless they are in writing and signed by both Parties.
Contractor and Customer agree to be bound to the terms and conditions contained in this Agreement for all Services provided to Customer, and this Agreement supersedes any prior agreement between the Parties regarding the Services.
16. GOVERNING LAW. This Agreement will be governed by and construed in accordance with the laws of the state or province where disposal occurs, or if no disposal occurs, the state or province where the majority of the Services are performed, without giving effect to applicable principles of conflicts of law to the extent that the laws of another jurisdiction would be applicable thereby.
17. NOTICE. Any notice required hereunder must be in writing and will be deemed to have been given when delivered either in person or by registered or certified mail, postage prepaid, return receipt requested, or via electronic mail with receipt confirmation, to the person listed in the signature block, or other Party representative that a Party may direct in writing.
