Subject: Annual Groundwater Monitoring
Scope of Work and Level of Effort Former Coles Cleaners
791 3rd Street North, Jacksonville Beach, Florida FDEP Facility ID ERIC_4608
Dear Ms. Aduwa, Geosyntec Consultants, Inc. (Geosyntec) has prepared this statement of work (SOW), Cost Estimate Form (CEF), and Level of Effort (LOE) for soil gas and groundwater monitoring activities at the Former Coles Cleaners Site (Site) located in Jacksonville Beach, Florida. This below described assessment activities were recommended in the March 2024 Annual Groundwater Monitoring Report (GMR).
On 6 December 2024, Geosyntec confirmed that a Site Access Agreement (SAA) was executed with No. 3 Commercial, LLC on 31 October 2022, as the real property owner of the Former Coles Cleaners Site (ERIC_4608) located at the above address. The Duval County property appraiser database indicates the property owner since 5 November 2005 is “No. 3 Commercial, LLC,” and that the property has not changed ownership since then. As a result, Geosyntec believes the current SAA remains in force.
Subtask 1 – Project Management
Subtask 2 – Annual Groundwater Monitoring: Annual groundwater monitoring is tentatively scheduled for January 2025 and will be completed in accordance with Table 1. Note that the annual monitoring event includes microbial analyses performed by a specialty analytical laboratory, SiREM; their quote is attached. Groundwater samples will be stored on ice and shipped to the analytical laboratory under chain of custody for analysis under standard turnaround times.
Soil gas monitoring will also be conducted to assess potential methane and hydrogen sulfide generation beneath the former dry-cleaning building. Air samples will be collected from SGP-1, SGP-2, and SV-1 (soil vent fan) and screened for methane, oxygen, and hydrogen sulfide using a multi-RAE.
ERIC_4608 - Coles Cleaners - Annual Monitoring SOW_2025
Purge water generated during sampling activities will be placed in a 55-gallon drum and manifested for off-site disposal. IDW will be staged in the rear of the facility. To confirm compliance with the existing non-hazardous IDW groundwater profile with the selected IDW waste hauler (Hull’s Environmental Services), an IDW groundwater sample will be collected for VOHs via EPA Method 8260 from the purge water drum.
Subtask 3 – Groundwater Monitoring Report: Geosyntec will prepare an Annual Groundwater Monitoring Report documenting the results of the depth to groundwater measurements and groundwater analytical results. The report will contain tables summarizing field/laboratory groundwater data, figures showing groundwater flow direction(s), and a summary of the groundwater monitoring event. A final signed waste manifest for IDW transport and disposal will also be included in the Groundwater Monitoring Report.

Governing Law, Venue and Legal Fees. The interpretation and performance of this Agreement shall be governed by the laws of the state of Florida which the Services are performed and any litigation or dispute arising in connection with this Agreement shall be settled by arbitration administered by the American Arbitration Association in accordance with its commercial arbitration rules, and judgment on the award entered by the arbitrator(s) may be entered into any court having jurisdiction thereof. This Agreement may not be modified or amended except by a writing signed by both parties. The parties agree that each has had the opportunity to review the terms of this Agreement and to request any desired changes or clarifications and this Agreement shall be construed neutrally, and as the commemoration of the mutual assent of both parties, rather than for or against either party. The title of this Agreement and headings used herein are for reference only and shall not be construed to give any substantive meaning.

8. Assignment. Neither Party shall assign its obligations under this Order without the prior written approval of the other Party. There shall be no third-party beneficiary to this Order.
9. Standard of Care. The Services rendered by SiREM will render its Services in a manner consistent with the level of care and skill ordinarily exercised by other firms rendering the same services under similar circumstances at the same time the Services are performed.
10. LIMITED WARRANTY. SIREM WARRANTS THAT THE PRODUCTS SUPPLIED PURSUANT TO THIS ORDER WILL NOT INFRINGE THE INTELLECTUAL PROPERTY RIGHTS OF ANYONE NOT A PARTY TO THIS ORDER. SIREM WARRANTS THAT IT IS DULY LICENSED, QUALIFIED AND CAPABLE OF FULFILLING ITS OBLIGATIONS UNDER THE ORDER. ALL OTHER WARRANTIES AND GUARANTEES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES
OF MERCHANTABILITY OR FITNESS FOR PURPOSE ARE DISCLAIMED.
11. Collecting Procedures. If the Order includes Services for testing, Client will collect and obtain samples to be shipped to and tested by SiREM at Client’s sole expense. At Client’s request, SiREM will provide sample containers at no cost. If recollection or resampling becomes necessary, for any reason other than SiREM’s gross negligence or wilful misconduct, Client shall be responsible for re-collecting and re-shipping the samples. The results of the testing will be delivered to Client in SiREM’s standard report format.
12. Liability. To the maximum extent permitted by Law, Client agrees to limit SiREM’s liability for the Client’s damages to the greater of SiREM’s fee or $50,000. In no event will SiREM be liable to Client for any incidental or consequential damages arising in connection with this Order, the use of the Product or the Services rendered by SiREM.
13. Disputes. The Parties agree to promptly resolve their differences through good faith negotiations as a condition precedent to filing a formal claim. In the event disputes remain following such negotiations, any remaining dispute shall be submitted to senior representatives of the Parties who shall have the authority to enter into an agreement to resolve the dispute (“Representative”). The Representatives shall not have been directly involved in the performance of the Subcontracted Services. If the Representatives are unable to resolve the dispute within three weeks or within such longer time period as the Representatives may agree, the dispute shall be mediated by an independent third-party agreed to by both parties. Any disputes or portions thereof remaining following mediation shall be determined by remedies at law or equity, as they may be available, subject to the limitations in this Agreement. Any applicable statute of limitations on any claim in any way related to Agreement shall commence to run and alleged cause of action shall be deemed to have accrued no later than the date of either SiREM’s final invoice or termination of this Agreement by either Party. Both Parties agree that the applicable statute of limitations for any claims in any way related to this Agreement shall be shortened to a period not longer than two years, unless a shorter statute of limitations would otherwise apply.
