Section E - Inspection and Acceptance

CLAUSES INCORPORATED BY FULL TEXT

52.246-12 INSPECTION OF CONSTRUCTION (AUG 1996)

(a) Definition. "Work" includes, but is not limited to, materials, workmanship, and manufacture and fabrication of components.

(b) The Contractor shall maintain an adequate inspection system and perform such inspections as will ensure that the work performed under the contract conforms to contract requirements. The Contractor shall maintain complete inspection records and make them available to the Government. All work shall be conducted under the general direction of the Contracting Officer and is subject to Government inspection and test at all places and at all reasonable times before acceptance to ensure strict compliance with the terms of the contract.

(c) Government inspections and tests are for the sole benefit of the Government and do not--

(1) Relieve the Contractor of responsibility for providing adequate quality control measures;

(2) Relieve the Contractor of responsibility for damage to or loss of the material before acceptance;

(3) Constitute or imply acceptance; or

(4) Affect the continuing rights of the Government after acceptance of the completed work under paragraph (i) of this section.

(d) The presence or absence of a Government inspector does not relieve the Contractor from any contract requirement, nor is the inspector authorized to change any term or condition of the specification without the

Contracting Officer's written authorization.

(e) The Contractor shall promptly furnish, at no increase in contract price, all facilities, labor, and material reasonably needed for performing such safe and convenient inspections and tests as may be required by the

Contracting Officer. The Government may charge to the Contractor any additional cost of inspection or test when work is not ready at the time specified by the Contractor for inspection or test, or when prior rejection makes reinspection or retest necessary. The Government shall perform all inspections and tests in a manner that will not unnecessarily delay the work. Special, full size, and performance tests shall be performed as described in the contract.

(f) The Contractor shall, without charge, replace or correct work found by the Government not to conform to contract requirements, unless in the public interest the Government consents to accept the work with an appropriate adjustment in contract price. The Contractor shall promptly segregate and remove rejected material from the premises.

(g) If the Contractor does not promptly replace or correct rejected work, the Government may (1) by contract or otherwise, replace or correct the work and charge the cost to the Contractor or (2) terminate for default the

Contractor's right to proceed.

(h) If, before acceptance of the entire work, the Government decides to examine already completed work by removing it or tearing it out, the Contractor, on request, shall promptly furnish all necessary facilities, labor, and material. If the work is found to be defective or nonconforming in any material respect due to the fault of the

Contractor or its subcontractors, the Contractor shall defray the expenses of the examination and of satisfactory reconstruction. However, if the work is found to meet contract requirements, the Contracting Officer shall make an equitable adjustment for the additional services involved in the examination and reconstruction, including, if completion of the work was thereby delayed, an extension of time.

(i) Unless otherwise specified in the contract, the Government shall accept, as promptly as practicable after completion and inspection, all work required by the contract or that portion of the work the Contracting Officer determines can be accepted separately. Acceptance shall be final and conclusive except for latent defects, fraud, gross mistakes amounting to fraud, or the Government's rights under any warranty or guarantee.

52.211-10 COMMENCEMENT, PROSECUTION, AND COMPLETION OF WORK (APR 1984)

The Contractor shall be required to (a) commence work under this contract within 10 calendar days after the date the

Contractor receives the notice to proceed, (b) prosecute the work diligently, and (c) complete the entire work ready for use as stated in each delivery order. The time stated for completion shall include final cleanup of the premises.

52.211-12 LIQUIDATED DAMAGES--CONSTRUCTION (SEP 2000)

(a) If the Contractor fails to complete the work within the time specified in the contract, the Contractor shall pay liquidated damages (LD’s) to the Government in the amount (to be determined per individual delivery order) for each calendar day of delay until the work is completed or accepted.

(b) Liquidated damages will be applicable for any Roofing project exceeding $50,000.00 or the discretion of the

Contracting Officer. Each Roofing project purchase request package from 802 CES/CEPMS will provide justification and formula calculations warranting liquidated damages for that requirement. The contractor will be informed during the proposal submission process if the LD’s are applicable for the project.

(c) If the Government terminates the Contractor's right to proceed, liquidated damages will continue to accrue until the work is completed. These liquidated damages are in addition to excess costs of repurchase under the Termination clause.

52.211-13 TIME EXTENSIONS (SEP 2000)

Time extensions for contract changes will depend upon the extent, if any, by which the changes cause delay in the completion of the various elements of construction. The change order granting the time extension may provide that the contract completion date will be extended only for those specific elements related to the changed work and that the remaining contract completion dates for all other portions of the work will not be altered. The change order also may provide an equitable readjustment of liquidated damages under the new completion schedule.

TASK ORDER VARIATIONS

Variation in Task Order Quantities

1. Task Order Procedures: Contractor’s failure to comply with terms and conditions of this provision will result in non-payment for deviations from the task order.

a. All Task Orders under this contract will be issued with Estimated Quantities at a Total Estimated

Award Amount.

b. A ―Quantity Survey Sheet‖ will be included in each Task Order. The Quantity Survey Sheet will identify Estimated Quantities ordered per contract line item number, the unit price, extended price per line item; and Total Estimated Award Amount.

c. Not withstanding any other provision in this contract, the contractor shall not exceed the Task

Order Total Estimated Award Amount without the prior written approval of the Contracting

Officer.

d. When the actual quantity of the unit-priced item needed varies less than 15 percent above or below the total Estimated Quantity for that line item on the Quantity survey Sheet(s), the contractor may proceed with performance without further consent of the Contracting Officer, as long as the task order Total Estimated Award Amount is not exceeded. All Line Item increases must be offset by some other line item decrease for an equivalent or higher dollar amount. These adjustments will not result in any change to the task order performance period. Contract line items that were not originally called for in the task order cannot be used without prior approval of the Contracting

Officer.

2. Task Order Modifications: The contractor must obtain written authorization from the Contracting Officer in the form of a Task Order Modification whenever any of the following occurs. Contractor will not proceed with the items without written authorization from the Contracting Officer. Any request by the contractor for increases in quantities, the Total Estimated Award Amount, or performance time shall include rationale for the change(s).

(1) When the necessary actual quantity of the unit-priced item varies more than 15 percent above or below the total estimated quantity for that line item on the

Quantity Survey Sheet(s)

(2) When the actual quantities needed to complete the project will result in exceeding the Task Order Total Estimated Award Amount.

(3) When additional line items not included in the Original Task Order need to be added to the Task Order.

3. De-obligation: Upon completion of the Task Order excess funds will be de-obligated as follows:

Upon certification by the Government Inspector of the actual quantities installed, the Contracting Officer will authorize final payment for actual work performed. All excess funds the Contracting Officer shall de-obligate the excess funds with a bilateral Task Order Modification.

An irrevocable letter of credit and payment bond will be required for Delivery Orders greater than $30,000, but not greater than $100,000. See Section I for Bond Clauses; FAR 52.228-1, Bid Guarantee; 52.228-14, Irrevocable Letter of Credit; and 52.228-15, Performance and Payment Bonds--Construction.

I. Offeror must READ and COMPLY with the entire solicitation package (including all attachments). Section L, General Instructions -- Proposal Preparation Instructions gives major details. Basis of award: This is a competitive best value source selection in which competing offerors' past performance history will be evaluated on a basis, significantly more important than cost or price considerations. However, cost/price will contribute substantially to the selection decision.

J. Section J – Attachment 1 (Bid Schedule); Offeror MUST fill in all ―Yellow Highlighted‖ Excel cells (Company

Name, Unit Prices, and Signature Block (Name / Title and Date)). Making changes to the Bid Schedule Excel document may make an Offeror Proposal ―Non-Responsive‖. Use ONLY two decimal places to the right (to the hundredths) of the decimal point for Unit Prices entries – Example of an ―acceptable‖ unit price: $1.95. If you use

$1.9578 (non-acceptable), the Excel document will round up the Unit Price, to read $1.96 causing your Extended

Amounts and Total Amounts for each year and Total Amount of your Offer to have errors. Any pricing errors could require clarifications / discussions and/or be rejected / non-responsive. All unit prices for CLINS must include all

Offeror’s cost factors; labor, material, equipment, other direct costs, labor burden, overhead, profit, etc. DO NOT provide additional cost or pricing documents not required under this solicitation.

K. Past Performance requirements are in Section L of this solicitation. NOTE: Recency is defined as performance occurring within the last three (3) years of the date of this solicitation, except that ongoing programs must have begun no less than three (3) months from issuance of the RFP. If the project is not within 3 years, it will not be evaluated for relevancy. Relevant performance includes performance of efforts involving requirements that are similar to the RFP specifications.

L. The Government reserves the right to cancel this solicitation, either before or after the closing date.
