DATABASE REGISTRATION INFORMATION

SYSTEM FOR AWARD MANAGEMENT (SAM) REGISTRATION

The System for Award Management (SAM), located at https://sam.gov, is the official U.S.

Government repository consolidating the functions of the former Central Contractor Registration (CCR, including FedReg), the Online Representations and Certifications Application (ORCA), and the Excluded Parties List System (EPLS). Consistent with RFO Subpart 4.203, an offeror shall be registered in SAM at the time of offer or quotation submission in order to comply with annual representations and certifications requirements, unless exempt under RFO Subpart 4.203-1(b). Pursuant to RFO Clause 52.204-7, the offeror is required to maintain SAM registration at the time of offer submission and at the time of award. RFO provisions mandate that any contractor wishing to conduct business with the federal government and submit offers on federal procurement actions shall have an active SAM registration, unless specifically exempted. Offerors must submit proof of current (as of time of offer) SAM and DSBS registries with their bid/offer and that any offeror or bidder that fails to do so will be rendered technically unacceptable/non-responsive outright and will not be considered for award. The foregoing requirement shall be clearly reflected in the solicitation and incorporated into any resultant contract award documentation.

THE EXCLUDED PARTIES LIST SYSTEM (EPLS)

The Contractor shall verify that no individual or entity providing services under this contract is excluded under Sections 1128 or 1128A of the Social Security Act by consulting the Excluded Parties List System (EPLS) on https://sam.gov prior to engagement. The Contractor is expressly prohibited from employing or subcontracting with any individual or entity appearing on the List of Excluded Individuals and Entities (LEIE); continued performance with any excluded party is strictly forbidden throughout the duration of this contract.

SMALL BUSINESS ADMINISTRATION (SBA) DYNAMIC SMALL BUSINESS SEARCH (DSBS)

REGISTRATION

The SBA’s Small Business Search (formerly DSBS), available at https://www.sba.gov/, is the official U.S. Government portal for small business representation and certification. VAAR 819.7001(a) requires that contractors wishing to engage in federal procurement and bid on VA work maintain an active registration in SBA’s DSBS (now “Small Business Search”) at the time of offer submission and at award. Offerors shall submit proof of a current SBA DSBS/SBS registry with their proposal. Failure to provide such documentation will render the proposal technically unacceptable and non-responsive, disqualifying it from consideration. Joint Ventures (JVs) also shall include SBA DSBS/SBS registration or SBA certification with their offer; absence of such proof will result in technical disqualification and ineligibility for award.

VETS-4212 REPORTING REQUIREMENT

Contractors and subcontractors awarded $150,000 or more in federal contracts during any fiscal year shall file an annual VETS-4212 Federal Contractor Veterans’ Employment Report under 38 U.S.C. 4212(d) and 41 CFR 61-300. Compliance is mandatory by September 30 each year. Solicitations will include RFO Clause 52.222-37, which requires offerors to certify that they have submitted their most recent VETS-4212 report if subject to these reporting obligations. Contracting Officers are prohibited from awarding contracts to offerors who fail to submit the required VETS-4212 report for the preceding fiscal year when subject to the requirement. Offerors should submit the report promptly to avoid award delays. For assistance and access to the web-based reporting form, visit https://www.dol.gov/agencies/vets/programs/vets4212.

BONDING INFORMATION

BID GUARANTEE

Contractors submitting bids shall furnish a bid guarantee in an amount no less than 20 percent of the bid price and not exceed $3,000,000, consistent with RFO Subpart 28.101-1 and 28.101-3. Bids lacking the required guarantee, in proper form and amount, by bid opening will be rejected unless eligibility for waiver exists under RFO Subpart 28.101-4. Bid guarantees shall be submitted on original Standard Form 24 (Bid Bond) with signatures (no white outs), identifying the correct solicitation number and bid opening date, and executed by a corporate surety listed in Treasury Circular 570 via email, only. Individual sureties, if permitted, shall be accepted by the CO under RFO 28.203 and accompanied by Standard Form 28 (Affidavit of Individual Surety). Alternative forms of bid security authorized by RFO

Subpart 28.203-2—such as cashier’s checks, letters of credit, or escrow agreements—are acceptable if specified in the solicitation.

PERFORMANCE AND PAYMENT BONDS

Contractors shall provide Payment and Performance bonds in compliance with RFO requirements: for contracts over $35,000, a Payment Bond (SF 25A) is required, and for contracts exceeding $150,000, both Payment (SF 25A) and Performance Bonds (SF 25) are mandatory in accordance with RFO Subpart 28.102-1 and RFO Clause 52.228-15. Bonds shall be submitted no later than 10 calendar days after award notification, bearing original signatures with no white-outs or corrections and submitted via email, only.

SECURITY

BACKGROUND INVESTIGATIONS

All contractor and subcontractor employees are subject to the same level of investigation as VA employees who have access to VA Sensitive Information. The level of background investigation is commensurate with the level of access needed to perform the statement of work. This requirement is also applicable to all subcontractor personnel requiring the same level of access.

Levels and associated types of Background Investigations:

• If the project requires that workers have only limited physical access to the VA facility for a period of one year or less, a local flash badge with fingerprint check is issued.

• If the project requires that workers require un-supervised, logical and/or physical access for 180 consecutive or aggregate days in a 365-day period, over a 3-year period, a background investigation may be required (Special Agency Check (SAC)) which shall be completed prior to being allowed access.

• If the project requires that workers have access to a VA Network (such as the Building Management System) or un-supervised, full-time, logical, and/or restricted physical access for more than 6 months or more than 180 aggregate days in a one-year period, a background investigation is required (Special Agency Check and National Agency Check with Written Inquiries (NACI)) and access is not allowed until a favorable SAC completion.

All costs for SAC and NACI checks are borne by the contractor. The VA may at its discretion make deductions against the contract in order to recoup the investigation costs. The estimated cost for a SAC is $30.00 per employee and the estimated cost for a NACI check is $408.00 per employee (subject to change at any time).

It is agreed that:

1. The preliminary and final deliverables, and all associated working papers, application source code, and other material deemed relevant by VA which have been generated by the contractor in the performance of this contract, are the exclusive property of the U.S.

If co-mingling shall be allowed to meet the requirements of the business need, the contractor shall ensure that VA’s information is returned to the VA or destroyed in accordance with VA’s sanitization requirements. VA reserves the right to conduct onsite inspections of contractor and subcontractor IT resources to ensure data security controls, separation of data and job duties, and destruction/media sanitization procedures follow VA directive requirements.

In writing, writing, or written means any worded or numbered expression that can be read, reproduced, and later communicated, and includes electronically transmitted and stored information.

Proposal modification is a change made to a proposal before the solicitation’s closing date and time, or made in response to an amendment, or made to correct a mistake at any time before award.

Proposal revision is a change to a proposal made after the solicitation closing date, at the request of or as allowed by a Contracting Officer as the result of negotiations.

Time, if stated as a number of days, is calculated using calendar days, unless otherwise specified, and will include Saturdays, Sundays, and legal holidays. However, if the last day falls on a Saturday, Sunday, or legal holiday, then the period shall include the next working day.

(b) Amendments to solicitations. If this solicitation is amended, all terms and conditions that are not amended remain unchanged. Offerors shall acknowledge receipt of any amendment to this solicitation by the date and time specified in the amendment(s).

(c) Submission, modification, revision, and withdrawal of proposals.

(1) Unless other methods (e.g., electronic commerce or facsimile) are permitted in the solicitation, proposals and modifications to proposals shall be submitted in paper media in sealed envelopes or packages (i) addressed to the office specified in the solicitation, and (ii) showing the time and date specified for receipt, the solicitation number, and the name and address of the offeror. Offerors using commercial carriers should ensure that the proposal is marked on the outermost wrapper with the information in paragraphs (c)(1)(i) and (c)(1)(ii) of this provision.

(2) The first page of the proposal shall show—

(i) The solicitation number;

(ii) The name, address, and telephone and facsimile numbers of the offeror (and electronic address if available);

(iii) A statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation and agreement to furnish any or all items upon which prices are offered at the price set opposite each item;

(iv) Names, titles, and telephone and facsimile numbers (and electronic addresses if available) of persons authorized to negotiate on the offeror’s behalf with the Government in connection with this solicitation; and

(v) Name, title, and signature of person authorized to sign the proposal. Proposals signed by an agent shall be accompanied by evidence of that agent’s authority, unless that evidence has been previously furnished to the issuing office.

(3) Submission, modification, revision, and withdrawal of proposals.

If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that proposal or revision is due.

(ii)(A) Any proposal, modification, or revision received at the Government office designated in the solicitation after the exact time specified for receipt of offers is "late" and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and—

(2) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government’s control prior to the time set for receipt of offers; or

(3) It is the only proposal received.

(B) However, a late modification of an otherwise successful proposal that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(iii) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the proposal wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(iv) If an emergency or unanticipated event interrupts normal Government processes so that proposals cannot be received at the office designated for receipt of proposals by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation, the time specified for receipt of proposals will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(v) Proposals may be withdrawn by written notice received at any time before award. Oral proposals in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile proposals, proposals may be withdrawn via facsimile received at any time before award, subject to the conditions specified in the provision at 52.215-5, Facsimile Proposals.

Proposals may be withdrawn in person by an offeror or an authorized representative, if the identity of the person requesting withdrawal is established and the person signs a receipt for the proposal before award.

(5) Offerors shall submit proposals in response to this solicitation in English, unless otherwise permitted by the solicitation, and in U.S. dollars, unless the provision at FAR 52.225-17, Evaluation of Foreign Currency Offers, is included in the solicitation.

(6) Offerors may submit modifications to their proposals at any time before the solicitation closing date and time, and may submit modifications in response to an amendment, or to correct a mistake at any time before award.
