Form W-14 Summary

Form W-14 is a Certificate of Foreign Contracting Party Receiving Federal Procurement Payments issued by the Internal Revenue Service (August 2016 version, OMB No. 1545-2263). This form is submitted to acquiring federal agencies by foreign contracting parties to certify their tax status and eligibility for exemptions from withholding requirements under Section 5000C of the Internal Revenue Code.

The form requires identification of the foreign contracting party, including their legal name, country of incorporation, permanent residence address, and U.S. taxpayer identification number if applicable. It also requires the name and address of the acquiring federal agency and the contract or reference number. The form provides two pathways for claiming exemptions: Part II allows foreign contractors to claim relief from Section 5000C tax pursuant to qualified international income tax treaties, while Part III enables exemptions based on international procurement agreements or because goods and services are produced or performed in the United States. Part III requires disclosure of the total contract price, nonexempt amounts, and the resulting contract ratio. Part IV requires detailed explanations of the basis for exemption claims, including identification of relevant countries where goods are manufactured or services provided, applicable international agreements, and methodologies for allocating contract prices between exempt and nonexempt portions. Part V contains the certificate declaration, wherein the foreign person certifies under penalties of perjury that the information is accurate, that they are authorized to sign, that they are not acting as an agent for another foreign person, and that they have not engaged in transactions designed to avoid Section 5000C taxation.
