About this file

Form W-14 is an Internal Revenue Service certificate template for foreign contracting parties receiving federal procurement payments. This form, effective August 2016 (OMB No. 1545-2263), is designed to be completed by foreign contractors and submitted to the acquiring federal agency—not to the IRS.

The form requires identification information for the foreign contracting party, including legal name, country of incorporation, permanent residence address, mailing address if different, U.S. taxpayer identification number if applicable, and contract or reference number. Part I also requests the name and address of the acquiring federal agency. Part II addresses exemptions based on international tax agreements, allowing the foreign contractor to claim relief from tax under section 5000C of the Internal Revenue Code pursuant to qualified income tax treaties. Part III covers exemptions based on international procurement agreements or because goods and services are produced or performed in the United States, requiring disclosure of total contract price, nonexempt amounts, and the contract ratio. Part IV requires detailed explanations for either exemption type, including identification of relevant countries where goods are manufactured or services provided, applicable international procurement agreements, and methods used to allocate contract price between exempt and nonexempt amounts. Part V contains certification language under penalties of perjury, wherein the foreign person certifies their identity, confirms they are not acting as an agent for another foreign person, agrees to pay any unpaid section 5000C tax, acknowledges understanding relevant regulations, and certifies no tax-avoidance transactions have occurred.
