INSTRUCTIONS, CONDITIONS AND OTHER STATEMENTS TO

BIDDERS/OFFERORS

Overview

For this procurement, the Government will use the “Best Value” tradeoff process source selection approach in accordance with FAR 15.103-1. A firm-fixed-price award will be made to the responsible offeror whose offer conforms to the solicitation and results in the best value to the Government, all factors considered to include Veteran preference. The Government reserves the right to accept other than the lowest priced offer or to reject all offers. To arrive at a Best Value decision, the Source Selection Authority, using the Source Selection Evaluation Board documentation will integrate the evaluation of Past Performance, Technical, Price, and Veteran’s preference to eligible Veteran-owned companies.

The Government intends to evaluate proposals and award a contract without discussions with offerors (except clarifications as described in FAR 15.202(a)(2)). Therefore, the offeror's initial proposal should contain the offeror's best terms from technical, past performance, and price.

The Government reserves the right to conduct discussions if the Contracting Officer (CO) later determines them to be necessary. The Government reserves the right to waive informalities and minor irregularities in offers received. If a minor clerical error has occurred, then the offeror may be given an opportunity to correct the minor error within the constraints of the "clarifications" process.

The CO will conduct a proposal compliance review after closing for determination of basic proposal adequacy prior to commencing evaluation. Failure to provide a complete proposal consisting of all required information/documents and pricing will result in the proposal being determined incomplete and no longer considered for award.

https://www.gsa.gov/forms https://www.gsa.gov/forms

Although the assessment of Past Performance as a specific evaluation factor is separate and distinct from the Determination of Responsibility required by FAR Part 9, Past Performance information obtained herein will be used during the Government’s responsibility determination.

The Government also reserves the right to obtain additional information solely for the purpose of making a responsibility determination from all offerors after receipt of proposals. Requests for responsibility information do not constitute discussions.

Enforceability of Proposal

The proposal must set forth full, accurate and complete information as required by this solicitation. The Government will rely on such information in the award of a contract. By submission of the offer, the Offeror agrees that all items proposed (if applicable e.g., key personnel, plans, etc.) will be utilized for the duration of the contract and any substitutions will require prior CO’s approval.

The offeror shall be held responsible for the validity of all information supplied in his/her proposal. Should the subsequent investigation disclose that the fact and conditions were not as stated, the proposal may be rejected.

Proposal Expenses and Pre-contract Costs

This RFP does not commit the Government to pay costs incurred in preparation and submission of initial and subsequent proposals or for other costs incurred prior to the award of a formal contract.

• Offeror’s schedule consultant and resume to ensure they meet the requirements of specification 01 32 16.15, Section 1.3.

• Demonstrate your plan to coordinate a multi-disciplined team to meet your schedule’s milestones and identify any unusual efficiencies in your schedule.

Factor 2, Past Performance The Government will rate an offeror's past performance by utilizing a Performance Risk Rating for projects identified in their offer under Subfactor A, Expertise and other related experience the Government obtains. Offerors must submit the following:

• Contractor Performance Assessment Reporting System (CPARS) for all projects submitted under Subfactor A, Expertise.

• If CPARS is not available for the projects submitted under Subfactor A, Expertise, the offeror must submit Past Performance Questionnaires (PPQ) (Exhibit C) and instruct clients to forward directly to Heather.Libiszewski- Gallien@va.gov no later than the proposal due date. In addition to submitting to clients, offerors shall include the first two pages of the PPQ with contract/client information in their past performance submission.

• Offerors are encouraged to provide CPARS and PPQs for other projects in addition to the ones provided under Subfactor A, Expertise.

The past performance evaluation will consider such things as an offeror's business practices, customer relationship, meeting SDVOSB subcontracting goals, and ability to successfully perform as proposed and other considerations considering recency, relevancy, and data obtained from other Government or commercial sources, including Government databases.

Offerors lacking relevant past performance experience may submit information regarding predecessor companies, key personnel who have relevant experience and/or subcontractors that will perform major or critical aspects of the requirement if such information is relevant to this acquisition. Such information shall, as a minimum, include Name(s) of Predecessor Company/Subcontractor and/or Key Personnel and include Complete Address and Point of Contact; Telephone, Fax Number and email address; and a brief synopsis of the experience (a resume may be submitted for "Key Personnel") and relevancy to this project. Resumes submitted for key personnel in this section must be the same key personnel identified in Subfactor B.

Other optional past performance considerations: Offerors are encouraged to include in Factor 2, Past Performance other relevant information that the Government may take into consideration in the evaluation process. The information, if provided, shall be limited to projects completed within ten (10) years from the date of issuance of this RFP. This will be information used to evaluate past performance in addition to the 3 projects provided under Subfactor A, Expertise.

To conduct the overall performance risk assessment, the Government may evaluate present and past performance including but not limited to, information using questionnaires completed by the offeror's references; use of Government-wide databases, in part on information from CPARS, data independently obtained from other Government or commercial sources, personal business experience with the offeror, and any performance related information available regardless of relevancy in the development of performance confidence assessments. The evaluation may also consider information provided relative to corrective actions taken to resolve problems on past or existing contracts and trends in performance. The Government may contact references provided by the offeror, as well as any other source it identifies, and information received may be used in the evaluation of the offeror’s past performance. The burden of providing current, accurate and complete past performance information rests with the offeror.

Past performance information on contracts not listed by the offeror, or that of planned subcontractors, may also be evaluated. Offerors shall be given an opportunity to discuss adverse past performance information if the offeror has not had a previous opportunity to comment on the information. The CO may review recent contracts to ensure that corrective measures raised in discussions have been implemented. If no relevant information on past performance is available for an offeror, the offeror will not be evaluated favorably or unfavorably on past performance. The Government reserves the rights to obtain and evaluate past performance information from any source it deems appropriate.

The Government will conduct a performance risk assessment based upon the past performance of the offeror as it relates to the probability of successful accomplishment of the work required by the solicitation. Ratings will consider the offeror's past performance considering recency, relevancy, sources, context, and trends, using descriptive adjectives that most accurately define the offeror's performance risk considering all potential evaluation criteria identified in this factor.

Relevance will be considered in the overall past performance rating. An adjectival rating for past performance will be assigned based on the confidence of success on this project, based on recency and relevancy of projects submitted, CPARS evaluations, and personal knowledge.

Past performance evaluation results in an assessment of the offeror’s probability of meeting the solicitation requirements. It considers each offerors demonstrated recent and relevant record of performance in supplying products and services that met the contract requirements. One performance confidence assessment rating is assigned for each offeror after evaluating the offeror's recent past performance, focusing on performance that is relevant to the contract requirements. (See FAR 15.202(c)).

There are three aspects to the past performance evaluation:

1. Recency: projects completed within ten (10) years from the date of issuance of this RFP;

1. Relevancy of Contractual Work Performed: performance of work on projects that are similar in scope and magnitude of effort and complexities to the type of project anticipated under the resultant contract. Common aspects of relevancy include similarity of service/support, complexity, dollar value, contract type, and degree of subcontract/teaming; and

2. How well the contractual work was performed.

Evaluation of past performance may be subjective, based on consideration of all relevant facts and circumstances. It will include consideration of the offeror’s commitment to customer satisfaction, compliance with federal laws and, and conclusions of informed judgment.

Factor 3, Price Evaluation:

Price will be evaluated to determine whether it is fair and reasonable to the Government. “Best Value” means the expected outcome of an acquisition that, in the Government's estimation, provides the greatest overall benefit in response to the requirement. The Government will evaluate the total price identified in the Price Schedule for Line ITEM 0001 utilizing one or more of the price analysis techniques set forth in FAR 15.404-1.

Offerors must submit the following:

• Price Schedule that is located after the table of contents of the solicitation.

• Base Offer Price Breakdown spreadsheet (Exhibit D) attached to this solicitation showing an itemized price breakdown with their proposal in sufficient detail to permit a complete analysis of labor burden, materials, equipment, transportation, supervision, disposal costs, and overhead and profit and shall cover all work involved in the contract.

Factor 4, Veterans Preference The CO will establish the Veterans preference at the conclusion of the price evaluation and implement in accordance with VAAR 819.7001(c), the VA Veterans First Contracting Program, the proposed price of any certified SDVOSB offeror shall be evaluated as if it were 3% less (full credit) than the offeror’s actual proposed price to afford the SDVOSB a competitive advantage.

The proposed price of any certified VOSB shall be evaluated as if it were 2% less (partial credit) than the actual proposed price to afford the VOSB a competitive advantage. The proposed price of any non-Veteran offeror proposing to use certified SDVOSBs or VOSBs as subcontractors shall be evaluated as if it were 1% less (partial credit) than the offeror’s actual proposed price to afford the offeror a competitive advantage. These price adjustments are only for implementation of the preferences of the Veterans First Contracting Program. In the event an offeror receives preference as prescribed above and is in line to receive an award, the actual award value and the actual obligation shall not reflect any such reduction but rather the true offeror proposed price.

In order to receive price preference, offerors that are SD/VOSBs or offerors that are proposing to use SD/VOSB subcontractors must ensure the SD/VOSB company is verified in the Small Business Search database at https://search.certifications.sba.gov/ at the time of proposal submission.

Offerors must submit a statement indicating they are a SD/VOSB firm or indicate the use of SD/VOSB subcontractors and provide their name and UEI.
