About this file

This is Addendum No. 7 to SEPTA's Sealed Bid No. 26-00105-AJEB for the Traction Power Substation Rehabilitation Program – Contract 5 covering Broad, Loudon, Park, and Castor Substations, issued August 5, 2026. The addendum maintains the proposal due date of August 12, 2026 by 11:00 AM and must be acknowledged on the Addendum Acknowledgement Sheet to avoid rejection of proposals. Key specification changes include removal of the Wayside Energy Storage Systems at Loudon and Park substations from contractor scope, as SEPTA will complete this work directly. Updated drawings are provided including revised DWG 7E-16563_28 and revised markups for Loudon substation 50% design documents. The addendum incorporates 32 questions and answers addressing specifications, drawings, contract terms, and technical requirements across electrical, communications, civil, structural, and safety disciplines.

Significant contractual modifications include removal of the 25% rolling withholding clause while maintaining standard 10% retainage, acceptance of mutual waiver of consequential damages except for gross negligence or willful misconduct, and addition of new Section XXXVI addressing tariff-related cost adjustments through good-faith negotiation. The addendum clarifies that Castor substation work can proceed independently of the other three substations, confirms SCADA server replacement at 1234 Market Street is not in contractor scope, establishes fiber optic installation limits at the first communications manhole with SEPTA completing connections beyond that point, and confirms ground grid work applies primarily to Castor substation with perimeter fencing connections. Minimum daily PPE requirements are specified as FR clothing rated minimum 8 Cal/Cat 2, FR safety vest, hard hat, safety glasses, and EH-rated work boots for all personnel in substation work zones. Approved DC breaker manufacturers are clarified to include Myers, NDC/Brush (supplied by Powell), and Balfour Beatty TPG (formerly IMPULSE). The addendum confirms that one rectifier transformer must remain operational during construction, the 4.8kV switchgear can be taken out of service with one auxiliary transformer remaining, and existing generators can be removed without temporary power provisions.

This language shall be removed from the specification.

Contractor requests inclusion of a mutual waiver of consequential damages.

Accepted:

MUTUAL WAIVER OF CONSEQUENTIAL

DAMAGES

Except for gross negligence or willful misconduct, neither SEPTA or the Contractor (including its parent company, affiliates, subsidiaries, subcontractors, agents, employees, officers, directors, assignees, and vendors) will be liable to the other for any special, consequential, indirect, punitive, exemplary, or incidental damages of any kind arising out of or related to the performance or non performance of the Contract, and regardless of whether such losses, damages, or liability arises from the breach of contract or warranty, tort (including negligence), strict liability, or otherwise.

Section VIII Part G Contractor requests striking “consequential damages”.

Accepted – Strike “consequential damages” from Section VIII (G).

Section VIII Part G Contractor requests an indemnity provision that limits Contractor’s obligation to the extent of its negligence for personal injury or for damage to real property.) Rejected.

Section XXVII - Contractor requests inclusion of Contractor’s right to suspend and/or terminate due to non-payment in the

Contract for this Project.

Rejected.

The contractor requests that a provision be added to the contract that allows the SEPTA to compensate the contractor for costs that are materially increased by the implementation of tariffs on, or in connection with the work. While the project is strictly Buy America the imposition of tariffs potentially affects the pricing of subcomponents to American made products. These tariffs can adversely and unfairly affect the cost and availability of American made products after pricing proposals have been submitted and contracts signed.

Tariff section XXXVI. TARIFFS has been added to the contract: If Contractor’s costs in the performance of its duties under this Agreement are materially increased by the implementation of material tariffs on, or in connection with the Work performed under Agreement, pricing and fees may be escalated accordingly, after consultation and agreement with SEPTA, to compensate Contractor for such increased costs. As such, the parties agree to meet and negotiate in good faith to determine any appropriate and reasonable adjustments to pricing to compensate Contractor for such costs. Prior to any such meeting, Contractor shall provide all relevant information, invoices and documentation to support its claim of increased tariffs, including but not limited to, the actual amount and date of tariff imposed and the percentage of such tariff directly related to the Work, country of origin of the product or goods and any other documentation supporting or related to the claim of additional costs resulting from tariffs.
