ORGANIZATIONAL CONFLICT OF INTEREST
In accordance with FAR 9.502(c), “an organizational conflict of interest may result when factors create an actual or potential conflict of interest on an instant contract, or when the nature of the work to be performed on the instant contract creates an actual or potential conflict of interest on a future acquisition. In the latter case, some restrictions on future activities of the contractor may be required.”
The USG will evaluate whether offerors have any actual or potential conflicts of interest as part of this requirement. Offerors are responsible for determining, disclosing, and mitigating any conflicts of interest. Date of Brief: 04 MAY 2022 Program Overview The CH-53E Super Stallion has proven to be extraordinarily relevant to the execution of our national security strategy, Navy and Marine Corps warfighting concepts and the associated need for capable heavy lift. The Super Stallion incorporates Global Positioning System (GPS), Forward-Looking Infrared Radar (FLIR), Aviator Night Vision Imaging Systems Heads Up Display (ANVIS-HUD) sensors, and carries three (3) 50 caliber guns (as a mission kit). Communications include Ultra High Frequency (UHF)/Very High Frequency (VHF)/High Frequency (HF) radios, secure communications capability, and Identified Friend or Foe (IFF).
The CH-53K is the United States Marine Corps’ (USMC) heavy lift replacement for the CH-53E. The most powerful helicopter in the Department of Defense, the CH-53K is a new-build helicopter that will expand the fleet’s ability to move more material, more rapidly throughout the area of responsibility using proven and mature technologies. Designed to lift nearly 14 tons (27,000 lbs/12,247 kg) at a mission radius of 110 nautical miles (203 km), in Navy high/hot environments, the CH-53K is designed to lift triple the baseline CH-53E lift capability with an equivalent logistics shipboard footprint, lower operating costs per aircraft, and less direct maintenance man hours per flight hour.
The MH-53E Sea Dragon incorporates Global Positioning System (GPS), Doppler radar, and an Approach/Hover/Tow Coupler. Communications include Ultra High Frequency (UHF)/ Very High Frequency (VHF)/ High Frequency (HF) radios, secure communications capability, and Identified Friend or Foe (IFF). Date of Brief: 04 MAY 2022 Overview and Protocol Instructions Competitive Procurement in Accordance with FAR 15.1 and FAR 19.5.
The USG expects to award a single award Indefinite-Delivery Indefinite-Quantity (IDIQ) contract as defined by FAR 16.504 as:
“An indefinite-quantity contract provides for an indefinite quantity, within stated limits, of supplies or services during a fixed period. The Government places orders for individual requirements. Quantity limits may be stated as number of units or as dollar values.”
The contractor must furnish a stated minimum quantity or dollar value and may include additional quantities, not to exceed the stated maximum. The Contracting Officer should establish the maximum quantity based on market research, trends on recent contracts for similar supplies or services, surveys of customers, and/or any other rational basis.
Date of Brief: 04 MAY 2022 Overview and Protocol Instructions The requirements for a solicitation and an IDIQ contract (FAR 16.504(a)(4))are :
Specified period of the Contract for ordering purposes inclusive of any options;
Specified total minimum and maximum quantity/dollar value of supplies or services;
Include a Statement Of Work (SOW), specification, or other description that reasonably describes the general scope, nature, complexity, and purpose of the supplies or services;
State the procedures that the Government will use in issuing orders;
Include a description of the ordering activities allowed to issue orders against the IDIQ.
Date of Brief: 04 MAY 2022 Overview and Protocol Instructions PMA-261 will solicit for an IDIQ contract because:
The USG cannot predetermine, above a specified minimum, the precise quantities of supplies or services that the USG will require during the contract period;
It is inadvisable for the USG to commit itself for more than a minimum quantity.
In order for the contract to be binding between the parties, the USG must procure a minimum quantity of supplies or services, but it should not exceed the amount that the USG is fairly certain to order.
Gov’t will award a Task Order for initial Program Management support and any installations that can be awarded within that timeframe
Date of Brief: 04 MAY 2022 Overview and Protocol Instructions PMA-261 is using a Competitive Award using the Tradeoff Process of the Best Value Continuum defined in FAR 15.101-1.
“A tradeoff process is appropriate when it may be in the best interest of the Government to consider award to other than the lowest priced offeror or other than the highest technically rated offeror.”
A Best Value decision, using the Tradeoff Process, will consider all factors as defined by Section L&M of the Solicitation when an award decision is made. The Source Selection Authority (SSA) shall conduct a comparative assessment of proposals against all source selection criteria in the solicitation. While the SSA may use reports and analysis prepared by others, the source selection decision shall represent the SSA’s independent judgment.
Date of Brief: 04 MAY 2022 Overview and Protocol Instructions The USG intends to solicit offers for this requirement via a Small Business Total Set-Aside as defined by FAR subpart 19.5.
“It is the policy of the Government to provide maximum practicable opportunities in its acquisitions to small business…”
“The contracting officer shall set aside any acquisition over the simplified acquisition threshold for small business participation when there is a reasonable expectation that: (1) offers will be obtained from at least two responsible small business concerns; and (2) award will be made at fair market prices.”
The USG expects there to be adequate small business competition to support a Small Business Total Set-Aside.
Date of Brief: 04 MAY 2022 Overview and Protocol Instructions The USG has determined the NAICS and PSC code for this effort:
336413 – Other Aircraft Part and Auxiliary Equipment Manufacturing The Small Business Size Standard for this NAICS code is:
1,250 employees PSC 1520 – Aircraft, Rotary Wing
In accordance with FAR 15.503(a)(2), offerors may challenge the size status or small business status of the apparently successful offeror and will be notified prior to award.
This contract will contain the clause FAR 52.219-14 Limitations on Subcontracting (MAR 2020). If an offeror’s proposal does not meet the requirements of this clause, the offeror will be deemed ineligible for award and eliminated from further evaluation.
Date of Brief: 04 MAY 2022 Overview and Protocol Instructions As will be discussed later in the presentation, the USG intends to award an IDIQ contract containing CLINs with the following contract types:
Firm Fixed Price Cost-Plus-Fixed-Fee Cost Reimbursement
In order for a Contractor to be eligible to receive a Cost-Plus-Fixed-Fee Contract, the Contractor must have an approved accounting system for determining costs applicable to the contract order.
The USG will evaluate applicable business systems to determine if an offeror is awardable. Applicable business systems for evaluation, as defined by DFARS 242.7001:
Purchasing System Accounting System
Date of Brief: 04 MAY 2022 Overview and Protocol Instructions Today’s Industry Day is conducted in accordance with FAR 15.201, which states that:
“Exchanges of information among all interested parties, from the earliest identification of a requirement through receipt of proposals, are encouraged. Any exchange of information must be consistent with procurement integrity requirements (see FAR 3.104).”
Date of Brief: 04 MAY 2022 Overview and Protocol Instructions In response to today’s industry day, we are asking for industry’s feedback regarding the following:
Concerns regarding Contract Type, Terms and Conditions, and Acquisition Schedules;
The feasibility of the requirement including performance requirements, statement of work, and data requirements;
The suitability of potential proposal instructions;
The availability of reference documents;
Other areas of concern.

GFE/GFP
The Government has provided a list of applicable GFE/GFP.
If an offeror requires any additional types of GFE/GFP, then the Offeror shall notify the PCO NLT COB 06 MAY 2022 via email to the PCO and Contract Specialist. Additionally, Offerors should note that proposing additional GFE/GFP as part of the technical or price sections will result in the Offeror's solution being determined unawardable.
If the Offeror is notifying the PCO prior to release of the final RFP, of additional GFE/GFP, then the Offeror shall include the types, quantities, locations, and any costs associated with the GFE/GFP.
Date of Brief: 04 May 2022 Ordering Instructions For Firm Fixed Priced CLINs, the USG will utilize the pricing identifed by CLIN in Section B to issue orders up until the maximum ordering authority on the CLIN is exhausted.
Orders will appear on individual ordering documents (F Type Contracts known as delivery orders) and will contain a unique delivery order number that is different from the overarching IDIQ contract number.
Date of Brief: 04 MAY 2022 Ordering Instructions For Cost-Plus-Fixed-Fee CLINs, all labor and support costs shall be completed in CPFF completion form as documented in FAR 16.306(d)(1).
For each CPFF CLIN, the section B price represents the maximum ordering authority per CLIN. As part of this evaluation, the Contractor will utilize the L4 attachment to bid fully burdened rates for the CPFF CLINs. The L4 attachment will auto-populate an attachment to the final contract. This will be Section J attachment 3. When the USG orders utilizing the CPFF CLINs, the Contractor will bid in accordance with the fully burdened rates identified in attachment 3. The total dollar value for each CLIN will be based on the offeror's proposed rates and the estimated number of installations.
When the USG requires the support documented in a CPFF CLIN, the USG will utilize the following process:
(1) USG will issue a Request for Cost Submission (RCS) that describes the work to be performed, including:
SOW requirements to be utilized from the overarching IDIQ SOW;
Delivery Schedule CDRLs to be utilized from the overarching IDIQ CDRLs;
Security Requirements Travel Requirements.
Date of Brief: 04 MAY 2022 Ordering Instructions (2)(3) The Contractor shall submit its estimate of cost within 15 calendar days from issuance of the RCS.
The Contractor shall propose in accordance with the established labor categories and fully burdened rates set forth in Attachment (3) of Section J of the overarching IDIQ. The Contractor shall not deviate from the established labor categories or fully burdened rates.
At the time of this IDIQ’s Request for Proposal (RFP), the USG will include attachment (3) outlining all expected labor categories to include:
Airframe Technicians Electrical Technicians Quality Management Fully Burdened Rates will be inclusive of all overheads and proposed profit. Rates for Cost-Plus-Fixed-Fee CLINs will be evaluated for Cost Realism in accordance with FAR 15.404-1(d).
The Contractor shall submit cost vouchers for the actual, allowable incurred cost for work performed.
Date of Brief: 04 MAY 2022 Ordering Instructions
(4) Any/All proposed material estimates shall be supported with adequate pricing data.
Adequate pricing data includes:
Priced Bill of Material Purchase Orders Invoices Historical Data Actual Cost Incurred Data
(5) All proposed travel estimates shall be in accordance with applicable Joint Travel Regulations.
Date of Brief: 04 MAY 2022 Ordering Instructions
(6) After submission, the USG will evaluate the Contractor proposed RCS. If applicable, the USG will enter into negotiations with the Contractor regarding total labor hours and labor categories proposed for each CPFF action.
After negotiations are complete, the USG will execute a bi-lateral delivery order that incorporates the applicable Section C tasking specific to the defined work from the overarching IDIQ SOW. The bi-lateral order will also incorporate any available funding for the effort.
Date of Brief: 04 MAY 2022 Over and Above Work H Clause OVER AND ABOVE WORK REQUEST AUTHORIZATION Over and Above Work Request (OAWR) procedures apply when the contractor identifies maintenance actions that are outside the scope of the applicable Delivery Order, but are deemed necessary in order to complete the applicable Technical Directive.
OAWRs shall be submitted to the TPOC to recommend corrective action and require PCO or ACO approval during contract performance in accordance with DFARS 252.217-7028, “Over and Above Work”.
Tasks performed outside the scope of this contract shall not be considered Over and Above, unless specifically authorized by the PCO or ACO prior to performance.
The contractor shall prepare and email the applicable OAWR Form (Section J Attachment 5) to the PCO or ACO, via the TPOC for authorization to proceed. If the OAWR directly impacts contractor performance of a Firm Fixed Price CLIN, the contractor shall notify the TPOC via telephone within 24 hours of discovery, with email of the OAWR to follow within one (1) working day.
The contractor shall use the OAWR to describe the over and above work that needs to be performed, including any contractor procured parts/materials, additional Government Furnished Information (GFI) such as revised drawings or repair procedures, or additional Government Furnished parts or support equipment necessary to accomplish the over and above (O&A) task, in such detail as necessary to permit a thorough evaluation. The contractor shall propose a schedule to complete the needed repair for Government consideration.
Date of Brief: 04 MAY 2022 Over and Above Work Cont.
The TPOC will review the OAWR submitted by the contractor, and then forward a recommendation of approval or disapproval to the PCO or ACO within 2 working days.
The PCO or ACO will then take one of the following actions:
Disapprove the OAWR. In this event, the OAWR will be returned to the contractor, within 2 working days from TPOC recommendation submittal, and the O&A task shall not be performed. A copy of the disapproval will also be provided to the TPOC.
Authorize the OAWR. In this event, a task order or task order modification will be issued by the PCO or ACO, within 5 working days from TPOC recommendation submittal, and once funds are available to obligate following TPOC recommendation, to the Contractor referencing the OAWR. When determined necessary by the PCO or ACO and if funds are available to obligate, PCO or ACO authorization may be issued verbally or via email and then followed-up via Delivery Order or Delivery Order Modification. In either case, the Contractor shall proceed with the O&A effort as authorized.
