1.0 Scope

This Statement of Work (SOW) defines the requirements necessary to perform non-recurring and recurring efforts required to fabricate, assemble, and support prototyping/system integration/installation of Engineering Changes to aircraft designated by the H-53 Program Office, PMA-261. This contract includes tasking associated with installation of modifications on aircraft intended for Foreign Military Sales (FMS).

Planned aircraft installation work will be conducted aboard U.S. Government installations at both CONUS and OCONUS locations including but not limited to:

MCAS New River, NC MCAS Miramar, CA NAS Patuxent River, MD NAS Norfolk, VA JRB McGuire, NJ MCAS Yuma, AZ MCAS Futenma, Okinawa, Japan Pohang, Korea Bahrain

1.1 Statement of Problem(s):

CH-53E, CH-53K®, and MH-53E require depot modifications to support fleet requirements.

1.2 System Description:

1.2.1 The CH-53E Super Stallion has proven to be extraordinarily relevant to the execution of our national security strategy, Navy and Marine Corps warfighting concepts and the associated need for capable heavy lift. The Super Stallion incorporates Global Positioning System (GPS), Forward-Looking Infrared Radar (FLIR), Aviator Night Vision Imaging Systems Heads Up Display (ANVIS-HUD) sensors and carries three (3) 50 caliber guns (as a mission kit). Communications include Ultra High Frequency (UHF)/Very High Frequency (VHF)/High Frequency (HF) radios, secure communications capability, and Identified Friend or Foe (IFF).

1.2.2 The CH-53K King Stallion™ is the United States Marine Corps’ (USMC) heavy lift replacement for the CH-53E. The most powerful helicopter in the Department of Defense, the CH-53K is a new-build helicopter that will expand the fleet’s ability to move more material, more rapidly throughout the area of responsibility using proven and mature technologies. Designed to lift nearly 14 tons (27,000 lbs/12,247 kg) at a mission radius of 110 nautical miles (203 km), in Navy high/hot environments, the CH-53K is designed to lift triple the baseline CH-53E lift capability with an equivalent logistics shipboard footprint, lower operating costs per aircraft, and less direct maintenance man hours per flight hour.

1.2.3 The MH-53E Sea Dragon incorporates Global Positioning System (GPS), Doppler radar, and an Approach/Hover/Tow Coupler. Communications include Ultra High Frequency (UHF)/ Very High Frequency (VHF)/ High Frequency (HF) radios, secure communications capability, and Identified Friend or Foe (IFF). The MH-53E Sea Dragon will perform the Airborne Mine Countermeasures (AMCM) mission until at least 2027.

2.1 Government Requirements Documents

All referenced documents are mandatory unless otherwise specified within the body of this SOW, or whose use are identified as “Guidance Only.” Guidance documents may be used as an aid in identifying applicable topics to be addressed consistent with meeting the requirements of the program. Unless otherwise specified, the applicable version of the document is the most current version in effect at the time of the base contract award; except for Contract Data Requirements List (CDRL) item deliverables from other contracts being referenced, which will be the latest United States Government approved version. In the event of a conflict between the documents referenced herein and the contents of this SOW, the SOW shall apply.

3.0 General Requirements

3.1 The Contractor shall install the Technical Directives (TD) listed in Section 3.9 at various continental United States (CONUS) and outside of the continental United States (OCONUS) locations. Estimated quantities and schedule are listed in Enclosure (1). Actual quantities and schedule will be defined by individual Delivery Orders (DOs). The Contractor shall inventory kits to ensure one-hundred percent kit accuracy and immediately notify the Government of any deficiencies.

3.2 The Contractor shall inspect, disassemble, modify, assemble, perform post-inspection, and document aircraft modification kit installations in accordance with COMNAVAIRFORINST 4790.2 Series, H-53 Maintenance Instruction Manuals (MIMs), and the applicable TD.

3.3 The Contractor shall ensure installed modifications meet all TD Operational Checks and Post Operational Checks requirements. Any operational checks requiring main engine aircraft grounds turns or Functional Check Flight (FCF) requirements will be conducted by the Government. If the TD Operational Checks and/or Post Operational Checks requirements cannot be met due to circumstances beyond the Contractor’s control, the Contractor shall contact the Government TPOC for Government direction.

3.4 It is in the discretion of the Government to combine multiple modifications and install them concurrently to reduce the amount of time an aircraft will be unavailable for fleet operations.

3.5 The Contractor shall gain access to the Naval Aviation Technical Data & Engineering Services Command (NATEC) Technical Publication Library (TPL) Database Program, and the Joint Engineering Data Management Information & Control System (JEDMICS). The Contractor shall use the NATEC TPL site to ensure the most current versions of NAVAIR manuals and technical directives are used, and shall use JEDMICS to access required engineering data.

3.6 Contractors and all associated subcontractor employees requiring access to a DoD facility or installation shall comply with adjudication standards and procedures using the National Crime Information Center (NCIC), Department of Defense Instruction (DoDI) 5525.19, DoDI 5200.46, and applicable installation or facility access policies and procedures provided by the Government as specified in the individual TOs.

3.7 Contractor personnel performing installations at OCONUS locations listed in this SOW shall comply with current DoD Electronic Foreign Clearance Guide (FCG) requirements for host country travel and US State Department Status of Forces Agreements (SOFA). The Contractor shall use the Synchronized Predeployment and Operational Tracker (SPOT) web-based system to enter and maintain the data for all personnel deploying to OCONUS locations. All contractor personnel deploying to Okinawa, Japan will have SOFA Article I(b) status, and the contractor shall comply with US Forces Japan Instruction 64-100, Contract Performance in Japan. The Contractor shall enter the required information about its personnel prior to deployment and shall continue to use the SPOT web-based system at https://spot.dmdc.mil to maintain accurate, up-to-date information throughout the deployment for all Contractor personnel.

3.8 Over and Above Work. [CLIN 0027]

The Contractor shall complete approved Over and Above Work in accordance with Clause H-2 of the contract and as directed by the Procuring Contracting Officer. The Contractor shall prepare and submit an Over and Above Work Request (OAWR) form (Enclosure 5) for authorization to proceed.

3.9 Installations

Enclosure (1) to this SOW is the estimated installation schedule for reference purposes. Paragraphs 3.9.1 through 3.9.4 list the anticipated Technical Directives to be installed, including emergent requirements. The contractor shall complete the installations on the aircraft in accordance with individual Delivery Orders. Each Delivery Order will define the installations, aircraft quantities, approximate induction dates, and modification period duration.

Enclosure (6) to this SOW captures all Government Furnished Information (GFI), including the Technical Directives referenced in the paragraphs below. Additionally, Enclosure (2) to this SOW provides a table reflective of each installation by SOW paragraph and associated Technical Directive. The Government will incorporate all GFI identified as “AFC-TBD” into the contract, after it is approved for release.

3.9.1 CH-53E

3.9.1.1 AFC-586 Engine Nacelle Installation [CLIN 0001]

The Contractor shall remove legacy nacelles and install improved Engine Nacelle kits in accordance with AFC-586.

3.9.1.2 AFC-601 APR-39D(V)2 Installation [CLIN 0002]

The Contractor shall install the APR-39D(V)2 in accordance with AFC-601.

3.9.1.3 AFC-519 PT3 IMDS Installation [CLIN 0003]

The Contractor shall install the IMDS in accordance with AFC-519 PT3.

3.9.1.4 AFC-571 Embedded Global System/Inertial Navigation System (EGI Installation) [CLIN 0004] The Contractor shall install the EGI in accordance with AFC-571.

3.9.1.5 AFC-549RA SATCOM Installation [CLIN 0005]

The Contractor shall install the SATCOM in accordance with AFC-549RA.

3.9.1.6 AFC-553RA DIRCM Installation [CLIN 0006]

The Contractor shall install the DIRCM in accordance with AFC-553RA.

3.9.1.7 AFC-540PT2 ADAP Antenna Installation [CLIN 0007]

The Contractor shall install the ADAP Antenna in accordance with AFC-540PT2.

3.9.1.8 AFC-555RA Helicopter Egress Emergency Lighting System (HEELS) Installation [CLIN 0008] The Contractor shall install the HEELS in accordance with AFC-555RA.

3.9.1.9 AFC-562 Crash Attenuating Crew Chief Seat (CACCS) Installation [CLIN 0009] The Contractor shall install the CACCS in accordance with AFC-562.

3.9.2 MH-53E

3.9.2.1 AFC-586 Engine Nacelles Installation [CLIN 0013]

The Contractor shall remove legacy nacelles and install improved Engine Nacelle kits in accordance with AFC-586.

3.9.2.2 AFC-519 PT3 IMDS Installation [CLIN 0014]

The Contractor shall install the IMDS in accordance with AFC-519 PT3.

3.9.2.3 AFC-540 Advanced Digital Antenna Production (ADAP) System Installation

The Contractor shall install the ADAP System in accordance with AFC-540.

3.9.2.4 AFC-589 APX-123 Installation [CLIN 0016]

The Contractor shall install APX-123 kits in accordance with AFC-589.

3.9.2.5 AFC-591 Embedded Global System/Inertial Navigation System (EGI Installation) [CLIN 0017] The Contractor shall install the EGI in accordance with AFC-591.

3.9.2.6 AFC-591 Part 2 Full Integration of Embedded Global System/Inertial Navigation System (EGI Installation) [CLIN 0018] The Contractor shall perform the full integration of EGI Installation in accordance with AFC-591 Part 2.

3.9.2.7 AFC-565 Part 2 ALE-47 Dual Dispenser POD System Installation [CLIN 0019] The Contractor shall install the ALE-47 Dual Dispenser POD System in accordance with AFC-565 Part 2.

3.9.2.8 AFC-546 Part 4 AN/AYK-28(V)2 Blue Force Tracking (BFT) System Wiring Installation [CLIN 0020] The Contractor shall install AN/AYK-28(V)2 Blue Force Tracking (BFT) System Wiring in accordance with AFC-546 Part 4.

3.9.3 Emergent Modifications Installations [CLIN 0021]

The Contractor shall install emergent modifications on identified H-53 aircraft and Training Devices to include FMS. Emergent Modifications are Engineering Changes that will require future retrofit installations due to the following types of circumstances (not all-inclusive):

(a) system development and test activities are ongoing,

(b) CH/MH-53E aircraft being returned to operational service from long term storage or Depot repairs,

(c) discovery of system deficiencies during concurrent Developmental Testing, Operational Testing, Aircraft/Training Device Production and Fleet introduction/fielding;

(d) introduction of new system capabilities;

(e) emerging component/system obsolescence issues;

(f) Engineering Changes from external Government Furnished Equipment (GFE) Program Offices/Suppliers; and

(g) Foreign Military Sales case requirements.

Emergent Modifications may include, but will not be limited to:

CH-53E

AFC-TBD Fire Suppression Installation. This installation involves incorporating new Fire Bottles and associated tubing to better suppress #2 Engine fires.

CH/MH-53E

AFC-TBD Integrated Vehicle Health Monitoring System (IVHMU). This installation includes replacement of the legacy Integrated Mechanical Diagnostics System (IMDS) Main Processing Unit (MPU) and Bearing Monitor System (BMS) Control Panel (BMSCP) with the IVHMU system.

CH-53K

AFC- TBD DDSR Installation. This installation includes retrofitting the Data Transfer Unit and Defense Electronic Countermeasure (DTU/DECM) System Replacement (DDSR), and Gen 6 RT-2036(C) AN/ARC-210 Communication Radio (COMM Radio) into the CH-53K.

AFC-TBD Cabin Armor Installation. This installation includes installing mounting provisions and brackets throughout the cabin airframe for a ballistic threat protection Mission Kit. The Mission Kit system includes 174 armor panels that surround the cabin underneath the floor and ramp, as well as along the walls in order to prevent crew and troop casualties.

AFC-TBD Cargo Floors Installation. This installation includes installing an internal cargo system consisting of a floor assembly with storable pallet restraints, integral flip-over cargo rollers, and guides that will integrate with tie-down fittings and rings.

3.10 Modification Completion and Government Inspection

The Contractor shall support Government personnel to ensure technical directive operational checks and COMNAVAIRFORINST 4790.2 Series (Naval Aircraft Maintenance Program (NAMP)) requirements have been satisfied. The Contractor shall submit a Bureau Number (BUNO)-specific Modification Installation Completion Report for each aircraft, in accordance with CoC (CDRL A001).

3.11 Aircraft Retrofit Kits [CLIN 0023]

The Contractor shall produce and deliver aircraft retrofit A Kits per Government and FMS provided GFI. The Contractor shall perform kit production tasks in Contractor facilities.

3.12 Program Management [CLIN 0024]

The Contractor shall manage the overall program for cost, schedule and performance. The Contractor shall establish management systems to provide planning and control of technical activities, subcontract activities, risk and opportunity management of cost, schedule and performance including recommended solutions to resolve program issues. The contractor shall ensure that an empowered employee is assigned to CLIN 0032 tasking to negotiate and settle all orders under this contract.

3.12.1 Program Plans and Controls

3.12.1.1 The Contractor shall develop, maintain, and execute to an Integrated Program Management Data and Analysis Report (IPMDAR)/Integrated Master Schedule (IMS) that includes a detailed schedule of all awarded task orders in accordance with CDRL A002. The schedule shall include necessary elements, durations, and start and finish dates to successfully complete the effort. Upon approval of PMA-261, this schedule shall be baselined by the Contractor, and used as the master schedule. Re-baselining of the schedule shall not occur without PMA-261 approval.

3.12.1.2 The Contractor shall develop, maintain, update/status, and report on the Integrated Program Management Data and Analysis Report (IPMDAR) in accordance with CDRL A002. The contractor shall establish, maintain, and use in the performance of this contract an integrated management system that is in compliance with the Industry Guidelines for Earned Value Management Systems (EVMS) EIA-748, as determined by the Defense Contract Management Agency (DCMA).

3.12.1.3 Schedule Risk Assessment (SRA). SRAs, other than those conducted internally by the Contractor, the Government will facilitate SRAs as established by the PMA. SRA frequency is defined by CDRL A002. At its discretion, the Government may conduct a Schedule Validation Deep Dive (i.e. Schedule Scrub) in lieu of an SRA. The purpose of a Schedule Validation Deep Dive is to ensure the IMS is constructed consistent with IPMDAR requirements to include all authorized work, relationships and durations representing a realistic plan forward through contracted completion. A Schedule Validation Deep Dive will satisfy an SRA requirement. The Contractor shall support a joint schedule scrub no later than 60 calendar days after first DO award. The joint team will assess the contractor’s baseline to ensure complete coverage of the statement of work, logical scheduling of work activities, adequate resourcing, required management processes are appropriately implemented and identification of inherent risks are apparent.

3.12.1.4 Contract Work Breakdown Structure (CWBS): The Work Breakdown Structure (WBS) shall be the basis for further extension to control accounts and work packages during performance of the contract. The CWBS matrix (CWBS to functional responsibility) shall show expansion down to and including the control account level. The contractor shall use the CWBS as the framework for reporting contract planning, budgeting, technical status, and schedule status. The Contractor shall develop, maintain, and deliver the Contract Work Breakdown Structure (CWBS) and CWBS dictionary in accordance with CDRL A003 and the Military Standard-881E (MIL-STD-881E) that can be traced and reported to the work breakdown structure contained in the Government-approved IPMDAR (CDRL A002). During the performance of the contract, the Contractor shall not change the approved CWBS or associated definition, or any of the reporting elements, without prior written approval from the Government. As additional system definition is accomplished, the Contractor shall update the CWBS and CWBS dictionary and submit copies to the Government in accordance with CDRL A002.

3.12.1.5 Performance and Cost Reports. The Contractor shall prepare and deliver a Performance and Cost Report (CDRL A004).

3.12.2 Post Award Conference

No later than thirty (30) business days after award of the base contract, the Contractor shall participate in a post award conference at the contractor’s facility. The duration of the Post Award Conference shall not exceed one business day. The purpose is to allow the Contractor and the Government to establish lines of communication, set program objectives, set priorities, and address issues or concerns. At a minimum, the conference agenda shall encompass staffing, transition plans and site implementation activities. The Contractor shall deliver the agenda in accordance with Meeting Minutes (CDRL A005).

3.12.3 Program Meetings and Reviews

The Contractor shall host semi-annual Program Management Reviews (PMRs) that will alternate between the contractor facility and Patuxent River, MD unless extenuating circumstances prevent travel, then a virtual means will be utilized. Each PMR shall not exceed two working days. The Contractor shall evaluate and coordinate on-site personnel attendance as required to support the PMRs. PMR content shall encompass all aspects of contract cost, schedule, performance and quality. The Contractor shall deliver agenda items, briefing materials, meeting minutes, and action items in accordance with Meeting Minutes (CDRL A005).

3.12.4 Weekly Integrated Product Team (IPT) Meetings

The Contractor shall conduct weekly IPT meetings to include any relevant sub-Contractors via conference call or Microsoft Teams. Discussions will address technical, schedule, and performance matters throughout the project’s lifecycle. IPT meetings shall include regular attendance by all members of the IPT core team with additional ad hoc participation by functional area representatives as required by the IPT. The contractor shall support any additional meeting requests or teleconferences as directed by the TPOC. The Contractor shall deliver a record of all meetings (CDRL A005).

3.12.5 Pre-Induction Meeting

The Contractor shall participate in aircraft modification pre-induction meetings after each DO is awarded. These meetings will be hosted by the Government via teleconference no later than (NLT) seven (7) calendar days prior to an aircraft induction.

3.12.6 Transition

The Contractor shall fully cooperate in planning, committing resources, and communicating with the Government and the incumbent and follow-on contractors to provide an orderly transition between contracts. The Contractor shall manage its activities during transition and monitor, document and report all concerns to the TPOC in writing. The Contractor shall be required to perform orders under this contract while the incumbent contractor is completing contractual requirements under the previous contract. The Contractor shall carefully coordinate resource requirements, to include transition of incumbent personnel and use of Government facilities and GFP to prevent disruption of support to on-going requirements. The Contractor shall cooperate in the resolution of all transition issues to assure successful performance of requirements under this contract and to prevent disruption of performance under the incumbent contract and any follow-on contract. The Contractor shall appoint a site Contractor Project Lead (CPL) for the transition effort to interface with the TPOC.

3.12.6.1 Transition Phase-in

The Contractor shall provide program management and oversight during Transition Phase-in to ensure that tasks executed during the Transition Phase-in period are successfully performed with no negative cost, schedule, or performance impact to the tasks being completed by both the Contractor and the incumbent. The Transition Phase-in period begins on the period of performance start date and shall last for a period of 30 calendar days. The Transition Phase-in shall be the Contractor's preparation period for the purpose of hiring, relocating, and training of personnel. This includes site familiarization; ordering material; inventorying GFP; developing site specific Ground Operating Procedures (GOPs); and coordinating all Transition Phase-in matters associated with the Contractor's execution of the H-53 Modification functions to enable the Contractor's personnel to perform the requirements specified in this contract. Additional Transition Phase-in activities may be required by individual DOs. The Contractor shall deliver its plan in accordance with Transition Plan Phase-in (CDRL A006). During the Transition Phase-in period, the incumbent Contractor is fully responsible for maintenance operations and all GFP. The incumbent Contractor is responsible to manage and maintain accountability of material until delivered and accepted by the Government. The Contractor shall conduct a joint inventory with the incumbent contractor and government at all locations and deliver the Government Furnished Property Inventory Report (CDRL A007 and Enclosure (3)). The Contractor shall perform orders under this contract while the incumbent contractor is completing contractual requirements under the previous contract.

3.12.6.2 Transition Phase-out

The Contractor shall perform Transition Phase-out efforts and ensure an orderly transition between this contract and efforts required by any follow-on contract. The Contractor shall ensure that all tasks executed under this contract are successfully completed during the Transition Phase-out with no negative cost, schedule, or performance impact to the tasks required by this contract and any follow-on contract. The transition process may involve the temporary sharing or eventual transfer of GFP. During this Transition Phase-Out period, the Contractor shall continue to execute existing task orders and shall be responsible for all GFP in its possession. The Contractor shall continue to manage and maintain accountability of material until delivered and accepted by the Government. The Contractor shall report transition progress to the H-53 Modifications IPT on weekly basis via teleconference. The Contractor shall deliver its Transition Plan Phase-out plan in accordance with CDRL A008.

3.12.7 Contract Management and Administration

3.12.7.1 The Contractor shall establish clear organizational lines of authority and responsibility to ensure effective management of the resources assigned to the requirement. The contractor must maintain continuity between the tasking as specified in this contract and the contractor's corporate offices. The Contractor shall establish processes and assign appropriate resources to effectively administer the requirement.

3.12.7.2 The Contractor shall identify points of contact as specified in this contract. The Contractor shall manage and account for employees during normal working hours (0700-1600) and designated Government non-workdays or other periods when Government sites are closed or in restricted access. The Contractor shall provide necessary infrastructure to support contract tasks as specified in this contract. The Contractor shall be responsible for the selection, recruitment, hiring, assignment and reassignment of duties, transfer, supervision, management, control, and termination of contractor employees in performance of this contract. The Contractor shall provide all qualified personnel required as specified in each DO. The Contractor shall accommodate rapid response and deployment to any designated operational Government location worldwide as specified in this contract.

3.12.7.3 The Contractor shall manage and administer contract personnel, and the Contractor bears all responsibility for Contractor performance. All managerial duties for Contractor personnel shall be the responsibility of the Contractor, not the Government. The Contractor shall assign a Program Manager as the main Point of Contact (POC) between the Government and the Contractor. The contractor shall assign additional local operational site POCs as required.

3.12.7.4 The Contractor shall submit a monthly progress/status report in accordance with the Program Management Report (CDRL A009), to include monthly financial expenditures against each Contract Line Item Number (CLIN); current performance against program objectives; and any additional issues not previously reported to the Government.

3.12.8 Quality Assurance/Quality Control (QA/QC) Program/Quality Management System (QMS) The contractor shall implement and maintain a Quality Assurance (QA) program. The Contractor shall develop and use a QA program to support quality maintenance on aircraft, systems, subsystems, and support equipment as specified in this contract. The Contractor shall prepare, deliver, and implement a quality control plan to support quality service to meet program and site-specific requirements, in accordance with Quality Control Program Plan (CDRL A00A).

The Contractor shall develop and deliver Standard Operating Procedures (SOPs) for internal policies, Local Operating Instructions (LOI), GOPs, as well as detailed procedures for inspections, repairs, and records maintenance as specified in this contract in accordance with Contractor Flight and Ground Operations Procedures (CDRL A00A).

All work and work products shall be in accordance with the Contractor’s QMS, and all requirements contained in this Statement of Work. The Contractor is responsible for performing or having performed all inspections and tests necessary to substantiate that the supplies furnished under this contract conform to contract requirements, including any applicable technical requirements for specified manufacturers’ parts.

3.12.9 Weekly Status Report/Program Progress and Status Report The Contractor shall prepare and deliver a Technical Report - Study/Services, which indicates the progress of work and the status of the program and the assigned tasks, to include aircraft modification status, ECD, a Bill of Material (BOM), procurement tracking sheet, shipping tracking sheet, annotating purchase order number and anticipated delivery date, and informs of existing or potential problem areas. This report shall also include current on-hand inventory, tracked at piece part level. (CDRL A00B).

3.12.10 Configuration Management / Data Management

The Contractor shall designate a single point of contact for all configuration management (CM) functions. The Contractor shall maintain configuration control in accordance with the Contractor’s established CM procedures. The Contractor shall impose and enforce these CM requirements on all Sub-Contractors and vendors.

During this Contract, all data pertaining shall be returned to the Government or destroyed upon Contract expiration. The Contractor shall not retain classified or unclassified material generated or received under this contract and any resultant contract action after the individual Contract ends without written approval from the appropriate office of primary responsibility. The Government will retain custody of all records associated with contractor deliverables and will have exclusive control of all records associated in the distribution of all written deliverables. At the end of the Contract, if the Contractor elects to destroy unclassified data, confirmation of destruction shall be provided to TPOC no more than 60-days after end of contract.

4.0 Engineering

4.1 Prototyping/ Validation (VAL)/Verification (VER) Support [CLIN 0025] The Contractor shall assist NAVAIR in modification efforts by providing support in the preparation of Technical Data Packages (TDP) and Installation Data Packages (IDP), and by attending Technical Interface Meetings (TIMs). The Contractor shall provide senior/expert-level assistance in the respective technical field. Senior/expert-level technicians shall advise on best practices to develop installation instructions and procedures for new TD TDPs and IDPs. During the prototype and VAL/VER process of a new TD, senior/expert-level technicians shall review draft IDPs for accuracy of installation instructions and procedures. Senior/expert-level technicians shall work collaboratively with Government personnel. During prototype and VAL/VER installations, senior/expert-level technicians shall perform a physical kit inventory to include the comparison of the kit inventory to the material list on the TD to ensure accuracy. The Contractor shall deliver any installation feedback data via a draft engineering action chit (EAC), Enclosure (4) (CDRL A00B).

VAL/VER Report The Contractor shall document all TD, data, drawings, and installation instruction changes/corrections using a VAL/VER report and deliver it to the Government (CDRL A00B).

4.1.1 The Contractor shall participate in TD/Installation Data Package (IDP) development and reviews. The Contractor shall evaluate and review externally generated TDs/IDPs from the design activities. The Contractor shall evaluate and review aircraft integration, validation, verification, and installation of modernization efforts defined by TDs and Engineering Change Proposals (ECP). The tasks will be conducted at fleet field locations.

4.2 Supportability [CLIN 0024]

4.2.1 Common Access Card (CAC)/Public Key Infrastructure (PKI)

4.2.1.1 All contractor employees, to include subcontractor employees, performing under this contract shall be required to obtain a CAC. The contractor shall submit a complete DD Form 1172-2 “Application for Identification Card” for each employee’s CAC initial issue and renewal to the contract Trusted Agent (TA) via the TPOC. For DD 1172-2 submissions, the contractor shall ensure an FBI fingerprint check with favorable results has been completed and a National Agency Check with Inquiries (NACI), or a DoD determined equivalent investigation, or greater, has been submitted to the Office of Personnel and Management (OPM) prior to DD 1172-2 submission to the TPOC.

If an employee resigns or is terminated prior to the end of the contract, the contractor shall return the CAC to the Trusted Agent (TA).

For temporary, short term base access prior to CAC card issuance, the contractor shall coordinate access pass requirements with the TPOC.

4.2.1.2 The Contractor shall establish within 30 calendar days of contract award CAC/PKI card capability. This shall be required to execute Modification support. Access to one or more of the following websites may be required:

4.2.1.3 The Contractor shall maintain the capability for all employees to communicate externally with United States Marine Corps (USMC), United States Navy (USN) and other DoD personnel via digitally signed and encrypted email.

4.2.2 Document Control

The Contractor shall use the latest versions of technical manuals, instructions, drawings, specifications, inspection or test instructions, and other documents necessary to satisfy the production, inspection, testing requirements of this contract. The Contractor shall maintain records of all maintenance actions, inspections, tests and material transactions. The Contractor shall record program requirements, contract actions, and reports digitally in Microsoft Suite compatible format. All documents generated in the conduct of this contract shall be made available upon request by the TPOC.

5.0 Security [CLIN 0024]

5.1 Security Requirement

5.1.1 All Contractor personnel shall maintain security clearance eligibility commensurate with the level of classification of the work performed as annotated in the Contract's DD-254, Contract Security Classification Specification Form Attachment 4.

5.1.2 Contractor personnel shall require access to classified information in performance of this contract up to and including Secret. The Contractor is responsible for ensuring that all personnel receive the requisite investigation and are favorably adjudicated in accordance with National Industrial Security Program Operating Manual (NISPOM) codifying 32 Code of Federal Regulation Part 117, NISPOM Rule. Contractor employees who fail to meet security clearance requirements may not access classified information or perform sensitive duties. In such cases, the Contractor employee may not perform on the contract.

5.1.3 The contractor shall comply with security requirements specified in the DD-254 attached to this contract. Information or data that the contractor accesses shall be handled at the appropriate classification level. Unclassified information shall be handled in accordance with the appropriate designation (Controlled Unclassified Information; Legacy FOUO; Covered Defense Information). Distribution is authorized to the Requiring Office's Organization and supported Activity only. Other requests for deliverables under this contract shall be referred to the TPOC of this contract for approval.

5.1.4 If the work is performed at the Contractor's facility, the Contractor shall implement and maintain security procedures and controls to prevent unauthorized disclosure of classified information and controlled unclassified information (CUI) and to control distribution of CUI in accordance with National Industrial Security Program Operating Manual (NISPOM) codifying 32 Code of Federal Regulation Part 117, NISPOM Rule, and SECNAV M-5510.36B. If the work is performed at the Government's facility, the Contractor shall comply with the instructions/guidance of the local Government facility.

CUI including Legacy FOUO and Covered Defense Information (meeting the definition of 48 CFR 252.204-7012(a)) generated and/or provided under this contract shall be marked and safeguarded as specified in DoD Instruction 5200.48, CUI available at https://www.esd.whs.mil/Portals/54/Documents/DD/issuances/dodi/520048p.PDF. Any product containing Covered Defense Information shall be assigned a distribution statement (distribution statements B through F) using the criterial set forth in DoDI 5230.24 (Distribution Statements on Technical Documents); and have this statement displayed per DoDI 5230.24, Enclosure 3.

5.1.5 All controlled unclassified technical information shall be appropriately identified and marked with the following distribution statement(s): Distribution Statement D: Distribution authorized to Department of Defense and U.S. DoD Contractors only (Administrative or Operational Use), (19 Apr 22). Other requests shall be referred to PROGRAM EXECUTIVE OFFICER, AIR ASW ASSAULT AND SPECIAL MISSION PROGRAM (PMA-261), 47123 Buse Road, Bldg 2272, Room 155, Patuxent River, MD 20670.

5.2 Operational Security Program (OPSEC)

The Contractor shall develop, implement and maintain an OPSEC program to protect controlled unclassified and classified activities, information, equipment, and material used or developed by the Contractor and any subcontractor during performance of the contract up to and including the level of SECRET. The Contractor shall be responsible for the subcontractor implementation of the OPSEC requirements. This program may include Information Assurance and Communications Security (COMSEC). The OPSEC program shall be in accordance with National Security Decision Directive (NSDD) 298, and at a minimum shall include:

(1) Assignment of responsibility for OPSEC direction and implementation.

(2) Issuance of procedures and planning guidance for the use of OPSEC techniques to identify vulnerabilities and apply applicable countermeasures.

(3) Establishment of OPSEC education and awareness training.

(4) Provisions for management, annual review, and evaluation of OPSEC programs.

(5) Flow down of OPSEC requirements to subcontractors when applicable.

While performing aboard NAVAIR or NAVAIR sites, the contractor shall comply with facility OPSEC program instructions and contribute to organizational-level OPSEC efforts. Include OPSEC as part of its ongoing security awareness program and take all required Agency training. Be responsive to the Supporting OPSEC Manager on a non-interference basis. Protect sensitive unclassified information and activities, which could compromise classified information or operations, or degrade the planning and execution of operations performed by the responsible officer and contractor in support of the mission.

5.3 Cybersecurity

5.3.1 The Contractor shall ensure continued adherence to the Department of the Navy’s (DON) Cybersecurity Program prescribed methodologies in protecting and defending information and information systems by ensuring their availability, integrity, authentication, confidentiality, and non-repudiation to support the DON missions. The Contractor shall utilize existing methods and processes in order to deliver secure, interoperable, and integrated information management and information technology (IT) to the DON and its contract support.

5.3.2 The Contractor shall ensure that all IT systems, software and interfaces that contain Government data meet Government security certification standards in compliance to DFARS clause 252.204-7012 and requirements appropriate to the particular classification level of operation as specified by the US Navy, Department of Defense, or other cognizant government authority for the purposes of the above-mentioned DON goals in accordance with SECNAV Instruction 5239.3C and OPNAVINST 5239.1D.

5.3.3 The Contractor shall ensure that personnel who perform any of the Information Assurance functions described in Chapters 3 and 4 of the DOD 8570.01-M, IA Workforce Improvement Manual, possess the information assurance certification to perform the information assurance functions. The Contractor shall provide a counterpart point of contact to the Program Information System Security Manager (PISSM), herein identified as the Cyber Security (CS) Point of Contact (POC). The CS POC shall ensure that the Contractor is aware of and adheres to all CS requirements. The CS POC shall coordinate with the PISSM in all matters related to CS.

5.4 Public Release

Any controlled unclassified information pertaining to this contract shall not be released for public dissemination, including posting to any social media sites such as Facebook or Twitter, unless it has been approved for public release by appropriate U.S. government authority. Proposed public releases shall be submitted for approval prior to release through PEO (A), Public Affairs Office, 47123 Buse Road, RADM William A. Moffett Building 2272, Patuxent River, MD 20670-1547.

5.5 Government Controlled Installation, Facility or Area

5.5.1 Contractor working on a Government controlled installation, facility or area, shall comply with applicable installation, facility and area commander installation/facility access and local security policies and procedures. The contractor shall comply with all applicable physical and cyber security requirements identified in Section 2.0, Applicable Documents, abide by direction given by military police or other security personnel, and adhere to installation traffic laws, and other governing policies. Contract security shall be in accordance with DOD 5000.02, DOD 5220.22-M, and DOD 5220.22-R. In addition to the changes otherwise authorized by the changes clause of this contract, should the Force Protection Condition (FPCON) at any individual facility or installation change, the Government may require changes in Contractor security matters or processes.

5.5.2 The Department of the Navy Local Population ID Card/Base Access Pass Registration, Secretary of the Navy (SECNAV) 5512/1 is required for installation access and to conduct NCIC background checks for all visitors without a CAC, or Navy Commercial Access Control System (NCACS), (RAPIDGate)/Defense Biometric Identification System (DBIDS) credentials. This form requires two forms of identification to be presented prior to the NCIC background checks being conducted and a temporary pass being issued for installation access. Base Security is required by CNIC and the Department of Justice to view and note two forms of identification. The Contractor shall inform visitors or new hires of this policy prior to entrance at the gate.

6.0 Navy Trademark Protection

The contractor shall not assert any claim, in any jurisdiction, based on trademark or other name or design-based causes of action that are based on rights the contractor believes it has in the term(s) CH-53E, “Super Stallion”, MH-53E “Sea Dragon” and CH-53K “King Stallion™” (the “Designation(s)”), against the Government or others authorized by the Government to use the Designation(s) (including the word(s), name, symbol, or design) acting within the scope of such authorization (i.e. claims for trademark infringement, dilution, trade dress infringement, unfair competition, false advertising, palming off, passing off, or counterfeiting). Such authorization shall be implied by the award of a Government contract to any party for the manufacture, production, distribution, use, modification, maintenance, sustainment, or packaging of the products and services identified under this contract, and the scope of such implied authorization is defined as the use of the Designation(s) in performance under such contract by the prime contractor and its subcontractors and suppliers at any tier. In all other cases, the scope of the authorization will be defined by the Government in writing.

7.0 Special Safety Requirements [CLIN 0024]

7.1 Safety

The Contractor shall be responsible for the safety and accountability of all its employees and must provide all safety and protective equipment. The Contractor shall comply with the safety program, airport safety requirements, Environmental Protective Agency (EPA) instructions and Public Law 91-596. The Contractor shall implement and maintain a Safety Program, to include mishap, accident, incident reporting and investigation procedures, that complies with Occupational Safety and Health Administration (OSHA), Commander Naval Air Forces Instruction (COMNAVAIRFORINST) 4790.2 series NAMP, Defense Contract Management Agency (DCMA) INST 8210.1C Contractor’s Flight and Ground Operations and NAVAIRINST 3710.1G Contractor’s Flight and Ground Operations.
