Description: South Bay IWTP - Operations Maintenance of Plant Solicitation No. 191BW26R0001 O M Base Year (04/01/2026 to 3/31/2027) (FFP) Firm-Fixed-Price (FFP): Core Operations and Maintenance Services Scope:

This CLIN covers all routine, recurring, and predictable operations and maintenance (O&M) services required to ensure continuous, compliant, and efficient operation of the SBIWTP and associated infrastructure. Services include, but are not limited to:

Daily operations of treatment processes (e.g., primary, secondary, disinfection) Preventive and predictive maintenance of mechanical, electrical, and instrumentation systems Routine inspections, calibrations, and condition assessments Biosolids handling and disposal Groundskeeping and pest control Reporting and recordkeeping in accordance with permit and regulatory requirements Staffing, training, and certification of plant personnel Operation of SCADA and CMMS systems Contract Type Justification:

This CLIN is structured as Firm-Fixed-Price (FFP) in accordance with FAR 16.202. The scope of work is sufficiently defined and stable to allow for accurate pricing. The contractor assumes full responsibility for performance risk and cost control within the agreed price.

This CLIN is structured as Firm-Fixed-Price (FFP) in accordance with FAR 16.202. The scope of work is sufficiently defined and stable to allow for accurate pricing. The contractor assumes full responsibility for performance risk and cost control within the agreed price.

Deliverables and Metrics:

Performance under this CLIN shall be measured against the following:

Compliance with NPDES and other regulatory permits Adherence to preventive maintenance schedules Timely and accurate submission of required reports Operational uptime and effluent quality targets Responsiveness to COR directives and audit findings

Exclusions:

This CLIN does not cover emergency response, unplanned corrective maintenance, or tasks with undefined scope or cost variability. Such work shall be addressed under the T&M or CR CLINs as appropriate

Description: Emergency Repairs Year 4 (04/1/2030 to 3/31/2031) (T M) Time-and-Materials (T&M): Emergency Response and Un-scoped Repairs

Scope:

This CLIN covers emergency response services and urgent corrective actions that cannot be adequately scoped or priced in advance. These include, but are not limited to, unplanned equipment failures, emergency bypass pumping, storm-related damage, and other time-sensitive operational disruptions requiring immediate mobilization.

Contract Type Justification:

This CLIN is structured as Time-and-Materials (T&M) in accordance with FAR 16.601. It is used only when it is not possible at the time of placing the contract to estimate accurately the extent or duration of the work or to anticipate costs with any reasonable degree of confidence. The Government has determined that no other contract type is suitable for these services due to their unpredictable nature and the need for rapid response.

Billing Structure:

Labor: Billed at fully burdened hourly rates by labor category as proposed and negotiated in the contractor’s pricing schedule.

Materials: Reimbursed at actual cost without markup unless otherwise authorized in writing by the Contracting Officer.

Unit of Issue: One (1) Lot (LS) per contract period, with a Not-To-Exceed (NTE) ceiling established annually.

Authorization and Oversight:

All work under this CLIN must be authorized in writing by the Contracting Officer or designated COR prior to commencement. The contractor shall maintain detailed records of labor hours and materials used, subject to audit and verification.

Reporting Requirements:

The contractor shall submit monthly T&M usage reports, including:

Description: Cost Reimbursement Year 4 (04/1/2030 to 3/31/2031) (CR) This CLIN covers variable operational and maintenance costs that cannot be accurately estimated in advance and are subject to market volatility or operational fluctuations such as chemical costs. Other items my be included if agreed upon by the Government.

Cost Structure:

This CLIN shall be administered on a cost-reimbursable basis in accordance with FAR 16.301-3. The contractor shall be reimbursed for allowable, allocable, and reasonable costs incurred in the performance of work under this CLIN, subject to the limitations and controls described below.

Cost Corridor Clause:

To manage cost risk and ensure fiscal discipline, a cost corridor of ±10% from the Government-established baseline shall apply. The baseline shall established by negotiation at the time of award and may be derived from historical usage data and updated annually. Quarterly true-ups will be conducted to reconcile actual costs against the corridor. Any variance beyond the ±10% to ±20% threshold cost or cost savings shall be shared on a negotiated percentage at the time of awarded and will be used to establish a not to exceed cost.

Reporting Requirements:

The contractor shall submit detailed cost reports on a monthly basis, including actuals, variances, and justifications for any deviations. Reports must align with the cost elements defined in the approved Work Breakdown Structure (WBS).

Transition to FFP:

Where cost predictability improves over time (e.g., stabilized chemical usage), the Government reserves the right to convert this CLIN or portions thereof to Firm-Fixed-Price (FFP) via bilateral modification.
