52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL PRODUCTS AND

COMMERCIAL SERVICES ITEMS (SEP 2023) ADDENDUM

INCORPORATED BY REFERENCE. ***

1. Proposal Format

1.1. General: The following instructions cover the preparation and submittal of the Offeror’s proposal for this Request for Proposal (RFP). Offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors. As required in paragraph 1.2. of this Addendum, only electronic versions of proposals will be accepted. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. Documents submitted in response to this RFP must be fully responsive to, and consistent with, the requirements of the RFP, Performance Work Statement (PWS), and Evaluation Factors for Award in the FAR Provision 52.212-2 Addendum of this RFP. Offerors are cautioned any noncompliance with the terms and conditions of the RFP may cause their proposal to be determined not eligible for award.

1.1.1. The resulting contract from this acquisition will be a Firm Fixed Price single award Indefinite Delivery Indefinite Quantity (IDIQ) contract. The Government will use a Tradeoff source selection to award a single contract.

1.1.2. Number of Proposals: Offerors shall submit only one (1) proposal for the Melrose Air Force Range (MAFR) Operations, Maintenance and Support (OM&S) solicitation as the Government will review only one (1) proposal per Offeror.

1.1.3. Proposals received are subject to the requirements specified in FAR Provision 52.212- 1 and this Addendum to the solicitation.

1.1.4. The proposal submission due date and time are specified in Block 8, Standard Form (SF) 1449, of this solicitation. Offerors are responsible for submitting proposals (including any revisions and amendments) so as to reach the Government office designated in this solicitation by the time specified in Block 8, SF 1449. Proposals must be received no later than the date and time specified.

1.1.5. Proposal Validity: The Offeror‘s proposal acceptance period is specified in Block 12 of SF 1449, Solicitation/Contract/Order for Commercial Items. The Offeror shall set the acceptance period for a minimum of 120 calendar days after the proposal due date in Block 8 of the SF1449. The Offeror shall make a clear statement in Volume VI, Contract Documentation, that their proposal is valid through this date.

1.1.6. Electronic Reference Documents: All referenced documents for this solicitation are available on the System for Award Management (SAM.gov) website at https://sam.gov. Potential Offerors are encouraged to subscribe for real-time e-mail notifications when information has been posted to the website for this solicitation.

1.1.7. Amendments: The Government reserves the right to revise or amend the PWS, attachments, or the solicitation prior to the proposal closing time. Such revisions or amendments will be communicated by amendments to the RFP and posted on the SAM website. If such amendments require material changes in quantities or prices, the proposal closing date (due date) may be postponed by enough days to enable Offerors to revise their proposals. In such cases, the amendment will include an announcement of the new closing date and time. Offerors MUST acknowledge all amendments IAW para 2.7.1.2. below and provide copies with their proposal in Volume VI, Contract Documentation.

1.1.8. The Government will retain copies of all unsuccessful proposals in accordance with (IAW) FAR Subpart 4.8.

1.1.9. Discrepancies: If an Offeror believes the requirements in these instructions contain an error, omission, or are otherwise unsound, the Offeror shall immediately notify the Contracting Officer (CO) in writing IAW paragraph 1.2. and 1.2.1. below with supporting rationale as well as the remedies the Offeror is asking the CO to consider as related to the omission or error. The Offeror is reminded the Government reserves the right to award this effort based on the initial proposal, as received, without discussion.

1.1.10. Oral Presentations: Oral presentations will not be considered for this competitive acquisition.

1.1.11. Adequate Price Competition: The CO has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the CO will review this determination and if, in the CO’s opinion, adequate price competition exists no additional cost information will be requested. However, if at any time during this competition the CO determines adequate price competition no longer exists, Offerors may be required to submit information to the extent necessary for the CO to determine the reasonableness and affordability of the price.

1.1.12. 100% Small Business Set-Aside: Proposals may only be submitted by Small Business firms. At the time of initial contract offer and at time of award, each business must be a Small Business under the designated North American Industry Classification System (NAICS) size standard found in Block 10 of the SF 1449. For Small Business firms submitting an offer with a Small Business Teaming Arrangement, as defined in the Federal Acquisition Regulation (FAR) Subpart 2.101, each business concern must be a Small Business under the designated NAICS code. If a Small Business firm is not submitting an offer with a Small Business Teaming Arrangement, the Prime Contractor must be a Small Business under the designated NAICS code and comply with FAR Clause 52.219-14 Limitations on Subcontracting.

1.1.13. Determination of Competitive Range: Based on the ratings of each technically acceptable proposal against all evaluation criteria, the Source Selection Authority (SSA) may establish a competitive range comprised of all the most highly rated proposals unless the range is further reduced for purposes of efficiency. Offerors are hereby advised only those proposals determined to have a reasonable chance for award of a contract will be included in the competitive range. Accordingly, Offerors should submit initial proposals on their most favorable terms, from both a technical and price standpoint. Again, it should be noted proposals will not be included in the competitive range solely on the basis of technical acceptability, nor will they be included due to price considerations alone. Offerors whose proposals are not included in the competitive range will be notified as soon as practicable. Additional information relative to such proposals will be provided through debriefing IAW FAR Subpart 15.505, if requested.

1.1.14. Debriefings: The CO will promptly notify Offerors of any decision to exclude them from the competitive range; whereupon they may request and receive a debriefing IAW FAR 15.505.

Offerors excluded from the competitive range, or determined to be technically unacceptable, may request a pre-award debriefing or they may choose to wait until after the source selection decision to request a post-award debriefing. However, Offerors are entitled to no more than one

(1) debriefing.

1.1.15. The exclusive responsibility for source selection will reside with the Government. Any objection shall be provided in writing prior to the date set for receipt of proposals and shall include a detailed statement of the basis for the objection. Proprietary information submitted in response to this solicitation will be protected from unauthorized disclosure as required by Subsection 27 of the Office of Procurement Policy Act as amended (41 U.S.C.423) (hereinafter referred to as ―the Act) as implemented in the FAR.

1.1.16. Notice of Pre-proposal Site Visit: A pre-proposal site visit will be conducted at MAFR for the purpose of answering questions regarding this solicitation. It will be held on the day and time indicated in FAR Clause 52.237-1 and in the solicitation announcement on the SAM website. Submit the names of all attendees (not to exceed 2) to the POCs listed in section 1.2.1., of this Addendum. This information must be provided in advance as stated in FAR Clause 52.237-1 in order to ensure access to the military base/conference site and adequate seating for the conference attendees. No questions will be answered, verbally or otherwise, at the site visit.

Offerors are requested to submit questions to the point of contact noted above not later than five

(5) calendar days after the pre-proposal site visit. Information provided at this conference shall not qualify the terms and conditions of the solicitation and specifications. All questions submitted will be answered via an amendment to the solicitation and posted on SAM. Terms of the solicitation and specifications remain unchanged unless the solicitation is amended in writing. If an amendment is issued, normal procedures relating to the acknowledgment and receipt of solicitation amendments shall apply. See para 1.1.7. above. A portion of the site visit will be outdoors in a high-desert prairie environment. Offerors are advised to dress accordingly for the weather. Sturdy footwear is highly encouraged.

1.1.17. Communications: Exchanges of source selection information between Government and Offerors will be controlled by the CO. Electronic mail (e-mail) may be used to transmit such information only if the e-mail can be sent encrypted and must include “Source Selection Information – See FAR 2.101 and 3.104 CUI” in the subject line of the e-mail. Otherwise, source selection information will be transmitted via DoD Secure Access File Exchange (DoD SAFE) at https://safe.apps.mil/. When submitting source selection information via e-mail, file suppression utilities, to include but not limited to zip files, will not be accepted. In order to facilitate the sending and receiving of encrypted e-mails, Offerors must use MS Outlook e-mail configured to support encryption or a different e-mail product that is S/MIME compatible and configured to support encryption. If you intend to submit your source selection information via encrypted e-mail, you will need to contact the Contract Specialist (CS)/CO indicated in paragraph 1.2.1., below, prior to that first submittal in order to exchange certificates used for encryption. To ensure the process is working correctly, send a test encrypted message first (without including any source selection information).

1.1.18. Point of Contact: The CO and CS listed below are the primary and alternate points of contact (POCs) for this acquisition. Address all questions or concerns to all POCs. Written requests for clarification must be sent to all POCs via e-mail. E-mail is the preferred method of communication. The POCs for this acquisition are as follows:

2. Volume Organization

2.1. General: The Offeror shall prepare the proposal as set forth in the Table 1, Proposal Organization. The titles and contents of the volumes shall be as defined in this table, and all of which shall be within the required page limits specified. The proposal response shall consist of six (6) separate volumes: Volume I – Executive Summary; Volume II – Technical and Technical Risk; Volume III – Past Performance; Volume IV – Small Business Participation; Volume V – Price; and Volume VI – Contract Documentation.

2.1.1. Page Limitations: Page limitations shall be treated as maximums. Pages and volumes exceeding the page limitations set forth in Table 1, Proposal Organization will not be read or evaluated and will be removed from the proposal. Page limitations may be placed on responses to Evaluation Notices (ENs), if issued. The specified page limits for EN responses will be identified in the letters forwarding the ENs to Offerors or on the EN form itself.

2.1.2. In addition to the page limitations set forth above, proposal volumes shall comply with the following format:

2.1.2.1. Each volume shall be marked with the RFP number and the Offeror’s name and address, and the number of the Volume, i.e. I, II, III, etc. Proposals shall be in the English language and all monies shall be proposed in United States dollars.

2.1.2.2. Print shall be no smaller than a font size of 12. Paper size shall be 8 1/2” X 11,” excluding any charts, diagrams, and/or supporting illustrations, spreadsheets, etc. Charts, graphs, drawings, diagrams, supporting illustrations, or spreadsheets shall not be greater than 11” x 17.” Each volume within the proposal shall be separately tabbed and identified. Margins shall be no smaller than 1 inch and each page within a volume shall be numbered consecutively. Elaborate formats and color presentations are not desired or required.

2.1.2.3. Cross-Referencing: Each volume shall be written on a standalone basis so its contents may be evaluated with no requirement to cross-reference to other volumes of the proposal. Cross-referencing within a proposal volume is permitted where its use would conserve space without impairing clarity. Information required for proposal evaluation which is not found in its designated volume will be assumed to have been omitted from the proposal.

2.1.2.4. Indexing: Electronic files should be titled appropriately so as to easily discern each volume as outlined in paragraph 2.1., above. Each file shall contain a more detailed table of contents to delineate the subparagraphs within that file. Tab indexing shall be used to identify sections. Indexing is not included in the page limitations. Volume I – Executive Summary shall contain a Master Table of Contents referencing the contents in all volumes. Tables of content do not count against the page limitations for their respective volumes.

2.1.2.5. Glossary of Abbreviations and Acronyms: Volumes I –V shall contain a glossary of all abbreviations and acronyms used with an explanation for each term. Glossaries do not count against the page limitations for their respective volumes. Electronic File Submission: The Offeror shall submit all volumes electronically, using one (1) of the following formats: The electronic versions of the proposal shall be submitted in a format readable by Microsoft (MS) Office Word 2016, MS Office Excel 2016, MS Office Project 2016, and MS Office Power Point 2016, as applicable. Save files in default format (e.g., Word Document – Set ―save as type to―Word Document [*.docx] only; Excel spreadsheets – Set "save as type" to "Microsoft Excel Workbook [*.xlsx]"; PowerPoint presentations – Set "Save as type" to "Microsoft PowerPoint 2016 Presentation [*.pptx]). Submit portable document format (PDF) documents using Adobe Acrobat 9.0 only. DO NOT submit any documents in PDF format that are copied as ―images.

When creating PDF files, the Offeror shall create the file to enable textual search and copy functions.

2.1.2.6. Pricing Information: All pricing information shall be addressed ONLY in Volume V, Price.

2.1.2.7. RFP Technical Clarifications: Offerors who determine the technical requirements of this RFP require clarification(s) in order to permit submittal of a responsive proposal are requested to submit all questions in writing within 10 business days from release of the RFP.

These questions shall be directed to the POCs identified in paragraph 1.2.1., above.

2.1.2.8. Each past performance reference consists of past performance information using Attachment 18, Past Performance Information Sheet and Past Performance Questionnaire. The Offeror shall include the following attachments for each past performance reference as applicable: Attachment 19, Subcontractor/Teaming Partner Consent Letter and Client Authorization Letter.

2.1.2.9. Each page containing proprietary information should be so marked. Apply all appropriate markings including those prescribed IAW FAR Provision 52.215-1(e), Restriction on Disclosure and Use of Data, and FAR Subpart 3.104-4, Disclosure, Protection, and Marking of Contractor Bid or Proposal Information and Source Selection Information.

2.1.2.10. Distribution: Proposals shall be addressed to the CO and e-mailed or transmitted via DoD SAFE at https://safe.apps.mil/. Additional information regarding e-mail transmission can be found in paragraph 1.2., Communications, above.

2.1.2.11. Each page should contain the following legend at the top and bottom of each sheet:

2.2. Volume I, Executive Summary:

2.2.1. Format and Specific Content: Volume I, Executive Summary, has a limit of five (5) pages and shall consist of the following sections:

2.2.1.1. Master Table of Contents (Tab 1): Include a master table of contents of the entire proposal.

2.2.1.2. Narrative Summary (Tab 2): The Offeror’s narrative summary of its entire proposal should be concise, and should address any and all significant risks, and highlight any key or unique features, excluding price. The salient features of the Offeror’s narrative summary should tie in with the information covered in the FAR Provision 52.212-2 Addendum. Any summary material presented here shall not be considered as meeting the requirements for any portions of other volumes of the proposal.

2.2.1.3. Glossary of Abbreviations and Acronyms (Tab 3): Include a glossary of any abbreviations and acronyms used throughout this volume.

2.3. Volume II, Technical and Technical Risk (Risks):

2.3.1. General: The technical proposal shall be clear, concise, and include all the information required by this provision in sufficient detail for effective evaluation. The proposal should not simply rephrase or restate the Government’s requirements but rather shall provide convincing rationale to address how the Offeror intends to meet these requirements. Offerors shall assume the Government has no prior knowledge of their capabilities, work processes, facilities, and experience and will base its evaluation solely on the information presented in the Offeror’s technical proposal. Exceptions to any requirements shall be documented on record in Volume VI – Contract Documentation. The technical proposal shall address each of the three (3) subfactors described in this section, Management Approach, Staffing Approach and Technical Approach and should describe the Offeror’s proposed approach for performing the requirements set forth in the PWS.

2.3.2. Technical Risks: For each subfactor, address Technical Risk associated with those aspects of your proposed technical approach you consider to have the potential for disruption of schedule, degradation of performance, the need for increased Government oversight, or the likelihood of unsuccessful contract performance. Describe the impact of each identified risk in terms of its potential to interfere with or prevent the successful accomplishment of other contract requirements (e.g. PWS requirements, appendices, workload, or referenced publications), whether or not those requirements are identified as subfactors. Propose a realistic "work-around" or risk mitigations for identified risks that will eliminate or reduce risk to an acceptable level. If no risks/mitigations are identified in the Offeror’s proposal, it shall indicate the Offeror does not consider there to be any risk associated with their proposed approach.

2.3.3. Format and Specific Content: Volume II, Technical and Technical Risk, has a limit of 75 pages and shall consist of the following sections:

2.3.3.1. Table of Contents (Tab 1): Include a table of contents of the topics and subparagraphs in this volume.

2.3.3.2. Subfactor 1: Management Approach (Tab 2): The Offeror shall describe their management method; to include the awardee’s Program Management, Transition Plan and Mission-Essential Contractor Services Plan, which shall be incorporated into the resulting contract through Attachment 5, Exhibit A-001 CDRL Management Plan (further referred to as MGMT Plan), upon award. The Offeror shall utilize the format and specific content requirements provided and adhering to all template instructions as further described in MGMT Plan. At a minimum, the Management Approach subfactor shall thoroughly demonstrate all of the following:

2.3.3.2.1. Program Management: The Offeror shall provide a Program Management Approach that shall demonstrate the Offeror’s ability to execute the requirements of the PWS, section

2.2.4.1.

2.3.3.2.2. Transition Plan: The Offeror shall provide a Transition Plan that shall demonstrate the Offeror’s ability to execute the requirements of the PWS section 4.2.

2.3.3.2.3. Mission-Essential Contractor Services Plan: The Offeror shall provide a Mission- Essential Contractor Services Plan that shall demonstrate the Offeror’s ability to continue to perform the essential contractor services listed in the section 4.33. of the PWS during periods of crisis IAW DFARS Clause 252.237-7023 and DFARS Provision 252.237-7024.

2.3.3.3. Subfactor 2: Staffing Approach (Tab 2): The Offeror shall provide a detailed Staffing Approach to include the awardee’s Staffing Plan which shall be incorporated into the contract through MGMT Plan upon award. The Offeror shall utilize the format and specific content requirements provided and adhering to all template instructions as further described in MGMT Plan. At a minimum, the proposed Staffing Approach shall include the following:

2.3.3.3.1. Staffing Matrix, Attachment 15: The Offeror shall submit a completed Staffing Matrix that will be used by the Technical Evaluation Team during the source selection process.

Offerors must complete the Staffing Matrix exactly in accordance with the template set forth in Attachment 15. Any attempt to reformat or remove cells is unauthorized and may be a reason to reject an Offeror‘s proposal.

2.3.3.3.2. Staffing Plan: The Offeror shall provide a Staffing Plan that shall demonstrate a clear understanding of the staffing requirements of the PWS, to include all labor categories and hours proposed for each area in the PWS.

2.3.3.4. Subfactor 3: Technical Approach (Tab 2): The Offeror shall provide a Technical Approach methodology that shall utilize the format and specific content requirements provided adhering to all template instructions and as further described in MGMT Plan, section 5.1. Upon award, the Technical Approach shall be incorporated into the contract. At a minimum, the proposed Technical Approach shall include the following:

2.3.3.4.1. MAFR Facility Maintenance Program. The Offeror shall complete MGMT Plan, section 5.2., MAFR Facility Maintenance Program to meet the requirements as stated in the PWS section 3.2.

2.3.3.4.2. Air and Ground Operations. The Offeror shall complete MGMT Plan, section 5.3., Air and Ground Operations, to demonstrate an approach IAW the PWS sections 2.11., 2.12., 2.13., 3.1., and 3.3. - 3.10.

2.3.3.4.3. Wildland Fire Management. The Offeror shall complete MGMT Plan, section 5.4., Wildland Fire Management, to demonstrate an approach IAW the PWS section 3.7.

2.3.3.4.4. Electronic Warfare /Electronic Systems. The Offeror shall complete MGMT Plan, section 5.5., Electronic Warfare /Electronic Systems, to demonstrate an approach IAW the PWS sections 3.1.3.1, 3.5., and 3.6.

2.3.3.4.5. Paramedic Services. The Offeror shall complete MGMT Plan, section 5.6., Paramedic Services, to demonstrate an approach IAW PWS section 3.9 and USAF directed protocols.

2.3.3.4.6. Range Scheduling. The Offeror shall complete MGMT Plan, section 5.7., Range Scheduling, to demonstrate an approach IAW PWS section 3.8.

2.3.3.4.7. Vehicle and Heavy/ Agricultural Equipment Plan. The Offeror shall complete MGMT Plan, section 5.8., Vehicle and Heavy/ Agricultural Equipment Plan to demonstrate and approach IAW PWS section 2.7.

2.3.3.5. Glossary of Abbreviations and Acronyms (Tab 3): Include a glossary of any abbreviations and acronyms used throughout this volume.

2.3.3.6. Technical Proposal Cross-reference Matrix (Tab 4): The Offeror shall fill out the cross-reference matrix below, Table 2: Technical Proposal Cross-reference Matrix, indicating where in the proposal the information can be found as it relates to the RFP. The cross-reference matrix will be utilized as a tool to show critical interrelationships and dependencies among the PWS, FAR Provision 52.212-1 and FAR Provision 52.212-2, and their respective Addenda. The cross-reference matrix will help an Offeror ensure it has responded to all the evaluation criteria and proposal submittal requirements identified in the solicitation. If the matrix conflicts with any other requirement, direction, or provision of this solicitation, the other reference shall take precedence over the matrix. Additionally, to the extent the matrix discloses details as to the manner by which the Government intends to evaluate the Offeror’s proposals for award, FAR Provision 52.212-2 Addendum references in the matrix are for informational purposes only, and the Government shall be obligated to evaluate proposals solely in conformance with the FAR Provision 52.212-2 Addendum of the solicitation.

2.4. Volume III, Past Performance

2.4.1. General: The Offeror shall submit Present and Past Performance Information (PPIS) for itself and any joint venture member, as well as each proposed critical Subcontractor in accordance with the format contained in Attachment 18 Past Performance Information Sheet (PPIS), and the following paragraphs. A critical Subcontractor is defined as an entity (Subcontractor and/or teaming partner), other than the Offeror itself who are performing a significant portion of the total effort. The past performance volume shall contain recent and relevant past performance information IAW the FAR Provision 52.212-2 Addendum. Offerors are cautioned the Government will use data provided by each Offeror in this volume and data obtained from other sources in the evaluation of past performance. Along with the information required in this paragraph, the Offeror shall submit a consent letter, executed by each teaming partner, joint venture partner, and/or critical Subcontractor, authorizing release of adverse past performance information to the Offeror so the Offeror can respond to such information. For each identified effort for a commercial customer, the Offeror shall also submit a Client Authorization Letter, Attachment 19, (Tab 5), authorizing release to the Government of requested information on the Offeror's performance.

2.4.1.1. Recent Contracts: Each past performance information submission shall be recent.

To be recent, the effort must meet the requirements of paragraph 2.3.1.3. in FAR Provision 52.212-2 Addendum.

2.4.1.2. Relevant Contracts: Submit all PPIS IAW paragraph 2.4. of this Addendum. Each PPIS submission must be submitted under Volume III, Tab 3. Submit a PPIS on at least three

(3) but no more than eight (8) recent contracts the Offeror considers most relevant in demonstrating the ability to perform the proposed effort. Information must include a minimum of one (1) PPIS from each of the joint venture members, teaming partners and/or critical Subcontractors proposed by the Offeror. The past performance for the prime Contractor, joint venture member and/or critical Subcontractor will be weighed equally (paragraph 2.3.1.5. in the FAR Provision 52.212-2 Addendum). Include rationale supporting any assertion of relevance for each PPIS submitted. For a description of what the Government will consider in determining relevance see paragraph(s) 2.3.1.4. - 2.3.1.4.4. of the FAR Provision 52.212-2 Addendum and Relevancy Assessment and Table 3 Past Performance Relevancy Rating Method in the FAR Provision 52.212-2 Addendum.

2.4.1.3. Specific Content: Offerors are required to explain what aspects of the contracts are deemed relevant to the proposed effort and to what aspects of the proposed effort they relate.

This may include a discussion of efforts accomplished by the Offeror to resolve problems encountered on prior contracts as well as past efforts to identify and manage program risk. The Offeror is required to clearly demonstrate management actions employed in overcoming problems and the effects of those actions in terms of improvements achieved or problems rectified.

2.4.1.4. Submission of Past Performance Information. Offerors will use the Attachment 18, PPIS to submit the past performance information on each reference as outlined in paragraph

2.4. of this Addendum. The past performance information attachment allows the Offeror to provide contract information, a brief description of services, use of management actions for performance problems, and key program points of contact for each reference.

2.4.2. Past Performance Format: The Past Performance volume shall consist of the following sections:

2.4.2.1. Table of Contents (Tab 1): Include a table of contents of the topics and subparagraphs in this volume.

2.4.2.2. Summary Page (Tab 2): A summary page shall be provided for this acquisition, describing the proposed role of the Offeror, any joint venture member and critical Subcontractor (nature of work and percentage of overall work). Summary page information must clearly communicate that proposed critical Subcontractor(s) meet the definition of a critical Subcontractor established in paragraph 2.4.1., above.

2.4.2.3. References (Tab 3): Each past performance reference shall consist of the following:

2.4.2.3.1. PPIS (Attachment 18): The Offeror shall use the PPIS for submitting relevant and recent past performance contract information. The Offeror shall use a separate copy of the form for each reference in the Past Performance volume.

2.4.2.3.1.1. The Offeror/Joint Venture member and critical Subcontractor, if applicable, shall focus its PPIS responses so they clearly correlate present and past performance with the requirements of this RFP. The PPIS responses must clearly describe the relevance of the effort to the work proposed. The space provided on the PPIS for providing such responses may be expanded so the filled-in sheet for each relevant contract does not exceed six (6) pages.

Provide the most current information for the POCs identified on the PPIS. At least two (2) of the following (in descending order of availability) should be identified as current POCs on the PPIS:

2.4.2.3.1.1.1. Procuring Contracting Officer/Contract Negotiator or equivalent

2.4.2.3.1.1.2. Program/Project Manager, or equivalent

2.4.2.3.1.1.3. Administrative Contracting Officer/Contract Administrator or equivalent

2.4.2.3.1.1.4. Other (As specified in your PPIS)

2.4.2.3.1.2. If problems were encountered during the performance of the identified contracts, provide evidence of the ability to isolate the root causes of problems and include in the PPIS a description of programs or actions taken to resolve those causes. Problems not addressed in the PPIS but found by the Government during the evaluation of the information in this volume, will be assumed to still exist. Note: In the case of Contractor Performance Assessment Report System (CPARS), if your input has already been provided and the rationale/circumstances have not changed, DO NOT repeat them here.

2.4.2.3.1.3. Key Personnel: Offerors, joint venture members, or critical Subcontractors that are newly formed entities (in existence less than six (6) years from the issuance date of this solicitation) who either have no prior contracts or do not possess relevant corporate past performance, but have key personnel with relevant past performance while employed by another company, may demonstrate the performance of such key personnel by submitting PPIS for at least three (3) but no more than eight (8) of their most recent and relevant contracts under which such key personnel performed the same role currently being proposed on the instant acquisition. To be recent, the effort must meet the requirements of paragraph 2.3.1.3. in the FAR Provision 52.212-2 Addendum. Note however, the quality of the key personnel’s performance under the submitted contract must be able to be verified by the Past Performance Team in order to be considered in the assessment of confidence. Any such key personnel must already be employed by the Offeror/joint venture member, or in the case of a critical Subcontractor, must already be employed by the critical Subcontractor; a letter of intent to hire does not constitute employment.

2.4.2.3.2. Past Performance Questionnaire (PPQ) (Attachment 18): The Present/Past PPQ will be one means used by the Government to obtain present/past performance information. The Government reserves the right to change, alter, and/or supplement the questionnaire without further notice to the Offeror(s).

2.4.2.3.2.1. It is the responsibility of the Offeror to send out and track the completion of the

PPQs to each of the Offeror’s, joint venture members and/or critical Subcontractors’ (i.e., each entity’s) POCs identified in each PPIS. The responsibility to send out and track the completion of the PPQs rests solely with the Offeror - i.e., it shall not be delegated to any other entity. Exert your best effort to ensure at least two (2) POCs per relevant contract submit a completed PPQ directly to the Government not later than the date established in the RFP for receipt of proposals. Questionnaires are due to the CO by the proposal due date in Block 8 on the Standard Form 1449. POCs must submit their completed PPQs electronically. Follow the procedures outlined in paragraph 1.2., above, for e-mail instructions.

2.4.2.3.2.2. Once the PPQs are completed by your POCs, the information contained therein shall be considered source selection sensitive and shall not be released to you, the Offeror.

Therefore, any exchange/contact between the Offeror/joint venture member and/or critical Subcontractor and its own POCs regarding comments made on the questionnaire is not permitted.

2.4.2.4. Subcontractor/Teaming Partner consent letter (if applicable) (Tab 4): Past performance information pertaining to a Subcontractor cannot be disclosed to the prime Offeror without the Subcontractor‘s consent. In addition to the information provided in the PPIS, Attachment 18, for each entity as required above, the Offeror must submit a consent letter executed by each of its proposed teaming member(s) and/or critical Subcontractors authorizing release of adverse past performance information to the prime Offeror to allow the prime Offeror an opportunity to respond. A sample Subcontractor/Teaming Partner Consent Form is attached to this RFP, Attachment 19. The consent letter shall be completed by the team member(s) and/or critical Subcontractors identified in your proposal. The completed consent letters shall be submitted as part of Volume III, Past Performance.

2.4.2.5. Client Authorization Letter (if applicable) (Tab 5): In the event commercial contracts are presented as present/past performance sources of information, a client authorization letter shall be issued to those commercial POCs requesting/authorizing them to complete a PPQ. A sample Client Authorization Letter is attached to this RFP, Attachment 19. The Offeror is required to send the Client Authorization Letter(s) with the PPQs to each POC on commercial contracts. A separate copy of Client Authorization Letter(s) for each commercial contract shall be included in the Offeror’s Present/Past Performance submission for the Government’s use in case additional questionnaires need to be sent by the Government after the RFP due date. The completed Client Authorization Letters shall be submitted as part of Volume III, Past Performance.

2.4.2.6. Organizational Structure Change History (Tab 6): Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, or subsidiary companies. In many cases, these changes have taken place during the time of performance for relevant past efforts or between the conclusion of recent past efforts and this source selection. To clarify any organizational changes, include in this proposal volume a "roadmap" describing all such changes in the organization of the company. A pamphlet or other commercial document describing such reorganizations may suffice. As part of this explanation, show how these changes impact the relevance of any efforts the Offeror identified for past performance evaluation/performance confidence assessment.

Since the Government intends to consider past performance information provided by other sources as well as that provided by the Offeror(s), the "roadmap" should be both specifically applicable to the efforts the Offeror identified and general enough to apply to efforts on which the Government receives information from other sources.

2.4.2.7. Glossary of Abbreviations and Acronyms (Tab 7): Include a glossary of abbreviations and acronyms used throughout the volume.

2.4.3. Follow-up Discussions: The Government may conduct follow-up discussions with any of the people identified in the PPIS or in the Offeror’s Present/Past Performance Volume.

Pursuant to FAR Subpart 15.305(a)(2)(ii), the Government may obtain other information by sending out additional questionnaires and/or through other sources, other than those listed within the PPIS.

2.4.4. RFP Attachment Legend: Attachment 18, PPIS and PPQ, must include the following legend at the top and bottom of the page:

2.5. Volume IV, Small Business Participation:

2.5.1. General: The Small Business Participation is required from all Offerors. The Offeror shall include only the first tier of Subcontractor(s) for this effort. Offerors are advised the Small Business Participation Submission is not the same as the Small Business Subcontracting Plan.

2.5.2. Format and Specific Content: Volume IV, Small Business Participation, shall include the following to address the proposed performance of the resultant contract:

2.5.2.1. Small Business Participation Commitment Document (SBPCD), (Attachment 16):

SBPCD provides substantiating documentation to demonstrate how the Offeror will meet the following requirements listed below.

2.5.2.1.1. The extent to which the Offeror will utilize the small business (SB) 8(a) program.

2.5.2.1.2. The extent to which the Offeror will demonstrate an enforceable agreement with 8(a) SB firm(s), such as, letters of commitment, Joint Ventures, mentor/protégé agreements, or other demonstrations of commitment, including the company name(s) with CAGE code the Offeror plans to use in the performance of the resultant contract.

2.5.2.1.3. The following are the required tasks reserved for the Small Business Participation 8(a) Subcontractors:

2.5.2.1.3.1. Provide Wildland Fire Services see PWS section 3.7;

2.5.2.1.3.2. Provide Paramedic Services see PWS section 3.9; and

2.5.2.1.3.3. Perform Situational Force (SITFOR) Support see PWS section 3.10.

2.5.2.2. The extent of participation of small business prime Offerors and small business Subcontractors in terms of the value of the total acquisition (total contract value). Binding commitments in the SBPCD will become enforceable contractual requirements. The successful Offeror will be required to provide Small Business Utilization Reports.

2.5.2.3. Detailed explanations/documentation supporting the proposed quantitative participation to substantiate the feasibility of the proposed participation. (Note: This information will not be incorporated into the resultant contract.)

2.6. Volume V, Price

2.6.1. General: This section is to assist the Offeror in submitting pricing data that is required to evaluate the completeness, reasonableness and balance of the proposed price. Compliance with these requirements is mandatory and failure to comply may result in rejection of an Offeror’s proposal. Note: unreasonably high or low proposed prices, initially or subsequently, may be grounds for eliminating a proposal from competition on the basis that the Offeror does not adequately understand the requirement. Offers should be sufficiently detailed to demonstrate their completeness, balance, and reasonableness. The burden of proof for credibility of proposed prices rests with the Offeror.

2.6.1.1. Labor Rates: The fully burdened labor rates (FBLR) shall be calculated with consideration to the current Collective Bargaining Agreement (CBA), Service Contract Act Wage Determination, and include all applicable fees, overhead, profit, and taxes, including the New Mexico Gross Receipts Tax (NMGRT). Both the standalone CBA and Service Contract Act Wage Determination are attached in the Solicitation Package. The Government will evaluate the base labor rate against the current CBA labor rates in accordance with FAR Clause 52.222-41(f)

– Service Contract labor Standards.

2.6.2. Labor Categories: In the event an Offeror’s labor category title differs from the titles listed, the Offeror shall provide documentation linking their labor category titles. (Note: Only differences in title are acceptable, Offerors shall not propose labor categories differing in position requirements or education requirements.)

2.6.3. Format and Specific Content: Volume V, Price shall consist of the following sections:

2.6.3.1 Table of Contents (Tab 1): Include a table of contents for all the topics and subparagraphs included in this volume.

2.6.3.1.1. Price Proposal Workbook (Attachment 7, Exhibit B) (Tab 2): The Price Proposal Workbook was designed for Offerors use when submitting pricing. This workbook will be used by the Price Evaluation Team during the source selection process. Offerors are to complete the workbook by following the instructions listed in the tab titled Instructions. Offerors must complete the Price Proposal Workbook as designed. Any attempt to reformat or remove cells is unauthorized and may be a reason to reject an Offeror‘s proposal. The submission of information needs to be complete and accurate. Incomplete pricing may result in an Offeror‘s proposal being deemed unawardable.

2.6.3.1.2. Exceptions/Assumptions and Rationale (Tab 3): Offerors shall identify any exceptions taken to the pricing requirements stated in this solicitation. Provide complete rationale for each exception. Offerors shall identify any assumptions made in the preparation of the pricing information. Provide complete rationale for each assumption.

2.6.3.1.3. Glossary of Abbreviations and Acronyms (Tab 4): Include a glossary of any abbreviations and acronyms used throughout this volume.

2.6.3.2. Price Information: Offerors shall not submit information beyond what is required by this instruction, unless the Offeror considers such information essential to document or support a price position. All information relating to the proposed price, including all required supporting documentation must be included in the section of the proposal designated as the Price volume.

Under no circumstances shall any such price information and documentation be included in any other sections of the Offeror’s proposal.

2.6.3.2.1. Pricing Information Requirements: IAW FAR Subpart 15.403-1(b) and FAR Subpart 15.403-3(a), information other than certified cost or pricing data may be required to support price reasonableness. If, after receipt of proposals, the CO determines there is insufficient information available to determine price reasonableness, the Offeror shall be required to submit additional pricing data.

2.6.3.2.2. Pricing (USD): All proposed prices shall be submitted in USD. Offers not submitted in the USD currency will not be evaluated for award. All dollar amounts in an Offeror’s proposal shall be rounded to the nearest penny. All loaded labor hourly rates shall be rounded to the nearest penny.

2.7. Volume VI, Contract Documentation:

2.7.1. Format and Specific Content: Volume VI, Contract Documentation, shall consist of the following sections:

2.7.1.1. Table of Contents (Tab 1): Include a table of contents for all the topics and subparagraphs included in this volume.

2.7.1.2. SF 1449, Solicitation Contract Form and All Amendments (Tab 2): The Offeror shall complete all sections of SF 1449, Solicitation/Contract/Order for Commercial Items with all blocks 12, 17, 24, and 30 completed with an original, authorized signature and the Contract Clauses section filled in. In doing so, the Offeror accepts and agrees to the contract terms and conditions as written in the RFP. These sections constitute the model contract. For any amendments issued, complete SF 30, Amendment of Solicitation by signing Block 15A and completing Blocks 15B and 15C for each amendment and include in this section of the proposal.

2.7.1.3. Representations and Certifications (Tab 3): The Offeror shall complete the necessary fill-ins and certifications described in FAR Provision 52.212-3 (see FAR Provision 52.212-3(b)(2) for those representations and certifications the Offeror shall complete electronically).

2.7.1.3.1. Authorized Offeror Personnel: The Offeror shall provide the name, title, and telephone number of the company/division point of contact regarding decisions made with respect to the Offeror‘s proposal and who can obligate the company contractually. Also, identify those individuals authorized to negotiate with the Government. Additionally, provide the name, title, and telephone number of the CEO, Division President, and/or Vice President of the company for notification purposes.

2.7.1.3.2. Company/Division Address, Identifying Codes, and Applicable Designations: Provide company/division's street address, county and facility code; Commercial and Government Entity (CAGE) code; Unique Entity ID (UEI); and Tax Identification Number (TIN).

2.7.1.4. Exceptions to Solicitation Requirements (Tab 4): Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale.

Each exception shall be specifically related to each paragraph and/or specific part of the solicitation to which the exception is taken. Provide rationale in support of the exception and fully explain its impact, if any, on the performance, schedule, cost, and specific requirements of the solicitation. This information shall be provided in the format and content of Table 3 Solicitation Exceptions.
