SECTION L – INSTRUCTIONS, CONDITIONS, AND NOTICES TO OFFERORS

PROPOSAL PREPARATION

A. General Instructions: This section provides general guidance for preparing proposals, as well as specific instructions on the format and content of the proposal. Throughout this section, the term “Offeror” means the prime contractor submitting the proposal, which may be a joint venture. The Offeror’s proposal must include all data and information requested and must be submitted in accordance with these instructions. Any Offeror who submits an incomplete proposal may be considered non-responsive. The offer shall be compliant with the requirements as stated in the Request for Proposal (RFP). A proposal that is sufficiently documented to supported cost/price and technical requirements in a complete, orderly and detailed manner will enable the Government to perform a thorough and fair evaluation. Non-compliance with the instructions and RFP may result in an unfavorable proposal evaluation and may be grounds to eliminate the proposal from consideration for contract award.

Offerors must clearly identify any exception to the solicitation in terms and conditions and provide complete accompanying rationale along with providing any assumptions in their proposals.

B. Type of Acquisition: Competition shall be full and open under North American Industry Classification System (NAICS) code 541715, Research and Development in the Physical, Engineering, and Life Sciences (except Nanotechnology and Biotechnology; Exception 3 “Guided Missiles and Space Vehicles, Their Propulsion Units and Propulsion Parts”, Size Standard: 1,300 employees). All offers shall have this NAICS code indicated in their System for Award Management (SAM) representations and certifications to be eligible for award and self-identified as a small business under this code in SAM. For this acquisition, selection of the best value Offeror will be made using tradeoff procedures. Tradeoff evaluation is described in Section M.

C. Discrepancies and Ambiguities: If an Offeror believes the requirements in these instructions contain an error, omission, ambiguity, or are otherwise unsound, the Offeror shall immediately notify the Procuring Contracting Officer (PCO) in writing with supporting rationale no later than five (5) business days after the RFP release.

D. Postponement of Proposal Closing Date: If a determination is made to postpone the proposal closing date, an announcement of the determination will be posted to SAM.gov and, if practicable, before issuance of a formal RFP amendment otherwise communicated to prospective Offerors.

E. Contract Document: Sections K, L, and M apply to the solicitation phase only, and shall not be included as a physical part of the contract as described in FAR 12.204-1(b).

F. Offeror’s Library/Restricted Documents: The Offeror’s Library contains documents to inform Offerors of MDA’s requirements. The Offeror’s Library is located in Procurement Integrated Enterprise Environment (PIEE). All information provided by electronic means will be unclassified/Controlled Unclassified Information (CUI). Requests for the library may be submitted via email to MDAMIOES@mda.mil. The request must include the following information:

The Government will verify the company information identified above in the System for Award Management website (https://SAM.gov/). Firms without a CAGE code and Unique Entity ID number will not be provided the information.

To gain access to the library, firms must have been certified under the Joint Certification Program (JCP). (http://www.dla.mil/HQ/LogisticsOperations/Services/JCP/). The Government will verify company certification in the JCP database.

All information provided by electronic means will be unclassified/Controlled Unclassified Information (CUI).

All regulations, manuals, or other publications referenced in the RFP are either publicly available or accessible via the Offeror’s Library. All programmatic and operational information, technical data, computer software or computer software documentation furnished by the Government is in an "as is" condition without any warranty as to its accuracy, completeness, or adequacy. The Offeror shall use this programmatic and operational information, technical data, and computer software or computer software documentation at its own risk. The Government assumes no responsibility for such furnished data/documentation nor will the Government have any liability for an Offeror’s proposal should such data/documentation prove to be inaccurate, incomplete, or otherwise defective. The Contractor shall use programmatic and operational information and technical data as marked IAW the Trade Secrets Act, 18 U.S.C. 1905, DFARS 252.227-7013, 252.227-7014, 252.227-7015 and all other applicable marking requirements.

G. Points of Contact (POC): The PCO is the primary point of contact for this acquisition. The Contract Specialist is the secondary point of contact. Email is the preferred method for exchanges of information.

H. Use of Non-Governmental Personnel in Solicitation Preparation or Proposal Evaluation: The firms listed in below prepared, assisted in preparing, provided input to this solicitation, including all supporting documentation, or otherwise provided advisory and assistance services to the Government in areas that relate to this solicitation. Further, the firms listed below may assist in the proposal evaluation process in an advisory capacity.

Accordingly, MDA may release proposal data to non-Government advisors for review, analysis, and inputs regarding the evaluation. The Government may also employ administrative and engineering support services contractors in the handling of solicitation documentation for purposes of security and document control. All such personnel will be required to execute a statement to preserve and protect from disclosure any source selection and contractor proprietary information disclosed to them during the course of these evaluations.

The firms listed above are subject to contractual Organizational Conflict of Interest (OCI) restrictions and are expressly prohibited from competing on this acquisition in any fashion, i.e., being a prime contractor, subcontractor, or teaming partner.

Submission of an offer under this solicitation will constitute a grant of authority by the submitting company to the Government to allow access by individuals of these firms to any source selection information that may constitute material within the ambit of the Trade Secrets Act, 18 U.S.C. 1905. These individuals will be performing under Government contracts that contain appropriate restrictions on the use and disclosure of information provided to the contractors (e.g., non-disclosure requirements) or will have executed Government disclosure agreements that are intended to ensure that the contractor support personnel handle the information properly and in accordance with applicable law and regulation. Individuals will be authorized access only to those portions of the proposal data and discussions that are necessary for them to perform their respective duties.

If an Offeror objects to disclosure of its submittals to non-Government advisors it must provide its written objections to the PCO within 10 days of RFP issuance. If an Offeror objects to disclosure of a portion of its proposal, it shall provide its consent for the remainder of the proposal to the PCO within the same timeframe. Written objections must include detailed statements of the basis for objection and identify specific portions of the proposal that the Offeror objects to being disclosed to non-Government advisor(s). Note that such an objection in no way relieves the Offerors of its responsibility to submit a timely proposal.

I. Minimum Order: At the time of award the Phase-in/Transition task order will be awarded as the minimum order for a Firm Fixed Price in accordance with the PWS provided in Attachment L-9.

L-1 PROPOSAL PREPARATION INSTRUCTIONS

A. To ensure timely and equitable evaluation of proposals, Offerors shall follow the instructions contained herein. Proposals must be complete, self-sufficient, and respond directly to the requirements of this solicitation. Alternate proposals shall not be accepted. The response shall consist of eight (8) volumes: Volume 1 – Contract Documentation; Volume 2 – General Information; Volume 3 – Technical; Volume 4 – Management and Leadership; Volume 5 – Small Business; Volume 6 – Information Management and Control Plan (ICMP); Volume 7 – Facility; Volume 8 – Organizational Conflicts of Interest (OCI); Volume 9 Cost/Price. Each volume shall be written on a stand-alone basis so that its contents may be evaluated without cross-referencing to other volumes of the proposal.

B. The PCO has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the PCO will review this determination and if, in the PCO’s opinion, adequate price competition exists, no additional cost information will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition, the PCO determines that adequate price competition no longer exists, Offerors may be required to submit information to the extent necessary for the PCO to determine the reasonableness of the price.

C. The Government requires proposal submissions be conducted via the Procurement Integrated Enterprise Environment (PIEE) Solicitation Module for unclassified proposals. The proposal shall be received prior to 5:00 pm central time on TBD. Late submissions will not be accepted.

To initiate the proposal submission through PIEE, the Offeror must register as a “proposal manager” (see https://piee.eb.mil/).

Training on PIEE’s Solicitation Module is available for proposal managers through PIEE. Subcontractors who have proprietary data and do not want to submit this data to the prime must submit it through PIEE. The subcontractors shall register as a proposal manager, and create a separate proposal submission from their prime. Documents submitted by the subcontractor directly to the Government must have the prime contractor’s team name and RFP number on the first page of the document. PIEE does not associate a subcontractor with its Prime member in the system so the file naming convention must clearly identify the Prime and subcontractor so the PCO can associate the subcontractor with the Prime. Subcontractor files shall have the following file naming convention:

Note to subcontractors: Subcontractors are to upload and submit their respective proposal files in PIEE as applicable. Subcontractors are not required to submit a file for every mandatory tab listed in PIEE and will receive a system warning from PIEE stating “Your offer does not contain all mandatory files. Do you wish to continue?” Subcontractors should review their submission and confirm all appropriate files are uploaded and select “Yes” to continue. The PIEE warning will not prevent a submission of the subcontractor’s proposal files.

In the General Information Volume, Volume 2, the Prime Offeror shall provide a list of subcontractors and a list of the proprietary documents each is submitting directly to the Government. Please submit a copy of this list to MDAMIOES@mda.mil five (5) business days in advance of the proposal due date.

Optional: Please provide any feedback on the use of PIEE to the PCO.

NOTE: IF THE PROPOSAL IS NOT RECEIVED BY THE DUE DATE AND TIME SPECIFIED, THE OFFEROR’S PROPOSAL IS CONSIDERED LATE IN ACCORDANCE WITH FAR 52.215-1.

Address any questions or concerns you may have to the PCO. Questions shall be emailed to the POCs listed above using Attachment L-5 It is requested that all questions be submitted within five (5) business days after issuance of the solicitation to allow the Government adequate time to prepare and issue responses to all Offerors prior to the date and time set for receipt of proposals. The Government will continue to accept questions up to the closing time of the solicitation; however, time may not permit responses to questions received after the aforementioned timeframe. Only written questions will receive a response. Information provided with each question shall include the document name, document date, specific page, paragraph, clause or other definitive citation requiring clarification. The Government will provide both the questions and the answers to all interested parties. No questions with restrictive markings will be answered. Company-specific information will be omitted from all questions and answers.

Solicitation Amendments

The Government reserves the right to amend any portion of this solicitation. Such revisions or amendments will be available in the PIEE Solicitation Module under HQ0857-25-R-0001 using Standard Form (SF) 33. Potential Offerors are encouraged to subscribe for real-time e-mail notifications when information has been posted to PIEE. For amendments requiring material changes, the proposal due date may be extended at the discretion of the PCO to enable an Offeror to incorporate revisions into its proposal. In such cases, the amendment will include an announcement of the new proposal due date and time. The Offeror shall provide written acknowledgement of any solicitation amendments issued by the Government in its proposal.

D. Pre and Post Award Debriefing

Pre and Post award debriefings will be conducted in accordance with FAR 15.505 and 15.506, respectively, and DFARS 215.506-70 Opportunity for Follow-up Questions in the case of a post-award debriefing.

E. Mistakes

Mistakes in an Offeror’s proposal discovered after award shall be handled in accordance with FAR 14.407-4 as referenced in FAR 15.508.

F. The font for all proposal parts shall be Times New Roman 12 point, with the exception of graphics (tables, diagrams, pictures, charts), which may be Times New Roman 10 point and can only be submitted on 11x17 margins. Continuous line numbering shall be used for quick reference. Graphics may be imbedded within text in either 8.5x11 margins, or 11x17 margins. However, pages submitted on 11x17 margins shall count as two (2) pages. Headers and footers are exempt from font size restrictions. Volume cover pages will not count against page limitations.

G. The page definitions shall be 8.5 inches by 11 inches with 1 inch margins

H. With the exception of cost/price, all proposal volumes shall be submitted in Microsoft Word to allow evaluators to search documents. The cost/price proposal section shall be submitted in Microsoft Office Excel spreadsheet, with the exception of the narrative substantiating the Offeror’s position. The cost/price narrative shall be submitted in accordance with the instructions above (Microsoft Word).

I. Legible tables, charts, graphs, diagrams, schematics and figures shall be used wherever practical to depict organizations, systems and layout, implementation schedules, and plans. These displays shall be uncomplicated, legible and shall not exceed 11 x 17 inches in size. For tables, charts, graphs and figures, the font shall be no smaller than 10 point.

J. Each volume shall contain a glossary of all abbreviations and acronyms used for the entire proposal, with an explanation for each. Glossaries do not count against the page limitations for their respective volumes.

K. Each volume shall contain a detailed table of contents to delineate the subparagraphs within that volume. A Master Table of Contents, contained in Volume 1, shall contain a consolidation of the individual Table of Contents for all Volumes.

L. Tables and figures can be used to illustrate quantitative or qualitative data. Tables and figures are not required. If provided, each volume shall contain a list of all tables and figures within that volume. The List of Tables and Figures will not count against the page limitations for their respective volumes. Tables, graphs, charts, and figures are considered non-narrative sections of the proposal and are only to be provided to enhance the proposal narrative.

Proposal contents that exceed the stated page limitations defined in Table L-1 will be removed from the proposal (starting with the first page of content that exceeds the applicable page limit) by the PCO, prior to turning the proposal over to the Government evaluation teams, and shall not be considered in the evaluation. Each page shall be counted except the following:

c) List of Tables and Figures

d) Glossaries and Acronym List

e) Tabs and Dividers

f) Blank pages

g) List of Proprietary Documents

h) OCI Analysis Disclosure Form

i) Proposal Cross Reference Matrix

j) Proof of Current Employment N. Specific Instructions, SUBMIT THE FOLLOWING:

VOLUME 1 – CONTRACT DOCUMENTATION

A. Master Table of Contents: The Offeror shall include a master table of contents of the entire proposal (include in Contract Documentation volume only). See Table L-1, Tab 1: Proposal Organization and Content.

B. Model Contract (SF33) The Offeror shall provide a complete copy of this RFP with an official electronic signature or copy of a scanned original signature of an official authorized to contractually bind the Offeror in Block 16 of the SF33. The Offeror shall also acknowledge all amendments, including a signature on the SF30 and any fill-ins/responses required by the amendment. The Offeror must complete the following sections within the RFP:

· Section A (SF33, Blocks 12 through 18). The proposal shall be valid at least 270 calendar days from the proposal due date, and Block 12 will be annotated as such by the Offeror. SPECIAL NOTICE: If an Offeror fails to establish proposal validity of at least 270 calendar days from proposal due date, the proposal may be eliminated from consideration. Prime contractors shall ensure subcontractor proposals submitted directly to the Government do not contain conflicting proposal validity information from the 270 day proposal validity requirement in Block 12 or the proposal may be eliminated from consideration.

· Section B, the overall ceiling for the IDIQ is $3,600,000,000. Offeror’s shall populate their proposed fees for all applicable CLIN types. The rest of the values will be filled in prior to award.

· Section K, Representations, Certifications and other Statements of Offeror Offerors shall complete representations, certifications, acknowledgments and statements via the System for Award Management (SAM) at https://www.sam.gov. A copy shall be included in the Contract Documentation volume. Any additional Section K information shall also be included in this section. NOTE: Offerors shall verify that “reps and certs” are also contained in SAM to ensure that all “reps and certs” completed and submitted via SAM correspond with those included in the solicitation. For example, the solicitation may contain new cybersecurity clauses that are not available in SAM. In such cases, the Offeror shall complete the applicable “reps and certs” included in the solicitation and submit with its proposal.

C. Ground Rules and Assumptions The Offeror shall clearly identify any ground rules and assumptions made in preparing the proposal.

VOLUME 2 – GENERAL INFORMATION

A. Identify the applicable solicitation number, solicitation title, prime contractor name, address, cage code, date of proposal, and validation period of proposal shall be 270 calendar days.

B. List the name, phone number, and email address of the individuals (maximum of two) within the prime contractor’s organization that are authorized to discuss matters pertaining to the proposal submission. If more than one individual is identified, the proposal shall specify which is the primary point of contact.

C. Provide the primary point of contact for the Offeror’s cognizant Contract Administration Office (CAO), Defense Contract Audit Agency (DCAA), and Defense Contract Management Agency (DCMA). Also, for both DCAA and DCMA provide the mailing address, email address, and facility codes as well. If there is not a CAO for either DCAA and/or DCMA then please state as such and provide a rationale as to why.

D. Provide a list of all teaming members and a list of the proprietary documents each is submitting directly to the Government. Please submit this list to MDAMIOES@mda.mil five (5) business days in advance of the proposal due date. List of proprietary documents not included in page limit.

E. Proposal Summary: The Offeror shall provide a top-level summary of its proposal suitable for describing its approach to Agency senior leadership.

F. Financial Resources Summary: Include documentation to facilitate the PCO’s determination that the Offeror has adequate financial resources to perform the contract or ability to obtain them (e.g., a letter of credit from a bank or other applicable information). The information provided shall not be dated earlier than three (3) months from the date of the solicitation.

G. OCI Disclosures: Each Offeror shall submit, for itself, partners, and subcontractors, an OCI Analysis Disclosure Form, Attachment L-3 and applicable supporting documents. The submission shall identify all of the team's MDA-funded contracts or subcontracts; MDS-related contracts or subcontracts; and any significant (greater than 35% of revenues) non-MDS related business relationships with firms doing business with or in support of MDA. Contracts that did not have a period of performance within three (3) years of the released date of this RFP are excluded from the disclosure requirement. For each identified contract, the Offeror shall disclose the contract number; name, and telephone number of the PCO; a description of the work performed or being performed; and, such additional information as the PCO may request to assist in the identification of actual or potential OCIs.

Offerors shall disclose the following:

1. Former Government employees now employed by the prime Offeror or any sub-contractor or teammate, or

2. Former Government employees with whom the prime Offeror or any sub-contractor or teammate have associated (for example, consultants or advisors), and

3. Who, during their Government employment, by virtue of their Government position, have or had access to non-public information competitively useful to this acquisition.

Offerors shall include an affirmative response in the event there are no such disclosures.

Due to the possibility of disqualification, Offerors are encouraged to consider the potential for creating an unfair competitive advantage when contacting a current Government employee regarding post-Government employment or any other association with the Government employee. The responsibility to ensure the Offeror has not gained an unfair competitive advantage remains with the Offeror.

Attachment L-3 will not count towards page limitations.

H. Proposal Cross Reference Matrix: The Offeror shall provide a matrix found in Attachment L-2 to cross reference its proposal to, at a minimum, the PWS, Section L, and Section M. The Offeror’s proposal paragraph number and format shall mirror Section L and Section M paragraph numbering to the maximum extent practicable. The Offeror shall include and populate additional columns as it sees fit to accommodate a more efficient evaluation. Attachment L-2 will not count towards page limitations.

VOLUME 3 – TECHNICAL (Factor 1) Scenarios. The Offeror shall address the representative scenarios that are contained in Attachment L-6 to allow the Government the greatest insight into the Offeror’s understanding of the scenario. The scenarios are not meant to cover the entire MIOES scope. Each scenario represents key critical technical areas of the contract to determine an Offeror’s knowledge and understanding of the requirement and their approach to execute. The Offeror’s response should include proven technical efficiencies or innovative processes and methodologies. The Offeror’s response should maximize technical performance and cost efficiency.

In addition to the preceding paragraph, for each of the scenarios, the Offeror shall provide discussion that:

· Demonstrates a thorough understanding of the technology;

· Addresses each of the unique questions required by the scenarios;

· Identifies technical challenges, risks, and associated mitigation strategies; and

· Identifies assumptions and related rationale.

Basis of Estimate (BOE). The Offeror shall provide a BOE in the format of Attachment L-7 that details the basis, rationale, estimating methodology to derive the proposed labor hours and labor mix for the following task orders:

4.15 Subfactor 15: Cybersecurity TO BOE

4.16 Subfactor 16: MDIOC Facility Sustainment & Operations TO BOE The Offeror shall break out the hours proposed for each labor category identified. The Offeror shall provide a complete list of the skills required to accomplish the effort and shall explain how the Offeror derived the skill mix. The Offeror shall include any conditions, constraints and or assumptions that would alter or invalidate the BOE if not met. The Offeror shall also discuss any risks and associated risk-handling strategies included in the BOE. The supporting information shall provide sufficient detail and clarity to:

· Explain how and why the proposal will accomplish the PWS requirements

· Enable the Government to determine the Offeror’s understanding of the technical requirements.

The Offeror shall provide the labor hours, by skill category/level, for the prime contractor, interdivisional and subcontractors by Government Fiscal Year and the rationale for the hours. The Offeror shall describe the methodology it used for estimating the number of hours proposed; the Offeror shall define the Offeror’s standard Full Time Equivalent used for the buildup of labor hours. For example, 1880/FTE per year is generally an industry standard. The following are examples of the methods that could be used:

· Historical Experience. Include analogous programs, why programs are relevant, hours, factors applied and how factors were derived. This detailed rationale need only be documented once when first used, which then may be referenced wherever else appropriate.

· Cost Estimating Relationships (CERs). Include a description of the database used to create CERs, relevant statistics and CER equations. Provide the base to which they are applied and identify whether the CERs are approved by DCMA.

· Commercial Models. Include the name of the model and the types and values of primary model inputs.

· Factors. Include the historical basis for the factor.

VOLUME 4 – MANAGEMENT AND LEADERSHIP (Factor 2)

The Offeror’s response to the Management and Leadership Approach shall describe a thorough and comprehensive approach to providing leadership and managing the requirements of the contract.

Subfactor 1 Program Integration and Enterprise Planning. The Offeror shall describe their approach to and understanding of processes, tools, technologies, measurements to meet the requirements associated with paragraph 10.1.3, Program Integration and 10.1.4, Enterprise Planning. Describe how you will identify, manage, align, and mitigate interdependencies in order to seamlessly execute all activities across the MIOES contract. Describe the challenges associated with meeting the standards associated with these tasks. Identify risks inherit in your approach along with your risk mitigation strategies.

Subfactor 2 Management and Organizational Structure. The Offeror shall describe their approach to and understanding of management and organizational structure of the MIOES team to include subcontractors and vendors. The Offeror shall describe how they will partner with MDA/IS and other MDA two-letter organizations to develop and maintain a transparent and collaborative relationship with the Government. Describe management and leadership principles, models, processes, activities, architectures, metrics, trend analysis that will be developed and implemented to manage MIOES requirements that will enable operational and cost efficiencies across the MIOES contract. Describe the management and leadership challenges and how they will be met.

Subfactor 3 Teaming and Subcontracting Approach. The Offeror shall describe their approach to and understanding of how teaming and subcontracting will enable the delivery of optimal solutions and services in terms of cost, schedule, and performance. Identify the interfaces between their organizational structure and the significant small business and large business subcontractors. Describe the nature and extent of the work to be performed by the subcontractor including split of responsibilities and estimated percentages of work to be performed. Describe your approach to determining when work will be performed in-house versus hiring expertise from external sources. Provide a description of the processes and tools that will be used for integrating personnel, policies, and managerial procedures to allow the Offeror to function as a seamless single entity regarding how work is controlled, performed, reported, and reviewed. Describe the process of assessing the need for and how new teaming arrangements will be executed throughout the life of the MIOES contract.

Subfactor 4 Cost Control. The Offeror shall describe their approach to and understanding of processes, tools, technologies, measurements for controlling costs throughout the life of the contract and their strategy for cost savings measures while maintaining productivity and customer satisfaction. The Offeror shall describe their approach for continuous evaluation of services. Describe any innovations that can be incorporated that will enable cost efficiencies throughout the MIOES contract.

VOLUME 5 – SMALL BUSINESS

Large business Offeror submit a small business Individual Subcontracting Plan IAW FAR 52.219-9 including information required in paragraphs (d) (1) through (d) (15) of that clause. The small business Individual Subcontracting Plan will not be evaluated. The PCO will review the Individual Subcontracting Plan to determine if it is acceptable in order for the successful Offeror to be eligible for contract award. The successful Offeror’s small business subcontracting plan will be incorporated into the contract at contract award.

DoD Comprehensive Subcontracting Plan Test Program participants comply with DFARS 252.219-7004 and may submit the most current Defense Contract Management Agency approved Comprehensive Subcontracting Plan. If submitting a comprehensive plan, DoD Comprehensive Subcontracting Plan Test Program participants must additionally, submit for evaluation, a Small Business Participation Plan.

All Offerors submit a Small Business Participation and Commitment Plan for evaluation. The successful Offeror’s evaluated proposed Small Business Participation and Commitment Plan will be incorporated into the contract at contract award. Small businesses and goals specifically identified in the proposed Small Business Participation and Commitment Plan must be consistent across the Individual Subcontracting Plan (if applicable).

VOLUME 6 – INFORMATION MANAGEMENT AND CONTROL PLAN

The Offeror shall submit an Information Management and Control Plan (IMCP) that clearly describes its policies and procedures for the dissemination and accountability of CUI, as outlined in the PWS. Offeror’s IMCP shall address the following areas:

1. Identifies practices, safeguards, restrictions, and accountability procedures to prevent the unnecessary transmission of CUI down the supply chain. Sharing of CUI to Subcontractors should be on a need-to-know/lawful government purpose basis minimizing the amount of CUI transmitted.

2. Verifies all NIST SP 800-171 Rev.2 security requirements are implemented and are documented within the SSP. Identifies security requirements not yet fully implemented in the POA&M and provides how these will be resolved within one year from date of contract award or a reasonable period of time as agreed to by the PCO.

3. Addresses controls in place to enforce flow down of DFARS 252.204-7012, 252.204-7019, and 252.204-7020 and Prime Contractor IMCP procedures to all applicable Subcontractors.

4. Addresses procedures for monitoring supply chain compliance with DFARS 252.204-7012, DFARS 252.204-7019, and DFARS 252.204-7020.

5. Addresses procedures for reporting a cyber-incident IAW DFARS 252.204-7012.

6. Ensures assessment results are documented in the Supplier Performance Risk System (SPRS) IAW DFARS 252.204-7019.

7. Acknowledges the requirement to provide access to its facilities, systems, and personnel to perform a Government on-site assessment IAW DFARS 252.204-7020.

8. Acknowledges the requirement to complete, submit, and flow down the Supplier Compliance Supplement (SCS) to Subcontractors handling CUI. Acknowledges the requirement for Subcontractors to provide verification to their Prime that the SCS has been sent directly to the Government PCO.

VOLUME 7 – FACILITY

The Offeror shall submit as part of its proposal, one of the following:

1. A current Facility Clearance (FCL) for the Prime Offeror, or

2. For a Joint Venture prime Offeror without its own FCL, a current FCL for each member of the Joint Venture (JV), or

3. A Plan of Action and Milestones (POA&M) demonstrating the steps required to complete and submit the FCL request (Sponsorship Package) and complete the associated tasks of the Defense Counterintelligence and Security Agency (DCSA) audit/inspection.

VOLUME 8 – OCI MANAGEMENT PLAN

Note to Offeror:

The Government is willing to perform an initial review and assessment of a potential Offeror’s Organizational Conflict of Interest (OCI) disclosure, in accordance with Section L, Volume 2, General Information, paragraph G, in advance of the release of the final Request for Proposal (RFP).

Each Offeror shall submit, for itself, partners, and subcontractors, an OCI Analysis Disclosure Form, as provided in attachment L-3. A final OCI Management Plan will still be required for the final RFP submission.

The Offeror shall submit an OCI Management Plan that includes the following:

a) The Offeror shall provide a description of the organizational unit and position(s) responsible for implementing the contractor’s OCI Management approach (overall management, oversight, and enforcement).

b) The Offeror shall provide the plan to maintain and self-certify an OCI compliant environment during contract performance.

c) The OCI plan shall have procedures for detecting, eliminating, and reporting OCIs at any tier (includes subcontractors at all tiers).

d) The OCI plan shall have procedures for protecting agency information that could lead to an unfair competitive advantage if disclosed; specifically, collecting disclosure agreements covering all individuals, subcontractors, and other entities with access to Agency-sensitive information, and physical safeguards.

e) The OCI plan shall have promulgation of enforcement mechanisms, procedures and training to all employees of the Prime contractor and subcontractors at all tiers, with emphasis on consequences for non-compliance.

f) The OCI plan shall include processes for identifying and eliminating potential conflicts associated with the employment (military or civilian) that may have recently separated federal Government employees had unequal, non-public access to MDA information.

g) The OCI plan shall identify all actual, potential, or apparent OCIs

h) The OCI plan shall provide mitigation plan(s) for “g” above that are thorough, detailed and substantive enough for the Agency to review (GAO C2C Solutions, Inc., B-401106.5 (Jan. 25, 2010).

VOLUME 9 – COST AND PRICE (Factor 7)

The Cost and Price Volume instructions are to help the Offerors in the preparation of the Cost and Price Volume. A well written Cost and Price Volume will completely and accurately provide all pricing information organized in a way that facilitates the Government evaluation. This is important to the Offeror because a quality Cost and Price Volume simplifies the evaluation and communicates to the Government the realism and reasonableness of the proposed prices. The Offeror bears full responsibility for any adverse impact resulting from a failure to follow these Cost and Price Volume instructions.

For proposal purposes, the estimated start date is February 8, 2027 except for the phase-in task order which has an estimated start date of August 10, 2026, with rates established for the life of the contract.

9.1 Cost and Price Compliance Requirements

Throughout the Cost and Price volume instructions, the term “Major Subcontractor” is defined as, and includes, any subcontractor or Inter-/Intra-Work Transfer Authorization (IWTA) at any tier that contributes 10% or more of the hours as proposed by the Offeror for all total notional hours for the proposed effort.

Throughout the Cost and Price volume instructions, the term “Minor Subcontractor” is defined as, and includes, any subcontractor or IWTA that contributes 10% or more of the total notional hours for the proposed effort.

Throughout the Cost and Price volume instructions the term “Offeror” is defined as, the prime Offeror which may be a joint venture.

Offerors and major subcontractors must provide copies of the Cost and Price volume in the quantities stated in EPW Attachment L-4.

In a case where the Offeror’s Cost and Price Volume does not contain full cost information for a specific major subcontractor, the major subcontractor must forward an unsanitized cost/price volume directly to the Government no later than the closing date of the solicitation in accordance with Section L – paragraph C. When a Cost and Price volume submission is made directly to the Government, the major subcontractor must clearly identify the Offeror and RFP to which their submitted cost data applies. Major Subcontractor submissions must conform to the same compliance standards set forth as applicable to the Offeror (including electronic submissions). Alternatively, in lieu of direct submission to the Government, major subcontractors may provide unsanitized electronic submittals via email to the Offeror for inclusion with the Offeror’s Cost and Price volume submittal to the Government.

The Notional Hours worksheet in the EPW states the notional hours by Labor Category and Government Fiscal Year (GFY). Offerors proposals must not deviate from these notional hours.

The Offeror must include proposed cost and fee, by Government Fiscal Year (GFY) and detailed by contract type. Offerors may NOT propose fee on subcontractor fee. ***This is standard but request industry feedback on the application of fee on subcontractor labor. See highlighted “Note to Offeror” below.

Offerors, inter-divisional work transfer agreements (IWTAs), and major subcontractors may NOT propose Government Furnished Property (GFP) not explicitly made available to all Offerors in the PWS and Section J.

In submitting its proposal, the Offeror grants the PCO or an authorized representative the right to examine, at any time before award, books, records, documents, or other directly pertinent records concerning the reasonableness and realism of proposed cost or prices.

The Government defines a full-time equivalent (FTE) as 1,880 productive hours.

Proposing uncompensated overtime to meet the RFP requirements is prohibited.

The minimum realistic labor escalation is 3% per year unless proposed direct labor rates are covered by a Forward Pricing Rate Agreement (FPRA).

If the EPW lists a Work Site as “Gov’t Site” in the Rates worksheet column C, that rate can be utilized for labor hours at a Government site, full telework, or another specified location.

The proposed Contract Rate Table will be memorialized in Section J of the contract. These rates will be used after the contract is awarded to price any Task Orders resulting from the IDIQ contract.

Materials, Other Direct Costs (ODCs), and Travel will use plug numbers as follows. These will be applied to Cost CLINs and fee will NOT be allowed on these CLINs. However, indirect rates will be applied in accordance with the contractor’s accounting practices.

Travel - $TBD annually estimated cost ceiling, inclusive of burdens Materials/ODCs – $TBD annually estimated cost ceiling, inclusive of burdens.

The Notional Materials (Notional) worksheet in the EPW states the notional material by Government Fiscal Year (GFY). Offerors proposals must not deviate from these notional material quantities and types.

9.2 Cost or Pricing Data Requirements

It is anticipated that pricing of this action will be based on adequate price competition; therefore, Offerors, IWTAs and major subcontractors are not required to submit certified cost or pricing data. If, after receipt of proposals, the PCO determines that adequate price competition does not exist, the Government may require certified cost or pricing data in accordance with DFARS 252.215-7008.

The Government requires all Offerors, IWTAs and major subcontractors provide data other than certified cost and pricing data using the EPW along with an accompanying narrative and any necessary information to substantiate the cost reasonableness and realism. Note that minor subcontractors are not required to provide EPW and accompanying narratives. However, Offerors, IWTAs and major subcontractors must include minor subcontractor prices in the EPW. If necessary, the Government may request additional minor subcontractor cost data during discussions.

9.3 Cost Reasonableness and Realism

The realism of direct labor cost is fundamental to a successful professional services acquisition. The Government will analyze direct labor rates for realism and to ensure compliance with FAR Clause 52.222-46 “Evaluation of Compensation for Professional Employees”. To provide transparency into this evaluation the Government is providing benchmark direct labor rates. These benchmarks are the Government’s estimate of the minimum realistic average hourly direct labor rate considered adequate to recruit and retain the current workforce. The Labor Category worksheet in the EPW includes a description of each RFP Labor Category along with the hourly benchmark direct labor rate.

NOTICE: Proposed average direct labor rates that are less than the provided benchmarks may be considered unrealistic. The Government will make cost realism adjustments to the proposed direct labor rates up to the benchmark rate unless a convincing explanation with substantiating documentation is proposed which explains in detail how the Offeror will be able to recruit and retain the current workforce at a rate lower than the benchmark. This adjustment will be reflected in the Offeror’s total evaluated price.

The Government developed these benchmarks based on actual rates and utilizing the Economic Research Institute salary and compensation tool for labor category descriptions and experience under these requirements.

The cost/price evaluation team and the technical evaluators will share information on the adequacy of proposed direct labor rates and fringe benefit cost in accordance with the Total Compensation Plan proposed in the cost/price volume.

The reasonableness and realism of indirect rates is also fundamental to a successful professional services acquisition. Proposing unreasonable indirect rates has a powerful negative impact on the affordability of an Offeror’s proposed price. As a result, the problem of unreasonable proposed indirect rates is self-regulating. On the other hand, unrealistic proposed indirect rates are a particular concern because such proposed rates are unfair to conscientious Offerors and lead to cost overruns after contract award. The realism of indirect cost including fringe benefits will be assessed by cost analysis of information provided within the Cost and Price volume, other information obtained from DCAA and Defense Contract Management Agency (DCMA).

9.4 Excel Pricing Workbook (EPW) (See Attachment L-4)

To achieve standardization, the EPW must be included in one workbook/file. This workbook must be automated to the greatest extent possible. It must include the pricing worksheets discussed below.

The goal of the automated EPW format is to provide a comprehensive working model of the Offeror’s Cost and Price volume. The EPW will facilitate changes to source data such as direct labor hours and/or rates. When manipulated by the Government, the EPW must be sophisticated enough to compute the impact of individual cost element changes on the total estimated cost/price. An error free EPW is essential to ensure a correct and timely evaluation of proposed cost/prices. All formulas used in the workbook must be clearly visible in the individual cells and verifiable. Whereas linking among the spreadsheet worksheets is anticipated, the use of external links (to source data not provided in the workbook) is prohibited. The EPW must contain no macros or hidden cells. The EPW must not be locked/protected or secured by passwords. Offerors, IWTAs and major subcontractors must correct and tailor Attachment L-4 to eliminate errors and to conform to their estimating and accounting systems.

Instructions for EPW pricing Worksheets: (See Attachment L-4) The numbers in Attachment L-07 are there only for formula and link testing and should not influence the proposed EPW.

The Offeror, major subcontractors, and IWTA contributing 10% or more of the total proposed hours must submit an EPW. Note that some of the worksheets are only required from the Offeror.

Members of Joint Ventures shall designate their team role as “Prime” and reflect their fee as Prime fee on the Labor Resource tab.
