L-2 Special Instructions for Preparation of Proposals:
(a) General Information
(1) Instructions. Instructions contained herein are for preparing proposals and providing data and presentations to the Government in response to this solicitation.
(2) Compliance. Proposals must comply fully with these instructions. Proposals that fail to do so may be rejected as non-responsive. Proposals shall include all of the information requested in these instructions. The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government’s requirements; rather Offerors shall provide convincing rationale to address how they intend to meet these requirements. Offerors shall assume the Government has no prior knowledge of their facilities and/or experience, and will base its evaluation on the information presented in the Offeror’s proposal.

**Oral Presentation – PowerPoint Presentation required as well as PWS, WBS, etc.
L.2.1 General Preparation:
L-2.1.1 Offerors should confine their submissions to essential matters, sufficient to define their proposal, and provide an adequate basis for evaluation. Unsupported promises to comply with the contractual requirements are insufficient. Proposals must not merely echo the contractual requirements; they must provide convincing documentary evidence supporting asserted performance.
L-2.1.2 No classified information may be submitted in response to this Request for Proposal (RFP).
L-2.1.3 Proposal Disclosure Statement: If the Offeror does not want data disclosed to the public for any purpose or used by the Government for any purpose other than evaluation of the proposal, the Offeror shall mark the title page with the following legend:
“This page, furnished in connection with RFP number H92254-08-R-0001, shall not be disclosed outside the Government and shall not be duplicated, used or disclosed in whole or in part for any purpose other than to evaluate the proposal; provided, that if a contract is awarded to this Offeror as a result of or in connection with the submission of this data, the Government shall have the right to duplicate, use or disclose the data to the extent provided in the contract. This restriction does not limit the Government’s right to use information contained in the data if it is obtained from another source with restriction.
THE OFFEROR SHALL MARK EACH SHEET OF DATA WHICH HE WISHES TO RESTRICT WITH THE
FOLLOWING LEGEND:
“Use or disclosure of proposal data is subject to the restriction on the title page of this proposal.”
L-2.1.4 Oral Proposals: The proposal for the sample task Transition will not be submitted at the same time as the original proposal. Each Offeror will be contacted by letter or amendment on the date and time the oral proposal will be due. The letter or amendment will contain instructions to Offerors on what is to be submitted (cost, transition plan, etc).
L-2.2 Format:
L-.2.2.1 Mandated Software: Microsoft Office 2003, Adobe Acrobat 8.x, and Project 2003 compatible products shall be used (Microsoft Excel 2003 shall be used to create “.xls” files, and Microsoft Word 2003 shall be used to create the “.doc” files, etc.). The slides for the Oral Proposals will be in PowerPoint Presentation format (.ppt). Cost data shall be provided in Microsoft Excel 2003 format with narrative information in Microsoft Word 2003. If files contain links, the links must be intact and maintained throughout all revisions. Include all formulas in your spreadsheets and include notes to add clarity and understanding of formulas or entries. Graphics developed with graphics software packages may be saved as .PDF files and integrated into their appropriate text pages. Offerors may submit their files as “Read Only” to ensure the integrity of the documents is maintained after receipt. All electronic data must be virus free.
L-2.2.2 Page Format Restrictions: Page size shall be 8.5 x 11 inches. Pages shall be single-spaced with 1-inch margins on the top, bottom, and sides. Line spacing may be added after paragraphs and titles to improve document design. Type shall be no smaller than 11 characters per inch, using Arial font except as provided in Section 2.2.7.
Tracking, kerning, and leading values shall not be changed from the default values of the Microsoft word processing or page layout software. Pages that exceed the page count for any given Volume will be removed and not evaluated.
L-2.2.3 Page Counts: Pages shall be numbered sequentially within each section of each volume. Page limitations shall be treated as maximums. If exceeded, the excess pages will not be read or considered in the evaluation of the proposal. The following pages are excluded from page count limitations: volume covers, title pages, tab divider pages, tables of contents, list of figures, glossaries, acronyms, and abbreviations lists; cross referencing matrices, any teaming agreements and the proposal cover letter, if those items contain no proposal information and are used solely as a means to facilitate proposal review.
L-2.2.4 Volumes: Each volume on the CD-ROM shall be identified as a separate directory (i.e. folder for Management/Technical, Sample Tasks, Cost/Price, etc.) and table of contents delineated to depict content. The Government has no preference in labeling the disks.
L-2.2.5 Cross-Referencing: Proposal volumes shall be written on a stand-alone basis so that their contents may be evaluated without cross-referencing to other volumes unless hyper-linked. Information required for proposal evaluation that is not found within the proposal shall be assumed to have been omitted.
L-2.2.6 Glossary of Abbreviations and Acronyms: The proposal shall contain a glossary of acronyms and abbreviations used with an explanation for each. However, the glossary shall not be used to define techniques and approaches and is not part of the evaluation.
L-2.2.7 Illustrations And Tables: Legible tables, charts, graphics, and figures shall be used wherever practical to depict organizations, systems and layout, implementation schedules, plans, processes, and/or methodology. These displays shall be uncomplicated and legible. For tables, figures, graphics, process diagrams, and methodology no font smaller than 8 will be used.
L-3 Proposal Content
L-3.1 Volume 1: Management/Technical Proposal Area
L-3.1.1 Performance Work Statement (PWS): The Offeror shall develop a PWS that demonstrates an understanding of the objectives in the Statement of Objectives (SOO) and the ability to translate the Government objectives into a performance-based construct based on DoD policy and guidance with Enterprise (see L-3.1.2) metrics that are meaningful and can measure effectiveness and efficiencies of the work to be performed. The PWS will replace the SOO upon award as Section C.
Operations: The Offeror shall identify management and operational efficiencies that can be realized within the scope of expected operations for the SOFSA. The Offeror shall discuss the management organization to include mission and functions, operating procedures and techniques, financial accounting system, and management controls proposed for its business operations. The Offeror shall discuss the methods and techniques to be employed in the management of individual projects and the Enterprise. The Offeror shall explain its process for identifying new equipment and/or facilities needs and planning for the acquisition. This discussion shall provide an overview of the Offeror’s methods of developing PWSs, Cost Estimates, and Resource Allocations including the identification of both the responsible organization element and other elements contributing information or expertise. The Offeror shall discuss performance management techniques with emphasis on tracking and reporting methodologies, data collection, data analysis and response to changes. The Offeror shall identify the earned value management approach to be employed for SOFSA task orders. The Offeror shall discuss any innovative management and business practices proposed for SOFSA implementation. Cost/cost savings associated with proposed innovations/efficiencies shall be identified in the proposal in accordance with Section L-3.3.4. The Offeror shall submit detailed instructions as to how it proposes to obtain support via inter-divisional transfers.
Key Functions: The Offeror shall identify key functions including, but not limited to, those key functions identified below. The Offeror shall discuss the individuals’ professional qualifications for responsibilities that will be assigned when performing the key function(s). The authority, responsibility and accountability of each key function shall be discussed in the plans as required for evaluation in Section M.

NOTE: This list is not intended to restrict or in any way imply an organizational structure and the titles can change (mapping required) to fit an organization. This area is evaluated in Section M Factor 2, 3, and 4 as appropriate.
The results of this will be these distinct plans. These plans will become part of the resulting contract.
L-3.1.2 Enterprise Management Plan: The Offeror’s plan shall address a sound and rational management approach to all Enterprise areas. The plan shall cover facilities management, information technology management, security management, supply chain management, transportation and communications and all other Enterprise related areas addressed in paragraph 2.2 of Section C.
L-3.1.3 Business Operations Plan: The Offeror’s plan shall address a sound and rational management approach to satisfy paragraph 2.3 of Section C. The plan should address any innovation for hiring and retaining highly skilled, qualified and flexible workforce to meet fluctuating task order requirements. The ability to provide proper tools and well defined processes for successful task order management will be addressed. The plan shall address the capability of data sharing through dashboards, portals, etc. Further, the ability to provide a sound and rational higher-level quality management system/plan that complies with FAR Part 46.
L-3.1.4 Program Management Plan: The Offeror’s plan shall address how to satisfy cost, schedule and performance across all task orders. This plan shall demonstrate the Offeror’s sound and rational approach for task order management and data management to meet all contract requirements including the rights to Offeror generated and acquired data. The Offeror shall provide automated metrics to assess trends, productivity, and resources. The Offeror shall discuss the methodology for exercising positive management and control over customer property.
L-3.1.5 Subcontracting Plan: The Offeror shall address the type of work and the NAICS code that will be offered to subcontractors and with special emphasis on the use of Ability One Program for this contract. The NAICS will be reviewed by the Government to ensure it is applicable to the work being subcontracted and offers maximum opportunity for small business participation.
L-3.1.5.1 Subcontracting Approach:
(i) The Offeror shall list, by PWS paragraph, the types of tasks that will be subcontracted and to whom.
The Offeror shall discuss how it plans to: interact with the subcontractors; allocate work between the prime and subcontractors; NAICS code to be assigned, exercise oversight/control over subcontractor cost, schedule and performance. Explain the rationale if there are differences in the procedures for interfacing with different subcontractors.
(ii) In accordance with FAR Part 19.702, a subcontracting plan shall be submitted by applicable Offerors.
This plan shall include the specific information required as delineated in FAR Part 19.704.
L-3.1.5.2 SB/SDB/WOSB/HUBZone-SB/DVOSB/LB: Offerors shall complete the matrix below, listing the percentages of work to be subcontracted (excluding items bought through the purchasing system with the exception of Ability One) and type of work for each type of business. Type of work includes all services to be subcontracted.
Discuss the level of commitment the Offeror has to meet the proposed small business target and explain the rationale if there are differences in procedures for interfacing with different subcontractors.

L-3.1.5.3 Teaming Agreements: The Offeror shall provide copies of any written teaming arrangements or agreements with subcontractors that have been executed and indicate a contractual relationship or commitment if the Offeror is awarded a contract under this solicitation.
L-3.2. Volume II Sample Tasks (excluding oral proposal)
The Offeror shall respond individually to three sample tasks. The sample tasks are representative of actual tasks but will be used for evaluation purposes only and shall not be incorporated into the resultant contract. The Offeror will be expected to propose which type of payment provisions (CPFF, CPIF, FFP, FPIF, Cost, LH) using Section B that would provide the best value to the Government based on the work to be performed.
L-3.2.1 The sample task requirements are presented in SOO form. In response to sample task one, the Offeror shall provide (1) a PWS, (2) a Work Breakdown Structure (WBS), (3) a Resource Estimate, (4) a Project Milestone Schedule, and (5) a Management Plan. Sample tasks two and three require a PWS, Resource Estimate and a Management Plan. These five products are explained in detail below. Innovative business practices proposed in other solicitation areas are expected to be incorporated in the sample task proposals, when applicable. Each sample task proposal shall stand on its own without the evaluator having to go to other portions of the proposal to evaluate.
L-3.2.1.1 PWS. The Offeror shall develop a PWS that demonstrates an understanding of the objectives in the Statement of Objectives (SOO), the ability to translate the Government objectives into a performance-based construct based on DoD policy and guidance with Enterprise metrics (L-3.1.2) that are meaningful and can measure effectiveness and efficiencies of the work to be performed. The sample tasks must not contain hyper-links.
L-3.2.1.2 WBS. The Offeror shall develop a WBS for sample task one that crosswalks with the proposed technical approach in the PWS. The Offeror shall extend the WBS to Level II and/or Level III, as appropriate; to completely outline the technical approach proposed. The PWS shall be the Offeror’s expression of the derived WBS. The Government’s intent is both to limit the volume of technical information provided for evaluation and to eliminate the Offeror’s need for extensive detailed technical information.
L-3.2.1.3 Resource Estimate. The Offeror shall develop a resource estimate for each sample task. Its contents shall include labor categories, labor hours, and required materials, to include tools, test equipment, facilities, etc., without the associated cost data. Note: The same information with the associated costs shall be presented in Volume III including the rationale for type of contract being proposed per sample task.
L-3.2.1.4 Project Milestone Schedule. The Schedule shall present and explain the Offeror’s planned timeline for accomplishing the tasks set out in the proposed PWS and WBS. The Offeror shall identify the critical path associated with the aviation sample task schedule.
L-3.2.1.5 Management Plan. The management plan shall present the Offeror’s methodology for controlling or mitigating the various factors affecting the proposed work tasks, schedule, and cost. The management plan shall address the Offeror’s method for complying with any special Government oversight, reporting, or management requirements presented in the SOO. The management plan will address the correlation between the PWS, WBS, Resource Estimate and Milestone Schedule as required.
L-3.2.3 Oral Sample Task: The oral presentation shall consist of the Offerors proposal to the transition sample task.
Offerors will be required to provide suggested remedies and resolutions in response to this sample task. The proposal, including briefing slides, will be requested via letter or amendment with specific instructions to the Offerors.
Ground Rules for Oral Presentation
Scheduling and Location. Offerors will be contacted to schedule oral presentations for the sample task to be held in Tampa, FL. The order of the presentations will be by random selection. The expected timeframe of the oral presentation will be on/or about the first week of November.
Each session shall consist of the following process:
- Offeror's presentation, time not to exceed 90 minutes in duration
- Break, not to exceed 45 minutes
- Question and Answer Session, not to exceed 60 minutes
Government Evaluators. Government personnel attending the oral presentation will consist of the Contracting Officer, other contracting office staff, as necessary, and members of the Source Selection Evaluation Team (SSET).
Government observers may be present. Only members of the SSET will evaluate the presentations.
NOTES. The Government will not accept notes supplementing the oral presentation.
Offeror’s Personnel. All featured speakers shall be the Offeror’s proposed individuals who will actually perform the task for the particular requirement. Each Offeror shall have present no more than six personnel, inclusive of speakers, for the complete duration of the presentations.
Communications. The only exchanges or two-way dialog the government will engage in during the oral presentations will be limited to clarifications; otherwise, the conversation will be one-way (from the Offeror to the government) during the oral presentations.
Rescheduling. The Government reserves the right to reschedule any Offeror’s presentation at the discretion of the Contracting Officer. The Offeror will be notified of any change to the schedule date, time, or location of their oral presentation. The Offeror shall notify the Contracting Officer immediately of any emergency that would preclude the Offeror from presenting at the specified time and/or date. The Government will try to accommodate legitimate emergencies, but reserves the right to decline to reschedule the Offeror’s oral presentation.
Recording. The oral proposals will not be recorded.
Information Referenced but not Presented “Orally”. Information referenced in the presentation material but never presented orally will not be considered in evaluating the presentations.
Conflict between Oral Presentation and Written Technical Proposals: Should information presented during any Offeror’s oral presentation conflict with information found within corresponding written technical proposal, information within the written technical proposal will take precedence over information presented during oral presentation.
Presentation Charts. Slides may contain company name and logo but may not contain the SOCOM or its Components logo or any military logo. There is not a limit to the number of slides. At the request of the Contracting Officer, the slides will be submitted prior to the Offeror’s presentation date. The slides shall be configured, both in the amount of data, color scheme, and font size, as to be easily readable from a distance of 30 feet.
Cost Data. Cost data shall not be addressed at any point during the oral presentation.
Miscellaneous. Information used in the presentation will be used solely for source selection purposes and will not become part of the contract unless specifically required by the Contracting Officer.
L-3.3 Volume III Cost/Price Proposal Area
All cost information shall be presented in Volume IV with the exception of the Transition Sample Task. Offerors shall submit the cost data, along with any calculations in Microsoft Excel version 2003. Cost information consists of estimated costs, and the Offeror shall submit all cost data that forms the basis of the estimate, as well as detail of the rationale and methodology that was used to move from the basic data to the resulting estimate(s) and the Offerors proposed incentive profit/fee adjustment formula and proposed fixed fee.
Other Direct Costs: Identify the type and amount of other costs to be charged directly to the contemplated contract, which are not included elsewhere in the cost proposal. The Government directs each Offeror to propose a 3% (minimum) infrastructure improvement pool for replacement of equipment, and other facilities improvements. The Government also requires a 25% absorption pool that is the cost of building leases, communication services and utilities cost. Summarize and specify the costs of supplies/materials, equipment, training, travel, vehicles, and miscellaneous. Include in supporting data a brief description of the cost proposed, example: labor and burden, indirect costs, items, quantities, unit cost, and basis of cost estimates. All other direct costs, including labor and material shall include appropriate amounts of escalation for the period of performance. The absorption pool and infrastructure pool will not be part of the evaluation as the percentages are given to the Offeror.
Backup details for the cost proposal breakdown should be sufficient to allow the Government to determine reasonableness. It should be detailed by functions and cost elements that can be readily tracked to the various segments of the PWS and technical proposal.
The Offeror shall provide memorandums, letters or reports pertaining to the following:
-Proof of adequate accounting system -Proof of an acceptable estimating system -Copy of the ACO approval of CPSR
L-3.3.1 Sample Task Costs
L-3.3.1.1 Offerors shall include a complete and separate cost proposal for each sample task based on the Offeror’s proposed technical approach discussed in Volume II. The associated cost data and supporting rationale shall be submitted in similar format and detail as described in L-3.3.2.1 and L-3.3.2.2. This shall also include costs associated with inter-divisional transfers, a bill of materials including all items with extended value over $5,000; a list of all tools, test equipment and facilities; and monthly man loading charts by functional labor categories. The burden of proof of cost credibility rests with the Offeror.
L-3.3.1.2 In all cases where cost estimates are based upon learning/improvement curve applications, the Offeror shall identify the specific area subject to learning, the curve hypotheses (unit or cumulative), and the slope of the curve as a percent. Also, the Offeror shall explain what data were used to develop the slope, how these data relate to the current effort, and how entry into the learning curve was attained (e.g., how the first unit was derived).
L-3.3.1.3 Bill of materials shall include the following: WBS element, word description; quantity required by WBS element; total quantity for the sample task, unit cost; total or extended cost; and the basis for the estimate. The rationale for estimating material cost and choosing material sources shall be explained.
L-3.3.1.4 The Offerors shall provide similar information as discussed above (i.e., costs, man loading charts, burden rates, material costs) for each of the major subcontractors.
L-3.3.2 Total Estimated Contract Cost and Fee
The Offeror shall use their estimated direct labor costs, and the Government’s estimated direct material, and other direct costs (specified hours provided in Attachment 27) to arrive at a total contract (by the Government fiscal year) cost, while applying their own appropriate indirect rates, factors and fee to estimate the proposed total estimated contract cost and fee.
Attachment 27 provides estimated annual labor hours by occupational category that is representative of the level of effort required to support anticipated SOFSA contractual requirements. The Offeror shall consolidate the estimated annual labor hours with contractor proposed labor rates and burden amounts by fiscal year to estimate the proposed total estimated contract cost. For evaluation purposes, Offerors shall assume all work will be accomplished in the Kentucky area.
The Department of Labor (DOL) wages rates listed, as attachments in Section J of this solicitation represent a minimum rate only, not a required rate. If the Offeror proposes separate burden rates for certain categories of labor (e.g., engineering, manufacturing, etc.), costs will be subtotaled and burden applied at that level. Offerors shall use the Skill Matrix, Attachment 27 in estimating proposed labor costs. The Offeror will create additional worksheets for human resources, custodial, etc. in the same Excel file.
Offerors shall breakout their estimated data prices for each data item identified on the DD Form 1423s attached in Section J, and those submitted by the Offeror IAW DFARS 215.470 and SOFARS Clause 5652.215-9005, Estimated Prices for Data incorporated in this section of the RFP.
L-3.3.2.1 Direct Labor: Representative labor hours and labor skills by contract year are provided in Attachment 27 of the RFP and include both direct and indirect labor hours. List the straight time and overtime productive labor hours, whether compensated or uncompensated (i.e., salaried employees), and the hourly rates and cost for each individual job classification. Provide supporting rationale and methodology used for labor rate development of each classification. Proposed labor rates for Service Contract Act (SCA) non-exempt positions shall be in compliance with the Department of Labor Wage Determinations. Provide supporting rationale for any escalation proposed for SCA exempt positions. If a different job title is used other than what is listed on the wage determination, a cross reference will be required. Include an explanation of any differential payments included in the labor rate development for multi-shift effort or non-standard workweek schedules. In addition, provide an explanation of what is considered direct labor and indirect labor.
L-3.3.2.2 Labor Burdens:
Non-productive Labor: For proposal purposes, the cost of non-productive time is to be classified as a labor burden expense. Non-productive labor shall include the cost all compensated leave. Summarize the cost, and attach supplemental data, which quantifies by element (e.g., vacations, holidays, sick leave, and other paid absences) the priced non-productive hours per year.
Health and Welfare: Attach supporting data that demonstrates compliance with health and welfare payments required by the SCA. In addition, the Offeror must address and provide details surrounding health insurance coverage/cost for the basic (current) and all option year periods (future projections) in SCA.
Payroll Additives: Payroll additives shall include the costs of Federal Insurance Contributions Act (FICA), Federal and State Unemployment Insurance (FUI/SUI), Workers Compensation Insurance, and other types of payments required by law or regulation. Provide rationale and explanation for development of each proposed payroll additive element.
Other Fringe or Payroll Required by Law or Regulation: Fringe benefits shall include the costs of health and life insurance, pension, retirement and savings plan, and other employee fringe benefits. Provide rationale and explanation for development of each proposed element of fringe benefits cost, including escalation when proposed, participation assumptions, and employer/employee cost sharing ratios of the various fringe benefits. Compare the proposed escalation projections in each element of fringe benefit costs with the company’s recent escalation history, and explain the basis and rationale for the difference, if any.
Other Labor Burden: Show the composition of each burden and indirect expense pool proposed. List the elements of each pool, amount of each element, base, rate, and include any other supporting data that would facilitate audit and computation. Submit a separate breakdown for each indirect overhead expense pool, such as local, division, and home office overheads, procurement and material handling burdens, occupancy, and service center. Specifically identify equipment included in the indirect pool that is planned to be shared and the cost allocated over a distribution base containing other divisions or contracts.
General and Administration (G&A): Submit a separate breakdown for corporate home office or segment expense pools. Offeror should not propose G&A that would result in a lost position to the Offeror financially during performance or provide unsupported adjustments to gain a competitive advantage. G&A rates should comply with the Offeror’s generally accepted accounting practices and/or disclosure statement. The Government does not welcome G&A rates that place the Offeror in financial distress.
L-3.3.2.3 Initial Transition Costs: The Offeror shall separately propose the initial transition costs over and above those costs estimated for other contract performance. Total transition costs shall be those costs estimated to be incurred during the transition period (forecasted 4-month period). Transition costs should include all costs associated with reviewing and transferring accountability of existing equipment, facilities, workload proposal preparation and negotiation of cost to complete estimates for all on-going tasks and all new work orders. The direct labor, indirect rates and factors associated with workforce training and orientation may be included.
L-3.3.2.4 Subcontracts: Submit a listing of the proposed subcontractors showing for each (a) the description of the effort, (b) type of contractual arrangement, and (c) total subcontract price. Per FAR 15.404-3, prime Offerors and subcontractors shall conduct appropriate cost and/or price analyses of all subcontract proposals to establish price reasonableness and cost realism (as applicable on cost reimbursable contracts) of proposed subcontract prices and shall include the results in the cost proposal. Ensure that the results of the analyses include specific rationale to clearly demonstrate and substantiate the reasonableness and realism determinations and fully explain any differences between proposed prices by the subcontractor and recommended prices by the prime Offeror and/or subcontractor as applicable. If an individual proposed subcontract resulted from a competitive situation, please state so and discuss the competitive proposals/bids and the selection method. If a subcontractor proposes a firm fixed price effort and the prime Offeror can provide adequate documentation to clearly demonstrate the price is fair and reasonable in accordance with FAR 15.403-1(b)(1) and (3), then information other than cost or pricing data is not required of that subcontractor. If an individual proposed subcontract was non-competitive, fully disclosed cost proposals are required for each subcontractor in accordance with FAR 15.404-3 and are required in the same format with the same level of information other than cost or pricing data as required by the prime Offeror. Therefore, subcontractors shall submit any proprietary proposal data directly to the Contracting Officer, if not included in the prime Offeror’s proposal. However, this does not negate the requirement of FAR 15.404-3. In addition, ensure that the subcontract labor matches those in the manpower matrix (Attachment 27) to confirm that the man years proposed have in fact been priced.
L-3.3.3 Incentive/Fixed Fee and Profit
L-3.3.3.1 The contract will have Cost-Plus Incentive Fee (CPIF), Cost-Plus Fixed Fee (CPFF), and Fixed-Price Incentive Fee (FPIF) type contract line items (CLINs). Under this arrangement, it is estimated that 15% of the work will be CPIF, 35% estimated for CPFF, and 30% estimated for FPIF. The remainder is estimated to be 10% Labor Hour and 10% Fixed Price. These percentages apply per year. The Offeror shall present the estimated cost, fee structure, labor hour structure and price in Section B, per appropriate CLIN using the cost data being evaluated.
L-3.3.3.2 The Offeror’s proposed fee should recognize the varying degrees of risk and challenges for the Contractor in performing different tasks within the PWS. The proposed maximum fee should be commensurate with the contract type. The Government has elected to establish a maximum fee percentage of 2% for all work that is a pass through from the prime to a subcontractor (DFARS 252.215-7003) whereas the prime does not have the expertise or ability to execute. This applies to services and material buys.
L-3.3.3.3 In consonance with the above performance incentive fee concepts, the Offeror is requested to propose fee arrangements that will achieve the purposes of the contract and which the Offeror is willing to accept during the performance periods. The Offeror should provide adequate detail to permit the Government to readily understand and evaluate the proposed fee arrangement.
L-3.3.3.4 Profit: The Offeror shall propose a range of profit to be used when Firm Fixed Price (FFP) task orders are appropriate. Offerors shall complete the FFP task order CLINs in Section B with the proposed profit range. A profit percentage within the profit range will be negotiated on each individual FFP task order based on the risk of performance of that task order.
L-3.3.4 Most Probable Cost: The Workforce Matrix in Attachment 27 shall serve as a baseline for the Offeror’s operational approach. This most probable cost section allows for Offeror development of innovative management/technical and business practices focused on improving cost efficiency or performance enhancements.
As these examples are not meant to be restrictive, Offerors may set forth provision of additional government furnished equipment, expenditure of their own capital or other indirect expenses on equipment/devices, training, etc., that will reduce overall expense to the Government and/or improve performance; utilize shared services concepts for functions lending themselves to such performance; and reflect cost and performance advantages arising from strategic outsourcing or utilization of internal corporate capabilities. Offerors shall fully document and support any proposed advantages and performance enhancements.
L-3.3.5 The Offeror’s cost proposal shall also include:
(a) Name, address, phone, fax, and email of the prime and key and critical subcontractors’ cognizant DCAA offices.
(b) A completed Section B
(c) A completed copy of the Manpower Matrix (provided in Section J, Attachment 27).
(d) A consolidated listing of all disks and files submitted by the prime, joint venture partners, individual companies that comprise the proposed organization, and/or subcontractors.
(e) A separate file for the cost/price proposal for the sample tasks with exception of the Transition Sample Task.
L-3.4 Volume IV Past/Present Performance Risk Assessment Area
L-3.4.1 General: Each Offeror shall submit a past/current performance volume as part of their proposal, as discussed below. The prime Offeror may submit up to four relevant contracts and two for each of the prime’s subcontractors. Limit contracts reported to those on which work has been performed within three years prior to the RFP release date. This information may include data on efforts performed by other divisions, corporate management, critical subcontractors, or teaming contractors, if such resources will be brought to bear on or significantly influence the performance of the proposed effort.
L-3.4.2 Relevancy Description: Offerors shall submit information on the most recent past or present contracts that are relevant in demonstrating the Offeror’s ability to perform the proposed effort. Along with providing a detailed description of the work performed for each relevant contract, Offerors shall discuss the relevancy of each contract as it relates to the size (i.e. Cost) and scope of the effort and the PWS in the areas of (I) Logistics Support Operations, (II) Security, (III) Quality Control, (IV) Information Technology Support, (V) Technical Data Management, and (VI) Transition Management. This discussion shall not exceed four pages per relevant contract. Note: Each individual contract need not be relevant to every area.
L-3.4.3 Past/Current Performance Questionnaire: For each past or current contract deemed relevant, provide information contained in Sections 1and 2 on the Past/Current Performance Questionnaire included as Attachment 025 in Section J. The questionnaire addresses the following six categories: Program Management, Technical Performance, Cost Performance, Transition/phase-in, Employee Retention, and Small Business Participation. The Offeror shall also submit a list of the points of contact (POCs) (and their telephone numbers and e-mail addresses) that were sent questionnaires (see L-3.4.3.1 below). Only one contract shall be cited on each Attachment 025 sheet.
L-3.4.3.1 The Offeror shall send the Past/Current Performance Questionnaire to each of the POCs identified in the past performance volume. Follow up to verify the POCs have provided the questionnaires to the Government is the responsibility of the Offeror. Therefore, best efforts should be made by the Offeror to ensure completion of the questionnaires. Completed questionnaires shall be submitted directly to the Government, not later than the date proposals are due, from the following in descending order of availability:
(1) Program/Project Manager or equivalent
(2) Procuring Contracting Officer/Contract Negotiator or equivalent
(3) Administrative Contracting Officer/Contract Administrator or equivalent
(4) Other
Once the Past/Current Performance Questionnaires have been completed by the POCs, the information contained therein shall be considered sensitive and shall not be released to you, the Offeror. However, during the evaluation by the source selection team, FAR 15.306 (a) (2) will be employed.
L.3.5 Small Business Subcontracting Goals - All Offerors shall submit the Standard Form 294, Subcontracting Report for Individual Contracts for all relevant contracts, when applicable. All Offerors participating in the Comprehensive Subcontracting Program shall prepare and submit a Standard Form 294 that addresses relevant contracts. The targets in paragraph L-3.1.5.2 will be addressed in the comments section of the form.
L-3.6 Instructions for Completing Solicitation, Offer and Award
L-3.6.1 In addition to Clauses L-1 and L-2, Instructions to Offerors, the Offeror shall submit on the CD an electronically signed copy of the SF 33. Graphic signatures are allowed.
L-3.6.2 A representative of the Offeror authorized to commit the Offeror to contractual obligations shall execute The SF 33. The authority to sign a proposal but not an offer subject to unilateral acceptance and award is not sufficient authorization to sign the SF 33.
L-3.6.3 Under no circumstances shall the Offeror make alterations or changes to the SF 33 or related pages that are a part of the enclosed RFP. The Offeror shall complete required items in the RFP. Space is provided for completion of such information.
L-3.6.4 Offerors shall complete the Representations, Certifications, and Other Statements of Offeror in Section K and any other required fill-ins throughout the solicitation.
L-3.6.5 Any amendments to this solicitation will be done on a SF 30 Amendment of Solicitation/ Modification of Contract. Amendments shall be acknowledged in accordance with instructions in block 11 of the SF 30 and acknowledged in block 14 of the SF 33. Acknowledged copies of amendments shall either be faxed to USSOCOM, ATTN: Ms. Karene Spurlin at fax: (813) 286-2264 or electronically signed and emailed to todd.purdy@us.army.mil.
If Offerors have electronic signatures, all signed pages may be forwarded electronically.
L-3.6.6 In the event the Offeror takes any exceptions to the solicitation, or conditions the proposal, the exceptions and/or conditions shall be set forth in a cover letter to the proposal.

L.5. ABILITYONE PROGRAM
* Special Emphasis - DoD has placed a higher emphasis on the JAVITS-WAGNER-O'DAY ACT or AbilityOne Program for this requirement. As such, your proposal will be evaluated in present/past performance and in your subcontracting plan for this area.
(a) Provide a description of the efforts your company will make to assure that Javits-Wagner-O'Day Act (JWOD) qualified nonprofit agencies for the blind or other severely disabled will have equal opportunity to compete for subcontracts under any resulting contract. Describe your current and proposed range of services, supplies, and any other support that will be provided to you by JWOD concerns. Include specific names of such subcontractors, to the extent they are known.
(b) Describe any future plans your company has for developing additional subcontracting possibilities for JWOD entities, or ways in which these entities could be partnered with other businesses and agencies in opportunities to diversify revenue production, during the contract period.
(c) Specify what proportion of your proposal, as a percentage of dollars, will be subcontracted to JWOD entities.
