Section L - Instructions, Conditions, and Notices to Offerors
L.1 GENERAL INFORMATION
L.1.1 General
L.1.1.1 This section of the Instructions to Offerors (ITO) provides general guidance for preparing proposals, as well as specific instructions on the format and content of the proposals.
The Offeror’s proposal must include all data and information requested by the ITO and must be submitted in accordance with (IAW) these instructions. Any Offeror who submits an incomplete package may be considered ineligible for award. The offer shall be compliant with the requirements as stated in the Performance Work Statement (PWS) and the entire Solicitation, including attachments.
L.1.1.2 The Government will evaluate the information presented in the Offeror's submission.
The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. It is the Offeror’s responsibility to provide a submission that enables the Government to effectively evaluate the Offeror’s submission. The Offeror has the burden to provide a submission that demonstrates the Offeror has an accurate understanding of the requirements; the Offeror has viable solutions for the requirements; and the Offeror is able to meet the requirements. The Offeror is reminded the Government reserves the right to award this effort based on the initial proposal, as received, without discussions.
L.1.1.3 The proposal should not simply rephrase or restate the Government's requirements, but rather provide convincing rationale to address how the Offeror intends to meet these requirements. Where appropriate, specific examples of an Offeror’s processes may be used to demonstrate how the Offeror will meet the Government’s requirement. Offerors shall assume the Government has no prior knowledge of the Offeror’s experience or capability and will base the Government’s evaluation on the information presented in the Offeror’s proposal. Statements that the Offeror will provide a particular feature or objective without explaining how the Offeror proposes to meet that feature or objective are generally inadequate and may adversely impact the Government’s evaluation of the Offeror. While not all inclusive, the following types of statements are also considered inadequate:
L.1.1.3.1 Unsupported statements that the Offeror allegedly understands the requirements.
L.1.1.3.2 Unsupported statements that the Offeror allegedly can or will comply with requirements.
L.1.1.3.3 Unsupported statements that simply paraphrase the requirements.
L.1.1.3.4 Undefined or unexplained statements such as “best commercial practices will be used.”
L.1.1.3.5 Undefined or unexplained statements such as “standard procedures will be used.”
L.1.1.3.6 Undefined or unexplained statements such as “well-known techniques will be employed.”
L.1.1.4 Offerors are strongly encouraged to carefully review all Government provided information and documents, to include, but not limited to submittal instructions (including attachments), the Performance Work Statement (PWS), Section M – Evaluation Factors for Award and all Section L – Instructions, Conditions, and Notices to Offerors.
L.1.1.5 Elaborate brochures, documentation, binding, detailed artwork, pictures or other embellishments are unnecessary and are not desired.
L.1.1.6 Minimum Proposal Acceptance Period. Offeror’s proposals must be valid for 12 months from the proposal submittal due date specified in the Solicitation. The term “acceptance period,” as used in this Solicitation, means the time period available to the Government to award a contract from the date specified in this Solicitation for receipt of proposals.
L.1.1.7 IAW Federal Acquisition Regulation (FAR) Subpart 4.8, Government Contract Files, the Government will retain one copy of all proposals. All additional copies of proposals will be destroyed by the Government after contract award.
L.1.1.8 Proposals that address only a subset of the Solicitation may be deemed incomplete and ineligible for award.
L.1.1.9 Oral presentations will not be accepted.
L.1.1.10 If an Offeror believes the requirements in these instructions contain an error, omission, or are otherwise unsound, the Offeror shall immediately notify the Contracting Officer (CO) (identified in Table L.1.4) in writing with supporting rationale, to include the remedies the Offeror is requesting the CO consider as related to the omission or error.
L.1.1.11 A pre-proposal site visit will be held approximately 14-21 days after release of the solicitation at Keesler AFB, MS. Each Offeror shall complete and submit a completed Pre-proposal Site Visit Entry Access Form (Section J, Attachment 18a) via email to melissa.gonzalez.6@us.af.mil and pamela.bryerton@us.af.mil NLT 1500 hours CST, on the fifth (5th) business day after release of the solicitation. Attendance is limited to no more than three (3) attendees per Offeror. Transportation will be provided once on base. See Section J, Attachment 18 for additional instructions.

L.1.1.12.2 Amendments to Solicitation. If the Solicitation is amended, all terms and conditions that are not amended remain unchanged. Offerors shall acknowledge receipt of any amendment to this request by signing and returning the front page of each amendment with their proposal submission. Copies of “wet signature” and electronic signatures are both acceptable.

Contracts may include federal, state, and local Government and commercial customers. Each PPI Worksheet must cover recent and relevant performance consistent with the definitions in Section L, paragraphs L.3.2.7 and L.3.2.8. The PPI worksheets may be submitted within 30 days after the solicitation is posted (but no later than the proposal due date/time) and shall be emailed to the Point of Contacts listed in Table L.1.4 only. The length of each PPI worksheet submission is limited to no more than seven (7) pages. PPI worksheets do not count against the page limitation (40 pages) for Volume II - Past Performance.
L.3.2.4.1 Past Performance Information (PPI) Worksheet requirements for Protégé Joint Ventures (Section J, Attachment 6). The Protégé may submit a minimum of one (1), but no more than three (3) PPI worksheets for their past performance contracts. Contracts may include federal, state, and local Government and commercial customers. Each PPI Worksheet must cover recent and relevant performance consistent with the definitions in Section L, paragraph L.3.2.7.1 and L.3.2.8. The partners to the joint venture in the aggregate must demonstrate the past performance, experience, business systems and certifications necessary to perform the contract.
L.3.2.5 Past Performance Questionnaire (PPQ) (See Section J, Attachment 7). The information contained in the questionnaires will be used to evaluate the Offeror’s past performance. Offerors may submit PPQs on a minimum of three (3), but no more than six (6), contracts identifying active or completed contracts (either Government or commercial), that the Offeror considers recent and relevant consistent with the definitions in Section L, paragraphs 3.2.7 and 3.2.8, in demonstrating their ability to perform the proposed effort. Of the cumulative total of six (6) contracts, three (3) contracts must be prime contractor contracts which allows a maximum of three (3) contracts specific to joint ventures, partners, affiliates, subcontractors, etc. performing meaningful work to achieve successful performance. The Offeror and their joint venture(s), partner(s), affiliate(s), subcontractor(s) as applicable, shall forward the PPQs to the POC responsible for monitoring contract performance. The responsibility to send out and ensure Government receipt of the PPQs rests solely with the Offeror. The Offeror is responsible for completing Section 1 of the PPQ and, forwarding those PPQs to the contract’s POCs for completion and submittal to the Government. The Offeror shall exert its best effort to ensure that a current POC, per relevant contract, submits a completed PPQ directly to the Government not later than the required due date. The contract POCs shall return the questionnaires via email DIRECTLY to the points of contact listed in Table L.1.4, Email and Telephone Contact Information, no later than the Proposal due date. Any questionnaires not returned directly to the Government POCs, will not be reviewed and evaluated. Offerors may submit Contractor Performance Assessment Reports (CPARs) in lieu of PPQs as a separate attachment to Volume II – Past Performance and will not count towards the 40 page limit.
L.3.2.5.1 Past Performance Questionnaire (PPQ) for Mentor Protégé Joint Ventures (See Section J, Attachment 7) Requirements. The information contained in the questionnaires will be used as part of evaluation of the Offeror’s past performance. The Protégé may provide PPQs on a minimum of one (1), but no more than three (3), contracts considered to be recent and relevant consistent with the definitions in Section L, paragraphs L.3.2.7.1 and L.3.2.8 and identified on their PPI worksheets. The protégé and their joint venture(s), partner(s), affiliate(s), subcontractor(s), as applicable, shall complete Section 1 and forward the PPQs to the POC responsible for monitoring contract performance.
L.3.2.5.2 The evaluation will be based on the Offeror’s/subcontractor’s/teaming partner’s/joint venture firm’s, affiliate’s, etc. present/past performance and NOT on specific individuals.
L.3.2.6 Ordering-Type Contracts Submission: If the contract being submitted is an ordering type contractual vehicle (for example, an IDIQ “D” type contract per FAR Subpart 16.5, Indefinite- Delivery Contracts (ID)), performance is demonstrated at the order level, i.e., a Delivery Order (DO)/Task Order (TO). Therefore, the Offeror shall submit the individual DO/TO (or series of orders) for evaluation, not the basic ordering contract itself. The Government will use the information submitted for each order (or series of DO/TO orders) under one Ordering Contract to evaluate the effort’s recency, relevancy, and performance quality for that Ordering Contract. The DO/TO under a single or multiple award ID contract; or aggregated DOs/TOs (i.e., two or more) under a single or multiple award IDIQ contract will be evaluated as one contract reference:
a. If the IDIQ contract is the contract reference; and
b. If the series of DOs/TOs are for the same continuous technical scope. Then the PPI for each DO/TO shall be submitted on a separate PPI worksheet (Section J, Attachment 6) and shall include the DO/TO contract number as well as the IDIQ contract number.
Additionally, the Offeror shall provide the total dollar value and total period of performance for each order in the series.
L.3.2.7 Recency Definition. To be recent, at least 12 months of the effort’s period of performance must have been performed during the past three (3) years from the date of issuance of this Solicitation.
L.3.2.7.1 Protégé Joint Ventures Recency Definition. To be recent, at least six (6) months of the effort’s period of performance must have been performed during the past six (6) years from the date of issuance of this Solicitation.
L.3.2.8 Relevancy Definitions. Relevant performance is defined as efforts involving a similar scope and similar magnitude of effort and complexity as this Solicitation requires. The Government is not bound by the Offeror’s opinion of relevancy.
L.3.3 Specific Content.
L.3.3.1 If problems were encountered during the performance of the identified contracts, provide evidence of the ability to isolate the root causes of problems and include in the Past Performance volume a description of programs or actions taken to resolve those causes. Problems not addressed but found by the Government during the evaluation of the information in this volume will be assumed to still exist. Note: In the case of Contractor Performance Assessment Report System (CPARS), if your input has already been provided and the rationale/circumstances have not changed, DO NOT repeat them here.
L.3.3.2 Organization Structure Change History: Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant present or past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, include with the past performance proposal volume a “roadmap” describing all such changes in the organization of your company. As part of this explanation, describe how these changes impacted the relevance of any efforts you identified. Since the Government intends to consider past performance provided by other sources as well as that provided by the Offerors, your “roadmap” should be both specifically applicable to the efforts you identify and general enough to apply to efforts on which the Government receives information from other sources.
L.3.4 Early Proposal Information
L.3.4.1 Early proposal information associated with Volume II Past Performance (i.e. PPI worksheet) may be submitted within 30 days after the solicitation is posted (but no later than the proposal due date/time) and shall be emailed to the Point of Contacts listed in Table L.1.4 only.
This will facilitate a timelier past performance evaluation. Failure to submit Volume II by the earlier date will not result in Offeror disqualification.
L.4 Volume III – Factor 3: Price
L.4.1 General. The Price Volume shall be prepared IAW Section L and will be evaluated IAW the evaluation criteria in Section M of this Solicitation. Compliance with these requirements is mandatory and failure to comply may render the proposal ineligible for award. Additionally, unbalanced pricing may pose an unacceptable risk to the Government and may be a reason to reject an Offeror’s proposal. The CLIN pricing breakdown shall be submitted in the format provided in Section B of the Solicitation.
L.4.2 Volume Organization: The Price Volume shall be organized according to the following outline:
a) Table of Contents
b) CLIN Pricing Breakdown to support Section B CLIN Pricing
c) Glossary of Abbreviations and Acronyms
d) Exceptions and Rationale specific to Volume III – Price only
L.4.3 Specific Instructions
L.4.3.1 A completed Section B: The Offeror shall propose and insert whole dollar CLIN unit prices, with no decimal places, for each Firm-Fixed-Price (FFP) CLIN of the Base Period and each Option Period in the Section B Price Schedule of the Solicitation and complete the attached CLIN Structure/Section B Worksheet (Section J, Attachment 19). The total extended amount for the FFP CLINs must equal, to the dollar, the unit price multiplied by the quantity of units. The sum of all FFP CLINs, for the Base Period and each Option Period, will form the Offeror’s Total Evaluated Price (TEP). The Offeror shall NOT propose a price on cost reimbursable CLINs. The proposed prices in Section B must be based on the Offeror’s own technical approach submitted in the Technical Proposal (Volume I). The proposed prices for each FFP CLIN must demonstrate a logical correlation to the staffing (e.g., skill mix, grade, numbers, skill classification) proposed in the Technical Proposal as well as all support required to meet the mission requirements of that CLIN. NOTE: Rounding of prices shall be accomplished at the CLIN unit level only.

L.4.3.2 The source selection will be conducted with the expectation of adequate price competition for this acquisition per FAR 15.403-1(c)(1); therefore, certified cost or pricing data are not required per FAR 15.403-1(b). However, Offerors may provide the appropriate type and quantity of data other than certified cost or pricing data they determine necessary to establish, substantiate and support the basis and rationale for the determination of a fair and reasonable and balanced FFP CLIN price IAW FAR 15.402(a)(3) and FAR 15.404-1(g). The supporting documentation shall be submitted in Microsoft Word/Excel format, with all cell formulas viewable, to explain all data associated with the proposed FFP CLIN unit prices. The submission of inadequate documentation may render the proposed price not to be determined fair, reasonable and/or balanced; therefore, the proposal may be deemed incomplete and ineligible for award. All supporting pricing documentation must be included in the Price Proposal Volume (Volume III) only. Under no circumstances shall any pricing documentation be included elsewhere in the proposal.
L.4.3.3 Price Documentation submitted to support Fair and Reasonable and balanced price, may include, but is not limited to, the following:
a) Labor Rates
b) Direct and Indirect Burdens/ Fringe Rates
c) Other Direct Costs
d) Forward Pricing Rate Agreements/Indirect Rates
e) Price approach or methodology
f) A consolidated listing of all files submitted by the prime, joint venture partners, partners, affiliates, and/or subcontractors
g) Any additional data deemed necessary for the determination of a fair, reasonable and balanced price.
L.4.3.4 If, at any time during this source selection, the Contracting Officer determines that adequate price competition no longer exists or that price reasonableness cannot be determined, Offerors may be required to submit certified cost or pricing data or additional data other than certified cost or pricing data, as appropriate, for the Contracting Officer to determine price reasonableness.
L.4.4 It is the prime Offeror's responsibility to ensure that all principals including joint venture partners, individual companies which comprise the proposed organization, partners, affiliates, and subcontractors are provided with these instructions and propose prices for each FFP CLIN that demonstrate a logical correlation to the prime Offeror’s approach. The prime Offeror shall also ensure that the prices proposed by all principals have been reviewed and are fair and reasonable.
L.4.4.1 The Offeror shall provide a statement acknowledging compliance with the Service Contract Labor Standards (SCLS) Wage Determination (WD) and the Davis Bacon WD. The SCLS WD provided in Section J, Attachment 2, and the Davis Bacon WD provided in Section J, Attachment 3 are applicable to this requirement. The Offeror’s statement shall also acknowledge the following:
L.4.4.1.1 The prices proposed for labor covered by the SCLS WD were developed in consideration of the rates specified in the document as required for covered contractor personnel.
L.4.4.1.2 The prices proposed for labor covered by the SCLS WD were not escalated beyond the basic period of performance.
L.4.5 The Offeror shall also provide a statement acknowledging compliance with the Collective Bargaining Agreement (CBA). The CBA provided in Section J, Attachment 4, is applicable to this requirement. The Offeror’s statement shall also acknowledge the following:
L.4.5.1 The prices proposed for labor covered by the CBA were developed in consideration of the rates specified in the CBA as required for covered contractor personnel; and
