TransPerfect, the world's largest language services firm founded in 1992, proposes to provide comprehensive language services including translation, interpretation, editing, proofreading, translation memory management, sign language interpretation, desktop publishing, video captioning, voice over services, and transcription across multiple languages and formats. The company operates over 100 offices globally across six continents with more than 7,500 full-time employees and a network of 20,000 certified linguists and subject-matter specialists. TransPerfect is incorporated in New York with corporate headquarters at 1250 Broadway, New York, NY 10001, and maintains a satellite office in Phoenix, Arizona at 2375 East Camelback Road, 5th Floor. Michael J. Donnelly, Director of Public Sector, serves as the key point of contact for the submission.

TransPerfect reports no conflicts of interest, bankruptcies within five years, SEC investigations, or criminal or civil offenses. The company is solvent, profitable, and has generated over $852 million in annual revenues as of 2020, with 100 consecutive profitable quarters over nearly 30 years of operation. The firm is fully certified to ISO 9001:2015 and ISO 17100:2015 standards and pioneered the TransPerfect Linguist Certification program for quality assurance. Relevant past performance includes a $3,000,000 contract with the Centers for Disease Control and Prevention (August 2019–July 2023) involving translation of 2.49 million words and interpretation services in 69 languages using 232 linguists, and a contract with Oregon Health Authority and Oregon Department of Human Services translating over 20 million words in multiple languages with 24-hour service availability. TransPerfect terminated its contract with the U.S. Department of Citizenship and Immigration Services in December 2022 for convenience due to Service Contract Act pricing disputes rather than performance issues.

1 COMPANY PROFILE

1.1 Brief overview of business operations, with an emphasis on experience in regards to the Scope of Work

TransPerfect was founded in 1992, since then we have grown into the world’s largest language services firm with over 7,500 full-time employees and a network of over 20,000 certified linguists and subject-area specialists, all dedicated to helping clients better serve their constituents in any language. With offices in more than 100 cities around the globe, our team completes over 400,000 unique projects per year. The company pioneered the adoption of critical quality standards for the industry and was among the first to be certified to both ISO 9001:2015 and ISO 17100:2015, ensuring the highest level of quality and service for all projects. In addition, TransPerfect introduced the TransPerfect Linguist Certification

(TLC) program, the industry’s leading standard for testing linguist language proficiency and subject-area specialization.

TransPerfect’s focus on quality, cost management, client service, subject-matter expertise, and innovative technical solutions is unparalleled in our industry.

Confidential Page 4 of 10 October 18, 2023

The following are just a few ways that TransPerfect stands out from the competition:

Scalability and Global Presence: TransPerfect is a full-service translation company with offices in over 100 cities on six continents, including more than 30 production and project management centers. As such, we have the resources, processes, and global infrastructure to ensure prompt responses to Arizona’s requests and to meet even the most aggressive deadlines.

Technology: TransPerfect offers a fully modular set of technology products that drastically reduce the time, effort, and costs required along every step of the translation process—from quote requests and job submittals to delivery, billing, and reporting. These solutions unburden the organization, are easy to use and install, and significantly improve translation process efficiencies. Each product in the suite can function independently or as part of an integrated system to drive maximum productivity. Unlike many of our competitors’ products, TransPerfect’s technology suite is almost entirely vendor neutral and can be used with multiple language services providers and all of Arizona’s preexisting technologies and translation assets.

Client Service: Among our strongest “value-added” features is our commitment to offering superior client service. To that end, Arizona will be assigned a dedicated account manager, available 24/7/365. At TransPerfect, each and every client receives the full attention of a dedicated account team as well as hand-selected technical and linguistic resources. Furthermore, given that no client represents more than 4% of our total revenue, we are able to provide Arizona with the highest level of service and quality without concern for conflict.

Financial Stability & Commitment: TransPerfect is a solvent, healthy, and growing company.

We focus our financial resources on the continued improvement of our operations, the research and development of technologies that benefit our clients, the enrichment of our employees, and the hiring and retention of the best talent in the industry. We are proud of our streak of

100+ consecutive profitable quarters over nearly 30 years of continuous growth. In the past ten years, the company has grown from $220 million in annual revenues to over $852 million in

2020. We have a stable client base, with the vast majority of our revenue coming from repeat customers alongside a steady stream of new business. And because we are privately held, we are not beholden to outside investors, which allows us to devote absolute focus to meeting our clients’ needs.

Certifications: TransPerfect is the only major language services provider in the world fully certified to the ISO 9001:2015 standard in all production centers worldwide. In addition, we were the first translation company in the world to earn ISO 17100:2015 certification, the only standard specifically created to address issues of quality within the translation industry.

TransPerfect has also achieved ISO 18587 certification for AI-enabled translation services, underscoring our commitment to quality in machine translation.

Linguistic Quality: In addition to our ISO 9001:2015 and ISO 17100:2015 certifications, our ability to provide superior translations is backed by the TransPerfect Linguist Certification

(TLC) program, which was created to ensure that only the most qualified linguists are assigned to each and every project. All linguists assigned to Arizona will have not only native-level proficiency and in-depth understanding of the target market but also extensive subject-matter

Confidential Page 5 of 10 October 18, 2023 expertise in the relevant field.

On-Time Delivery: TransPerfect’s rigorous quality control processes ensure that we will deliver

Arizona’s projects on time, every time. In fact, our round-the-clock production capabilities and commitment to providing the best service in the industry have resulted in turnaround times that are 25–30% faster on average than our competitors’.

Workflow: TransPerfect is a service organization in the truest sense of the word. In everything we do, we take your needs and objectives as our guiding principle. We do not tell you how to do localization. Rather, we assess your goals, challenges, and budget. From there, we develop a customized approach to your project or initiative that slots seamlessly into your overall business plan.

1.8 Litigation as a Defendant or Party

TransPerfect Global, Inc. v. Lionbridge Technologies, Inc. and H.I.G. Middle Market, LLC –

Case 1:19-cv-03283, filed April 11, 2019 – US District Court – Southern District of New York

TransPerfect Global, Inc. filed suit for monetary and injunctive relief for injury caused by defendants’ acquisition and misuse of TransPerfect confidential and proprietary information.

Michele Metcalf V. TransPerfect Global, Inc. - Case 19-cv – 10104, in the United States

District Court, Southern District of New York; originally filed August 28, 2019 in United

States District Court for the Central District of California

This suit was brought by a former employee claiming unpaid overtime in violation of New York

Labor Law on behalf of herself and a class of similarly situated employees. TransPerfect denies the allegations, and a motion to dismiss is currently pending before the Court.

1.9 Litigation public sector

1.10 Full disclosure of any public sector contracts terminated for cause or convenience

TransPerfect’s contract with United States Department Citizenship and Immigration Services was cancelled for convenience in December 2022. When TransPerfect was pursuing this opportunity, we asked the contracting officer if the Service Contract Act applied to the services

(over-the-phone interpretation). We were told it did not, as over-the-interpreter met the professional services exemption to the Service Contract Act. We then received guidance from the

Department of Labor, that the contracting officer was wrong and that the SCA does apply. We made USCIS aware of the Department of Labor’s position and attempted to renegotiate pricing with USCIS. Unfortunately, we were not able to come to an agreed priced and instead of litigating both parties agreed it was best to terminate the contract.
