About this file

This document is a VA (Department of Veterans Affairs) certification template and instructions for the Notice of Limitations on Subcontracting for services and construction contracts. It applies to Service-Disabled Veteran-Owned Small Business (SDVOSB) and Veteran-Owned Small Business (VOSB) set-aside procurements.

The certification establishes subcontracting limitations that contractors must comply with based on the contract type. For service contracts (excluding construction), contractors cannot pay more than 50% of government-paid amounts to non-certified SDVOSB/VOSB firms. For general construction contracts, the limit is 85%, and for special trade construction contractors, the limit is 75%. Materials costs are excluded from construction subcontracting calculations. The certification must be completed, signed, and submitted with the bid by the offer deadline, with failure to provide it resulting in offer rejection. The signatory must be an authorized representative and must include the offeror's full legal name as registered in SAM.gov, printed name and title, signature, date, and complete company name and address. The document emphasizes that false certifications are subject to criminal and civil penalties under 18 U.S.C. Section 1001, and VA reserves the right to request documentation demonstrating compliance with subcontracting limitations during contract performance or upon completion.

Any work that a similarly situated certified SDVOSB/VOSB subcontractor further subcontracts will count towards the 50% subcontract amount that cannot be exceeded. (ii) [xx] General construction. In the case of a contract for general construction, the contractor will not pay more than 85% of the amount paid by the government to it to firms that are not certified SDVOSBs listed in the SBA certification database as set forth in 852.219- 73 or certified VOSBs listed in the SBA certification database as set forth in 852.219-74. Contracting officers may, at their discretion, require the contractor to demonstrate its compliance with the limitations on subcontracting at any time during performance and upon completion of a contract if the information regarding such compliance is not already available to the contracting officer.
