About this file
This is a VA (Department of Veterans Affairs) contracting clause establishing limitations on subcontracting for service and construction contracts awarded to Service-Disabled Veteran-Owned Small Businesses (SDVOSBs) and Veteran-Owned Small Businesses (VOSBs) pursuant to 38 U.S.C. 8127(l)(2).
The clause specifies three subcontracting threshold options based on the contract's predominant NAICS code: services contracts may not exceed 50% subcontracting to non-certified firms, general construction contracts may not exceed 85%, and special trade construction contracts may not exceed 75%. Materials costs are excluded from the subcontracting calculations for construction work. Any further subcontracting by similarly situated SDVOSB/VOSB subcontractors counts toward these thresholds. Offerors must certify compliance with these limitations upon submission and acknowledge that false certification subjects them to criminal penalties under Title 18, U.S.C. Section 1001, as well as potential referral to VA's Suspension and Debarment Committee and fines under the Small Business Act. The contracting officer retains the right to request documentation at any time during or after contract performance to verify compliance, including invoices, subcontracts, or task value lists. The complete executed clause with authorized signatory certification must be returned with the bid, quotation, or proposal; contract award cannot proceed without a completed and executed clause.

Evidence of compliance includes, but is not limited to, invoices, copies of subcontracts, or a list of the value of tasks performed.
• (c) The offeror further agrees to cooperate fully and make available any documents or records as may be required to enable VA to determine compliance with the limitations on subcontracting requirement.
