An OCI Viewpoint
• Agency Prefers an Organizational Conflict of Interest (OCI) Free Environment
• OCI Waivers Discouraged: Considered Only in Best Interest of Government
• Categories of OCI (from Legal Counsel):
– Unequal Access to Information
– Biased Ground Rules
– Impaired Objectivity
• Associated Concerns:
– Firewall Cannot Adequately Mitigate Impaired Objectivity
– Mitigation Plans do not Automatically Resolve OCI
R e
Refer to “OCI Policy Statement” Released with MiDAESS Draft RFP
Types of OCIs – Impaired Objectivity
• Firewalls do not Mitigate Impaired Objectivity OCIs
• Working Both Sides of a Development Contract
– Army concluded SETA contractor could not work as developmental contractor or subcontractor. Karrar Systems Corporation, B-310661; B-310661.2, 3 Jan 08
– Prohibited OCI where support contractor would establish test requirements it or its prime contractor would perform. Ktech Corp., B-285330, B-285330.2, 17 Aug 00
– GAO Report GGD-96-15, B-260246, 25 Oct 95:
Contractor hired to evaluate a third party’s products or services... involved in the development or marketing of those products or services.”
MiDAESS Acquisition Strategy & Approach Considerations
• Anticipate Contractor Teaming and Partnering - National/Enterprise-wide Solution
• One Source Selection: Full and Open and Small Business Competitions in Parallel - Best Value
– Multiple Indefinite Delivery/Indefinite Quantity (ID/IQ) Contract Awards - 2 or More Awards, per Functional Capability Group
– Performance-Based “Requirements” initiated by Task Order
• Existing Contracts Continue until Work is Transferred – Centralized under MiDAESS Program at Contract Expiration, Option Exercise, Award Term Exercise, etc.
MiDAESS Acquisition Strategy & Approach Considerations
• MiDAESS IDIQ Contracts will have a 5-Year Ordering Period
• MiDAESS Contract Awards Subject to the “Guaranteed Minimum”
• How Long before a Functional Task is Awarded? It Depends.
– Tasks are Initiated based on Functional Requirements
– Requirements Continue to a Logical End on Legacy Contracts
– Multiple Functions within Most Groups -- One Function “could” Initiate a Task before Another
Quality Assurance Surveillance Plan (QASP)
• General QASP Guidelines Apply for Contractor Performance Assessment Reporting System (CPARS)
• Additional “Contractor Surveillance” will be Implemented under the MiDAESS Program to ensure Functional (Matrix) Efforts Remain Stable
– Contribution Effectiveness
– Small Business Utilization
– Promptness in Filling Positions after Award/Vacancy
– Teamwork/Cooperation
– Quality, Responsiveness, and Timeliness
• Potential Monthly & Quarterly Reporting based on Customer Feedback
