About this file

This is a Statement of Work (SOW) for a Job Order Contract (JOC) at SLAC National Accelerator Laboratory, operated by Stanford University as a Department of Energy contractor. The contract supports construction, alteration, and repair of scientific, industrial, office, civil, and utility projects on the SLAC campus, along with minimal design services. The contract structure includes a one-year Base Period with up to four Option Periods. Work is categorized into Standard Work (6:00 a.m. to 6:00 p.m., Monday-Friday, excluding SLAC/Stanford holidays) and Non-Standard Work (outside standard hours), with separate coefficients bid for each category. The contractor must also bid a Non-Prepriced Coefficient for work not in the Construction Task Catalog. Pricing is based on Gordian's Construction Task Catalog with preset Unit Prices; the Price Proposal value equals the sum of (Unit Price × Quantity × Coefficient) for prepriced tasks plus the value of non-prepriced tasks. Gordian System License Fees are 5% of work value up to $6 million cumulative job orders, then 1.95% thereafter.

The contractor must maintain specified personnel including a Program Manager (minimum 10 years construction experience, 5 years JOC experience), Project Manager (5 years JOC experience, full-time on-site, 48-hour response to standard task order requests, 2-hour response to emergency requests), Superintendent (5 years JOC experience), Site Safety Health Officer (OSHA 30-hour certification, 5 years safety experience or equivalent), Quality Control Manager, and Estimator (5 years experience with 3 years JOC estimating). The contractor is responsible for all quality control, health and safety programs, security coordination, equipment, materials, and training at no additional cost to SLAC. Task orders are issued through a joint scope meeting process, detailed scope of work preparation, task order proposal submission (3-20 working days depending on complexity), SLAC review, and issuance. Emergency task orders require 2-hour response and may be issued as undefinitized not-to-exceed orders per FAR 16.603-2, definitized within 60 days. The contractor must provide one-year workmanship warranties and manufacturer warranties on installed equipment, maintain as-built record drawings in BIM format where applicable, and conduct weekly progress meetings with the SLAC Project Team.

1.1 Overview of SLAC National Accelerator Laboratory

The SLAC National Accelerator Laboratory (SLAC) is operated by Stanford University as a contractor for the United States Department of Energy (DOE) Office of Science (SC). SLAC supports a large national and international community of scientific users performing cutting-edge research in support of the DOE mission. The success of that mission is directly coupled to the general-purpose infrastructure necessary to conduct this research.

For additional information about SLAC and our science mission, please refer to our online resources1.

1.2 Overview and Purpose of the SLAC Job Order Contract (JOC)

SLAC has a requirement for Job Order Contract (JOC) services to support construction, alteration, and repair of scientific, industrial, office, civil, utility projects, and minimal design on the SLAC campus. SLAC also has a need for project management, planning, estimating, labor, transportation, materials, equipment, tools, supervision, and other associated tasks necessary to fulfill the construction requirements of each JOC Task Order.

Section 2: SLAC Job Order Contract (JOC) Statement of Work

2.1 Contract Overview

The Contract Documents include a Construction Task Catalog® containing Prepriced Tasks for construction work with preset Unit Prices. All Unit Prices are based on local labor, material and equipment costs and are for the direct cost of construction.

Bidders will bid two Coefficients to be applied to the Unit Prices. One Coefficient for performing work during Standard Working Hours and a second Coefficient for performing work during Non- Standard Working Hours. The same two Coefficients apply to every Prepriced Task in the Construction Task Catalog®. Bidders will also bid a Non-Prepriced Coefficient to be applied to Non-Prepriced Work. Bidder should consider including the Gordian System License fees when determining the Coefficients for bid submission.

This contract will provide for a one (1) year Base Period and up to four (4) Option Periods. All Task Orders issued during any term of this Contract shall be valid and in effect notwithstanding that the Detailed Scope of Work may be performed, payments may be made, and the guarantee period may continue, after such period has expired. All terms and conditions of the Contract apply to each Task Order.

As Projects are assigned, the Contractor will attend a Joint Scope Meeting with SLAC to review and discuss the proposed work. SLAC will prepare a Detailed Scope of Work and issue a Task Order Request for Proposal to the Contractor. The Contractor will then prepare a Task Order Proposal including a Price Proposal, construction schedule, list of proposed subcontractors, and other requested documentation.

The value of the Price Proposal shall be determined by summing the total of the following calculation for each Prepriced Task: Unit Price x quantity x Coefficient, plus the value of all Non- Prepriced Tasks. The Task Order Price shall equal the value of the approved Price Proposal.

If the Task Order Proposal is found to be complete and accurate, SLAC may issue a Task Order to the Contractor.

A Task Order will reference the Detailed Scope of Work and set forth the Task Order Completion Time and the Task Order Price. The Contractor will be paid the Task Order Price for completing the Detailed Scope of Work within the Task Order Completion Time.

Extra work, credits, and deletions will be contained in a Supplemental Task Order.

2.2 Applicable Codes, Regulations, and Standards

See Table 1 below for a list of currently adopted codes and standards at SLAC. If there is a conflict between the codes and/or regulations and these contract specifications, the most stringent requirements shall govern at all times. The Contractor shall maintain a copy of each of these documents available for use during the term of this contract.

3. Applicable standards cited in the SLAC ESH Manual are included in the review process.

4. Note that referenced standards cited in CBC Chapter 35 are used at SLAC in addition to the ones cited in the SLAC ESH Manual (and this document). Where conflicts arise, the SLAC reference takes precedence.

5. NEC is primary and the California Electrical Code is secondary. The most stringent requirement shall apply.

2.3 Work Types

2.3.1 Standard Work

Defined as the period from 6:00 a.m. to 6:00 p.m., Monday through Friday, excluding SLAC/Stanford holidays. All work shall be performed during this period unless otherwise authorized by the Subcontract Administrator (access to work sites may be restricted to this period due to laboratory requirements) and approved at least 48 hours in advance, or unless otherwise specified in the TO.

2.3.2 Non-Standard Work

Defined as the period outside of Standard Work. The nonstandard coefficient may be used to account for work on weekends and during non-standard hours only, and to accelerate a TO to include multiple shifts both during standard hours AND nonstandard hours. Only work specified by the Subcontract Administrator, prior to issuance of a TO, or subsequent modification that identifies work requiring non-standard work hours, shall be multiplied by the nonstandard coefficient.

2.3.3 Minimal Design

SLAC will require a conventional design developed up to 35% stage for renovation and repair projects (project dependent). If the design requires the services of a registered architect or engineer and if the SOW does not specifically require design services, it is outside the parameters of minimum design. The contractor is then responsible for submitting documentation that substantiates the proposed approach.

Document Title: Job Order Contract Statement of Work Page 9 of 30

SLAC shall only provide basic concept design, sketches, and/or drawing(s) information for a specific work requirement. The Contractor must demonstrate design capabilities of providing quality, cost effective minimal design for multiple TOs simultaneously, which shall comply with SLAC requirements and all applicable building codes and governing authorities. The Contractor will be provided with the SLAC initial concept design and SOW for each TO. The Contractor shall then be responsible for further development of the SLAC concept design to a point where the Contractor’s designs/drawings clearly indicate the proposed method of accomplishing the work, as well as the description, size, and location of all proposed elements of the work. The Contractor’s design must fully comply with the SLAC concept design requirements as well as all governing codes and standards. The Contractor is expected to use recognized industry standard practice in determining proposed design materials and methods unless SLAC specifies otherwise.

Conceptual design effort is defined as the capability to provide shop drawings and preliminary specifications of the type routinely developed in commercial practice and/or as provided and supplemented by industry such as pre-engineered building manufacturers, major heating ventilating and air conditioning (HVAC) equipment suppliers, fire suppression system suppliers, and the like.

Section 4: Ordering Procedures

4.1 General

As the need arises for performance under the terms of this contract, the Subcontract Administrator or SLAC Project Team will notify the Contractor of the requirement and conduct a joint scope meeting in which SLAC will provide a basic scope of work and any relevant drawings. Within two (2) working days of the Joint Scope Meeting, the Contractor shall establish verbal contact with the Subcontract Administrator or SLAC Project Team to further define the final detailed scope of work.

The Contractor does not have the right to refuse to perform any Project, Pre-priced Task, or Non-Pre-priced Task.

The Contractor shall attend the Joint Scope Meeting and discuss, at a minimum, the following items:

a. The work to be performed

b. Presence of hazardous materials or conditions

c. Required permits

d. Long lead time materials

e. Protocol for workers entering the site

f. Staging area and areas that are off-limits

g. Subcontracting goals (if applicable)

h. Construction schedule and work hours - with critical milestones and phasing requirements

i. Controlled inspections, testing requirements

j. Value Engineering suggestions

k. Organization of Price Proposal - by location, by corner, etc.

l. Due Date for Detailed Scope of Work and for Task Order Proposal

4.2 Finalizing the Requirement’s Detailed Scope of Work

After the Joint Scope Meeting, SLAC or contractor if directed by the Subcontract Administrator or SLAC Project Team will prepare a draft Detailed Scope of Work for the requirement which will reference any drawings, specifications, sketches, photographs, and other documents required to accurately describe the work to be performed. When an acceptable Detailed Scope of Work has been prepared, SLAC will issue a Task Order Request for Proposal (TORFP) that will require the Contractor to prepare a Task Order Proposal. The Detailed Scope of Work, unless modified by both the Contractor and SLAC, will be the basis on which the Contractor will develop its Task Order Proposal and SLAC will evaluate the same.

Document Title: Job Order Contract Statement of Work Page 18 of 30

SLAC may, at its option, include quantities in the Detailed Scope of Work if it helps to define the Detailed Scope of Work. If the actual quantities required are not known, cannot be determined, or cannot be agreed to at the time the Detailed Scope of Work is prepared, SLAC shall issue a Supplemental Task Order adjusting the quantities appearing in the Detailed Scope of Work to the actual quantities.

If the Contractor requires additional information to clarify the Detailed Scope of Work before preparing the Task Order Proposal, the Contractor will make such request quickly so that the Task Order Proposal can be submitted on time.

4.3 Preparing the Task Order Proposal

The Contractor will prepare a Task Order Proposal including:

a. Price Proposal

b. Support Documentation for Non-Prepriced Tasks

c. Construction Schedule

d. List of Subcontractors; and

e. Other requested documents

The Contractor will prepare Task Order Price Proposals in accordance with the following:

Prepriced Tasks:

The Contractor shall select the appropriate Pre-priced Tasks, enter the accurate quantities, and select the appropriate Coefficients to be used for each such Prepriced Task. The Contractor shall use the Coefficients in effect on the date the Price Proposal is due, even though the Task Order may be issued after the Coefficients have been updated.

Non-Prepriced Tasks:

The final price submitted for Non-Pre-Priced Tasks shall be according to the following formula:

Total for Non-Prepriced Tasks x the Non-Prepriced Coefficient

The Contractor must submit three independent quotes for the work. If three quotes are not available, less than three may be approved at the discretion of SLAC upon the submission of a Letter of Justification from the Contractor to SLAC.

Information submitted in support of Non-Prepriced Tasks shall include, but not be limited to, the following:

Catalog cuts, specifications, technical data, drawings, or other information as required to evaluate the task.

Document Title: Job Order Contract Statement of Work Page 19 of 30

The Contractor shall not submit a quote or bid from any supplier or subcontractor that the Contractor is not prepared to use. SLAC may require additional quotes and bids if the suppliers or subcontractors are not acceptable or if the prices are not reasonable. If three quotes or bids cannot be obtained, the Contractor will provide the reason in writing for SLAC’s approval. If approved, less than three quotes or bids will be allowed.

After a Non-Prepriced Task has been approved by SLAC, the Unit Price for such task will be established, following approval by SLAC, and fixed as a permanent Non- Prepriced Task which will no longer require price justification.

SLAC’s determination as to whether a task is a Pre-priced Task or a Non-Prepriced Task shall be final, binding and conclusive as to the Contractor.

SLAC reserves the right to request the Contractor provide current quotes for any Non- Prepriced Task approved previously.

The value of the Price Proposal shall be calculated by summing the total of the calculations for each Pre-priced Task (Unit Price x Quantity x Coefficients) plus the value of all Non-Prepriced Tasks.

Whenever, because of trade jurisdiction rules or small quantities, the cost of a Pre-priced Task is less than the actual cost of the labor and material to perform such Pre-priced Task, SLAC may permit the Contractor to be paid for such Pre-priced Task as a Non-Prepriced Task or use Pre-priced Tasks for labor and the material component pricing of the Pre-priced Task to cover the actual costs incurred. Provided, however, that there is no other work for that trade on the Project or the other work for that trade cannot be scheduled at the same time and the actual cost does not exceed $1,000.

Contractor shall make the necessary arrangements for and obtain all filings and permits required to perform the Detailed Scope of Work, including the preparation of all drawings, sketches, calculations and other documents and information that may be required therefor.

The Contractor shall provide incidental engineering and architectural services required in connection with a particular Task Order including drawings and information required for filing.

Incidental engineering and architectural services do not include stamped drawings, or assignments which consist of more than 4 hours of a professional’s time.

The Contractor's Task Order Proposal shall be submitted by the date set forth in the Request for Task Order Proposal.

The amount of time allowed for the Contractor to prepare the Task Order Proposal will depend on the complexity of the Detailed Scope of Work and on the date by which SLAC requires the Detailed Scope of Work to be completed. Generally, the Contractor will be allowed between three (3) and twenty (20) working days to prepare the Task Order Proposal. For complex Projects or Projects requiring engineering and architectural services to be completed before a Task Order Proposal can be prepared, the amount of time allowed will be increased.

Document Title: Job Order Contract Statement of Work Page 20 of 30

If the Contractor requires clarifications or additional information regarding the Detailed Scope of work in order to prepare the Task Order Proposal, the request must be submitted so that the submittal of the Task Order Proposal is not delayed.

4.4 Government Review of Task Order Proposals

SLAC will review the Task Order Proposal. All incomplete Task Order Proposals shall be rejected. SLAC will review the Price Proposal to determine the accuracy of the Pre-priced Tasks, quantities, Coefficients, and Non-Pre-priced Tasks.

The Contractor may choose the means and methods of construction. Provided, however, SLAC may reject any means and methods proposed by the Contractor that:

a. Will constitute or create a hazard to persons or property.

b. Will not produce the Detailed Scope of Work in accordance with the terms of the Contract; or

c. Unnecessarily increases the Task Order Price when alternative means and methods are available.

By submitting a Task Order Proposal to SLAC, the Contractor is offering to complete the Detailed Scope of Work within the proposed construction schedule for the value of the Price Proposal.

It is the Contractor's responsibility to include the necessary Prepriced Tasks and Non-Prepriced Tasks, accurate quantities, and correct Coefficients in the Price Proposal prior to delivering it to

SLAC.

4.5 Issuance of the Task Order

If the Task Order Proposal is found to be complete and accurate, SLAC may issue a Task Order to the Contractor. The Task Order signed by SLAC, accompanied by the purchase order, and delivered to the Contractor constitutes SLAC's acceptance of the Contractor's Task Order Proposal.

A Task Order will reference the Detailed Scope of Work and set forth the Task Order Completion Time and the Task Order Price. Each Task Order will include the following information:

a. Date of the Delivery Order

b. Contract number and delivery order number

c. Approved Price Proposal of Prepriced and Non-Prepriced Tasks.

d. Delivery order price and delivery or performance date

e. Accounting and appropriation data, if any required

f. Liquidated damages if any

Document Title: Job Order Contract Statement of Work Page 21 of 30

g. Any Performance Work Statement, drawings, or other pertinent data

h. SLAC-Furnished Property, if applicable

The Task Order Price shall be the value of the approved Price Proposal. All clauses of this Contract shall apply to each Task Order. The Contractor will be paid the Task Order Price for completing the Detailed Scope of Work within the Task Order Completion Time.

SLAC, without invalidating the Task Order, may order changes in the Detailed Scope of Work by adding to, changing, or deleting from the Detailed Scope of Work, by issuing a Supplemental Task Order. All Supplemental Task Orders shall be developed in accordance with these procedures.

SLAC may decide not to issue a Task Order under development, may decide to cancel a Task Order or any portion of a Task Order, or cancel a Project or any portion of a Project, for any reason. In such case, the Contractor shall not recover any costs arising out of or related to the development of the Task Order including but not limited to attending the Joint Scope Meeting, preparing or reviewing the Detailed Scope of Work, preparing a Task Order Proposal (including incidental architectural and engineering services), subcontractor costs, or reviewing the Task Order Proposal with SLAC. SLAC may perform such work by other means.

4.6 Emergency Task Orders

An emergency TO is defined as a requirement that involves the risk of life or limb and/or extreme financial loss to SLAC. Emergency TOs will be entitled “Emergency Job Order Request”. The Contractor shall respond to emergency TOs within two (2) hours. Under emergency conditions, the Subcontract Administrator may issue a non-definitive (lacking definitive tasks or quantities) Undefinitized not to exceed (NTE) TO in accordance with FAR 16.603-2 which directs the Contractor upon issuance of the order to proceed with work immediately and accept the Undefinitized NTE Task Order in accordance with FAR 52.216-23.

These orders will specify the work as non-definitive and a verbal Notice to Proceed (NTP) will contain a maximum NTE dollar amount with a maximum value of 50% of the estimated value and authorized in accordance with FAR 52.216-24, against which the Contractor can submit invoices, during contract performance until the contract has been definitized. The Contractor may be provided an immediate verbal NTP by the Subcontract Administrator without the formal issuance of an emergency TO. Work directed under verbal orders are restricted to reduce the immediate safety risk, dangerous situation, or another emergency and followed up with the issuance of a Undefinitized NTE TO within 24 hours. Only the Subcontract Administrator can issue an emergency TO verbal NTP without a signed award.

Within two (2) days from the NTP of the Emergency TO, the SLAC Project Team will conduct a joint scoping meeting with the Contractor as per Section C.4 to further identify the work and establish TO requirements. Following SLAC acceptance of the detailed scope of work, the Contractor shall prepare and submit a proposal.

Document Title: Job Order Contract Statement of Work Page 22 of 30

All TOs will be definitized within 60 days in accordance with FAR 16.603-2 and FAR 52.216-25 in which a defined price based on predetermined tasks and quantities are agreed too between both parties. The final price will be determined through negotiations between the Subcontract Administrator, SLAC Project Team, and the Contractor to identify pre-priced and non-prepriced tasks.

SLAC will review the Contractor’s proposal. Upon completion of negotiations, the Subcontract Administrator will issue a Modification to the TO incorporating the detailed scope of work, other TO requirements, and definitizing the final TO price. Failure to reach an agreement on the final price will be settled in accordance with FAR 52.233-1.

4.7 Verbal Orders

Only the Subcontract Administrator may issue verbal orders in emergency circumstances.

Verbal orders will be confirmed by issuance of a written delivery order within one workday after the verbal order is placed.

4.8 Modifications

Task orders may be modified by agreement between the Subcontract Administrator, SLAC Project Team, and the contractor.

The Subcontract Administrator or SLAC Project Team and the contractor, without invalidating the Task Order, may order changes in the Detailed Scope of Work by adding to, changing, or deleting from the Detailed Scope of Work, by issuing a Supplemental Task Order.

All Supplemental Task Orders shall be developed and priced in accordance with the ordering procedures contained in Section 4 of this Statement of Work.

Price Proposals for Supplemental Task Orders shall include credits for deleted Prepriced Tasks and Non-Prepriced Tasks. Deleted tasks shall result in a credit equal to 100% of the value at which those tasks were included in the original Price Proposal.

4.9 Annual Issuance of the Construction Task Catalog

The Construction Task Catalog issued with the bid will be in effect for the first year of the Contract.

On the anniversary of the Contract, a new Construction Task Catalog will be furnished. The new Construction Task Catalog will be effective for the twelve (12) month period after the anniversary of the effective date of the Contract. The Construction Task Catalogs that accompany each anniversary shall only apply to Job Orders issued after the effective date of that specific renewal option and shall have no impact on Job Orders issued prior to the effective date of that specific renewal option.

The Coefficients submitted with the Proposal shall be used for the full term of the Contract, plus any Option Terms. On the annual anniversary of the Contract, SLAC shall issue the Contractor a new Construction Task Catalog. The Contractor will be issued the new Construction Task

Catalog for review prior to accepting new Work. The Contractor shall use the Construction Task Catalog in effect on the date that the Job Order is issued. However, the Contractor cannot delay the issuance of a Job Order to take advantage of a scheduled update of the Construction Task Catalog. In that event, the Contractor shall use the Construction Task Catalog that would have been in effect without the delay.
