SMALL BUSINESS SET-ASIDE POOL INSTRUCTIONS

If you are competing in the Small Business Set-Aside pool, use these instructions

Section L INSTRUCTIONS, CONDITIONS, AND NOTICES TO RESPONDENTS FOR PROPOSAL PREPARATION USING TRADEOFF SOURCE SELECTION PROCEDURES

Rotary Wing Maintenance Contract Consolidation

1.0 Program Structure and Objective

(a) The Government plans to award a multiple award indefinite delivery/indefinite quantity (ID/IQ) contract for the Rotary Wing Maintenance Contract Consolidation program. Rotary Wing Maintenance Contract Consolidation will primarily include an awarded set of Contractor maintenance personnel who are provided with Government-furnished special tools, equipment, work space and supplies to accomplish modification/maintenance/repair effort on-site at operational Government locations, both in the Continental United States (CONUS) and outside the CONUS (OCONUS).

(b) This solicitation is subject to a Partial Set-Aside. The small business set aside pool will be used for task orders that the Government estimates to be equal to $6M per year or less. Only qualifying small businesses will be eligible to compete for set-aside task orders. Task orders larger than the partial set-aside (greater than $6M per year) will be available for competition among contractors (large or small) who successfully compete under the non-set-aside portion of this solicitation for the Full and Open Competition Pool.

(c) Small Business Choice of Competition. Small Business offerors shall clearly indicate the pool(s) in which they intend to compete on the front page of the RFP. Small businesses may elect to compete in either or both competition pool(s). If a small business elects to compete in the full and open pool, they must submit a separate proposal, to include all volumes, for the Full & Open Competition Pool and meet all of the criteria for that pool to be eligible for award.

(d) This is an indefinite delivery/indefinite quantity contract structure. The initial task order on this IDIQ will be the Fairchild AFB task order. It is being solicited in conjunction with the basic contract and certain aspects of the Fairchild Performance Work Statement (PWS) are being used to inform the award decision of the Small Business Set-Aside Competition Pool of vendors. These items are clearly defined in the instructions. The Fairchild task order does NOT contain all aspects of the expected workload for this competition pool. Unless otherwise directed to the Fairchild PWS, use the tasks in the basic performance work statement as your reference when responding to requests in the Technical and Past Performance volumes.

(e) The term “adequate” is used several times in this document. An adequate response is defined as meeting the requirements of the PWS and applicable instructions or technical data referenced in the PWS (see Attachment 12-Cross Reference Matrix as a reference). If a response is in conflict with these documents then it will be considered inadequate.

1.1 Budget/Funding Information

Funding will be obligated on each task order awarded under the basic contracts. Orders may be fully or incrementally funded as appropriate.

2.0 General Instructions

(a) This section of the Instructions to Offerors (ITO) provides general guidance for preparing proposals as well as specific instructions on the format and content of the proposal. The Offeror’s proposal must include all data and information requested by the ITO and must be submitted in accordance with these instructions. Any offeror who submits an incomplete package may be considered ineligible for award. The offer shall be compliant with the requirements as stated in the PWS and entire Request for Proposal (RFP), including attachments.

(b) The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements, but rather shall provide convincing rationale to address how the Offeror intends to meet these requirements. Offerors shall assume the Government has no prior knowledge of their facilities and experience and will base its evaluation on the information presented in the Offeror’s proposal.

(c) Elaborate brochures, documentation, binding, detailed artwork, or other embellishments are unnecessary and are not desired.

(d) The proposal acceptance period is specified in Block 9 of the solicitation. The Offeror shall make a clear statement in Block 12 of SF 33, that the proposal is valid for 12 months.

(e) In accordance with Federal Acquisition Regulation (FAR) Subpart 4.8, “Government Contract Files”, the Government will retain one copy of all unsuccessful proposals. Unless the Offeror requests otherwise, the Government will destroy extra copies of such unsuccessful proposals.

2.1 General Information

2.1.1 Point of Contact

The Contracting Officer (CO) is the sole point of contact for this acquisition. Address any questions or concerns you may have to the CO. Written requests for clarification may be sent to the CO at the address located in Block 7 of the solicitation.

2.1.2 Debriefings

Competitive Range: The CO will notify offerors of any decision to exclude them from the competitive range, whereupon they may request and receive a debriefing in accordance with FAR 15.505. Offerors excluded from the competitive range may request a pre-award debriefing or they may choose to wait until after the source selection decision to request a post-award debriefing. Offerors excluded from the competitive range are entitled to no more than one debriefing for each proposal.

Unsuccessful Offerors: The CO will notify unsuccessful Offerors in accordance with FAR 15.503. Upon such notification, unsuccessful Offerors may request and receive a debriefing. Offerors desiring a debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable.

2.1.3 Discrepancies

If an Offeror believes the requirements in these instructions contain an error, omission, or are otherwise unsound, the Offeror shall immediately notify the CO in writing with supporting rationale as well as the remedies the offeror is asking the CO to consider as related to the omission or error. The Offeror is reminded the Government reserves the right to award this effort based on the initial proposal, as received, without discussions. The Offeror is also reminded that this reservation extends to the adding or substituting pages of the initial proposal after receipt.

2.1.4 Electronic Reference Documents

All referenced documents for this solicitation are available on the Federal Business Opportunities (FedBizOpps) web site at http://www.fbo.gov. Potential Offerors are encouraged to subscribe for real-time e-mail notifications when information has been posted to the website for this solicitation.

2.1.5 Oral Presentation

Oral presentations will not be accepted.

2.1.6 Amendments to Solicitation

If the RFP is amended, all terms and conditions that are not amended remain unchanged. Offerors shall acknowledge receipt of any amendment to this request by the date and time specified in the amendment(s) by signing and returning the front page of each.

Offerors are requested to limit responses to those efforts necessary for evaluation and relevant to the Rotary Wing Maintenance Contract Consolidation effort. Relevant performance is defined as efforts involving a similar scope and similar magnitude of effort and complexity as this solicitation requires.

The Offeror shall clearly demonstrate management actions employed in overcoming problems and the effects of those actions, in terms of improvements achieved or problems rectified.

5.0 Volume III – Factor 3: Price

5.1 Volume Organization

The Price Volume shall be organized according to the following general outline:

(1) Title Page

(2) Table of Contents

(3) List of Tables and Figures

(4) Glossary of Abbreviations and Acronyms

(5) Exceptions and Rationale

(6) Attachment 13A, “Fairchild Total Evaluated Price (TEP) Matrix”

5.2 General Instructions

The Price Volume is to assist the Offeror in submitting information required to evaluate the reasonableness, completeness, and balance of the Offeror’s proposed prices. Compliance with these instructions is mandatory and failure to comply may result in rejection of the Offeror’s proposal. Please note that only the price data submitted in the Offeror’s Price Volume will be evaluated for pricing purposes. Data beyond that required by this instruction shall not be submitted, unless it is considered essential to document or support the Offeror’s price position. Offerors shall identify any exceptions taken to the pricing requirements stated in this solicitation, providing complete rationale for each exception.

FAR Part 15 applies; this is not a commercial effort. Adequate price competition is anticipated and therefore, at this time, Offerors are not required to submit Certified Cost or Pricing Data in accordance with FAR 15.403-1(c). If, after receipt of proposals, the CO determines that there is insufficient data to determine price reasonableness or adequate price competition is not established and none of the exceptions in FAR 15.403-1 apply, Offerors may be required to submit additional data in accordance with FAR 15.403-3 or FAR 15.403-4, respectively.

5.2.1 Price Reasonableness

The Offeror’s proposal will be evaluated for reasonableness. A price is reasonable if, in its nature and amount, it does not exceed that which would be incurred by a prudent person in the conduct of competitive business. A determination of an unreasonably high TEP may be grounds for eliminating a proposal from the competition.

5.2.2 Completeness

The Offeror’s proposal will be evaluated for completeness. A proposal is complete when all pricing data required under Section L of the RFP is provided in the format prescribed and the Offeror has complied with all requirements of the solicitation, to include the PWS, as well as all attachments and exhibits. Submission of an incomplete proposal may result in rejection of the proposal.

5.2.3 Balanced Pricing

The Offeror’s proposal will be evaluated for balance. Unbalanced pricing may increase performance risk and could result in the payment of unreasonable prices. Unbalanced pricing exists when, despite an acceptable TEP, the price of one or more contract line items is significantly overstated or understated as indicated by the application of cost or price analysis techniques. The Government may also consider an offer unbalanced if there is a significant difference between proposed prices from year to year, including option years, such that they are above or below what would be considered a reasonable adjustment for inflation. A proposal may be rejected if the Contracting Officer determines that the lack of balance poses an unacceptable risk to the Government.

5.3 Pricing Requirements

The Offeror shall clearly identify, on the front page of the proposal, that the proposal is submitted in response to the Fairchild Small Business Set Aside portion of the solicitation. The Offeror shall propose prices on a Firm Fixed Price (FFP) basis in accordance with the proposed Contract Line Item Number (CLIN) structure provided as a table below. Not to Exceed (NTE) Cost Reimbursable (CR) CLINs will be established within the Fairchild Task Order. As the NTE Cost CLINs are subject to a Government established ceiling, no Cost type pricing is required at this time.

5.3.1 TEP Matrix

Attachment 13A, “Fairchild TEP Matrix” shall be comprehensively completed by the Offeror to establish the FFP CLIN prices and TEP for the Fairchild Small Business Set Aside portion of the solicitation.

A color coded "Key" has been provided on the “Instructions” tab to assist with the layout of each tab. The Matrix is separated into ten (10) distinct tabs including “Instructions”, “TEP Summary”, “Post-Award”, “Mobilization”, “Base Year”, “Option 1”, “Option 2”, “Option 3”, “Option 4”, and “Extension”. The “Instructions” tab provides a detailed overview explaining how the Matrix shall be completed by the Offeror. The “TEP Summary” tab automatically calculates an aggregated summary of the total price proposed by the Offeror for the Task Order as input throughout the Matrix. The “Post-Award” tab shall be utilized to account for the $2,000 Task Order award that will be granted to up to the top five (5) Offerors in accordance with the Limited Trade-Off evaluation parameters outlined in the solicitation. Each of the remaining seven (7) non-instructional tabs represent a distinct period of the Task Order as detailed in the blue-colored cells on the top of each tab (ex: Mobilization, Base Year, Option 1-4, and Extension). All seven (7) tabs contain a breakdown of the CLINs relevant to each event or period of the Task Order. Gray-colored cells are included solely for informative and directional purposes. Each green-colored cell contains a prepopulated formula that will be automatically completed, as the Matrix is populated by Offeror. All orange-colored cells must be completed by the Offeror, requiring the Offeror’s general information on the “TEP Summary” tab, as well as their anticipated pricing data for each respective CLIN throughout the Matrix workbook. The Offeror shall only complete orange-colored cells as all other cells have been locked to prevent adjustment. Tampering with Attachment 13A “Fairchild TEP Matrix” outside of what is instructed may result in the Offeror’s proposal being disqualified from further consideration.

The Offeror shall provide unit prices for each FFP CLIN period and event. The Offeror shall first reference the CLIN requirements within the RFP to ensure the unit price provided for each FFP CLIN comprehensively includes all of the Offeror's anticipated direct/indirect expenses and profit. Once the unit price has been entered into the applicable orange-cell for each FFP CLIN, the "CLIN Price" for the period will automatically populate by multiplying the individual unit price by the total quantity of units identified. All dollar amounts in the proposal shall be rounded to the nearest dollar.

5.3.2 Option to Extend Services

As authorized per FAR 52.217-8, an Option to Extend Services Clause may be enacted at the discretion of the Contracting Officer during contract performance. The anticipated six (6) month “Extension” price, equivalent to one-half of the Offeror's final option period price, will automatically calculate on the “Extension” tab of the “Fairchild TEP Matrix” and will be evaluated as part of the TEP.
