About this file
This request for proposal (RFP) solicits proposals for the design, development, manufacture, test, integration, delivery, and sustainment of the United States Deorbit Vehicle (USDV) to deorbit the International Space Station. Proposals are due no later than November 17, 2023, with the past performance volume due October 16, 2023. The anticipated contract award date is April 18, 2024.
The contractor will design, develop, manufacture, test, integrate, deliver, and sustain the USDV to rendezvous and dock with the ISS, perform attitude control and translational maneuvers, and conduct the final deorbit burns. The contractor may propose either a cost-plus-incentive-fee contract for design, development, test, and evaluation through critical design review, with firm-fixed-price for subsequent work, or a fully firm-fixed-price contract. The contract has a potential ordering period of 11 years and 5 months and will be performed onsite at NASA's Johnson Space Center and offsite at the contractor's facilities. The National Aeronautics and Space Administration is the contracting agency.

Reply to Attn of: BG-23-118
TO: All Prospective Offerors
FROM: United States Deorbit Vehicle (USDV) Contracting Officer
SUBJECT: Request for Proposal (RFP), Solicitation No. 80JSC023R0003, for the USDV Contract
Industry is invited to submit a proposal in response to the National Aeronautics and Space Administration (NASA) Johnson Space Center’s (JSC) USDV solicitation. The principal purpose of this solicitation will be to design, develop, manufacture, test, integrate, deliver to NASA, and sustain the USDV, such that the USDV can perform the final deorbit of the International Space Station (ISS). The USDV shall rendezvous and dock with the ISS as well as perform ISS attitude control, ISS translational maneuvers, and the final ISS orbit shaping and reentry burns.
NASA will conduct this acquisition as a full and open competition. The North American Industry Classification System (NAICS) code for this acquisition is 336414 – Guided Missile and Space Vehicle Manufacturing. The small business size standard is 1,250 employees.
To maximize value to the Government, this acquisition will allow offerors flexibility in proposing a contract type for CLIN 1 that best suits their solution. Offerors have the ability to propose either of the following CLIN structures:
CLIN 1, Design, Development, Test and Evaluation through Critical Design Review as Cost Plus Incentive Fee (CPIF) CLIN 2, Production, Assembly, Integration and Test as Firm Fixed Price (FFP) CLINs 3-5 as FFP IDIQ Task Orders
OR
CLIN 1, Design, Development, Test and Evaluation through Critical Design Review as FFP CLIN 2, Production, Assembly, Integration and Test as FFP CLINs 3-5 as FFP IDIQ Task Orders
This competitive acquisition will result in a Single Award as either Hybrid CPIF and FFP contract or a 100% FFP contract.
2 BG-23-118
The contract requires compliance with FAR 52.215-21, Requirements for Certified Cost or Pricing Data and Data Other Than Certified Cost or Pricing Data-Modifications regardless of the Offeror's contract type proposed.
The contract will have potential ordering periods of 11 years and 5 months from the contract effective date, consisting of a 6-year 11-month base period and five option periods. Included in the solicitation is contract clause FAR 52.216-22, Indefinite-Quantity, that will allow for task orders to be completed within two years after the end of the ordering period. The anticipated contract award date is April 18, 2024. The contract effective date is the same date as the contract award date. The contract will be performed onsite at NASA JSC and offsite at the Contractor’s facilities.
NASA has three major acquisition tenets that have been incorporated into the RFP:
1. NASA will procure the USDV as a supply;
2. NASA will procure the USDV Launch Vehicle through the NASA Launch Services
Program; and
3. NASA will perform the USDV flight control through the entire USDV mission.
NASA has released an update of SSP 51101, USDV Systems Requirements Document in the USDV Technical Library. NASA wants to emphasize that safety and reliability are paramount in the USDV requirements to ensure the safe decommissioning of the ISS.
NASA JSC appreciates the comments received in response to the release of the Draft RFP.
These comments resulted in improvements to the quality and content of the overall solicitation. NASA believes the changes made since the Draft RFP have created a balance between Industry practices and Government requirements, providing an acceptable and flexible solution to all parties. Offerors should review the Final RFP in its entirety, as its content has changed from the Draft RFP version in Attachment 1, Updates to the Final RFP.
This list is not intended to cover all changes nor describe all Final RFP requirements.
Offerors should carefully review this Final RFP in its entirety.
Prospective Offerors should pay close attention to all solicitation instructions; however, the following requirements list is summarized to assist in proposal development. Please note that this list is not exhaustive, and the solicitation terms and conditions and provisions in Sections L and M take precedence:

All offeror requests for indemnification must be submitted in accordance with FAR 50.104-3, Special procedures for unusually hazardous or nuclear risks and NFS 1850.104-3, Special procedures for unusually hazardous or nuclear risks. NASA intends to pursue approval of such requests for indemnification under Public Law 85-804 for unusually hazardous risks identified in fulfilling the requirements of the USDV contract.
4. The Final RFP includes some highlighted areas. Green highlights denote areas requiring Offeror Fill-ins (OFIs)/To Be Proposed (TBP) for the proposal (Model Contract Volume V). Yellow highlights denote areas that will be filled-in by the Government before contract award or at the appropriate time during contract execution.
5. Proposals submitted in response to this solicitation shall be due no later than November 17, 2023, at 1:30 P.M. Central Standard Time; however, the Past Performance (Volume III) is due no later than October 16, 2023, at 1:30 p.m. Central Standard Time.

6. Proposals for the RFP are required to be submitted through NASA’s Enterprise File Sharing and Sync Box (EFSS Box), a FedRAMP Moderate certified platform. Potential offerors, especially those that have not previously submitted a proposal utilizing NASA’s EFSS Box, are encouraged to review the RFP instruction entitled “L.18 Electronic Submission of Proposals - Proposal Marking and Delivery Through NASA’s EFSS Box” which provides instructions related to the submission of proposal via EFSS Box. Offerors are encouraged to check with their corporate Information Technology staff to determine if there are firewall restrictions that would need to be addressed prior to the submission of proposal files through NASA’s EFSS Box. Prospective offerors are advised to test the system prior to the delivery date to ensure there will be no perturbations that would result in a late proposal that would be excluded from evaluation, pursuant to FAR 52.215- 1(c)(3). Offerors are instructed to coordinate all proposal deliveries with the USDV Contracting Officer. Offerors should electronically submit their proposals not later than 5:00 p.m. Central time one working day prior to the date specified for receipt of proposals if offerors seek to coordinate with the USDV Contracting Officer regarding the proposal's receipt. NASA is not required to verify proposal receipt prior to the submission deadline.
7. The Government will make available existing Installation-Accountable Government Property (IAGP) for onsite contract performance and Government Furnished Property (GFP) for offsite use at the Contractor’s facility as described in the RFP.
8. Offerors are encouraged to notify the Contracting Officer of their intent to propose prior to proposal submission.
