F.3 FAR 52.211-9 DESIRED AND REQUIRED TIME OF DELIVERY (JUN 1997)
(a) The Government desires delivery to be made according to the following schedule:
Desired Delivery Date:
Completion of Milestone C.2-5 Shipment to Acceptance Destination: August 1, 2028 Assumes required to launch December 1, 2028
If the offeror is unable to meet the desired delivery schedule, it may, without prejudicing evaluation of its offer, propose a delivery schedule below. However, the offeror’s proposed delivery schedule must not extend the delivery period beyond the time for delivery in the Government’s required delivery schedule as follows:
Required Delivery Date:
Completion of Milestone C.2-5 Shipment to Acceptance Destination: May 1, 2029 Assumes required to launch September 1, 2029
Offers that propose delivery of a quantity under such terms or conditions that delivery will not clearly fall within the applicable required delivery period specified above, will be considered nonresponsive and rejected. (b) Attention is directed to the Contract Award provision of the solicitation that provides that a written award or acceptance of offer mailed or otherwise furnished to the successful offeror results in a binding contract. The Government will mail or otherwise furnish to the offeror an award or notice of award not later than the day the award is dated. Therefore, the offeror shall compute the time available for performance beginning with the actual date of award, rather than the date the written notice of award is received from the Contracting Officer through the ordinary mails. However, the Government will evaluate an offer that proposes delivery based on the Contractor’s date of receipt of the contract or notice of award by adding (1) five calendar days for delivery of the award through the ordinary mails, or (2) one working day if the solicitation states that the contract or notice of award will be transmitted electronically. (The term "working day" excludes weekends and U.S. Federal holidays.) If, as so computed, the offered delivery date is later than the required delivery date, the offer will be considered nonresponsive and rejected.

21. Updated Attachment J-37 Incentive Fee Plan as follows:
1.0 Introduction
An Incentive Fee Evaluation Plan is established for any Cost Plus Incentive Fee (CPIF) portion of the contract to evaluate contractor performance and determine the amount of fee to be earned and payable under this contract for the CPIF CLINs. The Incentive Fee evaluation process is an assessment of the cost performance based on plan vs. actual work completed.
2.0 Incentive Fee Plan
The Incentive Fee Plan for (CPIF) requirements under this contract contains a Cost Incentive. The application of these incentives is detailed in Sections 2 and 3 of this Plan, respectively.
All incentive fees will be administered in accordance with clause FAR 52.216-10, INCENTIVE FEE, in Section I of the contract. This clause applies to the Cost Incentive.
3.0 Incentive Fee Provisions
The fee periods, with associated fee, are documented in the Tables in Section 4.0.
In the event of a major breach of safety or security, as defined in NFS 1852.223-75 Major Breach of Safety or Security, the Government will negate incentive fee on the contract for that incentive fee evaluation period.
3.1 Cost Incentive Fee Parameters
(a) Target Cost The Target Cost to be utilized for the purposes of calculating Cost Incentive Fee earned is identified as “Target Cost”. Target Cost is established for each
CPIF CLIN.
(b) Excluded Costs The Contractor shall identify costs, as set forth in FAR 52.216-10(e)(4), Incentive Fee, and notify the Contracting Officer of the amount of such cost together with such supporting detail as the contracting officer may reasonably require. Upon agreement or determination of the amount of such cost, the subject requirement will be revised to incorporate with the amount of the cost determined or agreed to in the line titled, “Excluded Costs.” This amount may be increased from time to time in the same manner. The total resulting amount will be included in the total estimated cost for the requirement, but will not be included in the target cost, nor will it be considered in the determination of the Contractor’s incentive fee earning. Excluded Cost is established for each CPIF
CLIN.
(c) Total Estimated Cost The “Total Estimated Cost” identified in each CPIF CLIN is the sum of the Target Cost and any Excluded Costs. The Total Estimated Cost is used for the calculation of the total CPIF CLIN value and does not represent the Target Cost for purposes of Cost Incentive Fee calculation. Total Estimated Cost is established for each CPIF CLIN.
(d) Maximum Cost Incentive Fee The “Maximum Cost Incentive Fee” is identified in for each CPIF CLIN and represents the maximum amount of Cost Incentive Fee the Contractor may earn for favorable cost performance, following the applicable Incentive Sharing Arrangement.
(e) Target Cost Incentive Fee The “Target Cost Incentive Fee” is identified for each CPIF CLIN.
(f) Minimum Cost Incentive Fee Unless otherwise specified, the “Minimum Cost Incentive Fee” represents the minimum amount of Cost Incentive Fee the Contractor may earn for unfavorable cost performance, following the applicable Incentive Sharing Arrangement. Minimum Cost Incentive Fee is identified for each CPIF CLIN.
(g) Incentive Sharing Arrangement The Contractor shall share in cost overruns and underruns to the Target Cost of each CPIF CLIN as follows:
(1) Underrun to Target Cost Unless otherwise specified, the Cost Incentive Fee payable under each CPIF CLIN shall be the Target Cost Incentive Fee increased by forty (40) cents for every dollar that total allowable cost subject to the incentive is less than the Target Cost of the order. This calculation applies until the Maximum Cost Incentive Fee is reached.
(2) Overrun to Target Cost Unless otherwise specified, the Cost Incentive Fee payable under each CPIF CLIN shall be the Target Cost Incentive Fee decreased by forty (40) cents for every dollar that the total allowable cost subject to the incentive is greater than the target cost of the order. This calculation applies until the Minimum Cost Incentive Fee is reached.
(h) The Cost Incentive Fee payable under each CPIF CLIN shall be in accordance with the provisions of Section I clause FAR 52.216-10, INCENTIVE FEE, unless otherwise specified in the order. Orders shall not specify a maximum or minimum fee percentage outside of the range established in Section I clause FAR 52.216-10, INCENTIVE FEE, of the contract.
3.2 Provisional and Final Cost Incentive Fee Payments
(a) Provisional payment of the Target Cost Incentive Fee shall be billed on a monthly basis at a prorated rate that shall not exceed 80% of the Total Target Cost Incentive Fee. The Contractor shall submit an invoice in accordance with NFS
1852.232-80 SUBMISSION OF VOUCHERS FOR PAYMENT.
(b) The Contracting Officer may choose to discontinue provisional payments or modify the rate at which provisional payments of the Target Cost Incentive Fee are made based on projected overrun or underrun to the Target Cost of the order, or due to projected schedule variance against the milestones specified in the order.
Any such changes will be reflected in the order via a unilateral revision.
(c ) Within 90 calendar days of completion of each CPIF CLIN, the Contractor shall communicate to the Contracting Officer in writing of which NF533M report submission represents the final costs incurred. This data will be utilized to support the calculation of the final amount of Cost Incentive Fee earned for the order CPIF CLIN. The Government will perform an independent calculation to determine the final Cost Incentive Fee earned for the order CPIF CLIN.
4.0 INCENTIVE FEE ARRANGEMENT AND DISTRIBUTION
(a) The minimum incentive fee percentage is OFI% which equates to:
(1) CLIN 1 Minimum Cost Incentive Fee: $OFI.
(2) CLIN 2 Minimum Cost Incentive Fee: $OFI.

Instructions for Delivery Order Proposal:
3. Provide Attachment L-01A, Attachment L-01B, or Attachment L-01D for this Delivery Order
48. Update Attachment L-08, Government Task Agreements Instructions, Section titled “Instructions” to update GTA submittal due date to 10 calendar days after RFP Amendment 3 release. See the following:
“Offerors shall submit all complete final GTA request form via email to the NASA/ISS Program Transportation Integration Office representative, Kristi Duplichen, no later than 10 calendar days after RFP Amendment 4 release to allow the Government to submit a timely response.”
49. Updated Provision M.2 COST AND PRICE FACTOR (VOLUME I) Paragraph (a) to read
“The USDV CLIN structure (e.g., CLIN 1, either CPIF or FFP; CLIN 2, either CPIF or FFP, CLIN 3-5 FFP) will determine the proposal analysis techniques that will be performed to ensure that the final agreed-to price is fair and reasonable in accordance with FAR 15.404-1.”
50. Updated Provision M.2 COST AND PRICE FACTOR (VOLUME I) Paragraph (b)(2) to
“CLIN 2 - Production, Assembly, Integration, and Test (CPIF or FFP, depending on Offerors proposed contract type) Core Contract by GFY”
51. Updated Provision M.2 COST AND PRICE FACTOR (VOLUME I) Paragraph (b)(3) to
“CLIN 2A - Option (CPIF or FFP, depending on Offerors proposed contract type) Core Contract by GFY”
52. Updated Provision M.2 COST AND PRICE FACTOR (VOLUME I) Paragraph (d) to
The process of cost/price evaluation will be predicated on the offerors’ proposed CLIN contract type as “CPIF” or “FFP”.
(1) If an Offeror proposed CPIF for CLIN 1, CLIN 2, or CLIN 2A, then the Government would perform a cost realism analysis on each proposal’s applicable CLIN 1, CLIN 2, or CLIN 2A to evaluate the realism and reasonableness of the proposed costs in accordance with FAR 15.404-1(d). Cost realism analysis will be used to determine the most probable cost to the Government for each proposal including ensuring proposal costs are realistic for the work to be performed, reflect a clear understanding of the requirements, and are consistent with the various elements of the Offeror’s proposal. The Government will not make any adjustments to fee for any probable cost adjustments. A lack of supporting documentation in the Offeror’s Attachment L-01A or L-01D proposal may result in cost realism adjustments under the Cost factor.
(2) If an Offeror proposed FFP for CLIN 1, CLIN 2, or CLIN 2A, then the Government would perform price analysis on each proposal applicable CLIN 1, CLIN 2, or CLIN 2A. The Government will not make cost/price adjustments to the offerors proposed FFP.
(3) For FFP CLINs 3-5, the Government will perform price analysis on CLINs 3-5, regardless of Offerors decision to propose CPIF or FFP for CLIN 1, CLIN2, or CLIN 2A. The Government will not make cost/price adjustments to the FFP CLINs 3-5 proposed price in Attachment L-01A, L-01B, or L-01D.
53. Updated Provision M.2 COST AND PRICE FACTOR (VOLUME I) Paragraph (e) to
The cost or price factor will not be weighted or scored. However, offerors are advised that if the SEB determines that a proposal does not adequately demonstrate that the offeror will be able to perform the work, including the appropriateness of the offeror’s proposed resources or lack of consistency with their Mission Suitability approach, the SEB may determine this to be a Mission Suitability weakness, significant weakness and/or deficiency, adversely affecting the offeror’s Mission Suitability scores as well as require an adjustment for probable cost under CLIN 1 (CPIF), CLIN 2 (CPIF), or CLIN 2A (CPIF) cost factors. (Applicable to CPIF/Attachments L-01A or L-01D only)
54. Updated Provision M.2 COST AND PRICE FACTOR (VOLUME I) Paragraph (g) to
For evaluation purposes the total evaluated cost and price information in the model contract will prevail and take precedence in the event that the model contract differs from proposed price details as provided in Attachments L-01A, L- 01B, or L-01D.
55. Updated Provision M.2 COST AND PRICE FACTOR (VOLUME I) Paragraph (i) to
“Offerors should refer to FAR 2.101(b) for a definition of “cost realism” and to FAR 15.404-1(d) and NFS 1815.305(a)(1) regarding “cost realism analysis” and “probable cost.” (Applicable to CPIF/Attachment L-01A and Attachment L-01D only)”
56. Updated Provision M.3(b) to update the GTA submittal to 10 calendar days after RFP Amendment 4 is release. See the following:
“GTAs must be submitted to the NASA/ISS Program Transportation Integration Office representative, Kristi Duplichen no later than 10 calendar days after RFP Amendment 4 release.”
57. Update the Model Contract to include the Section A-K updates above.
