About this file

This is a master service agreement template between the County of Santa Clara and a contractor for the provision of mental health services. The agreement establishes terms and conditions for contractors to deliver mental health services to county residents, including services for clients with diagnoses requiring facility-based care such as those in Mental Health Rehabilitation Centers (MHRCs) or Skilled Nursing Facilities (SNFs). The contract specifies that contractors must maintain appropriate state licensure and comply with all federal, state, and local regulations governing mental health service delivery, Medi-Cal reimbursement, Medicare participation, and client rights. The agreement term is flexible, beginning and ending on dates to be specified in individual contract executions, with provisions allowing either party to terminate without cause following ninety days' written notice. Contractors are required to admit clients based on prior authorization from the county, maintain comprehensive medical and clinical records for specified retention periods, and participate in orderly client transitions upon contract termination.

Payment is made pursuant to rates and terms specified in Exhibit B, with the county reimbursing contractors within forty-five days of receipt of properly executed and undisputed claims. Contractors must submit claims within sixty days of service provision, and claims submitted after sixty days following contract conclusion require no reimbursement obligation from the county. The agreement requires contractors to comply with Medi-Cal certification requirements before billing for Medi-Cal services and prohibits balance billing to beneficiaries. Contractors are obligated to maintain financial records for ten years, submit certified audits within one hundred twenty days of contract termination or June 30 of each fiscal year, and cooperate with state and federal audits of all records and documents. The agreement is contingent upon appropriation of sufficient funding from federal, state, and county sources, with the county retaining the option to terminate or amend the agreement if funding becomes insufficient or is discontinued.
