Summary of JPay Response to RFP No. BPM005375

This document is JPay's response to Request for Proposal No. BPM005375 for Electronic Payment Transaction Processing Services submitted to the Arizona Department of Corrections, Rehabilitation & Reentry (ADCRR). The RFP seeks electronic payment transaction processing services enabling money transfers to incarcerated individuals and payment of fines, fees, costs, and victim restitution. JPay, as the incumbent vendor, proposes to continue providing money transfer services without requiring new implementation, with the capability to go live within 30 days of contract execution. The implementation plan includes five project phases with quality control checkpoints, encompassing project initiation, planning, execution, monitoring and controlling, and project closure. The preliminary timeline indicates the project initiation through acceptance would occur over approximately 25 days, with agency-wide implementation spanning from October 23, 2023, through November 9, 2023.

The response includes JPay's Proprietary Software Interface License Agreement, which grants ADCRR a limited, nontransferable, non-exclusive license to use JPay's interface for accepting payments through Payment Solutions. The agreement addresses compliance requirements including Payment Card Industry Data Security Standards (PCI DSS), anti-money laundering, know-your-customer processes, and privacy regulations. JPay commits to providing 24/7/365 technical support and account management following project closure. The document also includes detailed reporting capabilities (daily batch, weekly deposit, and monthly deposit reports) and an extensive list of MoneyGram agent locations across Arizona where funds can be transferred, including major retailers such as Walmart, CVS, Ace Cash Express, and various check cashing services.

Appendix 1 – Implementation

As the incumbent vendor, JPay will not require any implementation to continue providing the ADCRR our money transfer services. We have provided a standard timeline for reference purposes only.

Implementation of JPay’s Electronic Payment Transaction Services

The JPay Implementation Team delivers a quality installation and no mess. Our post-implementation customer surveys demonstrate that agencies appreciate our approach and experience. We bring this experience to your project and strive for a seamless installation and transition of service at ADCRR. During the implementation and testing process, we minimize the ADCRR administrative burden--your team and resources remain focused on their primary responsibilities while we manage an efficient implementation.

The JPay Implementation Plan for the ADCRR project includes a turnkey installation of our Electronic Payment Transaction Processing Services that can go live within 30 days of contract execution. Your requirements are included in the plan along with built in flexibility to address challenges that may occur along the way. Downtime during transition is limited and the needs of your population and their families will be addressed through support and training.

The JPay Implementation Plan has five project phases with quality control checkpoints at key stages throughout the project. The quality control checkpoints are part of the Six Sigma quality measurement that is used to identify and remove the causes of errors and minimize variability in the installation process. Each installation follows a defined sequence of steps with quantifiable targets—financial, time, or any other measure that is important to you.

Phase 1: Project Initiation

Immediately after contract award, the JPay Project Team meets with ADCRR onsite for introductions, scope and timetable review, site survey confirmation, project communication and meeting plan, and project kick-off.

Phase 2: Project Planning

The JPay Project Team coordinates material, human resources required for the project, travel, facility access, deliveries, and customer training. JPay works directly with all required

JPay Response to RFP No. BPM005375 - Electronic Payment Transaction Processing Services 3 vendors to coordinate the installation of network services and equipment required for the project.

Phase 3: Project Execution

The JPay Project Team will provide regular progress reports to ADCRR. The JPay Project

Team coordinates implementation activities with the ADCRR and to ensure a seamless transition of service. If a service interruption is required, the activity will be coordinated with the ADCRR’s team at least five business days in advance. Most project activity will occur during normal business hours; however, JPay can accommodate work late-night, overnight, and during lockdown.

The Project Team hosts a customer acceptance review meeting with the ADCRR team after finalizing the implementation at each location. In addition, onsite training, and web-based training activities (if applicable) occur during this phase of the project.

▪ Quality Control Checkpoint 1

Customer Provisioning prepares the systems to support the ADCRR installation at required levels and configures necessary applications and features.

▪ Quality Control Checkpoint 2

Customer Pre-Installation reviews onsite installation standards to confirm JPay standards are met or exceeded.

Phase 4: Project Monitoring/Controlling

Outstanding items are resolved, and the JPay Team conducts daily diagnostic checks and monitoring. ADCRR confirms project requirements were achieved.

▪ Quality Control Checkpoint 3

Testing / Functional Validation tests the system functionality while online to confirm all system options are configured to meet the ADCRR’s specifications and requirements.

Phase 5: Project Closure

The Project Team and ADCRR to review the project. Once the ADCRR delivers final acceptance, the Project Team seamlessly will transition support responsibilities to your

Account Manager. After Project Closure, the Account Management Team and Technical

Support Teams are available 24x7x365. JPay will provide ADCRR with phone and email contact information and escalation procedures for all ongoing maintenance and support needs.

JPay Response to RFP No. BPM005375 - Electronic Payment Transaction Processing Services 4

▪ Quality Control Checkpoint 4

Customer Acceptance involves a meeting for the ADCRR to review all quality control documents, records, and network diagrams. Resolution of any outstanding deliverables or service issues occurs before completing the Customer Acceptance checkpoint.

A preliminary sample timeline is provided below.

2. Term and Termination.

a. This Agreement shall become effective upon the date of the latter signature to this Agreement

(“Effective Date”) and shall continue for the duration of the Payment Solutions Agreement. This

Agreement may be terminated sooner (i) by either Party upon 180 days’ written notice to the other, subject to the provisions of section 2.2; (ii) by either Party immediately upon notice to the other Party of such other Party’s material breach of this Agreement, subject to a reasonable opportunity to cure such breach; or (iii) with or without notice by one Party if the other Party becomes insolvent, makes or has made an assignment for the benefit of creditors, is the subject of proceedings in voluntary or involuntary bankruptcy instituted on behalf of or against such Party

(except for involuntary bankruptcies which are dismissed within sixty 60 days), or has a receiver or trustee appointed for substantially all of its property.

b. This Agreement shall remain in effect until such time as any Payment Recipient which became a customer of Licensee or JPay through award of a competitive procurement for a fixed term

(including permitted renewals) that utilizes the products or services of Licensee and JPay combined through this Agreement ceases use of either Party’s products or services.

c. Upon termination of this Agreement, JPay shall disable the Proprietary Interface and Licensee shall promptly return to JPay all print and digital materials JPay provided to Licensee in connection with the Proprietary Interface or certify as to their destruction except for such materials as Licensee may be required to keep for legal or regulatory reasons.

3. Limited License. Subject to Licensee’s compliance with the terms and conditions of this Agreement and while this Agreement is in effect, JPay grants to Licensee upon Acceptance a personal, nontransferable, non-exclusive License to use the Proprietary Interface. The License is solely for the purpose of Licensee accepting payments from Payers through JPay’s Payment Solutions on an integrated basis to Payment

Recipients. All other use of the Proprietary Interface is strictly prohibited. JPay may disable the

Proprietary Interface if JPay detects a security or compliance issue that, in JPay’s commercially reasonable judgment, presents a threat of intrusion or operational disruption to JPay.

JPay Response to RFP No. BPM005375 - Electronic Payment Transaction Processing Services 8

4. Specifications. The Parties shall work diligently to establish the Proprietary Interface in accordance with

Exhibit “A” – Specifications to this Agreement, incorporated into and made a part of this Agreement by this reference (“Specifications”). The Parties shall maintain data transmission software and telecommunications means and protocols consistent with the Proprietary Interface. Each Party shall, when practicable, give the other Party 90 days’ written notice of any modification or discontinuation of such protocols where such action would affect the ability of the Proprietary Interface to fulfil its intended purpose. Each Party shall be responsible for its own costs of establishing, maintaining, or modifying such protocols.

5. Acceptance. JPay and Licensee shall conduct acceptance testing to confirm that the Proprietary Interface enables the Payment Services. If such testing identifies any deficiency in the Proprietary Interface that prevents the Proprietary Interface from enabling the Payment Services (“Material Deficiency”), JPay shall attempt to remedy the Material Deficiency and the Parties shall conduct further acceptance testing limited to confirming any Material Deficiency is resolved. If the Proprietary Interface performs without Material

Deficiency, an individual authorized to legally bind Licensee shall execute and return to JPay a Final

Acceptance Certificate substantially in the form attached as Exhibit “B” – Final Acceptance Certificate to this Agreement. In the event further acceptance testing confirms any Material Deficiency remains unresolved, the Parties shall negotiate in good faith to determine an action plan to identify and resolve the

Material Deficiency by commercially reasonable means including but not limited to revising the

Specifications. Licensee’s use of the interface in a production environment shall not commence until

Licensee and JPay have executed a Payment Solutions Agreement.

6. Licensee’s Obligations.

a. Licensee shall maintain compliance with all laws, rules, regulations, and industry standards to the extent they are applicable to Licensee’s operation and use of the Payment Solutions. These include, but are not limited to those relating to anti-corruption and anti-bribery efforts; anti-money laundering and know-your-customer (“AML KYC”) processes; privacy; the safeguarding of personally identifiable information (“PII”) and protected health information (“PHI”); Payment Card

Industry Data Security Standards (“PCI DSS”); state and federal requirements for an MSBs; Payment

Application Data Security Standards (“PA-DSS”); rules, regulations and guidelines for credit card and debit card systems such as Visa U.S.A., Inc. and Mastercard International Incorporated (“Card

Association Rules”); National Automated Clearinghouse Association (“NACHA”) standards; and the

Health Insurance Portability and Accountability Act of 1996 (“HIPAA”), or the Health Information

Technology for Economic and Clinical Health Act (“HITECH Act”) and their implementing privacy and security regulations (“HIPAA regulations”). Licensee shall notify JPay immediately of any Licensee violation of any privacy, anti-corruption, anti-bribery, or AML KYC laws or regulations; any data breach or similar incident that may violate any of the foregoing standards or put at risk data protected by privacy laws, PII, or PHI; or a material violation of PCI DSS, PA-DSS, MSB standards, HIPAA, the HITECH Act, Card Association Rules, or NACHA standards in connection with its use or provision of the Payment Solutions. If applicable, Licensee shall provide JPay with documentary evidence that it has satisfied PCI DSS or PA-DSS requirements, and documentation substantiating the remediation of any privacy, data breach, or security issue upon JPay’s request. Licensee shall not use its system(s) or provide services in conjunction with the Payment Solutions for any illegal purposes.

b. Licensee must test any modification, update, or reconfiguration of its system if Licensee believes such change may negatively affect the Proprietary Interface or the operation of the Payment

Solutions using the test environment that JPay will provide before activating the modification, update, or reconfiguration in a production environment. In the event Licensee fails to test such change in accordance with this Agreement and the change negatively affects provision of the

JPay Response to RFP No. BPM005375 - Electronic Payment Transaction Processing Services 9

Payment Solutions, JPay may treat such change as a change request under its then-applicable rates and procedures in lieu of grounds for termination under Section 2. JPay may, in its sole judgment, reasonably exercised, determine that Licensee’s intended changes, JPay’s planned changes to improve or enhance users’ experience, or changes required for legal, regulatory, industry rules compliance, or similar cause will require recertification of the modified Proprietary

Interface. If so, JPay will provide Licensee with notice and Licensee shall complete the process in

Section 5 with respect to Acceptance of the modified Proprietary Interface.

c. If the scope of the License includes the processing of payments to Licensee, Licensee shall not use the Payment Solutions in conjunction with processing payments by phone for Licensee’s Payers.

Licensee will refer all Payers who attempt to pay Licensee by phone to an authorized JPay payment channel such as those described in Section 1.i.

d. Licensee shall not offer or perform any MSB functions under its own name that use the Payment

Solutions in any way. Licensee agrees that federal and state MSB regulators have the right to inspect Licensee’s books and records and that Licensee will fully cooperate with such regulators’ requests to inspect.

e. TO THE FULLEST EXTENT PERMITTED BY LAW LICENSEE SHALL INDEMNIFY AND HOLD JPAY

HARMLESS FROM AND AGAINST ALL COSTS AND DAMAGES INCLUDING FINES, FEES,

PENALTIES, AND COURT COSTS AND ATTORNEY’S FEES AND COSTS ARISING FROM ANY CLAIM

LICENSEE’S ACTIONS UNDER THIS AGREEMENT VIOLATE ANY LAWS OR REGULATIONS.

7. JPay Obligations.

a. JPay shall give Licensee 120 days’ notice prior to elimination or substantial modification of any

Proprietary Interface then in use by Licensee, provided, however, JPay may immediately discontinue any service which it deems to be in violation of any law, regulation, or industry rule or take such action as JPay, in its sole and absolute discretion, may deem necessary to provide the service in a manner that complies with such standard.

b. JPay shall train and support such personnel as Licensee reasonably designates to facilitate effective use of the Payment Solutions by Payers and Payment Recipients in connection with use of the Proprietary Interface.

c. JPay shall notify Licensee 60 days in advance of JPay discontinuing any of the Payment Solutions

Licensee is then offering to or through Licensee.

d. JPay shall have beneficial interest in Payer funds settled through a JPay bank account used for settlement to Payment Recipients.

e. TO THE FULLEST EXTENT PERMITTED BY LAW JPAY SHALL INDEMNIFY AND HOLD LICENSEE

HARMLESS FROM AND AGAINST ALL COSTS AND DAMAGES INCLUDING FINES, FEES,

PENALTIES, AND COURT COSTS AND ATTORNEY’S FEES AND COSTS ARISING FROM ANY CLAIM

JPAY’S ACTIONS UNDER THIS AGREEMENT VIOLATE ANY LAWS OR REGULATIONS, OR THE

INTELLECTUAL PROPERTY RIGHTS OF ANY THIRD PARTIES.

8. Confidentiality. ”Confidential Information” consists of all information disclosed by one Party to the other

Party (whether orally, visually, in writing, or in electronic or other tangible form or otherwise) related to the disclosing Party’s business, products, processes, and services, including, without limitation, any information, process, technique, algorithm, program, design, drawing, formula or test data relating to any research project, know-how, trade secrets, customer lists, business volumes or usages, financial information, software, software documentation, source codes, object codes, design documents, trusted

JPay may find it necessary to disclose to Licensee Confidential Information, and Licensee promises and assures JPay that confidential information it discloses shall be held in strict confidence and shall not be disclosed to or discussed with third Parties without the prior written consent of JPay and any disclosure JPay permits shall only be to third

Parties under similar obligations of confidentiality as contained in this Agreement and only to the extent necessary for Licensee to perform its obligations under this Agreement. Such information shall remain confidential and under the confidentiality terms of this Agreement for a period of three years from the termination of this Agreement. Notwithstanding the foregoing, Licensee shall have no liability to JPay regarding information that (i) has become part of the public domain through no act or omission of

Licensee; (ii) was lawfully disclosed to Licensee without restriction on disclosure by a third party; (iii) was developed independently by Licensee; (iv) is or was lawfully provided to Licensee prior to disclosure hereunder from a third party not subject to an obligation of confidentiality or otherwise prohibited from transmitting such information; or (v) is disclosed pursuant to the order or requirement of any governmental body, provided, however, that Licensee shall immediately inform JPay of any such order or requirement so that JPay may have the opportunity to contest it. ALL CONFIDENTIAL INFORMATION

EXCHANGED UNDER THIS AGREEMENT IS PROVIDED “AS-IS.”

9. Remedies. Licensee agrees that any breach it commits of Section 8 of this Agreement will cause irreparable injury to the goodwill and proprietary rights of JPay, inadequately compensable in monetary damages.

Accordingly, in addition to any other legal or equitable remedies that may be available to JPay, JPay shall be able to seek and obtain immediate injunctive relief in the form of a temporary restraining order without notice, preliminary injunction, or permanent injunction to enforce the provisions of Section 8. JPay shall not be required to post any bond or other security and shall not be required to demonstrate actual injury or damage to obtain this injunctive relief.

10. Representations, Warranties, and Disclaimers.

a. Each Party warrants that (i) it has full power and authority to execute and deliver this Agreement and perform all of its obligations hereunder; (ii) entering into this Agreement and consummation of the transactions contemplated hereunder will not violate any law, statute, rule, regulation, ordinance, or contract applicable to the Party, or, if a private entity, conflict with or result in a violation of the Party’s articles of association or incorporation or bylaws; and (iii) this Agreement is valid, binding, and enforceable against such Party and its permitted successors or assignees in accordance with its terms.

b. JPAY ACCEPTS NO RESPONSIBILITY FOR SECURITY, PRIVACY, AML KYC, PHI, PII, PCI DSS, PA-

DSS, NACHA, HIPAA REGULATIONS OR SIMILAR STANDARD OF COMPLIANCE WITH RESPECT

TO INFORMATION THAT RESIDES ON SYSTEMS OTHER THAN THOSE UNDER JPAY CONTROL.

JPAY PROCESSES TRANSACTIONS USING THE INTERNET AND IS NOT LIABLE TO LICENSEE FOR

EXPOSURE OF LICENSEE’S COMPUTERS OR NETWORKS TO MALICIOUS SOFTWARE OR

HARDWARE OF ANY KIND. OTHER THAN THOSE EXPLICITLY MADE IN THIS AGREEMENT, BOTH

PARTIES DISCLAIM ALL REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED,

INCLUDING WITHOUT LIMITATION ANY WARRANTIES REGARDING QUALITY, SUITABILITY,

MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. NEITHER PARTY SHALL BE

LIABLE FOR LOST REVENUES, PROFITS, INTEREST, GOOD WILL, OR ANY INDIRECT,

INCIDENTAL, PUNITIVE (EXCEPT LICENSEE AS MAY BE IMPOSED ON JPAY FOR LICENSEE’S

ILLEGAL USE OF THE PAYMENT SOLUTIONS), OR CONSEQUENTIAL DAMAGES SUFFERED OR

INCURRED BY THE OTHER PARTY IN CONNECTION WITH OR ARISING FROM SERVICES

JPay Response to RFP No. BPM005375 - Electronic Payment Transaction Processing Services 11

PERFORMED OR MATERIALS PROVIDED UNDER THIS AGREEMENT EVEN IF ADVISED OF THE

POSSIBILITY OF SUCH DAMAGES.

11. Relationship. Nothing contained herein shall be deemed to create any association, partnership, joint venture, or relationship of principal and agent, master and servant, or employer and employee between the Parties hereto or to provide either Party with the right, power or authority, whether expressed or implied, to create any such duty or obligation on behalf of the other Party. Nothing herein implies any relationship of exclusivity between the Parties or obligates either Party to enter into any other agreements with the other Party. Each Party is responsible for its own costs and expenses with respect to such Party’s performance under this Agreement.

12. Rights to Intellectual Property. Licensee acknowledges and shall not challenge JPay’s ownership of JPay’s or right to use other Intellectual Property. Except for the License, nothing in this Agreement shall be construed as granting Licensee a license in, or right to use JPay’s Intellectual Property. Licensee agrees that any Licensee use of JPay Intellectual Property shall be in accordance with JPay instructions and subject to the control, direction, and approval of JPay; that any rights arising out of such use shall inure solely to the benefit of JPay; and that Licensee shall have no ownership or other interest in JPay Intellectual Property.

13. Publicity. The Parties shall jointly prepare any press releases relating to this Agreement or the activities hereunder.

14. Freedom of Information. The software, documentation, and other print or digital materials JPay provides with the Proprietary Interface contain information that, if disclosed, would give JPay competitors a competitive advantage and potentially compromise JPay’s security. If Licensee is subject to freedom of information or similar public disclosure laws (“Disclosure Laws”), to the extent the Disclosure Laws allow, Licensee shall consider each and all of such materials as a proprietary trade secret beyond the scope of such Disclosure Laws that may otherwise apply to documents in Licensee’s possession by such Disclosure Laws’ terms.

15. Notices. Except where this Agreement provides otherwise, all notices permitted or required by this

Agreement shall be in writing and shall be given to the respective Parties by Certified First Class U.S. Mail, express courier, or via facsimile with a hard copy following, sent to the address below the Party’s signature to the attention of such individual as either Party designates from time to time. Notices and consents under this section shall be deemed to be received, if sent by mail, five days following their deposit in the U.S. Mail or with an express courier and, if sent by facsimile, when such facsimile is transmitted to the other Party and sender receives a confirmation of such facsimile.

16. Miscellaneous Terms and Conditions.

a. Third-Party Beneficiaries. There are no third-party beneficiaries to this Agreement.

b. No Exclusivity. Except as otherwise may be stated above, nothing herein shall be interpreted as requiring or intending that the Parties must deal exclusively with one another for any reason or purpose.

c. Expenses and Taxes. Each Party shall be responsible for its own expenses in performing this

Agreement and for all federal, state, and local taxes that may be imposed upon its services.

d. Assignment. Licensee may not assign this Agreement, in whole or in part, without prior written consent of JPay, which consent shall not be unreasonably withheld. Except in the instance of a sale or merger transferring a controlling interest (defined as the transfer of, or the transfer of the power to vote a majority of voting shares) in JPay, JPay may not assign this Agreement, in whole or

JPay Response to RFP No. BPM005375 - Electronic Payment Transaction Processing Services 12 in part, without prior written consent of Licensee, which consent shall not be unreasonably withheld.

e. Force Majeure. Either Party is excused from performance and shall not be liable for any delay in performance or non-performance, in whole or in part, caused by the occurrence of any contingency beyond the control of the Parties including, but not limited to, work stoppages, fires, civil disobedience, riots, rebellions, flood, storm, terrorism, pandemic, Acts of God, and similar occurrences.

f. Governing Law. This Agreement shall be governed by the internal laws of the state in which

Licensee’s principal office is located. Litigation regarding this Agreement shall be filed in state or federal courts of appropriate jurisdiction in or near the county in which Licensee’s principal office is located.

g. No Waiver. A waiver of any portion of this Agreement shall not be deemed a continuing waiver or a waiver or renunciation of any other portions.

h. Severability. In the event that any provision of this Agreement is adjudicated by any court of competent jurisdiction to be invalid, illegal, void, or unenforceable, all other provisions of this

Agreement shall nevertheless remain in full force and effect.

i. Survival.
