Conformed through Amendment 0005
SECTION B INSTRUCTIONS
This requirement is solicited as a full and open competition and is a follow-on effort for Chemical Management Services (CMS) and Third Party Logistics (3PL) services for DLA Aviation in support of the Fleet Readiness Centers (FRCs). The Government intends to award one or more contract(s) as a result of this solicitation. The Government will determine the number of contract(s) that will be awarded based upon the quality of proposals received. Offerors must propose to all sites and line items to be considered responsive to the solicitation. Offeror(s) who receive a contract award will receive a corresponding Task Order for support at one or more of the FRC locations. The three required FRC locations are:
1. FRC East (FRCE) located at Marine Corps Air Station (MCAS) Cherry Point, NC;
2. FRC Southeast (FRCSE) including FRC Mid-Atlantic (FRCMA) located at Naval Base Norfolk, VA; Naval Air Station (NAS) Oceana, VA; and NAS Jacksonville, FL; and
3. FRC Southwest (FRCSW) and Navy Aviation Intermediate Maintenance Department (AIMD) located NAS Coronado (North Island), CA.
The resultant contract(s) will be hybrid Indefinite Delivery Indefinite Quantity (IDIQ) with Firm-Fixed-Price (FFP), Cost- Plus-Fixed-Fee (CPFF), and Cost Reimbursement (CR) No Fee line items. This requirement includes a five-year ordering period (inclusive of a 120 day Phase-In Period) for the CMS and 3PL services. The Government anticipates staggering transition and performance for each of the three sites with FRCE transition starting with contract award, FRCSE transition starting 2 months after contract award, and FRCSW transition starting 4 months after contract award. Offerors shall pay particular attention to the line items and the staggered transition/performance noted above as line items shall be priced on an ordering period basis. Offerors are cautioned that the ordering period may not be the same as the performance period.
The following reflects the anticipated dates for the beginning of phase-in and full performance respectively per site:
Phase-In
-FRCE 09/01/2021
-FRCSE 11/01/2021
-FRCSW 01/01/2022
Full Performance
-FRCE 01/01/2022
-FRCSE 03/01/2022
-FRCSW 05/01/2022
IDIQ MINIMUM AND MAXIMUM QUANTITIES: As referred to in paragraph (b) of FAR Clause 52.216-22 Indefinite Quantity (reference Section I), the minimum value of the services is $500,000.00. The maximum value of the services is $210,000,000.00.
IDIQ TASK ORDERS: Task Orders will be utilized to procure support services for each location. The Government anticipates awarding a Task Order for support at the same time as the basic contract award. This first Task Order under the basic contract will fulfill the minimum guarantee amount.
When the Government awards a location via Task Order, the Government anticipates that the Contractor will provide support for the duration of the basic contract. If there is adverse performance, failure to deliver proposal commitments, or the Government determines it is in its best interest, the Government may obtain that FRC location services from another contract holders (if applicable).
Task Orders issued under the resultant contract may be issued unilaterally or bilaterally as determined by the Contracting Officer. Task Orders may be issued utilizing FFP labor CLIN types as well as CPFF and CR (no fee) CLIN types as necessary for the procurement of Hazardous Materials (HM) and applicable support costs.
SOLICITATION INSTRUCTIONS: Offerors shall enter the Total Estimated Value for the entire contract. The Contract Line Item Numbers (CLINs) consist of labor as FFP; hazardous material procurements as CPFF; material support, operations supplies, travel, and training as CR; and Contract Deliverable Requirements Lists (CDRLs) as not separately priced (NSP).
FRCE is CLIN set X001-X003, FRCSE is CLIN set X004-X006, FRCSW is CLIN set X007-X010 (with AIMD with its own hazardous materials CLIN X010), and CLIN set X011 as CDRLs. SubCLINs are utilized for CLINs 0001, 0004, and 0007 to segregate costs for transition versus full performance ordering pricing. SubCLINs are also utilized for CLINs X003, X006, and X009 to segregate materials support, operations supplies, travel, and training costs. Additional information to assist in price development is outlined below.
FFP ARRANGEMENT – Labor is on a firm fixed price per month basis but subject to deduction based upon performance (reference Section F-4). To accommodate the potential for price reduction, offerors shall propose pricing as a “flip” with the total price as the quantity, the unit of measure $1.00 and the total dollars. SubCLINs 0001AA, 0001AB, 0004AA, 0004AB, 0007AA, and 0007AB are for Ordering Period One and CLINs X001, X004, and X007 are for Ordering Periods Two-Five.
All labor shall be paid on a firm fixed price per month, subject to deduction for non-compliant performance. All CLINs shall be invoiced in accordance with SECTION G-4, INVOICING INSTRUCTION.
COST–PLUS-FIXED-FEE (CPFF) PRICING ARANGEMENT – CLINs X002/X005/X008/X010: Costs for Hazardous Material (HM) shall be reimbursed at actual cost plus applicable indirect cost(s) and fixed fee. CLINS shall be invoiced in accordance with SECTION G-4, INVOICING INSTRUCTION.
Offerors shall apply ONLY their applicable indirect rate(s) and fixed fee to the Government Provided Estimated Cost to arrive at the Total Estimated Cost, Plus Fixed Fee amount. In accordance with FAR 15.404-4(c)(4)(i)(C), the fixed fee shall not exceed 10% of the estimated cost, excluding fee. The contractor will only be reimbursed for the HM material when the material is issued to the Government. The point of sale is defined as when HM ownership and physical accountability transfers from the 3PL inventory, is physically delivered to a Mega-Center, Issue Center, or Point of Use (POU) locker or location, and the receipt transaction is completed in the Government’s designated Program of Record (i.e., HMMS, EESOH- MIS, or HMIDS). Additionally, the contractor is required to obtain competition for all material purchases, regardless of dollar value, to the maximum extent practicable, which will be monitored by the Contracting Officer’s Representative (COR). The Contractor will be required to continuously improve demand projections to enhance material availability, buying power, pinpointing improvement opportunities to reduce HM costs. The contractor will be authorized to use Government Sources of Supply (i.e. DLA, GSA and NIB/NISH).
COST REIMBURSEMENT (NO FEE) PRICING ARRANGEMENT - SubCLINs X003AA/X003AB/X006AA/X006AB/X009AA/X009AB/X009AC: Offerors shall apply their applicable indirect rate(s) to the Government Provided Estimated Cost to arrive at the Not-To-Exceed (NTE) amount. The Contractor shall be reimbursed for actual cost and indirect rate as proposed only. SubCLINs shall be invoiced in accordance with SECTION G-4, INVOICING INSTRUCTION.
Solicitation Instructions for SubCLINs X003AA/X003AB/X006AA/X006AB/X009AA/X009AB/X009AC:
Offeror shall enter the Government Provided Estimated Cost located in Section L. Offerors shall insert and apply their applicable indirect rate(s) supported by their accounting system to this estimated cost to arrive at the NTE. Offerors shall enter the applicable indirect rate (%) and applicable indirect dollar amount ($) and the NTE in Section B. No fee shall be applied.
INVOICING AND EXCESS FUNDS:
Offerors shall invoice all costs, including supplier and subcontractor costs, within 90 days from the period of performance completion date identified in the Task Order. Any contract expenses not invoiced within this timeframe may be determined unallowable by the Contracting Officer.
At 90 days, the Government will evaluate all costs billed and allowable for the CLINs. Any excess funds will be removed via unilateral modification by the Government.
REPORTING REQUIREMENTS - CLINs X011 (NSP): While these CLINs are not separately priced, it is anticipated and it is acceptable that the Contractor will be reimbursed for the execution of this CLIN. Costs associated with this effort shall be captured under the FFP CLINs only.
SERVICE CONTRACT LABOR STANDARDS: CLINs X001, X004, and X007 and their SubCLINs include labor subject to the Department of Labor, Service Contract Labor Standards. Offerors must pay at least the direct wage and benefits identified in the applicable Wage Determination; however, Offerors are encouraged to propose rates and benefits necessary to perform in accordance with the Offeror’s overall proposal. Direct labor rates and fringe benefits in excess of wage determination minimums, as well as escalation for Service Contract Labor Standards labor, may be proposed.
LIMITATIONS ON INDIRECT COST RATES:
(a) Pursuant to FAR 42.707, an indirect cost rate ceiling is incorporated into the contract. "Indirect cost" is defined as set forth at FAR 31.001 and 31.203. "Indirect cost rate" is defined as set forth at FAR 42.701.
(b) Notwithstanding the clause of this contract entitled "ALLOWABLE COST AND PAYMENT" (FAR 52.216-7), the allowable indirect cost under this contract shall be obtained by applying limitations on indirect cost rates to bases agreed upon by the parties, as specified below.
(c) Allowability of costs and acceptability of cost allocation methods shall be determined in accordance with FAR Subpart
31.2 in effect on the date of this contract, as limited by the indirect cost rates established by this requirement.
(d) The indirect cost rates contained in the Contractor's and Subcontractor’s accepted contract proposal shall be incorporated into the contract schedule as limitations on indirect cost rates for each Contractor fiscal year of contract performance. The basis to which the indirect cost rates apply shall be those contained in the Contractor's and Subcontractor’s accepted contract proposal, and hereby incorporated into the contract schedule, in accordance with the Contractor's and Subcontractor’s accounting system upon which its proposal was based.
(e) The Government will not be obligated to pay any additional amount should any final indirect cost rates for any Contractor fiscal year (or for any different period agreed to by the parties) exceed the indirect rates incorporated into the contract schedule. In the event any of the Contractor's or Subcontractor’s final indirect cost rates are less than the indirect cost rates incorporated into the contract schedule, the incorporated rates shall be reduced to conform with the lower rates.
(f) The limitations on indirect cost rate shall not change any monetary ceiling, contract obligation, or specific cost allowance or disallowance provided for in this contract. If facilities capital cost of money is proposed as an allowable cost, the rates proposed shall be subject to the limitations imposed by this requirement.
(g) The limitations on the indirect cost rate shall apply to all work performed under the contract, and to all change orders and supplemental agreements, including changes due to growth, supplemental, emergent and new work.
(h) Notwithstanding any of the terms of this requirement, should the Contractor initiate a change to its accounting systems which would alter the composition of any overhead base or pool effected by this requirement, the Contracting Officer and Contractor shall negotiate to determine the rate ceilings to be applied to the overhead pools, provided that no agreement shall be made which would increase the costs paid by the United States under this contract. Only those rates proposed and incorporated at the time of award will be considered, no new rates will be added, and no increase in costs will be accepted.
*The Limitations on Indirect Cost Rates applies to the cost type CLINs X002, X003, X005, X006, X008, X009, and X010.
Rates subject to the limitation include those proposed by the offeror such as fringe (only modified as required by Department of Labor), overhead, material handling, and/or General and Administration (G&A).
**In addition, if an Offeror fails to identify or disclose as part of its proposal an indirect cost rate that would otherwise be applicable to one of the support or subcontract cost items, it shall not be allowed to invoice for the indirect rate after award since the evaluation of its offer did not include that rate.
EXCESS/WASTE:
Offerors are cautioned that hazardous materials shall be ordered and stocked to the levels determined by the Contractor to be necessary to support the FRCs and to that identified in the contract (never out listing for long lead items). Any hazardous materials ordered and unsold as part of regular stock will be considered excess/waste. Any amounts above the quantities identified in the never out list will also be considered excess/waste. Failure to adhere to First In First Out (FIFO) procedures which creates excess/waste for regular stock or never out quantities will also be considered excess/waste. These types of excess/waste will not be reimbursed by the Government and will remain the property of the Contractor. Offerors shall reference the Performance Work Statement for more details.
These unsold, excess/waste quantities are unallowable under this contract. Accordingly, the Government will not reimburse these quantities as a direct cost or indirectly through a rate which is only allocable to this contract whether or not the rate was intended to be allocable to other contracts at the time of award.
CONTRACTOR PROPOSAL:
Offeror proposal(s) will be incorporated and form a part of the contract(s), when awarded. Proposal submission and contract award are based upon commitments included in offeror submissions. Compliance to proposal(s) will be monitored along with performance to the basic contract terms and conditions. Failure to comply with the proposal incorporated into the resultant contract(s) will be subject to F- 4 – Deductions.
ORGANIZATIONAL CONFLICT OF INTEREST:
(a) The Contracting Officer has determined that this acquisition may give rise to an organizational conflict of interest (OCI).
Accordingly, the attention of prospective Offerors is invited to FAR Subpart 9.5 --Organizational Conflicts of Interest.
(b) DLA has received questions regarding potential organizational conflict of interest. Industry concerns appear to raise potential issues that some firms may have gained a competitive advantage based on possession of source selection information that is relevant to the contract but is not available to all competitors, and such information would assist that contractor in obtaining the contract as defined in FAR subpart 9.505(b).
https://advance.lexis.com/document/?pdmfid=1000516&crid=23edf484-0bd3-4c1a-89a6-a436ba2d69fc&pddocfullpath=%2Fshared%2Fdocument%2Fadministrative-materials%2Furn%3AcontentItem%3A6082-37G1-DYV0-G14M-00000-00&pdcontentcomponentid=6321&pdshepid=urn%3AcontentItem%3A607X-4D13-CGX8-550B-00000-00&pdteaserkey=sr2&pditab=allpods&ecomp=gxdsk&earg=sr2&prid=32a1dd04-2230-4cbb-a980-153dab22f329
(c) The contracting officer is inviting offerors’ attention to this this issue IAW FAR subpart 9.705-1(a), Solicitation Provisions.
Pursuant to FAR subpart 9.507-1(b), the contracting officer has considered these concerns, in particular whether source selection information that is relevant to the contract is available to some competitors and not others and whether possession of such information would assist that contractor in obtaining the contract. The Government has not disclosed any source selection information prepared for use by DLA for the purpose of evaluating any proposal; however, offerors are encouraged to review the definition of “source selection information” as found in FAR subpart 2-101, Definitions, to determine whether any actual or potential organizational conflicts of interest exist at this time.
(d) Individual contracting situations shall be examined by offerors on the basis of its particular facts and any possible impact those facts may have on any future contract award. Given this awareness, DLA is hereby incorporating the requirements of FAR 9.5 into the solicitation requiring any offeror to identify any actual or potential OCIs and to submit an acceptable OCI mitigation plan addressing all OCIs. The Contracting Officer shall not award a contract until the DLA Contracting Officer determines any conflict of interest is reasonably resolved. The Contracting Officer has the sole authority to determine whether an OCI exists and to determine whether the OCI has been reasonably resolved.
(e) The OCI plan will not be evaluated as part of technical acceptability. However, as part of its proposal submission, the Offeror shall submit an acceptable OCI plan (including mitigation plans for any identified OCIs), if applicable. In the event the Offeror determines there is no actual or potential OCI, the offeror must certify to that effect. The Plan or Certification shall be provided under Tab 9 of Volume I of the offeror’s proposal.
(f) The Government may communicate with any Offeror at any time during the evaluation process concerning the submission of any future OCI Mitigation Plan.
(g) Termination for default. If a successful Offeror was aware, or should have been aware, of an OCI before award of this contract and did not fully disclose that conflict to the Contracting Officer, the Government may terminate the contract for default.
(h) Waiver. The agency reserves the right to waive the requirements of FAR 9.5, in accordance with FAR 9.503.
