In no event shall costs associated with employee commuting be reimbursable as a direct cost under this contract.

(b) The Contractor shall include a breakout of all authorized travel expenses as an attachment to its invoices.

(c) Administrative support (coordination of travel arrangements, etc.) will be the responsibility of the Contractor.

(d) Should any Contractor personnel be requested to perform in any area which has been determined by the Department of State to be a hazardous duty area, hazardous duty premium pay may be payable at the same rate as would be given to Department of State direct-hire employees pursuant to Chapter 650 of the U.S. Department of State Standardized Regulations (Government Civilians, Foreign Areas). (e) When local travel between the Contractor employee's regular place of performance and other locations is specifically authorized by the COR, transportation expenses shall be allowable costs under this contract. For the purposes of this clause, local travel means travel within a 50 mile radius of the Contractor employee's regular place of performance and does not include daily commuting or as-sociated costs.

(f) For travel where use of a personal automobile has been specifically authorized by the COR, reimbursement shall be computed on the basis of actual miles traveled from stat starting point to destination. Other related miscellaneous expenses, such as tolls and park-ing fees, incurred in the performance of tasks authorized under this contract, will be reimbursed. Car rentals require advance approval by the COR and will be authorized only when consistent with good business practice. Allowable costs shall not exceed the actual cost of renting a compact automobile (a maximum of one for four Contractor personnel), unless extenuating circumstances (e.g., excess baggage) require other arrangements and subsequent COR approval is obtained.

(g) The Government will reimburse the Contractor for Contractor employee's travel time to or from other authorized work locations, except that for labor categories which are exempt from the Fair Labor Standards Act (FSLA),, a reimbursement will be allowed only for travel during the employee's regular working hours. The Contractor will not be reimbursed for time spent in stand down or tempor-ary layovers by FLSA exempt contractor employees for the convenience of the Contractor except as authorized by the Federal Travel Regulations.

(h) The Contractor shall be responsible for ensuring that all personnel who will be required to travel outside the United States have current and valid passports. The Contractor shall also be responsible for obtaining any visas required for travel to foreign countries un-der this contract. The Contractor shall make no direct labor charges for obtaining/maintaining passports and/or visas.

B-094 PAYMENT OF INCENTIVE FEE

(a) The Government shall pay fee to the contractor in accordance with clause 52.216-10 Incentive Fee and other sections of this con-tract.

(b) The Government shall make payments to the contractor equal to the Target Fee percentage of the allowable cost of each invoice submitted by and payable to the contractor pursuant to FAR 52.216-7 Allowable Cost and Payment. Total fee(s) paid to the contractor shall not exceed the maximum fee amount set forth in the contract.

(c) Within 30 days after the end of each year of performance, the contractor shall calculate and submit to the Government the Target Cost to-date and the available incentive fee pool to-date using the amounts in the Schedule line items, and the incentive fee earned-to-date the contractor claims based on the terms of clauses 52.216-10 Incentive Fee, B-096 Multiple Incentive Contract, B-097 Cost Incentive, B-098 Delivery Incentive, and B-099 Performance Incentive.

(d) Within 30 days of receiving the contractor’s calculations pursuant to paragraph (c) of this section, the Government will verify and validate the calculations and the Contracting Officer will issue a written determination to the contractor specifying the amount of fee earned to-date and any discrepancies the Government found with the contractor’s calculations.

(e) Upon receipt of the CO determination pursuant to paragraph (d) of this section, the contractor may invoice for the CO-determined earned fee to-date, less any fee the contractor has already invoiced. If the earned fee to-date is less than the sum of all fee payments made to the contractor under this contract, the contractor shall credit the excess amount to the Government on the next invoice.

(f) Payments shall be subject to the withholding terms and conditions of clause 52.216-10 Incentive Fee, as applicable.

(g) In the event of discontinuance of the work under this contract pursuant to FAR 52.232-22 Limitation of Funds, the fee shall be ad-justed to reflect the diminution of work. If the adjusted fee is less than the sum of all fee payments made to the contractor under this contract, the contractor shall repay the excess amount to the Government. If the adjusted fee exceeds all payments made to the con-tractor under this contract, the contractor shall be paid the additional amount, subject to the availability of funds. In no event shall the Government be required to pay the contractor any amount in excess of the funds obligated under this contract.

(End of clause)

B-095 SCHEDULE COST/PRICE INFORMATION REFERENCED IN OTHER CONTRACT CLAUSES

(a) The "Target Cost" in the Schedule line items is also the "Estimated Cost" for purposes of clause 52.232-22 Limitation of Funds.

(b) Pursuant to clause 52.208-9, where supplies or services to be provided under this contract for use by the Government are required by law to be obtained from nonprofit agencies participating in the program operated by the Committee for Purchase From People Who Are Blind or Severely Disabled (the Committee) under 41 U.S.C. 8504, the contractor shall obtain such supplies or services form that source. Additionally, where supplies or services to be provided under this contract are available from the Defense Logistics Agency (DLA), the Gen-eral Services Administration (GSA), or the Department of Veterans Affairs (VA), the contractor may request from the CO, and the CO may grant at his/her sole discretion, written authorization to utilize such Government sources of supply. Failure of the CO to grant such authorization shall not relieve the contractor of any obliga-tions under the contract.

(c) This contract is for both high-value items and other end items subject to clause 52.246-24, Limitation of Li-ability - High-Value Items, Alt. I. For purposes of that clause, the high-value items are: all contract end items with a unit cost exceeding $100,000 per unit.

B-096 MULTIPLE-INCENTIVE CONTRACT

(a) Definitions. The terms used in the Schedule line items of this contract have the following meanings.

(1) “Target Cost (less cost of Catalog and Non-Catalog Items)”, as used in this contract, means the estimated cost of this contract as initially negotiated for all allowable costs except for direct costs of the supply items required for delivery by DOS.

(2) “Target Cost of required Catalog Items”, as used in this contract, means the estimated cost of this contract as initially negotiated for the contractor’s direct costs of the supply items required for delivery by DOS that are pre-priced in the Catalog at the time they are required. This amount ex-cludes the contractor’s indirect costs, the contractor’s direct costs other than the cost of the deliver-able end items, and the contractor’s profit/fee. (The contractor’s direct costs of the deliverable end items may include subcontractors’ direct costs, subcontractors’ indirect costs, and subcontractors’ profit/fee, as applicable, subject to other clauses of this contract.)

(3) “Target Cost of required Non-catalog Items”, as used on this contract, means the estimated cost of this contract as initially negotiated for the contractor’s direct costs of the supply items required for delivery by DOS that are not pre-priced in the Catalog at the time they are required. This amount excludes the contractor’s indirect costs, the contractor’s direct costs other than the cost of the deliverable end items, and the contractor’s profit/fee. (The contractor’s direct costs of the de-liverable end items may include subcontractors’ direct costs, subcontractors’ indirect costs, and subcontractors’ profit/fee, as applicable, subject to other clauses of this contract.)

(4) “Target Fee Pool”, as used in this contract, means the total available fee (including cost, deliv-ery, and performance incentives) initially negotiated on the assumption that this contract would be performed for a cost equal to the estimated cost initially negotiated.

(5) “Maximum Fee Pool”, as used in this contract, means the total available fee (including cost, de-livery, and performance incentives) under maximum cost variation below target cost. This is also the maximum fee amount the contractor may earn, when maximum achievement is attained in each incentive area.

(6) “Minimum Fee Pool”, as used in this contract, means the total available fee (including cost, de-livery, and performance incentives) under maximum cost variation above target cost. The minimum fee amount the contractor may earn when performance is at the minimum acceptable level and un-der maximum cost variation above target cost will be less than the Minimum Fee Pool, based on the incentive calculations for cost (see section B-097 Cost Incentive and clause 52.216-10 Incentive Fee), delivery (see section B-98 Delivery Incentive), and performance (see section B-099 Perform-ance Incentive).

(b) This contract applies pre-determined formula-type incentives in multiple areas as contemplated by FAR 16.402-4 Structuring multiple-incentive contracts. The intent of the multiple-incentive structure is to motivate the contractor to strive for outstanding results in all incentive areas and to compel trade-off decisions among the incentive areas, consistent with the Government’s overall objectives for the acquisition. Because of the interde-pendency of the Government’s cost, the technical performance, and the delivery goals, the contract does not emphasize only one of the goals at the jeopardy of control over the others. Because outstanding results may not be attainable for each of the incentive areas, the contract includes a cost incentive and constraints that operate to preclude rewarding the contractor for superior technical performance or delivery results when the cost of those results outweighs their value to the Government.

(c) The relative value to the Government of cost, delivery (schedule), and technical performance quality are ex-pressed in the available incentive fee pool ratios specified in the contract Schedule.

(d) This is the compartmentalized type of multiple cost-plus-incentive-fee contract, where incentive fees for cost, delivery, and performance equal the fee pool with no overlap, with straight share lines covering cost, de-livery, and performance. The contractor can therefore earn maximum fee only when maximum achievement is attained in each area. Also, minimum fee can be reached only when performance is at the minimum acceptable level and under maximum cost variation above target cost.

(End of clause)

B-097 COST INCENTIVE

(a) In accordance with clause 52.216-10 Incentive Fee, the contractor may earn a cost incentive of up to 30% of the Maximum Fee Pool specified in the contract Schedule. This incentive is in addition to the delivery incentive pursuant to section B-098 and the per-formance incentive pursuant to section B-099.

(b) The Target Fee for the cost incentive shall be 30% of the Target Fee Pool.

(c) The Maximum Fee available for the cost incentive shall be 30% of the Maximum Fee Pool.

(d) The Minimum Fee available for the cost incentive shall be 30% of the Minimum Fee Pool.

(End of clause)

B-098 DELIVERY INCENTIVE

(a) In addition to the cost incentive described by clause 52.216-10 Incentive Fee and the performance incentive described by section B-099 Performance Incentive, and as contemplated by FAR 16.402-3 Delivery incentives, the contractor may earn a delivery incentive of up to 40% of the Maximum Fee Pool specified in the contract Schedule.

(b) Half of the delivery incentive amount (i.e. 20% of the Maximum Fee Pool specified in the contract Sched-ule) shall be available for delivery of supplies; the remaining half of the delivery incentive amount shall be available for delivery of services.

(c) The contractor shall earn a delivery incentive amount according to the method specified by the delivery Ser-vice Level Agreements (SLA) (part of the contractor’s proposal, incorporated by contract clause C-003 Incor-poration of Contractor’s Technical Proposal) based on the contractor’s actual delivery performance in relation to the SLA-specified Acceptable Quality Levels (AQL).

(End of clause)

B-099 PERFORMANCE INCENTIVE

(a) In addition to the cost incentive described by clause 52.216-10 Incentive Fee and the schedule incentive de-scribed by section B-98 Delivery Incentive, and as contemplated by FAR 16.402-2 Performance incentives, the contractor may earn a performance incentive. The performance incentive shall be the contractor’s share in any net acquisition savings realized from accepted voluntary Value Engineering Change Proposals (VECP) pursuant to clause 52.248-1 Value Engineering, which shall not exceed 30% of the Maximum Fee Pool specified in the contract Schedule.

(End of clause)

F-098 AWARD TERM INCENTIVE

(a) In addition to the terms set forth elsewhere in the contract, the contractor may earn a five-year extension (“Award Term”) to the five-year base contract period on the basis of excellent performance during the base period.

(b) The Government will evaluate the contractor’s performance based on the following significant Award Term criteria:

Award Term Criterion Description Effectiveness Were the Government’s goals achieved?

Efficiency Were the outputs produced in a cost effective manner, from a total cost perspective, with minimal unintended consequences? Were the Government's scarce re-sources managed well (managed wisely)?

Relevance Was the contractor’s focus aligned with the needs of DOS? In context, how useful were the contractor’s ef-forts to the DOS mission?

Impact Was the contractor’s focus appropriate to DOS’ pur-pose of the contract? What was the sum of the anticip-ated and unintended effects of the contractor’s focus?

Did the Contractor provide solutions to evolving and emerging problems facing the Government? Did the Contractor help change DOS for the better?

Continuity Will the positive impacts of the contractor’s focus con-tinue long-term? Did the Contractor provide solutions that will continue beyond the contract period?

(c) The Government will rate each Award Term criterion on an adjectival scale using Excellent, Very Good, Good, Satisfactory, and Unsatisfactory, each adjective indicating a decreasing level of quality.

(d) The Government will conduct annual Award Term evaluations and issue its findings to the contractor within

60 days after the end of each year for the first four years of performance. Each evaluation will be separate, evaluating only the preceding year’s performance. The Government will conduct the final annual evaluation and issue its findings to the contractor at least 90 days prior to the end of the contract period, including the Award Term Determination and preliminary notice required by paragraph (h) of this section, if applicable.

(e) In order to earn the Award Term, the contractor must average an Excellent rating for the significant Award Term criteria and meet overall cost, delivery, and performance requirements of the five-year base period in the aggregate.

(f) If the contractor receives an Unsatisfactory rating for any Award Term criterion during any evaluation peri-od, the contractor shall not earn the Award Term unless –

(1) The Unsatisfactory rating was not received in the fifth/final evaluation period;

(2) During the subsequent evaluation period, the contractor earns at least a Very Good rating for the criterion that previously received Unsatisfactory; and

(3) During the subsequent evaluation period, the contractor does not earn any rating below Good.

(g) If the contractor receives below a Good average rating for the Award Term criteria during any evaluation period, the contractor shall not earn the Award Term unless –

(1) The below-Good average rating was not received in the fifth/final evaluation period; and

(2) The contractor earns at least a Very Good average rating for the Award Term criteria in the sub-sequent evaluation period.

(h) If the Award Term Determining Official determines during the five-year base period that performance since award has met the quality standards required to earn the Award Term, the Government will modify the contract to extend the period of performance accordingly, subject to continuing need and availability of funds; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days be-fore the contract expires. The preliminary notice does not commit the Government to an extension. However, if the Award Term Determining Official determines that performance since award has not met the quality stand-ard required to earn the Award Term, the contract shall end at the end of the base performance period.

(i) Failure of the Contractor to earn the Award Term, or failure of the Government to extend the period of per-formance for the Award Term due to a lack of continuing need or availability of funds, does not entitle the con-tractor to equitable adjustment, cancellation charge, termination settlement, or compensation of any type.
