DEFENSE THREAT REDUCTION AGENCY

THREAT REDUCTION LOGISTICS SERVICES (TRLS)

TRLS Draft Request for Proposal Questions April 12, 2018

# Topic Reference Question/Comment DTRA Response (AL-AC)

1 CDRLS Section B There is no CLIN 1006 to account for CDRLS in the Option Period. Does this mean there is no CDRL requirement in the Option period?

CLIN 0006 CDRLs covers the entire contract period of performance and is a non-separately priced CLIN.

2 CDRLS Section L.3.2.2

RFP Section L.3.2.2. requires submittal of preliminary CDRLs. As only the incumbent could possibly meet this requirement with sufficient detail, we request that the USG

(1) either provides the current incumbent CDRLs, or (2) revises the due date of this requirement to “30 days upon contract award” to eliminate the unfair advantage the incumbent has because of the currently performed work.

The Government revised Section L.3.2.2 to remove, 'and preliminary CDRLs.'

3 CDRLS

Solicitation, Section L.1.2, Table 1.1, Page 80

Table 1.1 – Proposal Organization lists “CDRL” as a separate item that needs to be submitted under Volume II(a) Mission Capability: Written Proposal. However, in Section L.3.2 it is not listed as a requirement for inclusion in Volume II(a). Section L.3.2.2 reads, “The proposed CSOW shall consist of tasking statements. Each tasking statement shall reference the CDRL items delivered by that task. “We request clarification if a separate CDRL section is required to be included Volume II(a) and, if so, what the Government expects offerors to provide in this section?

The Government revised Table 1.1 to remove the reference to 'CDRL: Unlimited' in subsequent amendments. Per Section L.3.2.2, 'The proposed CSOW shall define the tasks required for the TRLS [contract] addressing all minimum requirements of the Government provided SOO. The proposed CSOW shall consist of tasking statements. Each tasking statement shall reference the CDRL [Reference: Section J, Exhibit B] items delivered by that task.'

4 Contract Clauses Section F

In reference to FAR 52.247-60, Guaranteed Shipping Characteristics (JAN 2017) does the Government require offerors to provide this information for either the ID/IQ SOO or Sample Task Order 001? If so, is it required for all shipping characteristics indentified in paragraph (a) (1), and should the information be provided in Volume

III?

No.

The Government removed clause FAR 52.247-60.

5 Contract Clauses Section H, DFARS 252.209-

Section H, page 25, 252.209-9002 states Infinity Technology LLC, Tenica and Associates LLC and Booz Allen Hamilton are under Organizational conflict of Interest provisions to include non-disclosure of proprietary contractor information or data/software. Does the OCI provision also preclude Infinity, Tenica and BAH from bidding on this procurement?

No, please see the Section J, Exhibit C 'OCI Memo' regarding the CTR policy on Organizational Conflict of Interest (OCI) and Classification of Contractors.

6 Contract Clauses Section I In addition to DFARS 252.204-7008, Compliance with Safeguarding Covered Defense Information Controls, should the RFP also include 252.204-7012 Safeguarding Covered Defense Information and Cyber Incident Reporting?

Yes, the Government will include DFARS 252.204-7009 'Limitations on the Use or Disclosure of Third-Party Contractor Reported Cyber Incident Information' and DFARS 252.204-7012 'Safeguarding Covered Defense Information and Cyber Incident Reporting'.

7 Contract Clauses Section L.5.10 In reference to FAR 52.222-46, Evaluation of Compensation of Professional Employees, can the Government confirm the total compensation plans shall be provided in Volume IV, Contract Documentation?

Confirmed, the information is to be provided in Volume IV-Contract Documentation. The Government modified L.5.1 to include 'xvi. FAR 52.222-46, submitted with the Volume IV-Contract Documentation.

8 Contract Clauses Section L.5.10 With respect to FAR 52.215-22, Limitation on Pass-Through Charges - Identification of Uncompensated Overtime, can the Government confirm this information shall be provided in Volume IV, Contract Documentation?

Confirmed, the information is to be provided in Volume IV-Contract Documentation. The Government modified L.5.1 to include 'xvii. FAR 52.215-22, submitted with the Volume IV-Contract Documentation.

9 Contract Clauses Section L.5.10 With respect to FAR 52.237-10, Identification of Uncompensated Overtime, can the Government confirm the offeror is to provide this information in Volume IV, Contract Documentation?

The Government removed the clause FAR 52.237-10 in 'Amendment 1' to the solicitation.

10 Contract Clauses Solicitation, Section L.4.4, Per Section L.4.4, we understand that contractor travel is non-fee bearing and that the labor to arrange travel is indeed eligible for fee. However, we require clarification whether or not the travel costs associated with fulfillment of SOO 6.4 are fee bearing, particularly the ODC (hotel, in-country ground transportation, etc.)

associated with SOO 6.4.7.

DFARS clause 252.216-9005 states that travel is a non-fee bearing element of cost, however the labor associated with supporting travel requirements has the potential to carry fee.

11 Contract Clauses Volume III

It is our understanding the Contractor Baseline Travel Amounts in support of CLIN 0002 and 1002 are non-fee bearing in accordance with 252.216-9005. Although offerors are not required to price the travel for Personal Logistics Services under the IDIQ SOO or Sample Task Order 001, can the Government confirm that travel costs associated with provisioning of travel for customers as part of SOO 6.4 Personnel Travel Logistics are fee bearing?

DFARS clause 252.216-9005 states that travel is a non-fee bearing element of cost, however the labor associated with supporting travel requirements has the potential to carry fee.

12 Contract Clauses Volume IV, L.5.11 Can the government confirm that the small business subcontracting goals for this contract are 10% of total contract value?

The Government removed the 10% Subcontracting goal with the release of the Final RFP. Please refer to the Small Business Subcontracting Plan requirements listed in Section L.5.11.

13 Contract Clauses Volume IV, Section K

In reference to Section K and FAR 52.247-53 Freight Classification Description (APR 1984) given that the data is applicable to domestic ground shipment and rarely will shipments be transported by rail, will the Government remove this provision. If not, are offerors required to identify the NMFC class applicable to either the IDIQ SOO or Sample Task Order 001?

The Government reviewed the referenced FAR Provision 52.247-53 Freight Classification Description (APR 1984) and determined the necessity for the clause to remain.

14 Contractor Systems Section L.4.3.4

Please clarify where to submit contractor systems letters: as part of Cost Narrative (as per RFP section L.4.3.4: The cost narrative shall include information for the prime contractor and any subcontractor or teaming members on the following contractor systems) or as separate item as directed by L.4.2. Volume Organization

(vii. Contractor Systems Approval Letters).

Per L.4.2, Offerors are to submit the 'Contractor System Approval Letters' as item vii in Volume III-Cost.

15 Contractor Systems Volume III, L.4.3.4.3

If the Offeror possesses an approved accounting system, does the Government still require the submission of an SF1408 Pre-award Survey Prospective Contractor Accounting System Checklist? If so, and if the offer has an approved accounting system, is the letter from DCMA informing the offeror their accounting system has been deemed adequate acceptable in lieu of the signature from the Government official?

No, the Government only requires the submission of the 'SF1408 Pre-award Survey Prospective Contractor Accounting System Checklist,' if the Offeror does not have a letter from DCMA stating the contractor systems are approved.

16 Cost Excel Sheet Attachment L-16 Cost Proposal

For Attachment L-16, under the Surge tab for the Sample Task Order, do we need to include warehouse price (cell G9) in Other ODC (cell J5)?

As a notional scenario, the Offeror's proposed solution should determine adequate surge warehousing requirements. The Government reposted the latest version of Section J, Atch L-16 'Cost Proposal Excel.'

17 Cost Excel Sheet Attachment L-16 Cost Proposal

Is Attachment L-16 intended to capture total cost for all CLINs for the ID/IQ SOO? No

18 Cost Excel Sheet Attachment L-16 Cost Proposal

It is understood that it is the Offeror’s responsibility to determine the labor approach and corresponding price to meet Personnel Travel Logistics support requirements. However, it is unclear from the Government’s response, whether or not the Offerors are intended to price the ODC, e.g. the costs associated with SOO 6.4.7? If ODC must be priced at the SOO level, will the Government provide assumptions to enable those costs to be estimated?

No, the Government does not require any costs for requirements associated with ID/IQ SOO Paragraph 6.4.7, other than ID/IQ SOO Program Support Labor and ID/IQ SOO Other Direct Costs (ODC). As a reminder, DFARS clause 252.216-9005 states that travel is a non-fee bearing element of cost.

The Government is only seeking the staffing and level of effort to support the Offeror's solution to requirements specified in Section J, Atch 001 'IDIQ Statement of Objectives.'

19 Cost Excel Sheet Attachment L-16 Cost Proposal

It is understood that the Offerors are to use the assumptions provided in Attachment L-5 to estimate labor requirements. However, it is unclear from the Government’s response if Offerors are required to price the material costs for the ad-hoc purchases (e.g. the actual items to be purchased). Please clarify if material costs are required to be priced at the SOO level and, if so, whether the Government will provide additional assumptions that will enable Offerors to price those materials.

The Government does not require any pricing on Section J, Atch L-16 'Cost Proposal Excel' for specific materials associated with Section J, Atch 001 'IDIQ Statement of Objectives' Section 6.3.1 'Provide ad-hoc purchases of equipment, services, and support incidental to DTRA mission requirements with capability to internationally source from local or regional vendors.' The Government anticipates the TRLS contract to execute specific material purchases as future (undefined) Bill of Materials (BOM) requests.

The Government is only seeking the staffing and level of effort to support the Offeror's solution to requirements specified in Section J, Atch 001 'IDIQ Statement of Objectives '

20 Cost Excel Sheet L.1.3.8

The NOTE in L.1.3.8 says "Except for the cost volume using Microsoft Excel, the electronic copy shall be in Adobe Acrobat portable document file (.pdf) searchable text format and shall be an exact duplicate of the ‘original’ paper proposal."

For Volume II(b), please confirm that we are to deliver a PDF of the presentation rendered in the 'Handouts' category, 'Three Slides' format?

The Government revised the referenced NOTE of Section L.1.3.8. to state, 'Except for the cost volume using Microsoft Excel, the electronic copy shall be in Adobe Acrobat portable document file (.pdf) searchable text format and shall be an exact duplicate of the ‘original’ paper proposal. Electronic copies of Volume II(b) slides shall be submitted one slide per page in Adobe Acrobat .pdf file format.' in subsequent solicitation amendments.

21 Cost Excel Sheet L.4.4, p. 89

Ref. Pg. 89, section L.4.4 and the Excel pricing template – Section L.4.4 states " Offerors shall price all program management costs, including related facilities and other direct costs, on a FFP basis.” However, the pricing template for the FFP effort does not seem to provide the ability to insert anything except fully burdened labor.

Where is the offeror to propose ‘related facilities and other direct costs’?

The Government revised Section L.4.4 to state, 'The cost proposal shall delineate labor categories, contract position titles, labor hours, full time equivalents (FTEs), and fully burdened labor rates associated with the IDIQ SOO. The cost proposal shall delineate the ID/IQ SOO Other Direct Costs (ODC). The cost proposal shall delineate labor categories, labor hours, FTEs, hourly labor rates, Other ODCs, indirect costs, fringe, overhead, G&A, fixed fee, and surge warehousing rates to support Sample Task Order 001. In Section J, Attachment L-16 'Cost Proposal Excel,' Offerors are instructed to complete the worksheets containing costs associated with IDIQ SOO Other Direct Costs (ODC) in contractor format.'

22 Cost Excel Sheet p. 83, section L.1.3.9

“All labor rates shall round to the nearest dollar.” This restriction has the potential to cause significant errors in the offeror’s proposed costs, up to $1000 per person per year. Standard practice is to propose labor rates to the nearest $0.01, while total labor cost can be rounded to the nearest dollar. Recommend this sentence be stricken from the solicitation.

In 'Amendment 1,' the Government modified Section L.1.3.9 to state, 'The Offeror shall propose labor rates to the nearest $0.01, while total labor cost is rounded to the nearest dollar.' and modified Section L.4.4 to state, 'The Offeror shall propose labor rates to the nearest $0.01, while total labor cost is rounded to the nearest dollar.'

23 Cost Excel Sheet

p. 89, section L.4.4, Table 4.1 and the Excel pricing template

Where in the Excel pricing template is the offeror to input the values from Table 4.1, such that we can properly show any indirect burdens on this cost?

The Government updated Section L.4.4 and Table 4.1 to remove the note mentioning 'indirect rates/burdens' associated with 'Contractor Baseline Travel Amounts.' The Offeror shall not input values of Table 4.1 anywhere in Attachment L- 16.

24 Cost Excel Sheet Solicitation, Section L.4.4, Per Section L.4.4, the CLIN structure is provided for the ID/IQ SOO. Are Offerors expected to propose their price for each CLIN?

CLIN 0005 is for Travel, and Table 4.1 is provided to price. Does the Government intend for Offeror’s to show their price (Table 4.1 costs plus indirect costs) in Attach L-16? If so, please indicate where this should be included.

No, the Government does not require prices for each CLIN.

No, the Government does not intend for Offerors to show pricing for CLIN 0005 the Government revised Section L.4.4 to remove the statement, 'Applicable burdens are not included and therefore shall be applied to the amounts provided in the table [Table 4.1].'

25 Cost Excel Sheet Solicitation, Section L.4.4, Per Section L.4.4, the solicitation reads, “Offers shall price all program management costs, including related facilities and other direct costs on a FFP basis.” However, Attach L-16 only allows labor rates. Where shall we add the ODCs, or is it the Government’s intent that Offerors include the ODC cost into the burdened labor rates?

The Government revised Section L.4.4 to state, 'The cost proposal shall delineate labor categories, contract position titles, labor hours, full time equivalents (FTEs), and fully burdened labor rates associated with the IDIQ SOO. The cost proposal shall delineate the ID/IQ SOO Other Direct Costs (ODC). The cost proposal shall delineate labor categories, labor hours, FTEs, hourly labor rates, Other ODCs, indirect costs, fringe, overhead, G&A, fixed fee, and surge warehousing rates to support Sample Task Order 001. In Section J, Attachment L-16 'Cost Proposal Excel,' Offerors are instructed to complete the worksheets containing costs associated with IDIQ SOO Other Direct Costs (ODC) in contractor format.'

26 Cost Excel Sheet Solicitation, Section L.4.4, Per Section L4.4, the solicitation reads, “The cost proposal shall delineate labor categories, labor hours, other direct costs, indirect costs (to include base and percentage used in calculation), overhead, G&A, and fee/profit to support the ID/IQ SOO and Sample Task Order 001.” The SOO pricing tabs within Attach L-16 don't allow Offerors to show any ODCs. How does the Government desire Offerors to show pricing for the ODCs?

The Government revised Section L.4.4 to state, 'The cost proposal shall delineate labor categories, contract position titles, labor hours, full time equivalents (FTEs), and fully burdened labor rates associated with the IDIQ SOO. The cost proposal shall delineate the ID/IQ SOO Other Direct Costs (ODC). The cost proposal shall delineate labor categories, labor hours, FTEs, hourly labor rates, Other ODCs, indirect costs, fringe, overhead, G&A, fixed fee, and surge warehousing rates to support Sample Task Order 001. In Section J, Attachment L-16 'Cost Proposal Excel,' Offerors are instructed to complete the worksheets containing costs associated with IDIQ SOO Other Direct Costs (ODC) in contractor format.'

27 Cost Excel Sheet Volume III, Attachment L-1

For the purpose of pricing the IDIQ SOO and Sample Task Order 001, can the Government confirm offerors are not required to include the cost of the items to be procured and shipped, transportation costs, travel costs for participants attending the various events, translations and interpretation costs, etc. and should only price the direct labor and level-of-effort required to execute the TRLS contract.

The Government only requires the cost information as requested in Section J, Attachment L-16 'Cost Proposal Excel.' The Government is only seeking the staffing and level of effort to support the Offeror's solution for Section J Attachment 002, SOW Sample Task Order 001.

28 Cost Excel Sheet Volume III, Attachment L-16, and Section L.4.1

In accordance with L.4.1 the Offeror shall provide a cost proposal using Attachment L-16 for the overall SOO and Sample Task Order 001. The tab labeled Program Support Labor (FFP) captures the costs proposed for each contract year within the Base and Option Periods as well as the 12-month extension. Given that the template appears to be for the FFP CLINs and Sample Task Order 001, does the Government intend to provide a separate template for the IDIQ SOO CPFF CLINS?

No, the Government will not provide a separate template for the IDIQ SOO CLINs.

The Government revised Section L.4.4 to state, 'The cost proposal shall delineate labor categories, contract position titles, labor hours, full time equivalents (FTEs), and fully burdened labor rates associated with the IDIQ SOO. The cost proposal shall delineate the ID/IQ SOO Other Direct Costs (ODC). The cost proposal shall delineate labor categories, labor hours, FTEs, hourly labor rates, Other ODCs, indirect costs, fringe, overhead, G&A, fixed fee, and surge warehousing rates to support Sample Task Order 001. In Section J, Attachment L-16 'Cost Proposal Excel,' Offerors are instructed to complete the worksheets containing costs associated with IDIQ SOO Other Direct Costs (ODC) in contractor format.'

The Government also revised Section J, Attachment L-16 'Cost Proposal Excel' to allow Offerors to propose costs associated with IDIQ Program Support Labor and IDIQ Other Direct Costs (ODC).

29 Cost Excel Sheet Volume III, Attachment L-16, and Section L.4.3.3

In accordance with Section L.4.3.3 offerors are required to include in their cost proposal all needed equipment and material necessary to perform the contract requirements. Where in the pricing template shall these itemized costs be provided?

The Government revised Section L.4.4 to state, 'The cost proposal shall delineate labor categories, contract position titles, labor hours, full time equivalents (FTEs), and fully burdened labor rates associated with the IDIQ SOO. The cost proposal shall delineate the ID/IQ SOO Other Direct Costs (ODC). The cost proposal shall delineate labor categories, labor hours, FTEs, hourly labor rates, Other ODCs, indirect costs, fringe, overhead, G&A, fixed fee, and surge warehousing rates to support Sample Task Order 001. In Section J, Attachment L-16 'Cost Proposal Excel,' Offerors are instructed to complete the worksheets containing costs associated with IDIQ SOO Other Direct Costs (ODC) in contractor format. Offerors shall propose a technical approach and cost proposal that accounts for all needed equipment and material necessary to perform contract requirements.'

30 Cost Excel Sheet Volume III, Section L.4.4

In accordance with L.4.4, the cost proposal for the IDIQ SOO and Sample Task Order 001 shall delineate labor categories, hours, other direct cost, indirect costs, overhead, G&A, and fee/profit. Given that Attachment L-16 requests fully burdened labor rates for the FFP Program Support Labor, should offerors provide a separate spreadsheet that details the cost element breakdown the Government is requesting for the IDIQ SOO?

No, the Government does not require Offerors to submit a separate spreadsheet listing the details of the FFP Labor costs.

Per Section L.4.2 (iii), Offerors shall submit, 'ID/IQ SOO Cost Narrative: Cost or pricing information and supporting data, to include estimating methodology.'

The Government revised Section L.4.4 to state, 'The cost proposal shall delineate labor categories, contract position titles, labor hours, full time equivalents (FTEs), and fully burdened labor rates associated with the IDIQ SOO. The cost proposal shall delineate the ID/IQ SOO Other Direct Costs (ODC). The cost proposal shall delineate labor categories, labor hours, FTEs, hourly labor rates, Other ODCs, indirect costs, fringe, overhead, G&A, fixed fee, and surge warehousing rates to support Sample Task Order 001. In Section J, Attachment L-16 'Cost Proposal Excel,' Offerors are instructed to complete the worksheets containing costs associated with IDIQ SOO Other Direct Costs (ODC) in contractor format.'

31 Cost Excel Sheet Volume III, Section L.4.4

In Section L.4.4 the Government requests offerors to apply indirect burdens to the baseline travel amounts for contractor travel. Can the Government clarify where in the pricing template provided as Attachment L-16 this information shall be provided?

The Government revised Section L.4.4 paragraph 7 to remove the statement, 'Applicable burdens are not included and therefore shall be applied to the amounts provided in the table.' Subsequently, Offerors are not required to provide indirect burden information for 'Contractor Baseline Travel Amounts.'

32 Cost Excel Sheet Volume IV, L.5.12

The Excel pricing model, TRLS_Sec_J-Atch_L-16_Cost_Proposal_Excel_Final _RFP.XLSX, seems to have deficiencies that will make it very difficult to accurately document our proposed costs. In addition, the spreadsheet is locked which prevents the offeror from modifying the spreadsheet to accurately calculate our costs.

a. The excel spreadsheet does not seem to provide a way for the contractor to propose costs associated with CLINs 0001/1001 Logistics Services. Please clarify how offeror is to address these costs.

b. The excel spreadsheet does not seem to provide a way for the contractor to propose costs associated with CLINs 0004/1004 Logistics Services ODCs. Please clarify how offeror is to address these costs.

c. The excel spreadsheet does not seem to provide a way for the contractor to propose costs associated with CLINs 0005/1005 Logistics Services Travel. Please clarify how offeror is to address these costs.

d. The excel spreadsheet does not seem to provide a way for the contractor to propose costs associated with CLINs 0006 CDRLs. Please clarify how offeror is to address these costs.

e. The formulas in tab Sample TO 1 – Surge (CPFF) do not follow the offeror’s methodology for estimating costs. Request the government provide an unlocked Excel attachment so the offeror can correct the calculations to match our disclosed accounting practices.

f. The formulas in tab Sample TO 1 – Surge (CPFF) appear to be including labor and non-labor elements (other direct costs) in the calculation of labor rates. Please clarify the governments intent in mixing labor and non-labor elements.

g. The tab Sample TO 1 – Surge (CPFF) does not appear to allow the offeror to correctly price a mix of Prime and subcontract labor. How is the offeror to show the contribution of our subcontracting partners?

h. Ref. tab Program Support Labor (FFP) Sum and tab Labor - Performance 3, Please define Performance Period 3? What CLINs is that associated with?

a) Correct, the costs associated with CLINs 0001/1001 is not required for evaluation purposes.

b) The Government revised Section L.4.4 to state, 'The cost proposal shall delineate labor categories, contract position titles, labor hours, full time equivalents (FTEs), and fully burdened labor rates associated with the IDIQ SOO. The cost proposal shall delineate the ID/IQ SOO Other Direct Costs (ODC). The cost proposal shall delineate labor categories, labor hours, FTEs, hourly labor rates, Other ODCs, indirect costs, fringe, overhead, G&A, fixed fee, and surge warehousing rates to support Sample Task Order 001. In Section J, Attachment L-16 'Cost Proposal Excel,' Offerors are instructed to complete the worksheets containing costs associated with IDIQ SOO Other Direct Costs (ODC) in contractor format.'

c) Correct, the costs associated with CLINs 0005/1005 Travel COST is only used for TRLS contractor travel and is not required for evaluation purposes.

d) Correct, the costs associated with CLINs 0006 is not required for evaluation purposes.

e) The Government modified Attachment L-16 'Cost Proposal Excel' tab Sample TO 1 - Surge (CPFF) to allow Offerors to directly input values for Other Direct Costs, Indirect Costs, and Fixed Fee. The document worksheets remain locked.

f) The revised Section J, Attachment L-16 'Cost Proposal Excel' accurately reflects the Government's requested cost information.

g) The Government modified Section L.4.1. Paragraph 1 to include, 'The subcontractor/teaming partner supporting documentation can be provided to the Government, using the Section J, Attachment L-16 'Cost Proposal Excel' template, in one (1) sealed envelope per subcontractor/teaming partner containing one (1) hard copy and one (1) electronic copy on DVD.'

h) During the Option Period, 'Performance Period Year 3' should delineate the FFP Labor costs associated with a potential performance period extension, beyond Option Period Year 2. The 'Performance Period Year 3' is associated with the 1000 series CLINs as part of the 'Option Period.'

33 General

Attachment L-1 Assumptions for Logistics Services, section

5.0 LANGUAGE

INTERPRETATION &

DOCUMENT TRANSLATION

The second table in this section provides the number of words of documentation to be Translated per year. It is common in the Translation industry to express translation rates in dollars/word rather than dollar/hour. Can the offeror adjust the pricing template to provide rates in this format?
