Solicitation Questions as of 14 April SUBJECT: Teaming Partners and Past Performance Questionnaires:

Attachment 4, Subcontractor/Teaming Partner First full paragraph READS IN PART: In an effort to assist the Government evaluation in assessing your past and present performance relevancy and confidence, we request that the following consent form be completed by major subcontractors/teaming partners identified in your proposal. The completed consent forms should be submitted as part of your past performance Volume 1.

Question #12: We need to clarify the definition of teaming partner as used in the RFP. Are Architectural and Engineering firms who agree to be part of a Prime Contractors submittal to the RFP and agree through a consent form/teaming agreement to be subconsultants providing design support ONLY considered by the government to be major subcontractors/teaming partners as described above and therefore need to supply the outlined Past Performance Criteria with 1 to 5 projects each? AE firms are NOT full teaming partners (contractually speaking) as they do not share the overall project risk/liability as does the prime General Contractor or any general contractor with whom they for a Joint Venture (JV) or teaming agreement per FAR regulations. We feel strongly that the use of the term Teaming Partner is leading to confusion by teams that are preparing a submittal. PLEASE CLARIFY.

Answer 12: The intent of Attachment 4 is to permit the Government to discuss with major sub-contractors/ teaming past performance and present past performance information with the prime contractor during the source selection process. Please see Federal Acquisition Regulation Subpart 9.6 - Contractor Team Arrangements for clarification.

Question #13: Given that the Governments instructions (per Amendment 01 QA) are to include Teaming Agreement(s) in Volume I, can we assume that Teaming Agreements will not be included in the page limit?

Answer #13: No, the teaming arrangement is part of Volume I per Section L paragraph 2.1.5. This must be accomplished within the 30 page constraint in Section M, paragraph 1.5.

Question #14: There is a requirement to submit our cost proposal in CD format. There is a reference for the final cost portion to be emailed in. This was changed by response to question #2, which now requires the cost proposal to be included in the CD submission to be delivered to the address in Block 8 of the 1442. Major suppliers will hold off on providing the major equipment pricing to our primary subs (Mechanical, Electrical, and Fire Suppression) until hours prior to the proposal submission time. In the past, the AF has allowed offerors to submit all other content, except the final pricing and allowed it to be submitted via email and then followed up with amended CD to include final pricing with 48 hours. Would the government in its best interest to obtain competitive pricing, consider this?

Answer #14: Proposals are due on 4/27/2020 by 2:00 PM PST, IAW block 13 of the SF 1442 unless revised via amendment. Proposals shall be delivered to the address indicated in Block 8 of the 1442.

Question #15: Due to the COVID19 impacts to the industry forcing fragmentation our team collaboration efforts and impacting our abilities due to the states Stay Home and non-essential travel. Complied with the inability to properly assess existing condition for bidding purpose. Would the government consider an extension to the proposal submission date?

Answer #15: There will be no extensions to the proposal submission date at this time.

Question #16 : Since this is a virtual site visit instead of the normal approach, will the government provide a list of attendees for participating companies?

Answer #16: The Government will provide upon request, a list of companies/individuals requesting access to the site visit video. Please send your requests to heather.rogers.9@us.af.mil and/or brian.fernandez.2@us.af.

Question #17: Statement of Work Attachment 1.3 Paragraph 1.0.B makes many assertions and obligates the

Contractor to fully ensure the elements and layouts of the RFP DURING a physical Pre-Proposal site visit. Now that the physical site visit was not possible and the Government has relied on a virtual site tour how does the Government plan on the relief required to address the fact that no team nor individual can verify anything on site and therefore as a result make no such assertions and/or field verify anything? This seems to leave the project open to innumerable change orders based upon assumptions that may or may not be articulated in an RFP response as currently outlined.

Answer #17: The Government has provided a virtual site visit, specifications and drawings, a concept design, and other associated documents (Base Design Standards, etc.) to assist companies in preparing proposals for this requirement. In addition, the Government has provided an opportunity for questions from vendors in an effort to provide as much information as possible to all prospective vendors. The Government believes this provides ample information for vendors to evaluate risk and prepare proposals accordingly. This requirement will be awarded as a Firm Fixed Price contract.

Question #18: Section L, Item 2.0 Specific Proposal Preparation Instruction, sub-item 2.1.4 requires Past Performance Questionnaires (PPQs). We have tried to reach out to past clients in various DOD organizations, however, we are getting of a number of Automatic Replies Out of Office messages. Additionally telephone voicemails are going unreturned. While we can demonstrate via sent email reports, that we have requested PPQs, we cannot guarantee anyone will reply in a timely fashion given current circumstances. As a result of a number of COVID-19 Shelter-In-Place orders (USA wide) and related consequences, such as virus-target demographics choosing to stay home, would the Government accept previously completed PPQs using other DOD formats that have been previously acceptable to other DOD organizations, in lieu of the specific forms required by this solicitation? In addition, will the Government reconsider accepting completed CCASS, CPARS, or ACCAS reports?

Answer #18: Per Section L 1.1, the objective of the Past Performance evaluation is to convey to the Government that the offeror is capable, possesses technical expertise and experience, possesses sufficient resources, and is able to plan, organize, and use those resources to deliver timely and quality construction projects. The Government will evaluate past performance information as described in Section M.

Question #19: Currently due to the COVID19 issues facing our state and local community most of our employees and those of our subcontractors are either temporarily laid off or are sheltering at/working from home to protect against the spread of the virus. (Governor Inslee just extended his stay at home order through April). Due to this, it is not realistically possible to bid such a large seed project. We have the following suggestions/recommendations: Would the Government Extend the proposal submission date a minimum of 60 days to allow interested parties the chance to get back to work and bid the project....and/or Change the seed project to something smaller in size that has already been designed ..and/or modify the solicitation to require a Phase 1 Tech Proposal and then a Phase 2 Seed Project for primes that meet Phase 1 requirements?

Answer #19: The Government will not be extending the proposal due date/time at this time. However, upon review of the Q and A for the Seed Project that may be readdressed. The Government will not change the seed project. The Government will not modify the solicitation to require a Phase I Tech Proposal.

Question #20: In reviewing amendment 1, I see there are some sections of the RFP with modified text as provided. How are the changed sections to be addressed in the proposal submission for volume II where a copy of the entire RFP is to be included?

Answer #20: Per FAR 52.215-1(b) Amendments to the solicitation. If this solicitation is amended, all terms and conditions that are not amended remain unchanged. Offerors shall acknowledge receipt of any amendment to this solicitation by the date and time specified in the amendment(s). Per Section 2.2.4 of Section L of the solicitation. The offeror must complete the following sections within the RFP, Part I, Section A (SF 1442, Blocks 19-20C). In addition, within the Amendment Form (SF30), Offerors must acknowledge receipt by the listed methods listed in Block 11 of the Amendment.

Question #21: Sections do not align with even page breaks in the amendment file or original document page breaks to swap out. Thus, we wanted to confirm if by acknowledging the amendment on the SF1442, it acknowledges changed text and we just keep the original RFP document in its entirety for the proposal or will a completed updated RFP file be provided to use in the proposal?

Answer #21: Acknowledging the Amendment on the 1442, blocks 19 through 20C is acceptable.

Question #22: On the Solicitation FA462020R0002 Section L 1.4 it states Joint Venture Offerors...The joint venture must be approved by the SBA prior to award... The SBA only reviews and approves JVAs submitted under section 8a set asides, they do not review and or approve JVAs for TSB set aside contracts. There is no reviewing or approving authority for TSB set aside contracts.

Answer #22: Any Joint Ventures shall meet all SBA approval requirements outlined in Section L 1.4 prior to submission of proposals. No corrections and/or changes are permitter after the time for submission of offers.

Question #23: Per the 1442 of the original solicitation, Block 13d, states that we are to guarantee our pricing for 250 CDs. Per Attachment -1, item 17, it states we are to hold our number until December 31, 2020. Which is correct?

Answer #23: The original solicitation, block 13d of the 1442 states proposals shall be good for 250 days. Per the current solicitation, there are 250 calendar days from the solicitation close date 26 April 2020 to 31 December 2020. Please ensure proposals are valid through 31 December 2020.

Question #24: During the Phase I, after acceptance of the 65% design, would the contractor start to mobilize and start preparatory work for the new work, provided the critical administrative submittals have been approved?

Answer #24: Please see Attachment 1 MACC Seed Project FOPR Letter, paragraph 3 Performance Period and Paragraph 4 Notice to Proceed. The Notice to Proceed for Phase II would not be issued until Phase I has been accepted by the Government.

Question #25: Per Attachment -1, item 17, it states, In addition, the contractors shall provide a Schedule of Values (SoV) along with their price proposal. The SoV shall be broken down per the current MasterSpec format: by Division, and subsequently, by Section. Does the schedule of values have to be fully burdened with all indirect work, G and A, profit, fees, and bonds?

Answer #25: Yes, the schedule of values should be fully burdened. The SoV is for informational use only and will not be used for evaluation purposes.

Question #26: Can this request be provided post submission of the proposal, as this will require extended effort to structure it as defined?

Answer #26: No, this cannot be provided post submission. IAW Attachment 1, #17,In addition, the contractors shall provide a Schedule of Values (SoV) along with their price proposal.

Question #27: Reference Section L para 1.5: This states that if the offer is based on a teaming/partnering relationship, the offeror shall provide all required solicitation information for all parties. If we are teaming /partnering with consultants/subcontractors, are we required to include their information on the SF 1442?

Answer #27: Teaming/partnering information will be provided as instructed in Section L.

Question #28: Attachment 1 MACC Seed Project FOPR Letter, page 1 identifies 650 calendar days project duration. However, the Solicitation states that the duration is 365 calendar days. Please clarify.

Answer #28: The period of performance for the seed project and the base/option year periods are two different time frames. Per the FOPR letter, the period of performance for the Seed Project is 650 Days from award of the Seed Project. The MACC contract includes a base year plus 4 year Option Periods, each with a period of performance of 365 days.

Question #29: The Solicitation and the Amendment 1 Section 1 Contract Clauses state that this is a NAFI administrated contract. Please confirm.

Answer #29: There are several funding sources for requirements of a base-wide Multiple-Award Construction Contract (MACC). Some requirements may be funded by Non-Appropriated Funds (NAF). In instances, task orders are funded with NAF funds. A Non-appropriated Fund Instrumentality (NAFI), as an instrumentality of the U.S. Government, enjoys the same immunities and privileges as the U.S. Government in the absence of specific Federal statute. It is not incorporated under the law of any State, but has the legal status of an instrumentality of the United States. References to United States, the Government, and other related references will generally be implied to mean the NAFI throughout this contract. See Section I, NAF General Provisions, paragraph f the solicitation for more information.

Question #30: Section L para 2.1.2 indicates that relevant contracts shall have been performed during the past three years from the date of issuance of this solicitation. Can that be relaxed to the last six years from the date of this solicitation for submitted design-build projects?

Answer #30: Per Section L 2.1.3, The Government will not consider performance on an effort that concluded more than three years prior to the issuance date of the solicitation.

Question #31: Current proposal due date is on a Monday, which creates risk for mailing proposals over the weekend. Can this be changed to any other weekday than a Monday?

Answer #31: At this time the proposal due date/time identified on the 1442 block 13 will remain unchanged.

Question #32: Due to the COVID-19 pandemic a lot of folks are working from home, which is making it more difficult to coordinate and secure all of the quotes needed. Would the Government consider extending the proposal due date by a week or two to allow us more time?

Answer #32: Please see Answer #31 above.

Question #33: Due to current volatile market conditions, and the fact that we have to provide 250 calendar days for Government acceptance of the proposal, we request that the Government add FAR clause 52.216-4 Economic Price Adjustment - Labor and Material to the solicitation.

Answer #33: The current solicitation includes Defense Acquisition Federal Regulation (DFARS) clause 252.243-7002 Requests for Equitable Adjustments (DEC 2012) which provides the contractor a platform to request adjustments to previously agreed upon pricing in certain, approved circumstances.

Question #34: We would like to submit, as a supplement to our design-build projects, a couple design-bid-build projects under performance. Will design-bid-build projects submitted under Past Performance be considered, or do all projects submitted have to be design-build?

Answer #34: Please see Answer #9 in Amendment 0001.
