SECTION G – CONTRACT ADMINISTRATION DATA 65
G.1 Reserved 66
G.2 Contractor Performance Assessment Reporting System (CPARS) 67
G.2.1 Order-Level CPARS 68
The IDIQ Ordering Contracting Officer (OCO) shall not administer or evaluate Task Order 69 performance. It is the sole responsibility of the Contracting Officer who awards the Task Order to 70 evaluate each order exceeding the Simplified Acquisition Threshold (SAT) using the process and 71 criteria in CPARS. 72
G.3 Mergers, Acquisitions, Novation’s, and Change-of-Name Agreements 73
If a contractor merges, is acquired, or recognizes a successor in interest to Government contracts 74 when Contractor assets are transferred; or, recognizes a change in a Contractor’s name; or, 75 executes novation agreements and change-of-name agreements by Government Contracting 76 Officer other than the IDIQ PCO, the Contractor shall notify the IDIQ PCO and provide a copy 77 of the novation or any other agreement that changes the status of the Contractor. 78
Contractors are cautioned that if a Joint Venture (JV) holds a MAPS base contract and that JV 79 relationship dissolves, the MAPS contract does not automatically transfer to one of the remaining 80 partners. MAPS base contract holders may novate their contract to an affiliate or one member of 81 the JV in accordance with the FAR. Upon novation, the MAPS base contract would acquire the 82 size status or socio-economic status of the official holder. 83
G.4 Invoicing Rates That Deviate from Proposed Rates (FEB 2025): 84
The following clause is applicable to any task order with a Cost Reimbursement Type CLIN: 85
G.4.1.1 If in any performance period, the Contractor is projecting a cost overrun in excess of 86 10% of the proposed estimated cost for a particular labor rate for that period, which is 87 determined to not be a result of Government direction and not attributable to Forward Pricing 88 Rate Agreement (FPRA) changes, the projected cost overrun may trigger a Show Cause or 89 Termination for Default subject to the Contracting Officer’s discretion. Note: Contractors 90 proposing at current FPRA rates and invoicing at current Provisional Billing rates will not trigger 91 a Show Cause or Termination for Default. 92
G.4.1.2 If in performance of the Task Order, the Contractor incurs a cost overrun for a particular 93 labor rate of greater than 5% and less than 10% during that Contract Performance Assessment 94 Reporting System- CPARS evaluation period, which is determined not to be a result of 95 Government direction or Contractor Provisional Billing rates, the Contractor shall receive a 96 Marginal rating for that period’s CPARS cost element. 97
G.4.1.3 If in performance of the Task Order, the Contractor incurs a cost overrun greater than 99 10% during that CPARS evaluation period, which is determined not to be a result of Government 100 direction or Contractor Provisional Billing rates, the Contractor shall receive an Unsatisfactory 101 rating for that period’s CPARS cost element. 102 G.4.1.4 In regard to cost overruns and estimated costs mentioned in paragraphs G.4.1.1 through 104 G.4.1.3, the Government will compare actual cost of work performed to estimated cost at the end 105 of each contract period. Contractors are cautioned that costs should be directly proportional to 106 hours expended, and if in excess, may be considered a cost overrun by the Government. 107 G.4.1.5 Adjustment of Baseline Rates. 109 In the event a position needs to be filled due to a vacancy or addition, the Contractor shall 110 backfill at the rate agreed upon with the Contracting Officer from either its original accepted 111 proposal or previously accepted rebase line (if applicable). Also, in the event of significant 112 market conditions changes or other unforeseen circumstances that materially impact the 113 Contractor’s ability to perform at the proposed rates, the Contractor and the Contracting Officer 114 may mutually agree to establish a revised rate(s) as the new baseline. Such 115 agreements/adjustments must be documented and will supersede the previously proposed rates 116 for the applicable performance period. The Contractor must provide sufficient justification to 117 support the revised rates. This adjustment mechanism shall not apply to cost overruns caused by 118 the Contractor’s mismanagement, inefficiency, or other factors attributable to the Contractor’s 119 performance. The Contractor shall not invoice the Government for rates and costs above what 120 has been accepted. 121

The Government reserves the right to on-ramp at any point during the life of the 174 contract. To consider an on-ramp under the MAPS IDIQ the Government shall: 175
a. Release a notice of an on-ramp solicitation, and the on-ramp procedures will be 176 publicized on SAM.gov; 177
b. The solicitation will identify the total approximate number of new contracts awards the 178 Government intends to make, however the actual number of awards may depend on the 179 number of quality proposals received; 180
c. The basis for award under the solicitation will be substantially the same as the original 181 solicitation; 182

H.5.2 Off-Ramps 193
The Government intends to maintain only the highest performing base contract holders through 194 the Base and Optional Ordering Period. The objective of an off-ramp is to reduce the 195 administrative burden and costs for the Government and contractors and to maintain a 196 streamlined and efficient process on the contract. The Government reserves the unilateral right to 197 off-ramp non-performing or non-responsive contractors at any time during the life of the 198 contract. 199
Bid Rate: Beginning the first day of the second year and continuing throughout the Base and 200 Optional Ordering period, the Government will review how often contract holders submit bids to 201 the orders awarded under their contract Domain. Contract holders are expected to bid on 50% of 202 the orders awarded under their contract Domain or risk being off-ramped; the Government will 203 begin to evaluate this after the first calendar year from the date of award. 204

Contractors who are off-ramped from their specific Domain shall not submit proposals or receive 221 any further order awards under this contract. However, any contractor off-ramped from their 222 specific Domain shall continue performance of any existing order that was awarded prior to the 223 off-ramp effective date with the Contracting Officers approval including order option periods, if 224 exercised. Any contractor off-ramped will not be able to receive the award of an option(s) on a 225 previously awarded Task Order. A Contractor with a base contract in more than one Domain can 226 be off-ramped from one or multiple Domains, depending on the criteria identified above. 227
The Government reserves the right to use the following methods to off-ramp a contractor form 228 any Domain in accordance with the following: 229

L.1.1 ONE CONTRACT PER OFFEROR 467
L.1.1.1 Definitions 468
“Affiliates” are business concerns that are affiliates of each other if, directly or indirectly, either 469 one controls or has the power to control the other, or another concern controls or has the power 470 to control both. 471
“Division” is a separate business unit of a company representing a specific business function. 473
“Subsidiary” means an entity in which more than 50 percent of the entity is owned directly. By a 475 parent corporation; or through another subsidiary of a parent corporation. 476
“Business Unit” means any segment of an organization, or an entire business organization that is 478 not divided into segments. 479
“Joint Venture” (JV) is a business arrangement where two (2) or more parties come together to 481 pool their resources and expertise for a specific task or project. The participants in a JV share 482 profits, losses, and costs associated with the task or project. 483
“Mentor Protégé” a mentor-protégé relationship is a program where a mentor guides and 485 supports a protégé in obtaining and performing federal contracts or subcontracts. 486
"Commercial-Sector Vendors" in the context of this acquisition means an entity that is not 488 currently performing nor has performed, any contracts or subcontracts other than for 489
"commercial services" as defined in FAR 2.101, with the United States Government within the 490 last four (4) years prior to the final solicitation date and has never been subject to suspension, 491 debarment by the United States Government, or is on the Excluded Parties List, and is registered 492 in SAM.gov. 493 “Company” includes all of the above. 495
L.1.1.2 Competition 497
To foster full and open competition among MAPS base contract holders and to prevent diluting 498 the competitive pool by allowing more than one (1) contract to be held by individual parts of the 499 same corporate entity, only one (1) proposal may be submitted per Company for each Domain. 500
Contractors are cautioned that the Prime MAPS base contract holder is the authorized and 502 binding authority in any task order award. All payment information and CPARS ratings will flow 503 through the Prime MAPS base contract holder. Although the affiliate may hold a different size 504 status/representation, the size and representations of the Prime MAPS base contract holder is 505 what governs. 506 Affiliates must decide who will submit a proposal for the opportunity to be a MAPS base 508 contract holder and all other affiliates would then become subcontractors to the Prime MAPS 509 base contract holder, even in the case of the subcontractor/affiliate performing 100% of the work. 510
Members of a Joint Venture must decide which – the Joint Venture or the individual partner – 512 will submit a proposal for the opportunity to be a MAPS base contract holder. JVs can propose as 513 a JV or a single offeror, they cannot propose as both. 514
Mentor Protégé relationships shall provide verification of the SBA signed agreement. 516
L.1.1.3 Orders 518
This section does not prevent affiliated companies from participating in future orders. Any 519 proposal submitted in response to a task order solicitation must be submitted in the portal 520 through the account of the Prime contract holder and, if an affiliate will be performing the work, 521 the proposal should clearly identify that. 522
L.1.1.4 Novation 524
Any transfer of this Contract, in whole or in part, by the contractor to another entity through 525 merger, sale of assests, reorganization, or otherwise, shall not be binding upon the Government 526 unless and until approved in writing by the Government through a novation agreement executed 527 in accordance with FAR Part 42. Novation is not automatic and will be considered only upon the 528 Contractor’s timely submission of a complete novation package and determination by the 529
Government that such action is in the Government’s interest. The Government reserves the right 530 to approve or disapprove any requested novation at its sole discretion. 531 Contractors are cautioned that if a JV holds a MAPS base contract and that JV relationship 533 dissolves, the MAPS contract does not automatically transfer to one (1) of the remaining 534 partners. MAPS base contract holders may novate their contract to an affiliate or one (1) member 535 of the JV in accordance with the FAR. Upon novation, the MAPS base contract would acquire 536 the size status or socio-economic status of the official holder. 537
