SUMMARY OF CHANGES
SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS
The following have been modified:
INSTRUCTIONS TO OFFERORS
L.1. General Requirements
L.1.1. Submission of data The offeror's proposal must include all data and information requested by this section and must be submitted in accordance with these instructions. The offer shall be compliant with the requirements of this Request for Proposal (RFP), including Contract Line Item Numbers (CLINs), the Statement of Work (SOW), Government standards and regulations pertaining to the SOW, and any RFP amendments. Non-conformance with the instructions provided in this section and/or failure to meet a requirement may result in an offer being considered unacceptable and may render the proposal ineligible for award.
L.1.1.1. Offerors may submit questions regarding clarification of solicitation requirements to MARMC_NRFK_411_Procurement@navy.mil. The deadline for all questions, concerns, and/or requests for clarification is Monday, 5 January 2015. The Government reserves the right to not respond to any questions received past this deadline. Accordingly, offerors are encouraged to carefully review all solicitation requirements and submit questions to the Government as early as possible.
L.1.2. Proposal Details The proposal shall be clear, concise, and include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal shall provide convincing rationale to address how the offeror intends to meet these requirements. Offerors shall assume the Government has no prior knowledge of their facilities or experience and will base its evaluation solely on the information presented in the offeror's proposal. In accordance with FAR Subpart 4.8, Government Contract Files, the Government will retain one copy of all unsuccessful proposals. The Government will destroy extra copies of such unsuccessful proposals.
L.1.2.1. Proposals must demonstrate a comprehensive understanding of the nature and scope of work required. The Government will not search for data to cure problems or address inconsistencies in proposals. The Government may consider any failure to comply with these instructions to be indicative of what could be expected from an offeror during performance and may consider it a weakness of the proposal. Statements such as "will comply," "noted and understood," "in accordance with industry best practices/standards," etc. without supporting narrative, are not acceptable. Cursory responses or responses that merely reiterate or paraphrase the SOW language will not be considered to satisfy the requirements of the RFP.
L.1.2.2 The proposals shall not contain classified material. It is the sole responsibility of the offeror to ensure that the electronic media submitted is virus free and can be opened and read by the Government. If the electronic media cannot be opened and read by the Government, the offeror shall have a reasonable amount of time, typically 72 hours, after notification of the same to correct the deficiency. After that time, if the electronic media cannot be opened and read by the Government, the offer may be ineligible for award.
L.1.3. Responsibility Determination and Supporting Documentation In determining contractor responsibility in accordance with FAR 9.104-3(a), the government reserves the right to request additional information pertaining to the offerors’ ability to obtain sufficient resources for a contract of this magnitude and length.
L.1.4. Points of Contact
The Contracting Officer (KO) and/or the Contract Specialist are the sole points of contact for this acquisition.
Address any questions or concerns you may have to the KO and Contract Specialist. Contact information is as follows:
Reagan P. Criddle Christian R. Smith Contracting Officer Contract Specialist reagan.criddle@navy.mil christian.r.smith@navy.mil
L.1.5. Solicitation Requirements, Terms and Conditions Failure to comply with the terms and conditions of this solicitation may result in the offeror being removed from consideration for award.
L.1.6. Acceptance Period The proposal acceptance period is the number of calendar days available to the Government to award a contract from the date proposals are received. The Government requires a minimum acceptance period of 280 calendar days from the due date for receipt of proposals; however, offerors may specify an acceptance period exceeding the Government’s minimum requirement. The offeror’s proposal must affirmatively state an acceptance period equal to, or greater than, 280 calendar days.
L.2. General Information
L.2.1. Page Size and Format Offerors are required to submit their proposals in three separate Volumes. The offeror shall prepare the proposal as set forth in the Proposal Organization Table (Table 1.2 below) and shall be furnished in separate binders. Volumes I and II shall be single spaced, legibly typewritten on white bond paper, printed single sided only, with one-inch margins, in a type size no smaller than 12 point, on 8 ½ by 11 inch pages. Foldouts are permitted, but must be 8 1/2 by 11 inches folded. Size of the pages must be uniform and consecutively numbered; tables, figures and charts may be reduced. No cost/price information shall be included in Volume I or Volume II. Each volume shall contain a Cover Page and Table of Contents, in addition to the other information required by this solicitation. The Table of Contents, Summary Page, and Glossary are excluded from the page limitations described in Table 1.2. The cover page shall indicate the following: Title of the proposal, Proposal Volume Number (I, II, or III), Proposal category (Technical Capability, Past Performance, or Price), Request for Proposal (RFP) Number, Name and Address of offeror, Cage Code, DUNS, Business Size and applicable Tax I.D. Number (TIN), Contractor POC Information, Identification if original or a copy of the proposal, and Proposal validity period of 280 calendar days from the date specified for receipt of offers. The Table of Contents should provide sufficient detail as to allow the important elements to be easily located. The use of tabs and dividers is encouraged. Clarity and completeness of the proposal is of the utmost importance. The proposal shall be written in a practical, clear and concise manner.
Unnecessarily elaborate brochures or other presentations beyond what is sufficient to present a complete and effective proposal are not desired or required. The offeror should use flow charts and tables wherever possible in order to provide a concise presentation of their response. Offerors shall respond to all requirements of the solicitation document. Offerors are cautioned not to alter or disassemble the solicitation. Each page of every copy should be affixed with the date, solicitation number, offeror’s name and the following legend: Source Selection Information, See FAR 2.101 and 3.104. Pages submitted in excess of the page limitations described will not be evaluated.

Volume Volume Title Hard Copies CD Page limit I Technical Capability 1 Original + 3 Copies 1 25 II Past Performance 1 Original + 3 Copies 1 10 III Price 1 Original + 2 Copies 1 See Subsection L.5
*Page limits represent the maximum pages the Government will evaluate and are not construed as de facto standards for the amount of material expected in the proposal. Pages submitted in excess of the page limitations described above will not be evaluated.
L.2.2. Discussions
The Government intends to evaluate proposals and award without discussions with offerors. Accordingly, each offeror should submit its most favorable terms from a cost/price and non-price standpoint. However, the Government reserves the right to conduct discussions if later determined by the contracting officer to be necessary.
L.2.3. Notification of Potential Organizational Conflict(s) of Interest Contractor must provide one of the following statements in regards to clause HQ L-2-0005, Notification of Potential Organizational Conflict(s) of Interest. The Contractor has determined:
____ (i) that a potential organizational conflict of interest does not exist, at any tier
____ (ii) that a potential organizational conflict of interest may exist as described below and when a mitigation plan was provided to the PCO.
L.2.4. Discrepancies If an offeror believes the requirements in these instructions contain an error, omission, or are otherwise unsound, the offeror shall immediately notify the KO in writing with supporting rationale as well as the remedies the offeror is requesting the KO to consider as related to the omission or error. Note: The Government reserves the right to award this effort based on the initial proposal, as received, without discussion.
L.2.5. Electronic Reference Documents The entire solicitation has been posted to the Federal Business Opportunities (FBO) web site at https://www.fbo.gov/. All attachments in Section J have been provided individually as either a Microsoft Word document or a PDF file.
L.2.6. Conflicting Proposals Proposals must be submitted in both electronic and paper format as specified in L.2.1 and Table 1.2. In case of a conflict between paper and electronic proposal copies, the paper version will take precedence.
L.2.7. Proposal Content The format of each offeror's proposal shall be as stated below. The intent is not to restrict the offerors in the manner in which the proposal is presented, but rather to ensure a certain degree of uniformity in the format of the responses for evaluation purposes. For Volume I (Technical Capability), the proposal shall be arranged and outlined exactly as shown in the subfactors. For example, the paragraph describing the requirements for Subfactor A, paragraph A3 shall be identified as A3 in the offeror’s proposal. THE PROPOSAL SHALL ADDRESS EVERY ASPECT OF

All aspects of the Offeror’s written technical proposal shall be technically acceptable. Failure of any aspect of the written technical proposal will render the offer technically unacceptable. It is recognized that all technical elements cannot be detailed in advance, but the proposal must be sufficient to describe the manpower and equipment the offeror proposes to use to accomplish the effort described in Section C. Statements that the prospective offeror understands, can or will comply with the contract requirements, or paraphrasing the contract SOW or parts thereof are considered inadequate and shall result in a rating of unacceptable. In addition, copies of quality assurance manuals are not an acceptable means of responding to the technical subfactors. The Government intends to review CPARS ratings and other existing past performance ratings on relevant contracts. Additionally, the Government may also review other relevant past performance information contained in either local or other MARMC files, from other Government sources, such as the Military Sealift Command or from Non-Governmental sources. General trends in a contractor’s performance will also be considered. The Government reserves the right to obtain information for use in the evaluation of past performance from any and all sources including sources outside of the Government. This past performance information will be used for the evaluation of past performance. Past Performance submission is limited to ten

(1) Table of Contents
(2) Past Performance Information (PPI) Forms (2 pages per reference)
(3) Past Performance Assessment Questionnaires (no page limit)
L.4.3. Offeror’s Responsibility Each offeror has the responsibility to provide in its proposal any information regarding its past performance of contracts similar to the Government’s requirements that it would like the Government to consider. Such information should include substantial subcontractors or teaming partner agreements and may be in the nature of:

(2) Information which the offeror considers essential to the Government’s evaluation of Section M sub-factors; or
(3) Explanatory information of substandard or poor performance and the corrective actions taken to prevent a recurrence.
L.4.4. Past Performance Information (PPI) Forms Offerors shall provide Past Performance Information (PPI) Forms (2 pages per contract/reference) (Attachment J24) listing no more than three (3) previous contracts in the Past Performance volume (contracts performed within the last three years and with a value of $25M or greater). (4) Offerors shall provide a narrative explanation on each of the proposed past performance efforts describing how they are similar in scope, magnitude, or complexity to the work being solicited, or that your firm has no relevant experience. Offerors shall also indicate the objectives achieved and any cost growth or schedule delays encountered.
L.4.5. Past Performance Assessment Questionnaires The offeror shall forward the Past Performance Assessment Questionnaires (Attachment J25) to each reference listed for a contract on the PPI Forms for completion. The completed Past Performance Assessment Questionnaires shall be submitted by the reference directly to the Procuring Contract Specialist, Christian R.

The offeror shall monitor the submission of the PPI questionnaires to ensure that the Procuring Contract Specialist receives all questionnaires NO LATER THAN the solicitation closing. The Government may consider questionnaires received after the due date of the proposals. The Government reserves the right to contact references for verification or additional information.
It is the offeror’s responsibility to ensure that all reference information is current and accurate. Prior to designating a reference, the offeror shall contact each reference to alert them that they will receive a past performance questionnaire and that their responses will be confidential.
L.4.6. Relevancy Information The Government reserves the right to determine the relevancy of such information and to verify statements and representations made in an offeror’s proposal. Any information provided must be in sufficient detail with points of contact to enable the Government to obtain information for an evaluation in accordance with the Past Performance subfactors in Section M. Summary lists of contracts or incomplete data may not be considered.
Relevant past performance for proposed subcontractor(s) may be submitted. If subcontractor contracts are submitted, the offeror must also clearly indicate the percentage of work that the subcontractor(s) will perform under each task/category of effort throughout the course of the contract. If subcontractor past performance is provided, the subcontractor past performance will be considered relative to the amount of effort under the solicitation that the subcontractor is proposed to perform. Therefore, the offeror’s proposal should detail clearly the aspects of the work in the solicitation that the subcontractor is proposed to perform. Offerors may also provide references where they have performed as a subcontractor.
If the Offeror possesses no relevant past performance, it should affirmatively state this fact in their proposal.
Failure to submit the completed narratives, Attachment J24, and questionnaires, Attachment J25, shall be considered certification (by signature on the proposal) that the Offeror has no past performance for like or similar items for the Government to evaluate.

The completion and submission of the above items will constitute an offer (proposal) and will indicate the offeror’s unconditional assent to the terms and conditions of this RFP and any attachments and or exhibits hereto. Alternate proposals are not authorized. Offerors objecting or taking exception to the terms and conditions of the RFP may be determined to be ineligible for award.
SECTION M - EVALUATION FACTORS FOR AWARD
The following have been modified:
RMC M-1-0003 BASIS FOR AWARD
M.1. SOURCE SELECTION
M.1.1. Basis for Contract Award The Government intends to award a Firm Fixed Price, Indefinite Delivery/Indefinite Quantity (ID/IQ) type contract(s) for a one-year base period and four one-year option periods to the responsible offeror(s) whose proposal(s) represent(s) the best value after evaluation in accordance with the factors and subfactors in the solicitation. The Government reserves the right to make more than one award from this solicitation. The offeror’s proposal shall be in the form prescribed by, and shall contain a response to each of the areas identified in Section L of the solicitation.
M.1.1.1. This is a Lowest Price Technically Acceptable (LPTA) Source Selection. Proposals will be evaluated under three factors: Technical, Past Performance, and Price. In making the best value determination, trade-offs between price and non-price factors are not permitted (FAR 15.101-2). Both, Technical Capability and Past Performance will be evaluated on an acceptable and unacceptable basis. Award will be made on the basis of the lowest evaluated price of proposals meeting or exceeding the acceptability standards for non-price factors, in accordance with FAR 15.101-2. Proposals are evaluated for acceptability, but not ranked using the non-price factors/subfactors. In order to be considered awardable, there must be an “acceptable” rating in every non-price factor/subfactor. Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as factors or subfactors. The proposal must conform to all solicitation requirements and the offeror must be deemed responsible in accordance with (IAW) FAR 9.104-1.
Failure to comply with the terms and conditions of the solicitation may result in the offeror being ineligible for award.
M.1.2. Discussions The Government reserves the right to award without discussions. Offeror(s) shall submit sufficient information and in the format specified in Section L. Offerors may be asked to clarify certain aspects of their proposal (e.g., the relevance of past performance information) or respond to adverse past performance information to which the offeror has not previously had an opportunity to respond. Exchanges conducted with regard to adverse past performance or to resolve minor or clerical errors will not constitute discussions, and the Contracting Officer (KO) reserves the right to award a contract without the opportunity for proposal revisions.
M.1.2.1. The Source Selection Authority will make an integrated assessment best value award decision or determine the competitive range, IAW FAR 15.306(c), for the purpose of holding discussions, if applicable. The Government reserves the right to further limit the number of proposals in the competitive range to the greatest number that will permit efficient competition among the most highly rated proposals. If the KO determines that an offeror’s proposal should no longer be included in the competitive range, the proposal will be eliminated from consideration for award.
Written notice of this decision shall be provided to unsuccessful offeror(s) in accordance with FAR 15.503.
M.1.3. Final Proposal Revisions (FPR) If discussions are applicable, all offerors selected to participate in discussions shall be advised of deficiencies in their offer, and shall be offered a reasonable opportunity to correct or resolve the deficiencies and to submit such price or cost, or other revisions to their offer, that may result from the discussions. However, if an offeror has already been afforded an opportunity to submit comments, rebutting statements or additional information concerning their technical proposal and past performance, or has already done so under FAR 42.15 or CPARS procedures, then discussions need not be held. At the conclusion of discussions, the Government will establish a final common cut-off date for proposal revision submissions. Offerors that still remain within the competitive range will be notified to submit their final written proposal revisions at that time.
M.1.3.1. The offeror’s responses to Evaluation Notices (ENs) and FPRs will be considered in making the source selection decision. If the offeror’s proposal has been evaluated as acceptable at the time discussions are closed, any changes or exceptions in the FPR are subject to evaluation and may introduce risk that the offeror’s proposal be determined unacceptable and ineligible for award.
M.1.4 Options Options will be evaluated pursuant to solicitation provision FAR 52.217-5, Evaluation of Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
M.2. EVALUATION FACTORS AND SUBFACTORS FOR AWARD
The following evaluation factors and subfactors will be used to evaluate each proposal:
Factor 1 – Technical Capability Subfactor A – Organization/Management Subfactor B – Manpower Resources and Capabilities Subfactor C – Methods and Equipment Factor 2 – Past Performance Factor 3 – Price
M.3. FACTOR 1 – TECHNICAL CAPABILITY
The offeror's technical proposal shall convince the government that the offeror is capable of fully providing the services identified in the SOW by the contract start date. Technical proposals will be rated Acceptable or Unacceptable, using the ratings and descriptions outlined in the table below. Any subfactor evaluated as “Unacceptable” will render the entire proposal “Unacceptable” and, therefore, unawardable. Only those proposals determined to be technically acceptable, either initially or as a result of discussions, will be considered for award.
However, the offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussions. All Unacceptable technical proposals will not be further evaluated.

M.4. FACTOR 2 – PAST PERFORMANCE
Past Performance proposals will be rated Acceptable or Unacceptable, using the ratings and descriptions outlined below.
M.4.1. Evaluation Process The past performance evaluation will result in an assessment of the offeror’s probability of meeting the minimum past performance solicitation requirements. This assessment is based on the offeror’s record of relevant and recent past performance and how well the contractor performed on those recent/relevant past efforts.
There are two aspects to the past performance evaluation:
The first is the Government will evaluate whether the offeror’s past performance is relevant or not relevant to the effort to be acquired. To be recent, the effort must have been performed within the last three (3) years preceding the date of issuance of this solicitation. The past performance evaluation considers each offeror’s recent past performance pertaining to preservation onboard US naval submarines to be most relevant and would give the most confidence that the offeror will satisfy the current procurement. The Government will assess the offeror’s recent past performance to determine how closely it relates to the scope, magnitude and complexity of efforts described in this solicitation. The Government will use the relevancy definitions in the following table:
Past Performance Relevance Ratings
Relevant Present/past performance effort involved scope and magnitude similar to that which this solicitation requires.
Not Relevant Present/past performance effort involved little or no scope and magnitude similar to that which this solicitation requires.
The second aspect of the past performance evaluation is the Government determining how well the contractor performed on past efforts. The past performance evaluation performed in support of a current source selection does not establish, create, or change the existing record and history of the offeror’s past performance on past contracts; rather, the past performance evaluation process gathers information from customers on how well the offeror performed those past contracts. The Government will determine how well the offeror performed on past efforts that are both recent and relevant. The Government will evaluate the offeror's relevant Past Performance record in order to assess overall past performance acceptability in accordance with the following ratings table:
Past Performance Evaluation Ratings
Acceptable Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror’s performance is unknown.
Unacceptable Based on the offeror’s performance record, the Government has no reasonable expectation that the offeror will be able to successfully perform the required effort.
* In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a)(2)(iv)).
Therefore, the offeror shall be determined to have unknown (neutral) past performance. In the context of acceptability/unacceptability, “unknown” shall be considered…
