ADDENDUM TO FAR 52.212-1 Instruction to Offerors
Pursuant to FAR 12.302(a), FAR Provision 52.212-1, Instructions to Offerors (ITO) – Commercial Items, is tailored. The basic provision paragraphs (a), (d), and (f) through (k) of the Addendum to FAR 52.212-1 are not replaced. The following paragraphs of specific instructions to offerors for this solicitation replace the basic provision paragraphs (b), (c), and (l). The basic provision paragraph (e) is deleted for this solicitation:
FAR Provision 52.212-1, Instructions to Offerors - Commercial Items is tailored by addendum as follows:
(b) Submission of Offers
1. General Instructions and Information
Period for acceptance of proposals. The Offeror agrees to hold the prices in its offer firm for 270 calendar days from the date specified for the receipt of proposals.
This section provides general guidance for preparing proposals, as well as specific instructions on format and content of proposals.
Offerors are cautioned to follow the instructions provided in this section carefully to ensure the Government receives consistent information in a form that will facilitate proposal evaluation. Proposals that take exception to inclusion of specific requirements in the resultant contract shall not be considered. The Offeror’s proposal must include all data and information requested herein and must be submitted in accordance with these instructions. The Offeror is solely responsible for reading the solicitation and submitting a proposal in compliance with all instructions, requirements, terms, and conditions. The Government will review proposals for completeness and compliance with the solicitation and preparation instructions. Non-conformance with the instructions provided herein may result in an unfavorable proposal evaluation or rejection of the proposal. If an Offeror (1) fails or refuses to assent to any of the terms and conditions of the solicitation, (2) proposes additional terms and conditions of this solicitation, or (3) fails to submit any of the information required by this solicitation, then the Government may consider the offer to be materially non-compliant, which could make the offer ineligible for contract award.
The offer should contain the Offeror’s best terms from a price and technical standpoint. The Government reserves the right to award without discussions; therefore, offers shall represent an Offeror’s best and final offer from its initial proposal submission. If award is to be made without discussions, the Government reserves the right to request information to clarify certain aspects of proposals (e.g., the relevance of an Offeror’s past performance information and adverse past performance information to which the Offeror has not previously had an opportunity to respond), address potential or actual organizational conflicts of interest, or resolve minor or clerical errors. These requests for clarification or exchanges will not be used to cure weaknesses or material omissions of the offer or to materially alter the technical or price information in the proposal. The Offeror shall not revise its offer in response to clarification questions under any circumstances; any such revisions will not be considered.
If the Government determines that it is necessary to conduct discussions, the Contracting Officer will establish a competitive range comprised of the most highly rated proposals. If the Contracting Officer determines the number of most highly rated proposals that might otherwise be included in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals. If the Contracting Officer decides that an Offeror’s proposal should no longer be included in the competitive range, then the proposal will be excluded from consideration for award, and written notice of this decision will be provided to unsuccessful Offerors in accordance with FAR 15.503.
The Government is providing PWS references for the Offeror's convenience only. The Offeror is responsible for reading and complying with the solicitation requirements.
2. Organizational Conflicts of Interest
The Offeror’s attention is directed to FAR, Subpart 9.5, “Organizational and Consultant Conflicts of Interest.”
It is the position of the Defense Health Agency (DHA) that the following companies, due to the nature of their performance with DHA, have an actual or potential organizational conflict of interest associated with the work to be performed under the contract resulting from this solicitation, which must be avoided, neutralized, or mitigated. The fact that an organization appears on this list does not preclude Offerors from contracting/subcontracting with the organization; rather, it merely serves to identify that an organizational conflict of interest may exist and that adequate steps must be taken to avoid, neutralize, or mitigate the conflict of interest.
Organizations with an actual or potential conflict include the following: Contracting Resource Group (CRG), TSI Federal, Inc., and Amyx, Inc. The actual or potential OCI extends to subsidiaries, parents, and affiliates of these companies. Actual or potential organizational conflicts of interest may exist for entities not on list above, and it is the Offeror’s responsibility to take appropriate action where necessary.
The Offeror shall represent in writing within Volume I of its proposal that, to the best of the Offeror's knowledge, there are no relevant facts or circumstances concerning any past, present, or potential contracts or financial interests relating to the work to be performed, which could give rise to an organizational conflict of interest, as described in FAR, Subpart 9.5. In the event an actual or potential organizational conflict of interest exists, the Offeror shall submit a mitigation plan to the Contracting Officer as soon as possible, but no later than 15 calendar days prior to the proposal due date, that describes such actual or potential conflicts and explains how the Offeror intends to mitigate any actual or potential organizational conflict of interest while supporting this contract and any other DHA contract. The Offeror shall also provide the Contracting Officer, no later than 15 calendar days prior to the proposal due date, with information of previous or ongoing work that is in any way associated with this solicitation. Any organizational conflicts of interest found after proposal submittals shall be disclosed to the Contracting Officer immediately. Failure to disclose a conflict of interest timely may result in an Offeror being determined ineligible for contract award.
The Contracting Officer will review all mitigation plans to determine whether award to the Offeror is consistent with the FAR, Subpart 9.5. If the Contracting Officer determines that no conflict would arise or that the mitigation plan adequately protects the interest of the Government, the Offeror will be eligible for award. If the Contracting Officer determines that the Offeror has not eliminated, avoided, or adequately mitigated an actual or potential organizational conflict of interest, then the Government may consider and/or take appropriate remedial actions, which may include eliminating an Offeror from the solicitation process, terminating a related DHA contract effort already awarded, or negotiating an appropriate mitigation plan.
The Offeror shall include the above restrictions in all subcontracts, teaming arrangements, and other agreements calling for performance of work which is subject to the organizational conflict of interest restrictions identified in these provisions.
The Offeror shall acknowledge the full force and effect of these provisions. The Government reserves the right, in case of a breach, misrepresentation, or nondisclosure, to terminate the resultant contract, disqualify the Offeror from subsequent related contractual efforts, or pursue any remedy permitted by law, regulation, or the terms and conditions of this solicitation.
3. Use of Former Department of Defense (DoD)/DHA Employees and Uniformed Service Members in Proposal Preparation
The involvement of a former DoD or DHA employee/service member in an Offeror’s proposal preparation may give rise to an unfair competitive advantage or the appearance thereof, if the former DoD/DHA employee/member acquired or had access to non-public, competitively-useful information in his or her former position. Such competitively-useful information includes proprietary information regarding a competitor’s performance on past or current contracts involving requirements similar to those described in this solicitation or source selection sensitive information pertaining to this procurement. Consequently, the Offeror must notify the Contracting Officer prior to the involvement in the proposal preparation process by a former DoD/DHA employee/service member reasonably expected to have had access to such information. Based on the notification, the Contracting Officer will make a determination whether involvement of the former DoD/DHA employee/service member in proposal preparation could create an unfair competitive advantage or appearance thereof. The Contracting Officer will further determine whether any mitigation measures taken or proposed by the Offeror are adequate to alleviate this concern. Failure to comply with these procedures may result in the Offeror’s disqualification for award.
4. Proposal Organization
Offerors shall submit proposals as stated in this Addendum to FAR 52.212-1.
Organize your proposal as set forth in Table 1, Proposal Organization, into five (5) separate volumes. Failure to provide all information requested and in the appropriate format may cause the offer to be rejected and no longer considered for award.

The Offeror shall state if it has submitted fewer than five (5) contract references.
c. If the contract you are submitting is an ordering type contractual vehicle (e.g., an Indefinite Delivery “D” type contract per [Federal Acquisition Regulation (FAR)] 16.5), only after issuance of a delivery/task order does performance occur. Given this, an individual order (or orders) under the basic ordering contract should be submitted in addition to the basic ordering contract itself. Each submitted order shall be considered a separate effort unless the Offeror provides information indicating follow-on or series of orders for continued performance of the same scope and such can be verified by the user/customer. In this event, such submitted multiple orders shall be considered as a single effort for evaluation purposes.
d. If the Offeror was formed solely for the purpose of proposing on this solicitation and the parent company, affiliate, or individual party/parties to a joint venture has/have relevant past performance, or if for any other reason the Offeror believes that a parent company or affiliated company has relevant past performance, the Offeror may submit the past performance information of the applicable entity/entities. If the Offeror submits such past performance, it shall document how the applicable entity’s past performance is relevant to this solicitation and shall document the scope and extent to which the entity will be involved, or its resources will be utilized, in the daily operations of the Offeror in its performance of the requirements described in the solicitation.
e. The Government will gather and use recent and relevant past performance data from other sources including but not limited to the Contractor Performance Assessment Reporting System (CPARs) and other Government databases.
Tab 1: Contract Descriptions.
The Offeror shall provide the following information with each contract reference:
· Name of contracting activity.
· Contract number.
· Contract title
· Contract type
· Brief description of contract or subcontract and relevance to this requirement
· Total awarded contract value
· Period of performance
· Contractor/Subcontractor place of performance, Commercial and Government Entity (CAGE) Code, and UEI. If the work was performed as a subcontractor, also provide the name of the prime contractor and point of contact (POC) within the prime contractor organization (name, and current address, e-mail address, and telephone and fax numbers). PLEASE NOTE: While an Offeror may submit past performance information on relevant efforts where they performed as a subcontractor, the Government may not be able to obtain qualitative information regarding the Offeror’s performance on the subcontract. If the work was performed as a subcontractor, provide the value and period of performance for that specific subcontract work provided.
· Contracting Officer, telephone number, and e-mail address (if available)
· Program manager/project officer, telephone number, and e-mail address (if available)
· Administrative Contracting Officer, if different from above, telephone number, and e-mail address (if available)
· List of subcontracts (if applicable).
Tab 2: Performance. The Offeror shall provide a narrative which specifically describes the past performance that the Offeror and its first-tier subcontractor(s) have in performing work the Offeror deems recent and relevant to this solicitation. Within the narrative, the Offeror shall explain which aspects of the past performance it considers to be relevant to the requirements of this solicitation. In explaining the relevancy of its reference contracts, the Offeror should pay particular attention to the Relevancy Evaluation Considerations provided in Table 5 in in the Addendum to FAR 52.212-2. The Offeror may provide information on problems encountered and any management or corrective actions employed in resolving such problems, if any, and the effects of those actions in terms of improvements achieved or problems resolved (e.g., improved quality performance indicators or other management indicators) associated with its past performance or past performance of a major subcontractor.
The Offeror shall also provide information regarding any organizational changes, as described in paragraph b above.
If the Offeror, or any major subcontractor, has had any contracts terminated for default or cause within the last three years from date of the solicitation release, the Offeror shall include documentation detailing the reason for the termination. The documentation shall identify the customer and its address, along with the customer’s contracting official, and contact information. For any contract terminated for default or cause, actions taken (or that will be taken) to prevent similar failures from reoccurring should also be included.
All Offerors shall submit information substantiating the Offeror’s past performance in complying with FAR 52.219-8, Utilization of Small Business, maximizing opportunities for U.S. small business subcontractors. Offerors shall also provide a statement indicating whether any negative information has been reported in the past three years concerning the Offeror’s past compliance with FAR 52.219-8. If any such negative information has been reported, the Offeror may submit explanations or comments responding to such negative information. Offerors with no prior contracts containing FAR 52.219-8 shall certify the same.
Past Performance Questionnaires (PPQs): For all contracts identified in Tab 1, Contract Descriptions, Attachment D (Past Performance Questionnaire) must be completed and submitted. The Offeror shall complete the Contractor’s Information, Contract Information, and Contracting Officer Representative Information sections of the Past Performance Questionnaire and e-mail the questionnaire to the cognizant point of contact (POC) for the reference contract or program (the customer). If the reference is for a Government contract, then the PPQ should go to the Contracting Officer or Contracting Officer's Representative. Questionnaires shall not be completed by employees representing the interests of the Offeror or its major subcontractor(s) whose performance is being reviewed on the PPQ, including its own employees and those of parents, affiliates, subsidiaries, subcontractors, and other team members. The contract reference POCs shall be instructed to independently complete the remaining sections of the questionnaire, sign the questionnaire, and e-mail the entire questionnaire to the Government directly at dha.ncr.Acq-Sustainment.mbx.rhrp-4@health.mil no later than May 9, 2025 at 4:00 p.m. Eastern Time.
If the Government cannot reach a contract reference POC, the Government will attempt to: contact another reference identified by the Offeror, contact a reference not identified by the Offeror, or complete the evaluation with those references who responded. The Government will consider the information obtained from other sources when evaluating an offeror’s past performance (such as PPIRS, FAPIIS, etc.). The Government is not responsible for the failure of any source to respond to a request for a past performance assessment on a timely basis.
10. Volume V – Price (Factor 5)
Offerors shall submit their price proposal by completing the Attachment E: Pricing Sheet found as an Attachment to the solicitation. The Offeror shall complete the information with the required data element in each block. Additionally, the Offeror shall provide a comprehensive list of assumptions, if any, used in the development of its proposal; however, the Offeror’s prices shall NOT include any assumptions that change the terms or provisions of this solicitation.
The Price Volume has no page limit and may contain any information the Offeror deems relevant to the proposed pricing, including any information about, or supporting rationale for, any proposed Group Event volume discounts. The Government intends to award a Firm Fixed Price contract. The Government will provide an estimated travel and shipping cost (see PWS paragraphs 1.8 and 1.9) for the base year and each option year and will pay for contractor travel and shipping on a cost-reimbursable basis. The Government will not reimburse the Contractor for any indirect costs applied to travel or shipping. Offerors must propose a fully loaded FFP price for each procedure listed in the Attachment E Pricing Sheet under the designated Services Contract Line-Item Number (CLIN). Firm Fixed Price means the procedure prices must be inclusive of all costs, such as labor, materials, overhead, general & administrative (G&A) expenses, and profit/fee required to fulfill all requirements of the PWS, other than the Transition-In requirements in PWS paragraph 1.6.1. The contractor cannot submit itemized rates or request adjustment for cost components; all costs must be built into the firm fixed price of each procedure. The government will provide estimated quantities for each procedure, the unit price per procedure will be multiplied by the quantities to calculate the estimated total price for each option year and the overall contract value.
The Offeror shall propose a firm-fixed price for its transition-in effort. The proposed price for Transition-In shall include all costs necessary to comply with PWS paragraph 1.6.1.
Transition-in Milestone payment shall follow Attachment A: Performance Based Milestone Payment Schedule Transition_In using the Sub-Line Item Numbers (SLINs) 0001AA, 0001AB, 0001AC, 0001AD, 0001AE, and 0001AF. The Offeror shall allocate the following percentages of its CLIN 0001 price to SLINs 0001AA, 0001AB, 0001AC, 0001AD, 0001AE, and 0001AF:
SLIN 0001AA: 10% of CLIN 0001 total price (Task 1)
SLIN 0001AB: 15% of CLIN 0001 total price (Task 2)
SLIN 0001AC: 10% of CLIN 0001 total price (Task 3)
SLIN 0001AD: 15% of CLIN 0001 total price (Task 4)
SLIN 0001AE: 25% of CLIN 0001 total price (Task 5)
SLIN 0001AF: 25% of CLIN 0001 total price (Task 6)
To facilitate contractor development of potential Group Event volume discounts, the Government has provided data (Service Component, ZIP CODE, # of days, # of Service Members) on projected FY2025 Group Events—see Exhibit C1_Group Event Location Data. The Government anticipates, but cannot guarantee, that performance under the RHRP-4 contract will include delivering services at a similar mix (in terms of number and size) of Group Events, year-over-year.
Offerors shall submit price proposals as stated below.
1. Using the Pricing Sheet (Attachment E), propose Firm-Fixed unit prices for each Procedure under the Services Contract Line Item (CLIN) listed and (in the appropriate cells) any proposed Group Event volume discounts for the specified tiers.
2. Although the Pricing Sheet (Attachment E) includes automated formulas to calculate subtotal and total prices, Offerors are responsible for ensuring that their price proposal is free from mathematical errors. Offerors are further cautioned that failing to propose unit prices on Firm-Fixed-Price CLINs may result in the Government finding their offers non-responsive and eliminating them from consideration for award.
3. Do not propose cost for any cost CLINs listed in the Pricing Matrix. The Government has provided costs on each cost CLIN as an estimate for Offerors. The Government will not include the cost CLINs as part of the total evaluated price.
4. Firm-Fixed unit prices proposed by the successful offeror for the Services on the Pricing and any proposed Group Event volume discounts will be incorporated into the contract. If the Government issues modifications, the Government will use the unit prices proposed by the successful offeror.
5. The Offeror is advised that by submitting a proposal, it agrees to hold the prices in its offer firm for 270 calendar days.
11. Subcontracting Plan
Prior to the award of a contract in response to this solicitation, the Government will request the Offeror’s Subcontracting Plan (if applicable) to ensure compliance with FAR 19.704; FAR 52.219-8, Utilization of Small Business Concerns; FAR 52.219-9, Small Business Subcontracting Plan; DFARS 252.219-7003, Small Business Subcontracting Plan (DoD Contracts); and DFARS 215.304.
If the Offeror is a large business, then the Offeror shall submit upon request from the Government a Subcontracting Plan as required under FAR 19.702 and FAR 19.7044. Subcontracting Plans shall reflect and be consistent with the commitments offered in the Small Business Participation Commitment Document. The subcontracting plan, upon approval by the contracting officer, will be incorporated into the award.
