(ii) terminate the work or a portion of the work.

(iii) reschedule the work on any day satisfactory to both parties.

52.209-5 CERTIFICATION REGARDING RESPONSIBILITY MATTERS (APR 2010)

(a)(1) The Offeror certifies, to the best of its knowledge and belief, that-

(i) The Offeror and/or any of its Principals-

(A) Are ( ) are not ( ) presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency;

(B) Have ( ) have not ( ), within a three-year period preceding this offer, been convicted of or had a civil judgment rendered against them for: commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a public (Federal, State, or local) contract or subcontract; violation of Federal or State antitrust statutes relating to the submission of offers; or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property (if offeror checks “have”, the offeror shall also see 52.209-7, if included in this solicitation); and

(C) Are ( ) are not ( ) presently indicted for, or otherwise criminally or civilly charged by a governmental entity with, commission of any of the offenses enumerated in paragraph (a)(1)(i)(B) of this provision.; and

(D) Have , have not , within a three-year period preceding this offer, been notified of any delinquent Federal taxes in an amount that exceeds $3,000 for which the liability remains unsatisfied.

(1) Federal taxes are considered delinquent if both of the following criteria apply:

(i) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.

(ii) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(2) Examples. (i) The taxpayer has received a statutory notice of deficiency, under I.R.C. Sec. 6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(ii) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. Sec. 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(iii) The taxpayer has entered into an installment agreement pursuant to I.R.C. Sec. 6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

(iv) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).

(ii) The Offeror has ( ) has not ( ), within a three-year period preceding this offer, had one or more contracts terminated for default by any Federal agency.

(2) Principal, for the purposes of this certification, means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).

(b) The Offeror shall provide immediate written notice to the Contracting Officer if, at any time prior to contract award, the Offeror learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances.

(c) A certification that any of the items in paragraph (a) of this provision exists will not necessarily result in withholding of an award under this solicitation. However, the certification will be considered in connection with a determination of the Offeror's responsibility. Failure of the Offeror to furnish a certification or provide such additional information as requested by the Contracting Officer may render the Offeror nonresponsible.

(d) Nothing contained in the foregoing shall be construed to require establishment of a system of records in order to render, in good faith, the certification required by paragraph (a) of this provision. The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.

(e) The certification in paragraph (a) of this provision is a material representation of fact upon which reliance was placed when making award. If it is later determined that the Offeror knowingly rendered an erroneous certification, in addition to other remedies available to the Government, the Contracting Officer may terminate the contract resulting from this solicitation for default.

(End of provision)

The Government defines “recent” as contracts that have been performed during the past five years from the date of issuance of this solicitation. Offerors are cautioned that the Government will use the information provided by each offeror and information obtained from other sources for the overall evaluation of past performance. Past performance on IDIQ type contracts should be submitted for performance at the delivery/task order level, unless performance is only assessed for the IDIQ contract as a whole. In that case, the offeror shall explain that performance on individual orders is not assessed and provide the using activity’s single point of contact that can verify the Offeror’s performance. Even though individual task orders are not officially assessed, the offeror should present the dollar values of only the individual task order (versus the whole IDIQ contract). Each task order submitted shall be counted as one contract. Include rationale supporting your assertion of relevance, but note the Government is not bound by the offeror’s opinion of relevancy. The Government will perform an independent analysis in determining the relevancy of a contract based on the data provided and/or obtained. The determination of relevancy is contingent on an assessment of the contract type, dollar value, similarities and complexities of the efforts performed on the contract being reviewed when compared to those of the SWMS Group C requirements. Clearly link past performance to the factors/sub-factors in Section M. Offerors are required to explain what aspects of the contracts are deemed relevant to the proposed effort. This may include a discussion of efforts accomplished by the Offeror to resolve problems encountered on prior contracts as well as past effort to identify and mange program risk.

L3.3 Past Performance Questionnaires. The offeror shall submit a minimum of 3 and a maximum of 5 Past Performance Questionnaires (PPQ) (Section J Attachment 9) with an emphasis on the prime offeror. The completed questionnaire shall be submitted directly via email from the reference to karen.stevens@socom.mil and sherri.ashby@socom.mil by the due date established for receipt of offers. The Offeror is responsible for distributing the questionnaires and providing a tracking record that show who they sent them to and the contact information for the individuals. Once PPQ’s are completed by your POCs, the information contained therein shall be considered source selection information and shall not be released.

L3.4 Relevant Contracts. Relevancy will be determined based on contract references reflecting past and present performance over the past five years. Contract efforts will be considered either relevant or not relevant. In order to be considered relevant, the effort must have been performed by the same division or corporate business unit that is proposing to perform under this requirement. The Government will perform an independent analysis in determining the relevancy of a contract based on the data provided and/or obtained. When making relevancy determinations, the definitions in Table L.2 will be utilized.

Table L.2

Relevant (R)

Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Not Relevant (NR)

Present/Past or Present Performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

L3.5 Subcontractor Consent/Client Authorization Letter. The Offeror shall submit, along with the information required in this paragraph, a consent letter, executed by each subcontractor, teaming partner, and/or joint venture partner, authorizing release of adverse PPI to the Offeror so the Offeror can respond to such information (Section J Attachment 10 Subcontractor Consent Letter). For each commercial customer citation, the Offeror shall also submit a client authorization letter (Section J Attachment 11 Client Authorization Letter).

L-4 VOLUME III, PROPOSAL COST (FACTOR 3)

L4.1 General. Cost information shall only be addressed within the cost volume. The offeror shall submit a Cost proposal IAW the following instructions. These instructions shall be used for generating the required rates including an explanation of the offeror’s compensation plan (Reference FAR 52.222-46), method of cost buildup, and method used in applying indirect rates, and fee. The Offeror should propose their labor pricing based on the provided definitions for the Labor Category identified in each task order Statement of Work (SOW). The proposed rates should be based on the contractor’s fiscal year (CFY) in accordance with their disclosed accounting practices and define that period in the cost proposal.

Offeror’s have the option of using the Attachment 3 pricing template; if it fits their company’s accounting practices, or providing their proposed costs in their company format. If an offeror chooses to submit in their format, they shall provide the same level of detail requested below (to include the basis of estimate for the proposed labor hours, and any direct or indirect rates) and all calculations utilized to provide visibility into the proposed rate structure. Regardless of the format utilized, all offerors must propose labor hours and rates for each labor category under all task orders provided.

Section J, Attachment 3 identifies the required labor categories for each task order. If the Government labor category detailed in the Attachment 3 is not the same as the labor category used by the offeror’s company, map the Government labor category based on the required qualifications and experience level to the labor category used by your company. In addition, provide the labor category title used by your company.

L4.2 Direct Labor Hours. Offerors are advised that Attachment 3, Tabs 3-5 are to be used to price your technical approach to provided task orders. Offerors are required to submit pricing for all 3 task orders. The Government has provided labor categories and the number of required FTEs per task order. Offerors are to propose the number of hours based on the Offeror’s disclosed accounting practices and their technical approach to meet the requirements of the task orders. Hours should be clearly identified by fiscal year, and prime vs. subcontractor(s) performing the work. Offerors shall provide the basis for the proposed hours. Any Other Direct Costs (ODC) required to execute shall be identified separately within the Task Order Pricing. If additional ODCs are proposed, offerors must provide detailed rationale.

Note: It is expected that IDIQ level personnel would be an indirect cost, if this is inconsistent with the offerors accounting practices, offerors shall include as a direct cost and provide basis of estimate.

L4.3 Direct Labor Rates. The offeror shall provide direct labor rates for each category included within Tabs 3-5. If any of the labor categories are to be performed by subcontractor(s), the rates submitted must be identified by subcontractor. The offeror, and any subcontractors proposed, shall submit detailed substantiation for all direct labor rates for which there is no available FPRA. The substantiation may include, but is not limited to, the methodology on how direct labor rates were developed (i.e. based on actual labor rates, average of actual labor rates, etc.), historical payroll records, salary survey, or other supporting documentation. Deviations between the rates used for the proposal and those documented by the FPRA or historical records require written explanation. When proposing, Offerors shall propose for every labor competency level. Failure to do so will render the proposal incomplete, and the entire proposal will be unawardable.

L4.4 Indirect Rates. The Offeror will complete Tab 2 with their proposed indirect rates. Offerors shall provide a detailed explanation for the basis of the proposed indirect rates (i.e., Forward Pricing Rate Agreement (FPRA) dated xx/xx/20XX; Unaudited Forward Pricing Rate Submission; Budgeted rates as of __________). If the rates are not based on a current FPRA, provide detailed build-up of the indirect rates (i.e., listing of all pool expenses and base utilized) and basis for increases (i.e., escalation/de-escalation) by CFY. The indirect rates included on Tab 2 will be used to populate the total cost on Tabs 3-5.

L4.5 Subcontractors. If subcontractors are being proposed, the Offeror will provide the same level of detail requested of the prime for all proposed direct labor hours and direct labor and indirect rates by completing Attachment 3. If the subcontractor(s) object to providing that level of detail due to proprietary data, the Prime may include the agreed to FFP and/or T&M fully loaded subcontractor rates on Tabs 3-5. In accordance with FAR 15.404-3, the Offeror shall include the prime’s analysis of cost or price analyses to establish the reasonableness of the proposed subcontract prices. If the prime cannot determine price reasonableness, the subcontractors should complete a copy of Attachment 3 and submit to the Contracting Officer.

L4.6 Fee. The proposed fee will become the maximum allowable fixed fee on all future task orders. For Task Orders 1 – 3, the Offeror may elect to propose a lower fee. The fee per Task Orders 1 – 3 will be input on the Tab 2.

L-5 VOLUME IV, ADMINISTRATIVE MATERIAL

L5.1 General. The purpose of this volume is to provide information to the Government for preparing the contract document and supporting file. Offerors shall provide the following additional administrative material.

L5.2 Facility Security Clearance. The offeror must possess, or acquire prior to award of the contract, a Top Secret Facility Clearance (FCL) as accredited by the Defense Security Service (DSS) in accordance with the contract level Contract Security classification Specification (DD Form 254). If the offeror does not currently possess a TS facility clearance, they shall submit evidence that demonstrates they will obtain a TS facility clearance prior to the anticipated award of 05 January 2015. Storage of information it is not anticipated to be required at the contract level; however, the contractor shall meet all requirements of the Task Order level DD Form 254 requirements.

USSOCOM cannot sponsor a FCL without a contract in place. Since the solicitation itself does not require any access to classified material; an offeror that does not currently possess a Top Secret FCL can submit as part of their proposal, evidence that the process has been initiated with DSS under another contract award to include status on the accreditation process. If the apparent successful offeror does not have a TS FCL prior to award and is unable to provide cleared personnel to begin performance at the start of the first task order (SORDAC Support), the offeror will be ineligible for award. The anticipated start of performance for the first task order awarded under this contract is 09 Feb 2015. The award of the Group C SWMS contract and any task orders will not be delayed for the FCL to be obtained.

L5.3 Contract Forms and Certifications. Include the following as part of the CD-ROM files:

a. Proposal cover page which includes names, office phone numbers, cell phone numbers, and email addresses for individuals who are authorized to discuss the proposal with government personnel on behalf of the offeror.

b. A conformed contract copy from this RFP, to include a Solicitation, Offer, and Award, Standard Form 33 signed at block 17 by an official authorized to contractually bind the offeror. The offeror must complete the following sections within the RFP for these criteria:

1. Section A – Solicitation/Contract Form: Completion of Blocks 12- 18 (Standard Form 33)

2. Section I – Contract Clauses: Refer to Section I of the solicitation and complete all fill-ins.

3. Section K – Representations, Certifications and Disclosures: Completed representations, certifications acknowledgements and statements.

L5.4 Current Adequate Accounting System. IAW FAR Part 30; Cost Accounting Standards (CAS) do not apply to small business concerns. IAW FAR 16.306 (c), no CPFF contract may be awarded unless the limitations in FAR 16.301-3 are met. One of the limitations cited is that the contractor’s accounting system must be adequate for determining costs. The offeror shall provide valid documentation from DCMA, DCAA or other Federal Audit Agency that they have an adequate accounting system for operating Government cost type contracts to be considered for award. The offeror may provide other information that allows the contracting officer to determine that the contractor's accounting system will permit timely development of all necessary cost data for the cost type CLINs and the negotiation of cost in accordance with the Federal Acquisition Regulations and applicable supplements in order to be considered for award. If the Offeror does not currently have valid documentation (within the last 3 years) regarding an adequate accounting system, the Offeror shall complete Attachment 12 –Modified SF 1408 Preaward Survey of Prospective Accounting System Checklist with supporting documentation. An advanced copy of the Offeror's Modified SF 1408 Preaward Survey of Prospective Accounting System Checklist with supporting documentation shall be forwarded to the cognizance DCAA and to the Contracting Officer. Offeror’s are cautioned that determination of the adequacy of the accounting system must be accomplished to be eligible for contract award. Therefore, offerors shall be prepared to support DCAA audits upon the initiation of the audit.

L5.5 Organizational Conflict of Interest. See Section H (1). The restrictions in H.1 apply to future USSOCOM contracts. If the Offeror or its subcontractors are currently performing USSOCOM contracts, please identify those contracts and include a plan to mitigate any OCI issues. If identified OCI issues cannot be adequately mitigated, the offeror will be ineligible for award.

SECTION M - EVALUATION FACTORS FOR AWARD

The following have been modified:

EVALUATION

M-1 EVALUATION METHODOLOGY

M1.1 Basis for Award: The Government will select for award the proposal that is most advantageous and represents the best overall value to the Government, based on the evaluation factors and sub-factors. Within the best value continuum, the Government will employ a tradeoff analysis utilizing the following factors: Technical, Past Performance, and Cost. The Source Selection Authority will determine which proposal is most advantageous to the Government.

In order to be eligible for award, a proposal must comply in all material respects with the requirements of the law, regulation and the terms and conditions set forth in this solicitation; and the offeror must be determined responsible according to the standards set forth in FAR Subpart 9.1. Failure to comply with the terms and conditions of the solicitation may result in the offeror’s proposal being considered unawardable. The Government may award to a higher priced offeror, where the decision is consistent with the evaluation factors.

M1.2 Evaluation. The evaluation will be conducted in accordance with Federal Acquisition Regulation (FAR) Part 15.3 and Defense Federal Acquisition Regulation Supplement (DFARS) Part 215.3. The Government will evaluate all proposals received against Technical, Past Performance, and Cost. Technical is more important than past performance; past performance is more important than cost; when combined, non-cost factors are significantly more important than cost. Technical sub-factors, Program Management and Task Order Management Plan, are listed in descending order of importance; task orders within sub-factor 2 Task Order Management Plan are of equal importance.

M1.3 Competitive Range/Discussions. Discussions will be held with those offerors determined to be in the competitive range. The KO may establish a competitive range comprised of the most highly rated proposals based on the rating of each offeror’s Technical, Past Performance, and Cost proposal against the evaluation criteria.
