Changes are also made to Section L, and Section L Attachments L-4, L-7, L-8, and L-9 which are provided under separate cover with changes marked for ease of review.
2. The solicitation is specifically modified as follows:
a. SECTION H - SPECIAL CONTRACT REQUIREMENTS is modified to show revised clause language, and the following clauses now read:
ASC/FMS-H014 FMS GROUND FLIGHT RISK (Aug 2010) For the purposes of DFARS 252.228-7001, paragraph (a)(6) is hereby clarified to state "in the open" excludes aircraft ferry to its final delivery destination, movement within or between a contractor hanger or facility, or storage of aircraft within or between a contractor hangar or facility.
ASC/LAS-H027 CORRECTION OF NONCONFORMANCES (Aug 2010)
DEFINITIONS:
Acceptance: The execution of a DD Form 250 or similar document by the Government for the supplies or services furnished under this contract when such document contains no reservations and/or indications that such acceptance is conditional;
Conditional Acceptance: Occurs when nonconformances are annotated on the DD Form 250. Also occurs in accordance with ASC/LAS-H031 LIGHT AIR SUPPORT (LAS) AIRCRAFT INSPECTION, FERRY, AND ACCEPTANCE prior to ferrying of aircraft to final delivery destination. A supply or service remains in a state of conditional acceptance until expressly released by the Contracting Officer (CO) in writing;
Correction: Any Contractor action necessary to eliminate any and all nonconformances;
Deviation: A specific written authorization to depart from a particular performance or design requirement of a specification, drawing, or other document for a specific number of units or a specified period of time;
Nonconformance: Any condition or characteristic in any supply or service furnished under this agreement that does not comply with a requirement of this contract. A nonconforming item is an item submitted to the USG for acceptance with a nonconformance;
Pass Through Warranties: Subsystem warranties provided by the subcontractor to the prime contractor;
Supplies: The end items furnished by the Contractor and related services required under the contract.
GOVERNMENT RIGHTS:
The rights and remedies of the Government provided in this clause:
(a) Are in addition to and do not limit any rights afforded to the Government by any other clause of this Contract;
(b) Shall apply to those nonconformances discovered by either the Government or the Contractor within 365 days after acceptance of the respective supplies by the Government, unless a greater time is provided in any applicable pass through warranty. If a nonconforming item is installed with a pass-through warranty during ICS and/or CLS, and the coverage of its applicable warranty, identified pursuant to paragraph (d) below, extends beyond the aformentioned 365-day post-acceptance period, the rights and remedies of the Government under the pass-through warranty shall extend until the later expiration of such pass-through warranty;
(c) The Contractor shall be responsible for nonconformances in installation and integration. If the deficiency results from work ordered in a modification, ECP, or other such contractual document, the Contractor shall be responsible for correction of nonconformances within the time period ordered in such modification, ECP, or other contractual document;
(d) All available pass-through warranties shall be administered, tracked and tendered to the Government by the prime contractor for items, supplies and services under this contract. A list shall be submitted by the Contractor to be attached to Contractor Supplied Warranty of Items/Components including Part Number, Supplier and Expiration Date, Section J, Attachment 17, and updated for each delivery order. In the event a pass-through warranty is available on a subsystem as a result of activities performed in furtherance of ICS and/or CLS, the Contractor shall notify the Government of such warranty, and shall update Section J, Attachment 17 to reflect that warranty accordingly. The Contractor shall cover transportation of affected items; and
(e) Corrected and/or replacement supplies and/or parts, and/or re-performed services shall be warranted to the same extent as new supplies and services from the date of acceptance of the correction, replacement, and/or re-performance, and the warranty shall be equal in duration to the original warranty period.
CONTRACTOR RIGHTS:
If the Contractor does not agree with the Contracting Officer's decision regarding a nonconformance, the Contractor shall nevertheless proceed in accordance with the determination issued by the Contracting Officer as directed to correct or replace the nonconformance. In the event it is later determined that such supplies or services were not nonconforming within the terms of this clause, the contract price will be equitably adjusted to include adjustment for transportation charges. Failure to agree to an equitable adjustment or disagreement to the claim of nonconformance shall be a dispute under the "Disputes" clause of this contract, 52.233-01.
NONCONFORMANCE OF SUPPLIES OR SERVICES:
1. Contractor proposed acceptance of a nonconforming item will only be for a specific number of units or for a specified period of time. A written Contractor proposal for acceptance of nonconforming items enables the USG to determine the impact on performance, operational readiness, logistics support or other affected areas. The use of a nonconforming item shall only be approved for the express benefit of the USG for a time defined until the nonconformance is corrected. Adequate consideration shall be required.
2. A nonconforming item is classified as Critical, Major, or Minor based on the impact of the proposed nonconformance.
a. Critical: A nonconforming item is classified as Critical when the nonconformance impacts safety.
b. Major: A nonconforming item is classified as Major when the nonconformance impacts a requirement to the degree that the usability, functionality, or reliability of the item is materially affected. Major nonconformance includes those things that involve health, performance, weight, interchangeability, survivability, maintainability, and effective use or operation.
c. Minor: A nonconforming item is classified as Minor when the nonconformance does not involve any of the factors listed above in paragraphs (a) or (b). Such nonconformance impacts a requirement but does not materially affect the usability, functionality, or reliability of the item.
3. Notification and Contractor Recommendation: If the Contracting Officer determines that a nonconformance exists in any of the supplies or services accepted by the Government under this contract, the Contracting Officer, by PCOL, shall promptly notify the Contractor of the nonconformance.
Upon notification of the existence of a claimed nonconformance, or if the Contractor independently discovers a nonconformance in accepted supplies or services, the Contractor shall promptly submit to the Contracting Officer a recommendation for corrective actions, together with supporting information in sufficient detail for the Contracting Officer to determine what corrective action, if any, should be undertaken. The Contractor shall make a recommendation to the Contracting Officer; however, the final decision and direction rests solely with the Contracting Officer.
4. Decision: After receipt of the Contractor's recommendations for corrective action to include adequate supporting information, the Contracting Officer, at his/her sole discretion, shall give the Contractor written notice (1) to correct the nonconformance within a stated reasonable time either at the Contractor's Facility or another identified location; or (2) not to correct any nonconformance. Authorization in accordance with
(2) shall require adequate consideration from the Contractor covering the nonconformance. In the event the Contractor and the USG cannot agree that a condition is nonconforming, the CO will issue a final decision citing the contractual nonconformance.
5. Contractor Action: The Contractor shall promptly comply with the written direction of the Contracting Officer to correct the nonconformance, at no increase in the contract price. The Contractor shall also prepare and furnish to the Government data and reports applicable to any correction required under this clause (including engineering change proposal revision and updating of all other affected data called for under this contract) at no increase in contract price.
6. Acceptance of Nonconforming Items: A nonconforming item will only be approved for the express benefit of the USG, through the Request for Deviation (RFD) process. Generally, the USG will not accept critical or major nonconforming items; however, the USG may accept a nonconforming item until such time that the nonconformance may be corrected. Request for acceptance of the nonconforming item will be provided, by the Contractor, in writing to the Contracting Officer. Requests for acceptance of items containing a critical nonconformance will not be made unless there are extraordinary circumstances beyond the Contractor's control. Extraordinary circumstances determinations shall be made by the USG.
7. Request for Deviation (or Nonconformance) (RFD) Proposal Process: If the Contractor proposes the USG accept a nonconforming item through the RFD process, the Contractor shall notify the USG in writing, as soon as practicable and no later than thirty (30) days before required delivery. The Contractor's proposal shall include all information necessary to allow the USG to determine if the nonconforming item will be accepted. The following information, where applicable, shall be included: a complete description of the contract requirement affected (including page and paragraph number of the applicable document) and the nature of the nonconformance; the number of units (and serial/lot numbers) to be delivered in this configuration; any impacts to logistics support elements (such as software, manuals, spares, tools, and similar) being used by USG personnel or to the operational use of the product; information about Contractor remedial actions being taken to prevent recurrence of the nonconformance; and Contractor recommended actions for correction of the nonconformance.
The use of nonconforming items shall not be recurring, and there shall not be additional compensation to the Contractor relating to the use, or correction, of nonconforming items. The USG will determine if the nonconformance shall result in a withholding, with notification in writing provided to the Contractor.
Corrections to nonconforming items shall be made by the Contractor or through the ECP/CCP process as approved by the USG. Nothing herein shall relieve the Contractor of meeting the required delivery date unless authorized in writing by the CO.
8. Modification of Contract With Respect to Uncorrected Nonconformances: In the event the Contracting Officer issues a decision not to correct, the Contractor shall promptly submit a technical proposal (including but not limited to engineering drawing updates, FOM updates, and other related technical data) with adequate consideration to amend the contract to permit acceptance of the affected supplies or services in accordance with the revised requirement and an equitable reduction in contract price shall promptly be negotiated by the parties and reflected in a supplemental agreement to this contract.
9. Nonconformances in Supplies or Services: If the Contractor becomes aware at any time before or after acceptance by the Government that a nonconformance exists in any supplies or services, the Contractor shall promptly correct the nonconformance and shall promptly notify the Contracting Officer in writing of the nonconformance, together with his detailed recommendation for corrective action to include any required changes to all other affected data, terms or attachments called for under this contract. The USG reserves the right to review the recommended correction and disapprove if such nonconformance is not deemed corrected to the terms of the contract.
10. Contract Price and Period of Performance: The Government is not responsible for contract extension or contractor delays in the scheduled deliveries or periods of performance under this contract as a result of the Contractor's obligation to correct nonconformances; nor shall there be any adjustment of the delivery schedule or period of performance as a result of such correction of nonconformances unless provided by supplemental agreement with adequate consideration. This clause shall not be construed as obligating the Government to increase the contract price.
TRANSPORTATION CHARGES:
1. When the Government returns supplies to the Contractor for correction or replacement pursuant to this clause or other warranty terms of the contract, or directs the Contractor to return the supplies, the Contractor shall be liable for transportation charges from the place of delivery or performance specified in this contract (irrespective of the FOB point or the point of original DD 250 acceptance) to the respective Contractor's or subcontractor's plant in addition to any charges provided for by (2) below. The Contractor shall also bear the responsibility for the supplies while in transit.
2. When compliance with the terms of this clause by the Contractor involves shipment of corrected or replacement supplies from the Contractor to the Government or forwarding location for return to the operating base, the Contractor shall be liable for transportation charges from the Contractor's plant to the place of delivery specified in this contract, (irrespective of the FOB point or the point of original DD 250 acceptance) in addition to any charges provided for by (1) above. The Contractor shall also bear the responsibility for the supplies while in transit.
