Description: Requirements for the Future Flexible Acquisition & Sustainment Tool (F2AST) Program include development, modifications, and depot maintenance. F2AST may include one-time spares and repairs which qualify as critical, limited, and/or contingency and sole source services to a F2AST contractor or large business subcontractor. In addition, services that are not reasonably severable from the development, modification or depot maintenance efforts may be included. No requirement that has been previously performed by any small business or is suitable for a small business shall be issued under F2AST. Small business categories include: small businesses, small disadvantage businesses, service-disabled veteran-owned small businesses, women owned small businesses, historically black colleges and universities, and HUBZone small businesses.

F2AST does not include Military Construction (MILCON), Civil Engineering, Base Operating Support (BOS) or Commercial Items. In addition, F2AST will not be used for new development programs. Refer to Performance-based Work Statement (PWS) Appendix A (RFP Attachment 1) for definitions of these terms for purposes of the F2AST acquisition.

This request for proposal is for an Indefinite Delivery/Indefinite Quantity (ID/IQ) contract. The PWS is generic in nature and describes general support requirements. All requirements will be acquired by issuance of a Delivery/Task Order (D/TO).

The maximum amount of services and/or supplies the Government will acquire under the contract is $5,400,000,000.00 for all contracts issued from this solicitation, and the minimum amount of services and/or supplies is $5,000.00. This is a one-time minimum for the program and will be satisfied by issuance of the first delivery/task order (D/TO) to each awardee, which may include a combination of costs under CLINS 0001- 0026.

Note 1: CLIN 0001 and its associated subCLINs apply to the basic contracts.

Note 2: Rates for Contract Line Item Numbers (CLINs) X001-X026 shall apply to each year, as indicated within the Rate Tables attached to this RFP/Resultant Contract(s). The basic period of performance is 36 months. Option I period of performance is 24 months. Option II period of performance is 24 months.

Periods of Contract Performance (to begin upon date of basic contract award announcement):

Basic Contract Period

Year 1: Days 1 – 365

Year 2: Days 366 - 730

Year 3: Days 731 - 1095

Option I

Year 4: Days 1096 – 1461 (leap year, 366 days)

Year 5: Days 1462 – 1826

Option II

Year 6: Days 1827 – 2191

Year 7: Days 2192 – 2556 Although ordering is limited to the time periods specified above, periods of performance established in individual orders can extend through Years 8, 9, and 10 as depicted below:

Year 8: Days 2557 – 2922 (leap year, 366 days)

Year 9: Days 2923 – 3287

Year 10: Days 3288 – 3652

These subsections are applicable to the basic contract period and the option periods:

Subsection A: Modifications Subsection B: Development Subsection C: Services Subsection D: Spares Subsection E: Repairs Subsection F: Support Item CLINs

Note 3: An option may be exercised on or before the last day of the basic period or proceeding option period. An option is considered to have been exercised at the time the Government deposits written notification to the Contractor in the mail or sends electronic notification.

Note 4: The following identifiers represent the year/item number sequence in effect during each contract period as set forth above under Periods of Contract Performance. These numbers will be used in combination with line item numbers (for example, X001), which are established in the left margin of the Line Item Schedule under the CLIN heading, for ordering during each contract period.

1XXX – Year 1

2XXX – Year 2

3XXX – Year 3

4XXX – Year 4

5XXX – Year 5

6XXX – Year 6

7XXX – Year 7

8XXX – Year 8

9XXX – Year 9

11XX – Year 10

For example, Contract Performance Period Year 1 (Days 1 – 365) (1XXX), in combination with Item Number X001, yields CLIN 1001, Modifications, Time and Materials. Instructions provided in Subsection A, Services, advise that the user should “See attached Rate Tables”. Should an effort ordered under this contract cross contract performance periods, the CLIN cited in the order shall reflect the contract performance period in which the order was originally awarded. Use the Attached Rate Tables to select the labor category for services as necessary. The attached Rate Tables include rates by labor category, by contract performance period, for prime contractors, subcontractors, teaming partners and/or joint venture partners. The selection of the labor categories will establish the amount to be billed for the CLIN 1001 (as subCLINed).

Note 5: The labor rates in the rate tables may not extend beyond two decimal places to the right of the decimal.

(**)AI 52.8 Mandatory Shipping Instructions – Iraq. Insert the following mandatory language in Section E in solicitations where shipment of supplies or materials will enter the be tracked or otherwise supported by the Logistics Operations of the US Army Corps of Engineers, Gulf Region Division.

Mandatory Shipping Directions (25 Nov 07)

GRD Logistics:

GRD Logistics is required to track reconstruction equipment, materials and goods imported into Iraq under the Re-building Iraq effort. Recontruction equipment is purchased by the US Government (usually by MNSTC-I, or GRD), and is designed to help rebuild the country of Iraq. The GRD Logistics tracking and inherent accountability process as assuring equipment materials and goods are able to cross Iraqi borders and move to final destination with minimal delay and at reduced risk. In order to accomplish this mission, maximum cooperation is necessary. Prompt notification and compliance with our information requirements will assist in providing advance notice to the point of entry of all inbound shipments. This process affords coordination in the movement of all convoys which will enable improved monitoring and de-conflicted convoy schedule. Prompt notification also improves security coordination through the operations center.

Please ensure you complete the following steps:

Step One:

Identify who the cargo is purchased for. If the cargo supports Coalition Forces, it must be processed through the Military Transportation System (MTS). If the cargo is purchased for the explicit purpose of re-building Iraq (i.e. MNSTC-I/GRD contracts), proceed with the following steps:Upon contract award the contractor will provide the necessary logistical information required by GRD Logistics. This information can be obtained and updated as necessary by going to the GRD website:

(https://www.rebuilding-iraq.net/portal/page?_pageid=95,1&_dad=portal&_schema=PORTAL ) and selecting the Logistics tab. Immediately contact the Logistics Movement Coordination Center (LMCC) Watch Officer directly at the following e-mail address: pcolmcc@pco-iraq.net if there are any problems with this process. The contractor will find three forms listed and available under the logistics heading (Logistics Information Requirements Form, Reconstruction Levy Exemption and Form, Cargo Placards). Those forms should be individually completed and, with the exception of the cargo placard, sent electronically to the LMCC e-mail address listed above. But the Placards are still required and need to be accomplished quickly.

The Airway Bill and Levy Exemption Form must also be correlated and sent to the below contacts as soon as possible to prevent pick-up and delivery stoppage once the cargo arrives Iraq.

mwheatley@skylinkarabia.com Operations Manager fkleyn@skylinkarabia.com Cargo Manager spatel@skylinkarabia.com Logistics manager logistics@skylinkarabia.com

The contact number is +964 7901 926 284.

The Logistics Information Requirements Form will be the first form submitted. The Logistics Information Requirements Form should be completed upon award of contract and updated as necessary. All updates and changes to this form should be sent to the same e-mail address as the original form. Additional contact information is available on the GRD website. Remember: Always reference the contract number.

Step Two:

CPA 1-47 CUSTOMS LEVY EXEMPTION AND SHIPMENT REQUIREMENTS FOR RECONSTRUCTION PROJECTS UNDER PROJECT AND CONTRACTING OFFICE (PCO) Effective 15 April 2004 Tariff Regulations pursuant to CPA Orders #54, as amended by Order #70 (Orders #54 and #70 are posted on the website), require commercial importations into Iraq to pay a 5% levy except for food, books, medicine, medical equipment, clothes and oil. Additional exemptions include NGO’s, International Organizations, Reconstruction Projects under GRD, and single exempt donations. Items shipped under this contract are exempt from this “Levy” provided a completed Reconstruction Levy Exemption Form is attached and included with each invoice and packing slip.

In order to qualify for the exemption, the contractor is required to fill out the Reconstruction Levy Exemption Form and attach the duty free form to each shipment of goods crossing the border into Iraq under this contract. For customs verification, the contractor must submit one copy of the completed duty free form and a copy of the first page of the primary contract to the contracting officer and the GRD Logistics Office at pcocustoms@pco-iraq.net prior to shipment. Customs will send back a stamped copy that must accompany the cargo. It is the contractor’s responsibility to include the stamped and approved Reconstruction Levy Exemption Form with each shipment in order to prevent customs delays. The contractor will indicate the estimated time of arrival for the cargo to the point of entry.

Step Three:

Items acquired for Iraqi Reconstruction and as per the “Packing and Marking Instructions” of this contract shall be packaged and marked accordingly. Cargo Placards are available from the website at:

https://www.rebuilding-iraq.net/portal/page?_pageid=95,1&_dad=portal&_schema=PORTAL under the logistics tab located at the top of the page. A memorandum is posted that explains how to complete the placards. There are three placards that need to be utilized when shipping cargo into Iraq. The first placard is for shipments arriving into Baghdad International Airport (BIAP). The second is for shipments arriving into the Port of Umm Qasr. The third placard is for shipments arriving into Abu Ghraib Warehouse via ground transportation. Using these placards will ensure they are properly identified as GRD shipments and will reduce risk of loss or pilferage. Each shipment must have a cargo placard affixed to all sides of each container, pallet, or package.

Step Four:

Contractor will pre-fill DD 250 along with invoice and send either with the shipment or next day aired to Skylink Arabia to ensure paperwork arrives with or before the cargo arrival to prevent movement delays.

F-34(**)

52.247-33

F.O.B. ORIGIN, WITH DIFFERENTIALS (FEB 2006)

(IAW FAR 47.303-5(c))

(a) The term "f.o.b. origin, with differentials," as used in this clause, means--

(1) Free of expense to the Government delivered--

(i) On board the indicated type of conveyance of the carrier (or of the Government, if specified) at a designated point in the city, county, and State from which the shipments will be made and from which line-haul transportation service (as distinguished from switching, local drayage, or other terminal service) will begin;

(ii) To, and placed on, the carrier's wharf (at shipside, within reach of the ship's loading tackle, when the shipping point is within a port area having water transportation service) or the carrier's freight station;

(iii) To a U.S. Postal Service facility; or

(iv) If stated in the solicitation, to any Government-designated point located within the same city or commercial zone as the f.o.b. origin point specified in the contract (the Federal Motor Carrier Safety Administration prescribes commercial zones at Subpart B of 49 CFR part 372); and

(2) Differentials for mode of transportation, type of vehicle, or place of delivery as indicated in Contractor's offer may be added to the contract price.

(b) The Contractor shall--

(1)(i) Pack and mark the shipment to comply with contract specification; or

(ii) In the absence of specifications, prepare the shipment in conformance with carrier requirements to protect the goods and to ensure assessment of the lowest applicable transportation charge;

(2)(i) Order specified carrier equipment when requested by the Government; or

(ii) If not specified, order appropriate carrier equipment not in excess of capacity to accommodate shipment;

(3) Deliver the shipment in good order and condition to the carrier, and load, stow, trim, block, and/or brace carload or truckload shipment (when loaded by the Contractor) on or in the carrier's conveyance as required by carrier rules and regulations;

(4) Be responsible for any loss of and/or damage to the goods--

(i) Occurring before delivery to the carrier;

(ii) Resulting from improper packing and marking; or

(iii) Resulting from improper loading, stowing, trimming, blocking, and/or bracing of the shipment, if loaded by the Contractor on or in the carrier's conveyance;

(5) Complete the Government bill of lading supplied by the ordering agency or, when a Government bill of lading is not supplied, prepare a commercial bill of lading or other transportation receipt. The bill of lading shall show--

(i) A description of the shipment in terms of the governing freight classification or tariff (or Government rate tender) under which lowest freight rates are applicable;

(ii) The seals affixed to the conveyance with their serial numbers or other identification;

(iii) Lengths and capacities of cars or trucks ordered and furnished;

(iv) Other pertinent information required to effect prompt delivery to the consignee, including name, delivery address, postal address and ZIP code of consignee, routing, etc.;

(v) Special instructions or annotations requested by the ordering agency for bills of lading; e.g., "This shipment is the property of, and the freight charges paid to the carrier(s) will be reimbursed by, the Government"; and

(vi) The signature of the carrier's agent and the date the shipment is received by the carrier; and

(6) Distribute the copies of the bill of lading, or other transportation receipts, as directed by the ordering agency.

(c)(1) It may be advantageous to the offeror to submit f.o.b. origin prices that include only the lowest cost to the Contractor for loading of shipment at the Contractor's plant or most favorable shipping point. The cost beyond that plant or point of bringing the supplies to the place of delivery and the cost of loading, blocking, and bracing on the type vehicle specified by the Government at the time of shipment may exceed the offeror's lowest cost when the offeror ships for the offeror's account. Accordingly, the offeror may indicate differentials that may be added to the offered price. These differentials shall be expressed as a rate in cents for each 100 pounds (CWT) of the supplies for one or more of the options under this clause that the Government may specify at the time of shipment.

(2) These differential(s) will be considered in the evaluation of offers to determine the lowest overall cost to the Government. If, at the time of shipment, the Government specifies a mode of transportation, type of vehicle, or place of delivery for which the offeror has set forth a differential, the Contractor shall include the total of such differential costs (the applicable differential multiplied by the actual weight) as a separate reimbursable item on the Contractor's invoice for the supplies.

(3) The Government shall have the option of performing or arranging at its own expense any transportation from Contractor's shipping plant or point to carrier's facility at the time of shipment and, whenever this option is exercised, the Government shall make no reimbursement based on a quoted differential.

(4) Offeror's differentials in cents for each 100 pounds for optional mode of transportation, types of vehicle, transportation within a mode, or place of delivery, specified by the Government at the time of shipment and not included in the f.o.b. origin price indicated in the Schedule by the offeror, are as follows:

TRANSPORTATION TRANSIT PRIVILEGE CREDITS (APR 1984)

(IAW FAR 47.305-13(b)(4))

(a) If the offeror has established with regulated common carriers transit privileges that can be applied to the supplies when shipped from the original source, the offeror is invited to propose to use these credits for shipping the supplies to the designated Government destinations. The offeror will ship these supplies under commercial bills of lading, paying all remaining transportation charges connected with the shipment, subject to reimbursement by the Government in an amount equal to the remaining charges but not exceeding the amount quoted by the offeror.

(b) After loading on the carrier's equipment and acceptance by the carrier, these shipments under paid commercial bills of lading will move for the account of and at the risk of the Government (unless, pursuant to the Changes clause, the office administering the contract directs use of Government bills of lading).

(c) The amount quoted below by the offeror represents the transportation costs in cents per 100 pounds (freight rate) for full carload/truckload shipments of the supplies from offeror's original source, via offeror's transit plant or point, to the Government destination(s) including the carrier's transit privilege charge, less the applicable transit credit (i.e., the amount (rate) initially paid to the carrier for shipment from original source to offeror's transit plant or point).

(d) The rate per CWT quoted will be used by the Government to evaluate the offered f.o.b. origin price unless a lower rate is applicable on the date of bid opening (or closing date specified for receipt of offers). To have the offer evaluated on this basis, the offeror must insert below the remaining transportation charges that the offeror agrees to pay, including any transit charges, subject to reimbursement by the Government, as explained in this clause, to destinations listed in the Schedule as follows:

(IAW FAR 47.305-16(b)(1))

(a) The offeror is requested to complete subparagraph (a)(1) of this clause, for each part or component which is packed or packaged separately. This information will be used to determine transportation costs for evaluation purposes. If the offeror does not furnish sufficient data in subparagraph (a)(1) of this clause, to permit determination by the Government of the item shipping costs, evaluation will be based on the shipping characteristics submitted by the offeror whose offer produces the highest transportation costs or in the absence thereof, by the Contracting Officer's best estimate of the actual transportation costs. If the item shipping costs, based on the actual shipping characteristics, exceed the item shipping costs used for evaluation purposes, the Contractor agrees that the contract price shall be reduced by an amount equal to the difference between the transportation costs actually incurred, and the costs which would have been incurred if the evaluated shipping characteristics had been accurate.
