About this file
This is a Confidentiality Statement Form (Post Award) required by the California Department of Technology (CDT) for contractors awarded state contracts. Upon contract award, the contractor must submit signed confidentiality statements from all assigned personnel, agents, and subcontractors before work commences. All project staff must sign and return the confidentiality statement to the State's Contract Manager prior to beginning work. The form establishes binding confidentiality obligations for the contractor and all assigned employees regarding sensitive information belonging to CDT, including planning processes, development procedures, project specifications, administrative requirements, terms and conditions, and all communications related to the procurement process.
The confidentiality requirements remain in effect during and after project completion. Personnel must not copy, disclose, or share project information with unauthorized parties unless those parties have signed confidentiality statements on file with CDT and the disclosure is authorized and necessary for project execution. Contractors must immediately notify the State's Contract Manager of any unauthorized disclosures, inappropriate access, misuse, theft, or data loss. All materials must be returned or destroyed as instructed, with physical and electronic destruction of all copies, derivations, working copies, and archival backups occurring within five calendar days following contract termination or final payment. Unauthorized disclosure may result in civil and criminal penalties. The form requires signature from the contractor's authorized representative or corporate officer with printed name, title, phone number, email, and date.
