About this file

This is a Performance Work Statement (PWS) for Transition Out activities at the Radford Army Ammunition Plant, effective April 2026. The PWS establishes the Contractor's obligations to execute an orderly, secure, and seamless transfer of facility operations, utilities, and production capabilities to the Government or a designated follow-on contractor prior to contract expiration. The Contractor must maintain full performance and safety responsibilities throughout the transition period, which may extend up to 365 calendar days before contract completion. The Contractor is required to submit a comprehensive Transition Out Plan no later than 18 months prior to contract expiration, addressing workforce staffing requirements, site operations and safety protocols, asset and material inventories, engineering and maintenance records, environmental permitting and compliance, research and development capabilities, and ARMS program financial reconciliation. The PWS mandates provision of facility tours to potential competitive bidders during the final three ordering periods, disclosure of operational records and data to the Procuring Contracting Officer for release to prospective bidders, and structured knowledge transfer activities including on-site classroom and hands-on training to incoming operators and engineers.

Key transition deliverables include participation in biweekly Transition Integrated Product Team meetings and monthly executive alignment meetings with Government leadership, good-faith collaboration with a designated successor contractor, preservation of all permanent and enduring records without purging or destruction, and strict compliance with explosive facility decontamination standards (Zero Residue or Level V) per DoDM 4145.26 prior to facility handover. Joint physical inspections must verify decontamination completion before custody transfer. The Contractor must also transfer the complete audited balance of the Facility Contractor Account (FCA) to a Government-designated account and formally convey all active ARMS tenant leases and revenue-generating operations to the Government or its designee.

RADFORD ARMY AMMUNITION PLANT

PERFORMANCE WORK STATEMENT (PWS)

PWS 17: Transition Out April 2026

1. General Principles

1.1. Continuity of Mission: The Contractor recognizes that the services provided under this contract are vital to the Government and must be continued without interruption, degradation of safety, or impact to contractual delivery schedules.

1.2. Transition Cooperation: The Contractor shall provide total cooperation and execute all necessary transition out activities to ensure an orderly, secure, and seamless transfer of facility operations, utilities, and production capabilities to the Government or a designated follow-on Contractor prior to contract expiration.

1.3. No Relief of Obligation: The execution of transition activities does not contractually relieve the Contractor of any performance, safety, environmental, or delivery responsibilities under the active contract.

1.4. Protection of Proprietary Data: All data and information turnover requirements under this PWS shall be executed in accordance with the established Intellectual Property (IP) and data rights clauses of this contract. The Contractor is not required to relinquish title to, or provide unrestricted access to, proprietary financial data, internal corporate strategic information, or IP developed exclusively at private expense unless specifically negotiated otherwise.

2. Transition Out Activities and Deliverables

2.1. Access and Information Release

2.1.1. Facility Tours: During the final three (3) ordering periods of this contract, the Contractor shall provide non-interference, accompanied access to the facility for potential competitive bidders. Tours shall be coordinated through, and authorized by, the Procuring Contracting Officer (PCO). Tours shall include all Government-Owned, Contractor-Operated property, as well as Contractor-acquired property for which title passes to the Government upon contract termination.

2.1.2. Information Disclosure: The Contractor shall provide the records, manuals, drawings, and data necessary for the uninterrupted operation and maintenance of the plant to the PCO upon request. All data delivered under this PWS and associated CDRLs shall be releasable by the Government to prospective bidders. This data shall focus on facility operations and include reports pertaining to maintenance history, utility consumption, production volumes, and environmental permits.

2.1.3. Transition Out Window: The Contractor shall execute phase-out transition activities for up to 365 calendar days prior to the expiration of the period of performance. The complete transition of all production lines and facility operations shall be achieved no later than the final day of the period of performance in accordance with the milestones established in the approved Operating Contractor Transition Out Plan.

2.2. Transition Out Plan

The Contractor shall submit a transition out plan no later than 18 months prior to contract expiration. (CDRL A17-001) This plan shall identify the specific tasks, resource allocations, and milestone dates the Contractor will execute to support a seamless facility turnover. This plan must comprehensively address, at a minimum, the following transition topics:

2.2.1. Workforce & Labor: Aggregate workforce data (e.g., labor categories, certification statuses, and headcounts) necessary for the Government to understand facility staffing requirements, excluding proprietary HR systems or Personally Identifiable Information (PII); and compliance with applicable collective bargaining agreements during turnover.

2.2.2. Site Operations & Safety: Schedule for the handover of Government-owned Standard Operating Procedures (SOPs), Technical Data Packages (TDP), engineering standards, safety reviews, and key control protocols.

2.2.3. Asset & Material Handover: Joint Government Property inventories; safe storage and custodial transfer of long-lead materials; physical segregation and marking of Contractor-owned versus Government-owned materials; and transfer of work-in-progress (WIP).

2.2.4. Engineering & Maintenance: Turnover of master maintenance records, CMMS databases, control system logic diagrams, calibration records, and historical operating logs.

2.2.5. Environmental & Permitting: Support activities for the transfer or novation of environmental permits (Title V, RCRA, VPDES); turnover of environmental compliance files, waste inventory aging logs, and Land Use Control (LUC) files.

2.2.6. R&D Capabilities: Safe turnover of laboratory equipment, testing procedures, material safety data sheets (MSDS), and ongoing developmental formulas for which the Government holds data rights.

2.2.7. ARMS: Status and handover strategy for active Tenant Use Agreements (TUAs), tenant billing files, and the Facility Contractor Account (FCA).

2.3. Successor Support and Collaboration

Upon the Government's award of a follow-on contract, the Contractor shall negotiate in good faith and collaborate with the designated Successor to support the facility transition. The Contractor shall perform all incumbent transition tasks within the approved schedule dates.

2.4. Record Retention and Anti-Purge Mandate

The Contractor is strictly prohibited from conducting any mass purge, deletion, or destruction of files, databases, drawings, manuals, or records related to the operation of the facility. All permanent and enduring records maintained pursuant to PWS C-12 shall be preserved and handed over intact. The Contractor may dispose of routine, non-permanent administrative records in accordance with standard corporate document retention schedules.

2.5. Transition Management and IPT Meetings

2.5.1. Transition IPT Participation: The Contractor shall prepare for, participate in, and provide data inputs to biweekly Transition Integrated Product Team (IPT) meetings led by the Government. The Contractor shall maintain a Transition Out Task Matrix tracking all assigned tasks, percentage of completion, and projected completion dates.

2.5.2. Executive Transition Meetings: The Contractor's senior executive leadership shall participate in monthly alignment meetings with the Government to resolve transition disputes, property allocations, or schedule variances.

2.6. Knowledge Transfer and Familiarization

The Contractor shall provide structured, on-site classroom and practical hands-on familiarization to incoming operators and engineers. This familiarization must include a thorough walkthrough of control system logic, lab testing procedures, explosive safety boundaries, and preventative maintenance procedures.

2.7. Explosive Facility Decontamination and Turnover

Prior to handing over any explosive production facility or asset, the Contractor shall clean and decontaminate all buildings, equipment, and structural elements to remove explosive materials and residues.

2.7.1. Decontamination Standard: The Contractor shall clean facilities to meet the "Zero Residue" or "Level V" decontamination standard (or equivalent standard approved by the local Army Explosive Safety Office) IAW DoDM 4145.26.

2.7.2. Joint Inspection: A joint physical inspection (comprising the Contractor, the incoming operator, and the Government) shall be conducted to verify decontamination before custody is transferred.

2.8. ARMS Program Financial Handover

The balance of the Facility Contractor Account (FCA) is Government-owned property. At contract completion, the Contractor shall transfer the entire audited balance of the FCA to a Government-designated account as directed by the PCO. The Contractor shall formally convey all active ARMS tenant leases and revenue-generating operations to the Government or its designee IAW PWS 12.
