About this file

This is a Unilateral Non-Disclosure Agreement (NDA) addendum related to Request for Proposals (RFP) 00002391 issued by the City of Portland, Oregon for Advanced Metering Infrastructure (AMI) Software and Installation Services. The agreement establishes confidentiality obligations for companies submitting proposals in response to the RFP, specifically requiring proposers to prepare a propagation study using confidential water meter location data provided by the City. The NDA applies to all non-public information disclosed by the City that is identified as confidential or proprietary, including business affairs, personnel information, customer lists, trade secrets, technology, and computer programs. Proposing companies must treat this information with at least reasonable care and the same standard of care applied to their own confidential information, restrict access to directors, officers, and employees with a business need to know, and maintain all intellectual property notices included in the materials.

Following completion of the proposal preparation, companies must either return all confidential information to the City or certify in writing that all copies have been destroyed. The non-disclosure obligations commence on the effective date and continue for five years from the date of disclosure. The agreement recognizes that confidential information may be exempt from disclosure under Oregon public records law and requires companies to notify the City promptly if they receive requests for disclosure pursuant to public records requests, lawsuits, or subpoenas, allowing the City opportunity to seek injunctive relief or challenge disclosure orders. The agreement is governed by Oregon substantive law, with any disputes brought in Multnomah County Circuit Court or the United States District Court for the District of Oregon. The City may pursue injunctive relief in addition to other legal remedies for any breach of the agreement's confidentiality provisions.
