C.1 INTRODUCTION
The Millennium Challenge Corporation (MCC) is a U.S. Government corporation formed to help low income and low middle income countries reduce poverty through the promotion of sustainable economic growth. MCC operates on the principle that aid is most effective when it strengthens good governance, economic freedom and investments in people. MCC awards multi-year grants known as "compacts" to partner countries that meet its selection criteria and propose programs that address their constraints to economic growth. Once developed and agreed, MCC compacts must be implemented by those partner countries within terms of not more than five years.
Through this solicitation, MCC seeks to engage a firm to provide Recruitment Agent services. The contracted firm (the " Contractor") will support the efforts of the Government of Mongolia (the "Government") to conduct an open, transparent and competitive recruitment process that leads to the hiring of a Chief Executive Officer and other members of an organization whose purpose is to implement the MCC compact with Mongolia. The contract will also include an option to conduct the recruitment process for certain other staff positions in the organization. The Contractor will perform the services described in this Statement of Work ("SOW") in pursuit of this objective and will ensure that transparent information exists to provide MCC a basis for its required oversight of the process.
C.2 BACKGROUND
Under an MCC compact, a partner country's government establishes a program implementation unit, known as an accountable entity, to manage the implementation of the compact program on its behalf. Each partner country government that receives a compact must establish an accountable entity and hire employees to staff the accountable entity in an open, transparent and competitive manner that complies with MCC's Guidelines for Accountable Entities and Implementation Structures(https://assets.mcc.gov/guidance/mcc-oceo-guidelinesforae.pdf).
Employees of the accountable entity are engaged by the partner country government, not by MCC. Therefore, they are not subject to U.S. Federal Government hiring provisions and limitations. For that reason, it is critical that a recruitment process be carefully implemented to ensure that candidates are reviewed and selected objectively, ensuring the best qualified employees for implementation of the compact program.
At the time of this solicitation, of the Government has submitted a detailed proposal for a compact program of up to $350 million that will focus on the water sector in Mongolia (the "Mongolia Water Compact"). That proposal is under consideration by MCC. MCC expects to finalize its consideration of the proposed projects and negotiate the terms of a compact within the next six months. If negotiations and necessary approvals are completed successfully, the recruitment of employees for the accountable entity could begin as soon as April of 2018.

C.3 SCOPE OF WORK
The Contractor will be responsible to provide the services entitled "Recruitment Agent Services-Mongolia Water Compact." As part of the Mongolia Water Compact, the Government will establish and staff an accountable entity to be known as the Millennium Challenge Account-Mongolia ("MCA-Mongolia") with approximately 45 individuals. MCA-Mongolia will include a Chief Executive Officer ("CEO"), a Deputy Chief Executive Officer ("Deputy CEO") of Programs, and Directors who will lead both technical and administrative areas. MCA-Mongolia will also include specialists who report to the Directors, along with administrative support staff, translators and drivers. MCA-Mongolia will have a nominal organizational structure as shown in Annex 1, with positions as described in Annex 2. This structure is subject to minor modifications prior to the start date of this contract, and will be updated when this contract begins. MCA-Mongolia employees will be hired in a manner consistent with MCC's Guidelines for Accountable Entities and Implementation Structures ( https://www.mcc.gov/resources/doc/guidelines-for-accountable-entities-and-implementation-structures) and MCC's MCA HR Manual (Annex 3).
This engagement will focus on the recruitment of two sets of employees, with an option for recruitment of a third set of employees (see the "Option" below). All employees can be international or local hires in Mongolia.
BASE CONTRACT
The first set ("Set 1") to be recruited consists only of the CEO. Annex 2 includes a draft position description for the CEO. The position description is subject to modest changes and clarifications prior to the start date of this contract.
For the recruitment of the CEO, members of the Board of Directors of MCA-Mongolia ("the Board") or other personnel appointed by the Government of Mongolia will comprise the interview panel. The contractor must submit a Final Progress Report that justifies the preferred candidate for the CEO position as selected by the interview panel within ten (10) weeks after the start of this contract, allowing MCC to review and approve the candidate no more than two (2) weeks later.
The second set of employees ("Set 2") to be recruited consists of fifteen (15) key members of MCA-Mongolia's Management Team and other mission-critical employees whose services will be needed as soon as possible after its establishment, as follows:

Annex 2 includes draft position descriptions for the employees in Set 2. These position descriptions are subject to modest changes and clarifications prior to the start date of the contract.
For the recruitment of these employees, the CEO will generally sit as a member of the interview panel, along with other personnel appointed by the Government of Mongolia. The contractor must submit a Final Progress Report that justifies the preferred candidates for these positions as selected by the interview panel within eighteen (18) weeks of the start of this contract, allowing MCC to review and approve the candidates no more than two (2) weeks later.
The Contractor shall undertake actions required to ensure that the Government is well suited to recruit, prioritize and select qualified employees for these positions in an open, fair and transparent manner and in accordance with all the recruitment requirements of MCC, including those stipulated in MCC's MCA HR Manual (Annex 3).
Toward that end, the Contractor shall:
1) Review the organizational structure, position descriptions and other materials provided by MCC to ensure the highest standards of quality and consistency;
2) Develop a comprehensive recruitment plan for reaching, attracting and identifying highly qualified applicants;
3) Develop and effectively advertise vacancy announcements in appropriate venues to ensure that highly qualified candidates are notified of employment opportunities;
4) Develop and utilize screening and evaluation criteria to screen applicants, identify their strengths and weaknesses, and create a shortlist of the best qualified candidates for each position;
5) Develop interview questions, orient and train members of the interview panels, arrange and manage the interviews of the shortlisted candidates, and facilitate the identification and prioritization of preferred candidate(s); and
6) Prepare clear, concise reports that summarize developments and results in order to facilitate MCC's required oversight of the recruitment process, and otherwise manage documents, reports and records so as to ensure the validity of the recruitment process.
The Contractor should be prepared to engage extensively with various parties, both within the Government and external to the Government, in order to complete these tasks. However, MCC is the client for this engagement, and all deliverables will be provided to and become the property of MCC.
OPTION ONE
The third set of employeesto be recruited ("Set 3") consists of twelve (12) other members of MCA-Mongolia who were not previously recruited under Set 1 and Set 2 but whose support will enable MCA-Mongolia to assume higher levels of responsibility in a short period of time, as follows:

Annex 2 includes draft position descriptions for the additional employees in Set 3. If the Option is exercised, the contractor must submit a Final Progress Report that justifies the preferred candidates for these positions as selected by the interview panel within fifteen (15) weeks from a mutually agreed start date after the exercise of the option. If this Option is exercised, it will be exercised prior to completion of the base contract so that the Contractor can remain mobilized.
Many of the recruitment tasks can be done in parallel, but should be timed to help ensure that the supervisor of each position in Set 3 is available to serve as an interview panelist for that position, ideally as the panel chairperson, to the extent possible.
C.4 TASKS
The Contractor shall:
• Be responsible for ensuring that the recruitment process is fair, transparent and competitive and in all respects meets MCC's recruitment requirements, including those stipulated in the MCA HR Manual (Annex 3);
• Develop a plan for ensuring that the recruitment efforts lead to the hiring of qualified, competent personnel, based on the draft position descriptions initially provided by MCC;
• Provide the personnel, office space, appropriate interview space, telecommunications equipment, and any other equipment, tools, materials, and supervision needed for the work, including appropriate space in which to work and space in which to conduct interviews during limited periods of time in Ulaanbaatar, Mongolia.
The Contractor shall receive the following support from MCC and/or the Government:
• Position descriptions for all the positions to be filled;
• The appointment of appropriately qualified members to the interview panels;
• Timely approvals of documents, reports, hiring decisions, and other records, as needed;
• Reasonable support for the Contractor's other activities, as needed.
MCC will provide a project manager based in MCC/Washington DC to oversee the performance of the Contractor throughout the period of performance of the contract, including its periods of performance in Mongolia. The COR for this contract will be based in MCC/Washington DC.
The recruitment of each set of employees will be organized into the following tasks.
Task 1: Preparation of Inception Report and work plan
For this task, the Contractor shall provide an Inception Report that details its approach to the recruitment process, including its plan for engaging stakeholders, traveling to and working in Mongolia for appropriate periods of time, and securing appropriate space in which to hold interviews. The Inception Report should also address how the contractor will implement a database that logs all candidate applications and related submissions and maintains a record of candidate screening decisions against jointly identified selection criteria, evaluation and short listing results, interview outcomes, and selection decisions (a " Recruitment Management System" or "RMS"). The RMS should be capable of providing a summary of basic statistics for each stage of the recruitment process, such as the number of applicants, the number of qualified candidates, and so on. The RMS will also capture high-level data against jointly identified selection criteria and a summary page with automatically updated recruitment status information (i.e., including the number of applicants for each position, qualification statistics, etc.).
The Inception Report shall also include a work plan or recruitment plan that outlines a robust recruiting effort, including a detailed sequence of tasks and associated target dates. The work plan should explain how the Contractor will reach an appropriately broad population of potentially qualified candidates with information about MCA-Mongolia's job vacancies. The Contractor should rely on its knowledge of the job market in Mongolia, including specific knowledge about appropriate advertising practices and methods, as well as the publications, websites, and media venues that job seekers in relevant fields often consult. The Contractor may also solicit input from MCC and Government stakeholders, as may be needed.
For each position, the work plan shall define specific, relevant advertising channels the Contractor expects to leverage. For example, it may be worthwhile to include a hypothetical publication called "Engineering Times" as an advertising channel for the Water Director, whereas this channel would likely not be appropriate for the Finance Director.
Task 2: Advertising and Recruitment Activities
For this task, the Contractor shall design application procedures, draft vacancy announcements, advertise positions, validate and screen applications, and manage documents and records. This task should include the following activities:
• Define and document a clear format and process for processing application materials, including submission deadlines and modalities, recording of applications and review of application materials;
• Review final position descriptions provided by MCC and recommend any changes, as may be needed to achieve high levels of clarity and consistency;
• Draft avacancy announcement in English for each position, to include an appropriate description of the work to be performed, the minimum qualifications required for consideration, the salary range offered (or notice of competitive remuneration, if salary ranges are still under development), the steps required to submit an application , and the evaluation and selection procedure that will be used, as well as a reference site for candidates who seek additional information;
• Place each vacancy announcement in the specific, relevant venues and/or advertising channels designed to reach an appropriately broad population of potentially qualified candidates;
• Operationalize the RMS, such that the RMS has been installed, configured, fully tested and debugged, and is ready to accept data and that all intended users have been thoroughly trained in its use. The RMS shall assureaccurate and consistent processing of applicants,shall safeguard personal information, andshall facilitaterecruitment in a professional, open and transparent manner through the entire recruitment process.
Task 3: Evaluation Standards and Shortlisting of Applicants
For this task, the Contractor shall rely on its own expertise to design an effective methodology to evaluate applications,and shall use that mechanism to screen applications, identify the strengths and weaknesses of candidates, and develop a shortlist of the best qualified candidates for each position. The Contractor will ensure that each applicant for a given position is evaluated using the same standard, that the strengths and weaknesses of each are properly identified and documented, and that accurate comparisons and rankings are made among the applicants. Based on its evaluations, the Contractor will recommend a shortlist of no more than five (5) of the most qualified candidates to be referred to an interview panel for further evaluation. The shortlist is subject to the review and approval of MCC.
This taskshould include the following activities:
• Screenall applications against the minimum requirements in the vacancy announcement and the position description, in order to determine those that meet requirements and merit further review;
• Define an effective methodology for evaluating qualified applicants that identifies their strengths and weaknesses for the relevant position and otherwise assesses their likely "fit" with the work and the organizational environment;
• Evaluate the relevance of each candidate's educational background and professional experience, and identify the particular strengths and weaknesses of each applicant in light of the needs of the position;
• Document the strengths, weaknesses and other characteristics of each applicant; and
• Develop a shortlist of not more than five (5) applicants who represent the best qualified candidates for each position.
Task 4: Interview Questions, Rating System, and Support for Interviewing
For this task, the Contractor shallpropose interview questions and a rating system for each position to be filled, and develop materials for the proper orientation and training of members of various interview panels. The Contractor may solicit input from MCC in designing training materials and developing suggested interview questions. The Contractor shall also schedule interviews with the shortlisted candidates, observe and document the interviews, facilitate the evaluation and ranking of candidates by interview panels, and draft a final evaluation report with a preferred candidate, with up to two alternate candidates that the panel believes could also fulfill the responsibilities of the position, ranked in order. With support from the Contractor, a panel chairperson shall lead each interview panel in discussing, evaluating and rank ordering the recommended candidates. For employees in Set 1, the chairperson will be the Chairperson of the MCA-Mongolia Board. For employees in Set 2, the chairperson will be the CEO or another interview panelist selected by the panelists themselves. Identification and selection of the preferred candidates is subject to the approval of the MCA-Mongolia Board of Directors and of MCC.
The specific activities in this task include but are not limited to the following:
• Schedule candidate interviews that allow for meaningful participation by interview panel members and MCC observers;
• Develop and deliver a clear, easy-to-use training program in interview techniques for all interview panelists, including a set of proposed interview questions, an evaluation template, and an explanation of the evaluation scoring methodology;
• Facilitate panel interviews with and panel discussions about the selected candidates, in order to assign appropriate scoring and rank, according to the evaluation methodology;
• Draft a final report for each recruited position that details the process; the number of applicants;a preferred candidate, with up to two alternate candidates that the panel believes could also fulfill the responsibilities of the position, ranked in order;the rationale for the recommendations;and their résumés;
• Notify selected candidates and assist in negotiations to hire them;
• Notify candidates who were not selected; and
• Draft a "Lessons Learned" report to document key challenges and successes.
Option: Recruit Set 3 employees
In the Option period, the Contractor shall undertake certain activities to recruit the additional employees in Set 3. In doing so, the Contractor shall fulfill Tasks 1-4 from above, with the following exceptions:
• Task 1: The Inception Report need not include an overall recruiting strategy or address the operationalization of the RMS. It is assumed the overall recruitment approach and the RMS used in the Base period will remain suitable for the Option period. However, a work plan detailing a timeline and specific advertising channels for each position is still required.
• Task 2: The Contractor does not need to operationalize a new RMS. Again, it is assumed the RMS used for the Base period will be suitable for the Option.
• Task 3: MCC approval of shortlists is not required.
• All tasks: The Contractor is free to re-use resources from the Base period in whole or in part as suitable for Set 3 positions (such as generalized training on interviewing techniques, interview questions that are broadly applicable, etc.).
C.5 REQUIRED RESOURCES
General Requirements for Personnel
The Contractor shall mobilize a team of experienced specialists, reflecting a thoughtful mix of international/regional experience and knowledge of the local recruitment market and other conditions in Mongolia. At least one of the team members shall have enough connections within Mongolia's professional job market to ensure reasonable penetration of the job market, reaching all active job seekers and passive job seekers with strong potential fit. MCC encourages international bidders to incorporate relevant personnel from their local offices, and/or to partner with a regional or local Mongolian firm or affiliate in order to meet this requirement. MCC requires consultants, expatriate or locally recruited, to carry out the activities described above. All key personnel listed below for the Base period must be proposed to be available at the time of award.

C.6 MINIMUM PERSONNEL SKILLS REQUIREMENTS
1. Team Leader/Recruitment Manager
i) Master's degree, or equivalent accreditation if a non-U.S. institution, in management, business or relevant area.
ii) Formal training in human resource management and five (5) or more years of experience in human resource management in a private or public entity. A minimum of 5 years of proven experience working with large, complex international programs.
iii) Demonstrated experience in competitive recruitment management assignments for a complex, multinational organization or in a context outside the United States. Speaking, writing, and reading fluency in English is required.
iv) Proven strong team work skills and ability to deliver results within specified timeframes.
v) Strong oral and written communication skills in English.
2. Recruitment Specialist
i) A Baccalaureate degree or equivalent of a four-year U.S. university degree (equivalency accreditation if a non-U.S.
institution).
ii) Minimum of (5) years of professional experience in human resource management and personnel recruitment. Proven experience in staff recruitment, forming and successfully managing teams, and ensuring the quality of their products.
Experience with database development and management in human resource field experience is preferred.
iii) Strong capacity to multi-task, including managing, prioritizing and fulfilling competing demands in real time.
iv) International experience is highly desired.
v) Speaking, writing, reading fluency in English is required and working knowledge of Mongolian is preferred.
3. Administrative Specialist
i) A Baccalaureate degree or equivalent of a four-year U.S. university degree (equivalency accreditation if a non-U.S.
institution).
ii) Minimum of (3) years of experience providing administrative support, including database creation and management in human resource management field.
iii) Strong capacity to multi-task, including managing, prioritizing and fulfilling competing demands in real time.
iv) Speaking, writing, reading fluency in English is required and working knowledge of Mongolian is preferred.
v) International experience is a plus.
C.7 CONFLICT OF INTEREST
In accordance with the principles of FAR Subpart 9.5 and MCC policy, the Contractor shall be ineligible to furnish, as a prime or subcontractor or otherwise, implementation services which result in response(s) to findings, proposals, or recommendations written by the Contractor, unless this provision is expressly waived by MCC.
The Contractor and its subcontractors would be precluded from bidding on work and services to be procured by the local Accountable Entity or using funds advanced under a Compact in the relevant country, unless the contractor submits a mitigation plan sufficient to ameliorate any conflict of interest pursuant to the rules applicable to the procurement process.

E.2 GENERAL INSPECTION AND ACCEPTANCE
Inspection and acceptance of all items and services under this contract will be accomplished by the COR and/or PM. The COR and/or PM shall notify the contracting office promptly after the specified date of delivery of services not received, or not conforming to statement of work. Unless extenuating circumstances exist, the notification should be made not later than 30 days after the specified date of delivery. If the Contracting Officer determines that services, work or materials being furnished do not meet the required standards, the Government reserves the right to have the work performed elsewhere, charging the contractor with costs involved, subject to the provisions of FAR 52.246-4.
Quality Assurance
The Contractor shall have in place and maintain a Quality Control Plan (QCP) that covers, as a minimum how the contractor intends to meet the requirements of all performance objectives, monitor and proactively manage contract's requirements.
Given the nature of the assignment, MCC may rely, in part, on the findings of the Contractor in the event of an audit of its oversight of the program. Therefore documentation of the process, methodology and raw results, in addition to the stated deliverables, is critical. It shall also include the mechanism by which the Government will be notified of performance related incidents that are likely to affect quality of services or impact mission accomplishment. Any proposed changes to the QCP shall be provided to the Contracting Officer for review and comment no later than 10 working days prior to the effective date of the proposed changes.
E.3 DELIVERABLES ACCEPTANCE CRITERIA
Deliverables are associated with the tasks identified above. All reports, plans and analysis are to be submitted in English in electronic copy using WINDOWS based MS-Office products including WORD for text, data tables in EXCEL, appropriate MS-Office 2010 or later versions of programs for exhibits, and schedules using MS-Project. Files containing graphs, flowcharts or diagrams should be submitted in PDF printable version. Digital photo files should be submitted in JPG format.
GIS data should be submitted in PDF printable files. Presentations should be prepared with PowerPoint.
Acceptance Criteria:
The deliverables will be evaluated according to the following criteria:
• Thoroughness and timeliness in complying with all of the elements in the tasks specified.
• Quality and clarity of analyses and work produced.
• Timeliness and efficacy of communications with relevant counterparts at MCC, MCA, and other relevant organizations.

F.2 PERIOD OF PERFORMANCE

Base: seven months from the award date, and
Option One: six months after CO notification within the base period of performance.
F.3 TRAVEL REQUIREMENTS
The Contractor will be required to travel to Ulaanbaatar, Mongolia. Limited travel to Washington, DC may be required.
F.4 PLACE OF PERFORMANCE
All work under this contract will be completed in the Contractor's headquarters location and Ulaanbaatar, Mongolia. The Contractor will furnish appropriate space for its work in Ulaanbaatar, Mongolia, including appropriate space in which to conduct candidate interviews.
F.5 SUMMARY OF DELIVERABLES AND ESTIMATED SCHEDULE
All reports, plans and analysis are to be submitted in English in hard and electronic copy (in MS Word), with tables, data and calculations in MS Excel per COR directions.
The Contractor must submit draft reports, plans and analysis electronically two weeks before the due date to MCC for initial review and comments. MCC will provide comments no later than one week before the reports is due.
The Contractor will establish and maintain a comprehensive reference index of all relevant documents reviewed by the Contractor. Any and all such documents made available and collected by the Contractor, will be compiled in usable form and delivered in an organized fashion to MCC at the end of the contract.
The Contractor must initiate and develop working relationships with the Government of Mongolia through MCC in order to complete the requirements of this SOW.
The recruitment process must result in the identification and selection of a well-qualifiedCEO, the remainder of the Key Staff, and other mission-critical employees as identified in Sets 1 and 2. The recruitment process for the Option period must result in the identification and selection of other mission-critical employees as identified in Set 3.
The Contractor's Recruitment Management System ("RMS") must track and store all information related to the recruitment, including applications received, responses provided, determinations of qualifications made, and the applications submitted by the candidates. The information should be accessible to MCC and should be stored in a manner that protects the personally identifiable information ("PII") of the applicants.

Detailed Deliverables Description:
Base Contract
1. AnInception Report and work plan shall be provided. The Inception Reportshall detailthe Contractor's approach to the recruitment process and its implementation of an RMS. The work plan, as part of the Inception Report, shall detail how the tasks and deliverables will be completed with anticipated due dates for each phase of work and a step by step process for doing so. It should also provide a tailored recruitment plan with specific advertising channels identified for each position to be filled.
2. Vacancy announcements for each position, to include an appropriate description of the work to be performed, the minimum qualifications required for consideration, the salary range offered (or notice of competitive remuneration, if salary ranges are still under development), the steps that must be followed to submit an application; and the evaluation and selection procedure that will be used, as well as a reference site for candidates who seek additional information;
3. Operationalization of the RMS as described inTask 1;
4. Placement of vacancy announcements in appropriate venues with a deadline for submission of responses;
5. A clear, easy-to-use training program in interview techniques for all members of the proposed interview panels, including a set of proposed interview questions, an evaluation template, and an explanation of the evaluation scoring methodology;

The report should reflect feedback from applicants, candidates, members of the interview panels, and staff of the GOM compact development team and MCC country team. It should conclude with an explanation of "good practices" to be mainstreamed into additional recruitment work and clear recommendations for modifying and improving the process to enhance information and knowledge in the market, strengthen outreach to potential applicants, raise efficiency and timeliness, and improve the likelihood of successful recruitment, with a particular emphasis on recruitment for the remaining staff positions within MCA-Mongolia.

F.6 LANGUAGE REQUIREMENTS
All deliverables shall be produced in English, cleanly formatted andwith no errors. The vacancy announcement should be in English.
F.7 MCC TECHNICAL DIRECTION
(a) Performance of the work under this contract is subject to the written technical direction of the Contracting Officer Representative (COR), and any Government Project Monitors, (PM), who shall be specifically appointed, and responsibilities identified, by the Contracting Officer in writing in accordance with MCC policy. "Technical direction" means a directive to the Contractor that approves approaches, solutions, designs, or refinements; fills in details or otherwise completes the general description of work or documentation items; shifts emphasis among work areas or tasks; or furnishes similar instruction to the Contractor. Technical direction includes requiring studies and pursuit of certain lines of inquiry regarding matters within the general tasks and requirements in Section C of this contract, and any resulting Contract.
(b) The COR/Government PM does not have the authority to, and shall not, issue any instruction purporting to be technical direction that:
(1) Constitutes an assignment of additional work outside the statement of work;
(2) Constitutes a change as defined in the changes clause;
(3) Constitutes a basis for any increase or decrease in the total estimated contract cost, the fixed fee (if any), or the time required for contract performance;
(4) Changes any of the expressed terms, conditions, or specifications of the contract; or
(5) Interferes with the contractor's rights to perform the terms and conditions of the contract.
(c) Technical direction may be oral or in writing; however, the COR or government PM shall confirm oral direction in writing within five workdays.
