The National Aeronautics and Space Administration Ames Research Center (NASA ARC) seeks proposals for the Fully Integrated Lifecycle Mission Support Services 2 (FILMSS 2) contract, a recompete to provide support services for all phases of mission and project lifecycles, research and technology development, and other programs at ARC. A draft RFP and statement of work will be released in November 2018 with comments due approximately two weeks after an industry day in December 2018. The final RFP will be issued in February 2019 with proposals due in March 2019. The contract will have a two-year base period and three one-year options and utilize set-aside goals including 35% for small business and subgoals for small disadvantaged, women-owned, HUBZone, veteran-owned, and service-disabled veteran-owned businesses. Questions regarding the draft RFP are to be submitted in writing by email with no phone inquiries accepted.

Subcontractor(s) with proposed cost reimbursement or non-competitive fixed-price type service contract, having a total potential value expected to exceed the threshold for requiring certified cost or pricing data ($2,000,000) as set forth in FAR 15.403-4 (Class Deviation 2018-04), to provide the information identified in (a) through (c) of NFS provision 1852.231-71, Determination of Compensation Reasonableness, through the Prime Offeror’s proposal.
Section (b) Past Performance Factor (Volume II) states, “For purposes of this solicitation, “Major Subcontractors” is defined as subcontracting dollars of $10,000,000 or more covering a performance period of up to five (5) years, or $3,000,000 in any one (1) year of this contract. “Offeror” and “Major Subcontractor”, for purposes of this solicitation, include predecessor business entities of the Offeror and Major Subcontractor companies.”
Section c) Cost/Price (Volume IV) I.d. states, “In addition to the Prime Offeror submitting a Volume IV, Cost/Price, for any Major Subcontract that has a potential estimated total value in excess of $15,000,000 or more covering a performance period of up to five (5) years, or $3,000,000 in any one (1) year of period of performance for the priced effort, a Volume IV, Cost/Price must be provided following the subsequently specified format.”
Exhibit 14, Minor Subcontractors on Page L-39 defines Minor subcontractors as “those subcontracts that have an estimated total value of less than $8,000,000 …..”
In the final RFP, subcontractor, major subcontractor and minor subcontractor are defined differently and/or appear to be in conflict in various sections of the RFP. Will the government please clarify the definition of a major subcontractor for FILMSS 2? Requirements for a Total Compensation Plan are dictated by the FAR and NFS clauses and do not pertain to other definitions of a Major/Minor subcontractor.
The Government will amend the RFP to consistently call out $10M on pages L-25, L-29, and L-39

| Exhibit 4 | In Exhibits 3 and 4, rows 11 and 16 link to the total hours and direct labor costs in Exhibit 8 and 10 on rows 53 and 51 respectively, depicting the TOTAL of all hours and all direct labor costs for the entire proposal. | |
| The Exhibit 3 and 4, rows 11 and 16 lines are for PRIME inputs only, however the links to Exhibit 8 and Exhibit 10 depict the total. In Exhibit 3 and 4, if the Offeror inserts labor hours and direct labor costs into the Subcontractor rows 12, 13, 20 and 21, the grand total for hours on row 14 and the grand totals for costs will not add up correctly. | Is it acceptable for the Offeror to revise the links in Exhibit 3 and Exhibit 4, rows 11 and 16 to depict the correct hours and direct labor costs for only the Prime, so that grand totals will be correct? | The atch J(b)1 spreadsheet was reviewed and found to be correct. Each Prime Contractor and Major Subcontractor is to complete their own cost/price workbook. For Exhibit 8 and 10 on rows 52 and 51 (updated J(b)1 template due to the removal of one labor category in Exhibit 8), respectively, the total labor hours in the template is for the entire contract; however, if the Prime Contractor plans to divide the hours with the Major Subcontractor(s), then the total labor hours for the Prime Contractor in Exhibit 8 and 10 will only show the Prime Contractor’s portion of the labor hours. As such the labor hours in Exhibit 3 row 11 and Exhibit 4 row 11 will only reflect the Prime Contractor’s labor hours. The links in Exhibit 3 and 4 should not be altered! |
For the Major Subcontractor(s), the hours in their own Exhibit 8 and 10 should be fed to Exhibit 3a and 4a, respectively. In the RFP, the instructions under Exhibit 3 and 4 stated, “In its “sanitized” version, provided to the Prime Contractor, the Major Subcontractor may limit the information in this exhibit to the Productive Labor Hours, Total Cost and Fee/Profit if it chooses.” Therefore, the Major Subcontractor(s)’ labor hours and total cost (row 24 and 23 of Exhibit 3a and 4a, respectively) will then be manually entered into the Prime Contractor’s Exhibit 3 (rows 11, 12, 20, 21) and Exhibit 4 (rows 12, 13, 20, 21). If there are more than two Major Subcontractors, the Prime Contractor can simply add more rows in Exhibit 3 and 4 to reflect all of the Major Subcontractors. In that case, the Prime Contractor can change the formulas in the total rows if the formulas don’t automatically update. Also, in the case that there are more than one Major Subcontractors, the Prime Contractor’s cost / price workbook should include one Exhibit 3 and 4 for each Major Subcontractor (Exhibit 3a, 3b, 3c, 4a, 4b, 4c, etc…)
The total contract labor hours in Exhibit 3 and 4 (Prime and Major Subcontractors) should reconcile with the plug total labor hours provided in the template (Exhibit 8 and 10).
35 Section L.17(b)II.3.; Page L-27 The referenced section states, “The Offeror and major subcontractors shall provide the following information for all contracts performed within the last three years:..” Included in this request is copies of OSHA Forms 300 and 300A For large business prime offerors with numerous contracts that span over the three year requirement period, this will result in a large volume of OSHA documentation that will not add substantively to the Government’s evaluation, but will significantly increase the effort on the part of Industry to collect and on the Government to review. Will the Government please clarify that OHSA Forms 300 and 300A are only required to be submitted for the contracts referenced in Attachment J(b)11, Statement of Work Relevance? Yes, the Government concurs with the recommended change and RFP page L-27 will be amended to reflect this.
