About this file

The agreement establishes comprehensive confidentiality obligations for vendors handling City Information and Confidential Information, which encompasses data related to City employees, contractors, residents, clients, patients, taxpayers, and property. Vendors must maintain the privacy and security of all such information and are prohibited from divulging, accessing, using, or facilitating access to this information except as expressly authorized and directly associated with contract work.
The agreement imposes stringent security and compliance requirements on vendors, including maintaining secure storage with encryption where appropriate, implementing industry best practices for data protection, ensuring virus protection on all devices connected to the City network, using robust passwords, and restricting City Information downloads to City-approved devices only. Vendors must immediately notify the City upon discovery or suspicion of any unauthorized access, disclosure, security breach, or hacking incident and must cooperate fully in remedial efforts. The confidentiality obligations survive contract termination, and all materials must be returned to the City without retained copies. The agreement is governed by United States federal law and Virginia state law, with the City entitled to seek injunctive relief and specific performance for any breaches, in addition to monetary damages. Violations may constitute civil or criminal penalties under Virginia and federal law.
