PART B—CONTINUATION OF BLOCKS FROM STANDARD FORM 1449
B.1 Block 14: ACQUISITION METHOD This acquisition will be awarded in accordance with the procedures set forth in FAR Part 12 - Acquisition of Commercial Products and Commercial Services and FAR Part 15 - Contracting by Negotiation.
B.2 Blocks 19 - 24: CONTRACT PRICE SCHEDULE
The requirement has been set forth in a modular manner as an Indefinite Delivery Indefinite Quantity (IDIQ) type contract to provide Reclamation maximum flexibility in the performance of work associated with the routine O&M services at the Yuma Area Office (YAO), Water Quality Improvement Center (WQIC), and the Yuma Desalting Plant (YDP).
Reclamation requires this flexibility due to the uncertainty associated with water quality treatment research and the YDP. While routine O&M services will always be necessary for the Yuma Area Office (YAO), the level of O&M services for the WQIC and YDP is commensurate with the level of research that may be required to be performed. Research projects may vary from none to the maximum that the WQIC can physically perform. Likewise, the level of O&M services for the YDP may vary from none to full capacity operation and maintenance of the plant.
There are twelve (12) possible Contract Line Item Numbers (CLINs) for each contract performance year, designated X.1 through X.12, where "X" represents the performance year (Year 1 = 1.1 through 1.12; Year 2 = 2.1 through 2.12; and so on through Year 5). The CLINs are grouped as follows:
(1) Firm-Fixed-Price labor CLINs. CLINs X.1 through X.7 are primarily labor related to the O&M level of effort required and are on a Firm-Fixed-Price basis. CLINs X.2 through X.6 have several associated Sub-Contract Line Item Numbers (SLINs) reflecting the different levels of effort that may be required based on the capacity of plant operation and the research levels of the WQIC and YDP (e.g., Year 1 – 1.2.1 and 1.2.2; Year 2 –
2.2.1 and 2.2.2; etc.).
(2) Cost-reimbursable CLINs. CLIN X.8 (Materials and Small Chemical Purchases) and CLIN X.9 (Travel and Travel-Related Costs) are reimbursed on an actual cost basis. Fee is prohibited on these CLINs.
(3) Optional CLIN. CLIN X.10 (Armed Security Guard Services) is an optional, Firm-Fixed-Price CLIN that may be ordered in any performance year at the Government's discretion.
(4) Transition CLINs. CLIN X.11 (Phase-In Transition) applies to Year 1 only. CLIN X.12 (Phase-Out Transition) applies to Year 5 only. These CLINs cover the additional costs necessary to transition into and out of the contract, respectively.
The CLINs are defined as follows:
CLINs 1 and 2 do not include any maintenance of the YDP. However, CLINs 1 and 2 do include contractor operations personnel performing recurring walk through inspections of the YDP. As a result of these inspections, if any unsafe conditions or other situations are found that must be addressed/repaired, that corrective action will be performed by Government personnel in the YAO’s Office of Maintenance Management Office (MMO).
The lowest level at which the contract can be awarded in any contract year is CLIN X.3 plus CLIN X.8, plus CLIN X.11 (Phase-In) in Year 1 and CLIN X.12 (Phase-Out) in Year 5, at the level necessary to perform routine O&M services.
The highest level at which the contract can be awarded in any contract year is CLIN X.6 plus CLINs X.8, X.9, and X.10, plus CLIN X.11 (Phase-In) in Year 1 and CLIN X.12 (Phase-Out) in Year 5, at the level necessary to operate and maintain the YDP at full capacity.
The Government will determine prior to award of the contract for each Year (for Years 1-5) the Level of Effort (and associated CLINs) that will be required to be utilized during that performance period, and the schedule will be modified to reflect only those CLINs utilized during the performance period.

CLIN CLIN Description Detailed
Information 1.1, 2.1, 3.1, 4.1, 5.1
Routine O&M Services These CLINs are labor necessary for routine O&M services that the YAO requires to remain open. This includes O&M of the following: Pilot System 1, Potable water system, Service water system, and water supply for the fire protection system, chemical supply systems, Compressed air system, and Switchyard. This CLIN represents the lowest possible level of effort Reclamation will require in any contract year.
1.2, 2.2, 3.2, 4.2, 5.2
Routine O&M Services, plus O&M for WQIC Research Efforts
These CLINs are the labor necessary to perform routine O&M services at the YAO, and the additional labor necessary to perform advanced water treatment O&M services at the WQIC. Within these CLINs the level of effort required will be based on research which may vary from a minimum to a maximum level. The minimum level of effort is the labor necessary to perform O&M services for research utilizing pilot system 1 in the WQIC and incidental bench scale testing. The maximum level of effort is the labor necessary to perform O&M services for research utilizing pilot systems 1 through 3, plus, bench scale testing, plus research that uses the WQIC’s mobile research equipment.
1.3, 2.3, Routine O&M Services, These CLINs are the labor necessary to perform routine O&M
3.3, 4.3, 5.3, plus, O&M for WQIC Research Efforts (maximum research effort assumed), plus YDP maintenance services at the YAO, plus the labor necessary to perform O&M services at the WQIC, and additional level of effort necessary to maintain the YDP. Within these CLINs the level of effort for research is assumed to be the maximum possible. Also, within this CLIN the level of maintenance effort performed on the YDP can vary from a minimum to a maximum. The minimum level of maintenance effort on the YDP is the effort necessary for preventative maintenance on the plant to keep the plant in its current condition. The maximum level of maintenance effort on the YDP is maintenance necessary to prepare the plant for full capacity operation. Between the minimum and the maximum levels of maintenance effort, there are three additional levels of maintenance required. These are the maintenance levels of effort necessary to prepare for operation of the plant at 33%, 66% and full capacity.
1.4, 2.4, 3.4, 4.4, 5.4
Routine O&M Services, plus O&M for WQIC Research Efforts (maximum research effort assumed), plus YDP maintenance plus Operations of the YDP
These CLINs are the same as CLINs X.3, however these CLINs include actual operation of the YDP. Within these CLINs the level of research is assumed to be the maximum possible. Also, within these CLINs the O&M of the YDP can vary between a minimum and a maximum. The minimum level of O&M of the YDP is the level of effort necessary for about 33% capacity operation of the plant. The maximum level of O&M of the YDP is the level of effort necessary for full capacity operation of the plant. These are the O&M levels of effort necessary for operation of the plant at approximately 33%, 66% and full capacity.

(3) (i) The Contractor shall timely disclose, in writing, to the agency Office of the Inspector General (OIG), with a copy to the Contracting Officer, whenever, in connection with the award, performance, or closeout of this contract or any subcontract thereunder, the Contractor has credible evidence that a principal, employee, agent, or subcontractor of the Contractor has committed-

Section 552, without prior notification to the Contractor. The Government may transfer documents provided by the Contractor to any department or agency within the Executive Branch if the information relates to matters within the organization’s jurisdiction.
(iii) If the violation relates to an order against a Governmentwide acquisition contract, a multi-agency contract, a multiple-award schedule contract such as the Federal Supply Schedule, or any other procurement instrument intended for use by multiple agencies, the Contractor shall notify the OIG of the ordering agency and the IG of the agency responsible for the basic contract.

This paragraph (c) does not apply if the Contractor has represented itself as a small business concern pursuant to the award of this contract or if this contract is for the acquisition of a commercial product or commercial service as defined at FAR 2.101. The Contractor shall establish the following within 90 days after contract award, unless the Contracting Officer establishes a longer time period:

c. 52.215-21 REQUIREMENTS FOR CERTIFIED COST OR
PRICING DATA OTHER THAN CERTIFIED COST
PRICING DATA-MODIFICATIONS (RFO DEVIATION)
AUG 2020
(a) Exceptions from certified cost or pricing data.
(1) In lieu of submitting certified cost or pricing data for modifications under this contract, for price adjustments expected to exceed the threshold set forth in Federal Acquisition Regulation (FAR) 15.403-3(a) on the date of the agreement on price or the date of the award, whichever is later, the Contractor may submit a written request for exception by submitting the information described in paragraphs (a)(1)(i) and (ii) of this clause. If the threshold for submission of certified cost or pricing data specified in FAR 15.403-3(a) is adjusted for inflation as set forth in FAR part 1, the changed threshold applies throughout the remaining term of the contract, unless there is a subsequent threshold adjustment. The Contracting Officer may require additional supporting information, but only to the extent necessary to determine whether an exception should be granted, and whether the price is fair and reasonable—
(i) Identification of the law or regulation establishing the price offered. If the price is controlled under law by periodic rulings, reviews, or similar actions of a governmental body, attach a copy of the controlling document, unless it was previously submitted to the contracting office.
(ii) Information on modifications of contracts or subcontracts for commercial products or commercial services. (A) If—
(1) The original contract or subcontract was granted an exception from certified cost or pricing data requirements because the price agreed upon was based on adequate price competition or prices set by law or regulation, or was a contract or subcontract for the acquisition of a commercial product or commercial service; and
(2) The modification (to the contract or subcontract) is not exempted based on one of these exceptions, then the Contractor may provide information to establish that the modification would not change the contract or subcontract from a contract or subcontract for the acquisition of a commercial product or commercial service, to a contract or subcontract for the acquisition of other than a commercial product or commercial service.
(B) For a commercial product and commercial service exception, the Contractor shall provide, at a minimum, information on prices at which the same item or similar items have previously been sold that is adequate for evaluating the reasonableness of the price of the modification. Such information may include-
(1) For catalog items, a copy of or identification of the catalog and its date, or the appropriate pages for the offered items, or a statement that the catalog is on file in the buying office to which the proposal is being submitted. Provide a copy or describe current discount policies and price lists (published or unpublished), e.g., wholesale, original equipment manufacturer, or reseller. Also explain the basis of each offered price and its relationship to the established catalog price, including how the proposed price relates to the price of recent sales in quantities similar to the proposed quantities.
(2) For market-priced items, the source and date or period of the market quotation or other basis for market price, the base amount, and applicable discounts. In addition, describe the nature of the market.
(3) For items included on an active Federal Supply Schedule contract, proof that an exception has been granted for the schedule item.
(2) The Contractor grants the Contracting Officer or an authorized representative the right to examine, at any time before award, books, records, documents, or other directly pertinent records to verify any request for an exception under this clause, and the reasonableness of price. For items priced using catalog or market prices, or law or regulation, access does not extend to cost or profit information or other data relevant solely to the Contractor’s determination of the prices to be offered in the catalog or marketplace.
(b) Requirements for certified cost or pricing data. If the Contractor is not granted an exception from the requirement to submit certified cost or pricing data, the following applies:
(1) The Contractor shall submit certified cost or pricing data, data other than certified cost or pricing data, and supporting attachments in accordance with the instructions contained in Table 15-1 of FAR 15.408-2, which is incorporated by reference with the same force and effect as though it were inserted here in full text. The instructions in Table 15-1 are incorporated as a mandatory format to be used in this contract, unless the Contracting Officer and the Contractor agree to a different format and change this clause to use Alternate I.
(2) As soon as practicable after agreement on price, but before award (except for unpriced actions), the Contractor shall submit a Certificate of Current Cost or Pricing Data, as prescribed by FAR 15.403-4.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 10 days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.
