All the requirements specified in the solicitation are mandatory. By submitting a proposal, the Offeror is representing that its firm is capable and committed to performing all the requirements specified in the solicitation. Offerors shall demonstrate their capability, understanding, and willingness to satisfactorily perform all requirements as described in the Indefinite Delivery/ Indefinite Quantity (IDIQ) Multiple Award Task Order Contract (MATOC) Performance Work Statement (PWS) located in this solicitation. The proposal shall be valid for one hundred and eighty (180) calendar days from the Offer Due Date.

(b) The offeror’s written proposal shall be organized as stated in Section 2 below.

(c) It is the offeror’s responsibility to ensure that the entire proposal is submitted prior to the offer due date and time. Failure of an Offeror to submit its offer/proposal by the date and time deadline or in the manner specified in the solicitation may result in a determination that the Offeror is ineligible to be considered for award. Proposals, partial proposals and/or attachments submitted late may not be considered. Proposals will be handled in accordance with (IAW) FAR 15.207, Handling proposals and information. All late proposals will be handled IAW FAR 15.208, Submission, modification, revision, and withdrawal of proposals.

(d) Proposals shall be submitted by email to Ms. Rhoda C. Harrison-Spence at rhoda.c.harrison-spence.civ@mail.mil, Ms. Melinda Paynter at melinda.c.paynter.civ@mail.mil, and Ms. Mai-Ly Pham at anna.m.pham2.civ@mail.mil. Offerors are cautioned that e-mail transmission is not instantaneous. The Government recommends that you submit your proposal prior to the offer due date-thereby allowing enough time to ensure that the entire proposal is received on time so that it can be considered for award. For Internet email accounts such as Outlook.com or Gmail, the combined file size limit is 20 megabytes (MB) and for Exchange accounts (business email), the default combined file size limit is 10 MB. Multiple emails may be sent when files exceed these limits. Offerors shall identify proposal submissions in the email subject line using the following example: RFP Number W911SF-20-R-0031, offer due date/time, proposal submission 1 of 5.

(e) The point of contact (POC) responsible for supplying additional information and answering all inquiries is the Contracting Officer. Address all questions or concerns to the Contracting Officer, Ms.

Rhoda C. Harrison-Spence (Rhoda.c.harrison-spence.civ@mail.mil) and Contract Specialists, Melinda Paynter (melinda.c.paynter.civ@mail.mil) and Ms. Mai-Ly Pham (anna.m.pham2.civ@mail.mil). All questions regarding this solicitation shall be submitted in writing via email. The email shall contain the solicitation number: W911SF-20-R-0031, in the subject line. All questions shall identify source document by page and paragraph number. Offerors shall submit all questions in one consolidated document. All questions regarding this solicitation shall be submitted in writing via email by 07 October 2020. All questions received by the questions due date will be responded to electronically, via solicitation amendment(s) online and/or via the beta.sam.gov website (https://beta.sam.gov/). Answers shall be posted without identification of the party (ies) that submitted the question(s).

(f) Offerors are required to meet all solicitation requirements. Proposals shall clearly and convincingly demonstrate that the Offeror has a thorough understanding of the entire requirement and associated risks, and has the resources necessary to meet the requirement. Statements that the offeror understands, can, or will comply with the requirements, and statements paraphrasing the requirements or parts thereof without supporting information/narrative are considered inadequate and unsatisfactory. Mere reiteration of the requirement or standard reference material is discouraged and is considered inadequate and unsatisfactory. The Offeror shall include any data necessary to illustrate the adequacy of the various assumptions, approaches, and/or solutions.

(g) Offerors will be evaluated using the criteria under FAR 52.212-2 Evaluation – Commercial Items. Noncompliance with the Request for Proposal (RFP) requirements may hamper the Government’s ability to properly evaluate the proposal and may result in elimination of the proposal from further consideration. Offerors shall respond to the solicitation as posted. Offerors who alter the solicitation (except for completing appropriate fill-in blocks and certifications) may be considered non-compliant with the material requirements of the solicitation and ineligible for award.

(h) The submission of the documentation specified below will constitute the Offeror’s acceptance of the terms and conditions of the RFP as amended inclusive of the PWS and the proposed contract type.

(i) As set forth in FAR 52.212-2, Evaluation-Commercial Items, the Government intends to award up to six (6) contracts resulting from this solicitation to the responsible offeror(s) whose proposal(s) represent(s) the best value after evaluation in accordance with the factors and elements in the solicitation;

therefore, the Offeror’s initial proposal should contain the Offeror’s best terms from a price and technical standpoint. The Government intends to hold discussions IAW Defense Federal Acquisition Regulation Supplement (DFARS) 215.306(c)(1). However, the Government may choose to award contracts without discussions. When discussions are held, a competitive range determination will be made. If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals IAW FAR Part 15.306(c)( 2).

(j) Debriefings. If a competitive range is established, the Contracting Officer will promptly notify offerors of any decision to exclude them from the competitive range, whereupon the offeror may request and receive a debriefing IAW FAR 15.505, Preaward debriefing of offerors. The Contracting Officer will notify unsuccessful offerors who were included in the competitive range, but not selected for award IAW FAR 15.503(b), Postaward notices. Upon such notification, unsuccessful offerors may request and receive a debriefing. Offerors desiring debriefing must make their request IAW the requirements of FAR 15.505 or 15.506, Postaward debriefing to offerors, as applicable.

(k) Proposals shall not contain classified information.

(l) If an offeror believes that the requirements in these instructions contain an error, an ambiguity, omission, or are otherwise unsound, the offeror shall immediately notify the Contracting Officer in writing at the email address identified above and shall provide supporting rationale for its assessment.

(m) All referenced documents for this solicitation are available on the beta.sam web site at https://beta.sam.gov/. The Government may revise this solicitation at any time by means of an Amendment. It is the offeror’s responsibility to ensure it is accessing the beta.sam website to view potential amendments.

For each past performance reference, the Offeror shall provide the following information: Name of effort, contract and/or TO number, period of performance, Government point of contact responsible for monitoring performance under the contract (name, phone, email, address), administrative contracting officer (name, phone, email, address), dollar value of work actually performed during the three (3) years prior to the due date for receipt of offers, and a list of the current solicitation’s PWS task areas for which the Offeror believes the reference demonstrates relevancy.

(c) To be recent, an effort must have been performed for six (6) months or longer during the three

(3) years prior to the due date for receipt of offers. Evaluation will focus only on work experience already performed. Experience prior to the last three (3) years will not be considered.

To be relevant, the effort must be similar in scope and magnitude to the services being procured under this solicitation. Scope is the measure of the services similarity to the task requirements identified in PWS Part 5. Magnitude is the measure of similarity of the dollar value that exists between the current requirement and the past performance reference. Magnitude will be evaluated using the dollar amount of work actually performed on the past performance reference during the three (3) years prior to the due date for receipt of offers.

(d) The Offeror’s Proposal must demonstrate the quality of each past performance reference.

(e) For each past performance reference, the Offeror shall provide a copy of all CPARs, if completed. Teaming Partners may submit CPARs directly to the points of contact responsible for receiving proposal submissions no later than the due date and time for receipt of offers identified in block 8 of the SF1449. For any contracts that the offeror did not/does not meet original requirements with regard to price, schedule, or technical performance, the offeror shall provide a brief explanation of the reason(s) for such shortcomings and any demonstrated corrective actions taken to avoid recurrence. Offerors may include a discussion of efforts accomplished by the offeror to resolve problems encountered on prior contracts and current as well as past efforts to identify and manage program risk(s). The offeror is required to clearly address management actions employed in overcoming problems and the effects of those actions, in terms of improvements achieved or problems rectified.

(g) The Offeror shall submit information substantiating the Offeror’s, or its Teaming Partner’s, past performance in complying with FAR 52.219-8, Utilization of Small Business Concerns.

(h) Offerors and Teaming Partners shall provide a statement indicating whether any negative information has been reported in the past three years concerning the Offeror’s, or its Teaming Partner’s past compliance with FAR 52.219-8 if applicable. If any such negative information has been reported, the Offeror or its Teaming Partner, may submit explanations or comments regarding such negative information. Offerors and Teaming Partners with no prior contracts containing FAR 52.219-8 shall state that in this proposal volume.

(i) All Offerors and Teaming Partners, shall provide descriptive information for all small business socioeconomic categories.

(j) Additional Submission Requirements. In addition to the above requirements, the offeror shall submit the following in its Past Performance Volume:

i. Consent Letters. The Offeror shall provide Consent Letters authorizing the release of past performance information about each prime contractor, subcontractor, teaming partner, and/or joint venture partner that it proposes will perform 25% or more of the contract effort.

Past performance information concerning contractors cannot be disclosed to the Government or requested from a private party without the contractor’s consent. Because prime contractors and subcontractors are private parties, the Government requires consent before requesting such information about prime contractors and subcontractors from references. In an effort to assist the Government’s Past Performance Team in assessing an offeror’s past performance relevancy and determining a confidence rating, the Government requests that a consent letter be completed for each reference identified in your proposal. The completed consent letters shall be submitted as part of the Past Performance volume. This requirement applies to both Governmental and Commercial (Non-Governmental) organizations used as references.

ii. Organization Structure Change History. The Offeror shall provide information regarding the organization structure change history of the Offeror and its Teaming Partners. Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant present or past efforts or between the conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, the Offeror shall include in its past performance volume a chart or schedule describing all such changes in the organization of the Offeror and Teaming Partners over the past three years. As part of this explanation, the Offeror shall show how these changes impact the relevance of any identified past performance efforts. Since the Government intends to consider present and past performance information provided by other sources as well as that provided by the Offeror(s), Organization Structure Change History must be specifically applicable to the efforts identified by the Offeror in the past performance volume of its proposal.

VOLUME V: Factor 5 – Price.

(a) This volume shall contain all required pricing information described below. The Offeror shall not include pricing information in Volumes I, II, III or IV of its proposal. The Pricing narrative shall be in .Pdf format. The Pricing Worksheet shall be in Microsoft Excel and shall be compatible with Microsoft Office 2013. The Pricing Worksheet shall not be read only or password protected. All formulas and links shall be intact, and no links shall exist to files not included with the submission. PDF or flat files will not be considered adequate. Failure to comply with these formatting requirements may result in rejection of your proposal. Offerors shall perform a virus check prior to proposal submittal. All pricing shall be complete and error-free.

(b) It is expected that all contracts awarded will be based upon adequate price competition;

therefore, the Offeror is not required to provide certified cost/pricing data with its proposal. If, after receipt of the proposals, the contracting officer determines that adequate price competition does not exist IAW FAR 15.403-1, the Offeror shall provide additional cost/pricing data IAW FAR Clause 52.215-20 as requested by the Contracting Officer. Similarly, if the contracting officer determines a fair and reasonable price cannot be established with price analysis alone, the offeror may be asked, and shall then provide, other than certified cost or pricing data IAW FAR 15.403-1(b) and/or FAR 15.404- 1(a).

This volume shall be organized as follows:

(c) TAB A: The Offeror shall submit a completed Attachment 1, Pricing Worksheet. Attachment 1, Pricing Worksheet, identifies the Labor Categories (LCATs) and estimated annual hours of services to be acquired under the contract. In Attachment 1 the Offeror shall provide a fully burdened labor rate, including profit, for each labor category, for each year of contract performance. The Offeror’s proposal shall be for a base year and four (4) option years.

i. The Offeror shall identify in Attachment 1 which labor categories are subject to the Service Contract Labor Standards (SCLS) Statute. When the SCLS statute applies, the Offeror shall cross-reference the proposed labor classification with the applicable Department of Labor (DOL) Wage Determination and identify the corresponding labor category within the Wage Determination by occupation code and occupation title. The Offeror should price its proposal using the wage determination for the specific location where the individual will be performing work. The Offeror’s (and subcontractors) wage rates shall comply with the DOL Wage Rate minimum requirements for the area in which the work is to be done. The Offeror is responsible for compliance with the SCLS statute.

ii. Should a contract be awarded to the offeror, the final proposed labor category rates will become the maximum rates allowable (ceiling rate) for each labor category under the resultant contract when pricing TOs and TO modifications under the IDIQ MATOC. the proposed fully burdened labor (ceiling) rates may not be adjusted except as provided by FAR 52.222-43 Fair, Labor Standards Act and Service Contract Labor Standards-Price Adjustment (Multiple Year and Option Contracts). Therefore, Offerors are cautioned to include escalation where warranted.

(d) TAB B: Price Narrative. This tab shall be used to explain the Offeror’s Price Proposal, e.g., discounts offered, remittance address, explanation of Contractor-site and Government-site rates, Mobile Training Teams rates, not separately priced pricing data, etc.

(e) TAB C: Offeror shall submit a completed Attachment 3, Employee Total Compensation Plan Pricing Sheet, for the Total Compensation Plan for Professional Employees (TCPPE). This solicitation incorporates by reference FAR 52.222-46, Evaluation of Compensation for Professional Employees. In its Price Proposal Volume, the Offeror shall submit a TCPPE setting forth salaries and fringe benefits proposed for labor categories identified by the Offeror as professional employees as defined in FAR 22.1102, Definition. The TCPPE shall demonstrate the Offeror’s clear understanding of the work to be performed.

i. The Offeror’s TCPPE shall indicate the capability of the proposed compensation structure to obtain and keep qualified personnel to meet mission objectives and provide uninterrupted high-quality work.

ii. The Offeror’s TCPPE shall address recruitment and retention, its realism, and its consistency with a total plan for compensation.

iii. The Offeror’s TCPPE shall describe how the proposed salary rates for professional employees account for differences in skill, complexity of various disciplines, and professional job difficulty.

iv. The Offeror’s TCPPE shall include supporting information, such as national and regional compensation surveys and studies of professional, public and private organization used in establishing the total compensation structure.

VOLUME VI: – General
