About this file

This is a VA Notice of Limitations on Subcontracting—Certificate of Compliance form for supplies and products, issued in January 2023 as a deviation from standard FAR requirements. The form applies to Service-Disabled Veteran-Owned Small Businesses (SDVOSBs) and Veteran-Owned Small Businesses (VOSBs) awarded contracts by the Department of Veterans Affairs pursuant to 38 U.S.C. 8127.

The clause contains a tailored provision for nonmanufacturer contracts for supplies in NAICS 339114 (Dental Equipment and Supplies), which requires offerors to certify they are not required to supply products from domestic small business manufacturers or processors unless a specific waiver is granted. Nonmanufacturer offerors must certify they do not exceed 500 employees, are primarily engaged in retail or wholesale trade, normally sell the type of item being supplied, and will take ownership or possession of items using their own personnel, equipment, or facilities consistent with industry practice. The form requires signed certification by an authorized company representative and includes a certification section with fields for company name, signee information, signature, date, and company address. Offerors must complete and return the executed certification with their bid, quotation, or proposal; failure to provide the certification renders the response ineligible for evaluation and award. The clause also obligates offerors to cooperate with VA in providing documentation to demonstrate compliance with subcontracting limitations, with potential penalties for noncompliance including referral to the VA Suspension and Debarment Committee, fines, or prosecution.
