About this file
This is a VA Notice of Limitations on Subcontracting—Certificate of Compliance for Supplies and Products, effective January 2023, representing a deviation from standard Federal Acquisition Regulation requirements. The document is a certification form required for offerors seeking contracts with the Department of Veterans Affairs, specifically those providing supplies or products. The clause applies to Service-Disabled Veteran-Owned Small Businesses (SDVOSBs) and Veteran-Owned Small Businesses (VOSBs) pursuant to 38 U.S.C. 8127(l)(2).
For nonmanufacturer contracts for supplies, the tailored clause specifies that offerors are not required to supply products from domestic small business manufacturers or processors unless a waiver is granted. The applicable waiver covers NAICS 334517 (dated 12/26/2007, 72 Fed. Reg. 73057) and does not affect external requirements such as the Buy American Act or Trade Agreements Act. To qualify as a nonmanufacturer, offerors must certify that they do not exceed 500 employees (or 150 for Information Technology Value Added Resellers under NAICS 541519), are primarily engaged in retail or wholesale trade and normally sell the item type being supplied, and will take ownership or possession of items with their personnel, equipment, or facilities consistent with industry practice. Offerors must provide the completed, signed certification with their bid, quotation, or proposal; failure to do so renders responses ineligible for evaluation and award. The VA reserves the right to require documentation demonstrating compliance with subcontracting limitations at any time during or after contract performance, and an SDVOSB/VOSB determined not to have acted in good faith may face referral to the VA Suspension and Debarment Committee, fines under the Small Business Act, or prosecution under 18 U.S.C. 1001.
