The Contractor fully recognizes that the services covered by this contract are vital to the Government’s mission; and that continuity of the services must be maintained at the utmost proficiency without interruption. Therefore, upon expiration of the contract term or any extension thereof, continuity of the services shall be maintained either directly by Government performance or contract performance as a result of competitive solicitation.

b. In recognition of the above, the Contractor shall, within 30 calendar days of the start of the final option year, develop and submit to the CO for review, a detailed Continuity of Services Plan (COSP) that describes the Contractor’s planned phase-out activities to effect the orderly, efficient and timely transfer of data files, functions, operations, and other system information under the contract. During the re-competition of these services, prospective offerors will be provided a copy of the COSP and be required to address their part in the plan for phase-in/phase out operations.

c. The COSP shall describe, but is not limited to, the current contractor’s planned phase-out activities to ensure the orderly, efficient and timely transfer of functions, operations, and other information. Continuity of services shall be maintained without interruption.

d. A phase-out meeting shall take place prior to contract expiration or, in the event of a contract termination, prior to expiration. This meeting shall initiate the 30-day phase-out period.

e. At the Government’s request, the current contractor shall provide the highest level of expertise for up to 30 days into the successor contractor’s performance period to ensure a seamless transition between the incumbent and successor Contractor. The overlap is intended to provide the government a means to determine that the successor contractor’s performance is satisfactory. This requirement in no way shifts the liability of the successor contractor’s performance to the current contractor.

f. At the conclusion of the contract, the Government will own all building systems information and files. The current contractor shall deliver all of this information to the Government as directed by the Contracting Officer.

B-6 SUPPLIES, MATERIALS, AND EQUIPMENT

a. The Government shall furnish, when and where available, space in the building for the specific uses described below:

1) An office for the Contractor from which to conduct the official business of the contract. SSA will furnish basic office furniture for this office.

2) Space for the Contractor’s employees, such as a locker room and toilet facilities.

3) Space for storage of the bulk supplies, repair or replacement parts, tools, and equipment that the Contractor will use to perform the work specified herein. All hazardous material must be stored within the confines of one area specifically designated by the COTR.

4) Telephone and phone line for internal building use.

The space shall not be used for any other purpose without the written authorization from the COTR. All space furnished for use is subject to inspection by the Government throughout the life of the contract. Locks on space must be approved by the COTR and can not be changed without the approval of the COTR.

b. The Contractor shall furnish:

1) All supplies, materials, tools, repair or replacement parts, equipment, and labor necessary to efficiently and satisfactorily perform the work specified in this contract.

2) A stock of expendable supplies at the building including but not limited to: T-8 fluorescent lamps and electronic ballasts, incandescent bulbs, grease, lubrication oil, air filters, V-belts, wiping rags, refrigerant, etc.

3) A private telephone line for use in making calls outside the building. A cellular phone or pager for emergency contacts from the COTR. All installations of private phones must be approved in advance by the COTR.

c. Suitability/Use

1) All supplies, materials, repair or replacement parts, equipment or tools used or furnished by the Contractor to perform the work specified herein shall be of the type, quality, size, etc., customarily used for such work. Any such items deemed unsuitable by the COTR will be replaced by the Contractor at its expense.

2) The Contractor shall maintain all building space assigned to it and any Government owned equipment it is authorized to use, in a neat, clean, orderly, and working condition at all times and, at the expiration of this contract, it shall return all such property to the Government in the same condition it was at the time it was authorized to use it, normal wear and tear excepted.

3) The Government will not be responsible in any way for damage to or loss of the Contractor’s supplies, materials, tools, equipment, or of its employees’ personal belongings.

4) The Contractor shall take all reasonable precautions, either as directed by the Government or in accordance with sound industrial practice, to safeguard and protect all Government property which it comes in contact with while performing the work specified herein.

5) Government property will not be used by the Contractor or the Contractor’s employees in any manner for any purpose other than performance under this contract.

B-7 COMMUNICATION PLAN

a. The Contractor shall prepare and provide to the CO and COTR a communication plan detailing how the Contractor’s plans on using technology (two-way digital communication) to communicate with SSA, to receive and respond to service calls, emergencies, status of projects, etc. The plan shall be submitted as part of the bid package for the Governments review and approval.

b. The Contractor shall maintain an account with a wireless communication provider, and shall grant the Government continuous access to the Contractor’s staff via wireless communication devices. The Contractor’s staff is defined as contract managers, project managers, supervisors and their alternates, dispatch and administrative personnel, and all mechanical personnel. For this purpose, the Contractor shall furnish the on-site staff with activated two-way radios/cellular phones. At no time shall the Contractor’s staff be without a functioning communication device. The two-way radios/cellular phones shall also be utilized for pages transmitted by the Building Automation System.

A list of phone numbers assigned to the Contractor’s staff shall be provided to the Government and kept current. The initial list shall be presented to the CO no less than five (5) workdays prior to commencement of services. The Contractor’s representatives are required to respond to any and all pages from SSA within 10 minutes.

c. Service Calls

1) The Contractor shall respond to service calls during normal working hours, and to emergency callbacks at all other times. The Government may transmit work orders to the Contractor for a service call or emergency callback response orally, by email, by creation of a work order by a Government employee or representative, or through automated work order generation. The Contractor shall also respond promptly to conditions indicating a deficiency in environmental conditioning, lighting, condition of the facility or equipment, or otherwise that would require response under the contract if identified by the Government, immediately upon notice by any employee of the Contractor.

2) Service Call Response

(a) Emergency Callback Response

The Contractor shall respond to emergency work requests immediately during normal working hours and within one (1) hour outside of normal working hours. The Contractor shall provide a written accounting of any emergency callback, to include a plan for permanent correction of the problem.

(b) Routine Service Call Response

The Contractor shall respond promptly to routine work requests and complete the required work within 2 hours of notification. In those instances where a service call cannot be completed within the 2-hour period due to circumstances beyond the Contractor's control, the Contractor shall immediately notify the COTR with a written request for extension. Where normal working hours end in less than two hours from receipt of the service call, the two hour period granted to the Contractor for service call completion shall constitute time from initiation of the service call to the end of normal working hours, plus such additional time the next working day so as to constitute two hours.

B-8 QUALITY CONTROL

The Contractor shall establish a complete quality control program to assure the requirements of the contract are provided as specified. This program shall be submitted five (5) calendar days prior to performance and shall include but not be limited to, the following:

(a) A system for identifying and correcting deficiencies in the quality of services before the level of performance becomes unacceptable and/or the Government inspectors point out the deficiencies.

(b) A file of all inspections conducted by the Contractor and corrective actions taken. This documentation shall be made available on demand or on a scheduled basis to the Government during the term of the contract.

(c) Procedures for documenting and responding to service calls and tenant complaints.

(d) A training program to ensure all employees meet the contract requirements.

(e) The Contractor shall designate a coordinator for the overall quality control program.

C-3.1 52.216-18

ORDERING (OCT 1995)

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from contract award through the end of the contract performance period.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) If mailed, a delivery order or task order is considered "issued" when the Government deposits the order in the mail. Orders may be issued orally, by facsimile, or by electronic commerce methods only if authorized in the Schedule.

ORDER LIMITATIONS (OCT 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $1,000.00, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor-

(1) Any order for a single item in excess of $200,000.00;

(2) Any order for a combination of items in excess of $200,000; or
