Summary: Master Vendor Agreement and WTAMU Roof Replacement & Coating Procurement

This is a Master Vendor Agreement template document between Compass Group USA, Inc. and subcontractors for service delivery at various client locations, combined with a sealed-bid construction procurement by West Texas A&M University (WTAMU) through SSC Services for Education Facilities Services for roof replacement and coating work across multiple campus buildings in Texas. The WTAMU procurement encompasses nine base proposals organized into three work packages, with primary focus on the Panhandle Plains Historical Museum (PPHM) building in Canyon, Texas. The scope includes removal and installation of two-ply modified bitumen roofing systems with polyisocyanurate insulation, replacement of shingle roofing with architectural composition shingles, replacement of polycarbonate panels at greenhouses, and application of fluid-applied acrylic coating systems. All work requires HVAC and electrical disconnection and reconnection, removal and replacement of flashings and sheet metal, and compliance with NRCA, SMACNA, and ANSI/SPRI standards. A pre-proposal meeting was scheduled for February 12, 2026, at 10:00 AM at the WTAMU Physical Plant Conference Room, with proposals due February 26, 2026, at 2:00 PM. Contractors must be approved applicators of the primary coating manufacturer with evidence of approved applicator status and completed similar projects. The coating manufacturer must have a minimum of 20 years in roof coating production and NRCA membership in good standing.

Evaluation criteria include total bid amount (51%), construction time (10%), technical proposal (24%), litigation and claims history (5%), safety and risk assessment (5%), and quality control (5%). Lydick-Hooks was selected as the best value contractor with a base bid of $590,186.00 and 110-day construction timeline. Competing bids ranged from $533,473.25 to $3,317,650.00 with construction timelines from 45 to 180 days. Manufacturer warranties range from two to twenty years for roofing materials and systems, with two-year contractor warranties and five-year contractor warranties for coating work, plus ten-year manufacturer warranties for coating systems. The procurement includes a Historically Underutilized Business (HUB) subcontracting plan requirement with monthly HUB Progress Assessment Reports (PARs) mandated to accompany each pay application. The Master Vendor Agreement establishes a nonexclusive relationship with automatic one-year renewal terms unless either party provides sixty days' prior written notice of termination, with Compass retaining sole discretion to select suppliers. Payment terms are due within ninety days of invoice receipt, subject to Client approval. Subcontractors must maintain comprehensive insurance including workers' compensation, employer's liability, commercial general liability with $2,000,000 general aggregate limits, automobile liability, and excess umbrella coverage of $5,000,000, with Compass and Client named as additional insureds.
