About this file

This is a Consultant Agreement (Non-Design) template from the City of Long Beach, California, establishing the framework for engaging independent consultants to provide specialized professional services. The agreement permits the City to retain consulting services for projects requiring unique skills and expertise, with the consultant maintaining independent contractor status. The contract contemplates performance by the consultant and its designated key employees, whose reputation and skill constitute a substantial inducement to the City for entering the agreement. The agreement commences at midnight on a specified beginning date and terminates at 11:59 p.m. on a specified ending date, unless sooner terminated or the services are completed earlier. The City requires the consultant to deliver evidence of insurance approval before work begins, and the consultant must coordinate performance with the City's designated representative while maintaining compliance with all applicable federal, state, and local laws and regulations.

Compensation is established at an amount not to exceed a specified dollar figure at rates or charges identified in Exhibit "B," contingent upon City Council appropriation of necessary funds for each fiscal year (October 1 through September 30). The consultant submits invoices detailing services performed, time expended for hourly billing, and project identification, accompanied by progress reports addressing project status, problems, and potential delays. The City retains all ownership rights to data, materials, and information prepared under the agreement, which the consultant must deliver upon termination. The consultant must maintain comprehensive insurance coverage including commercial general liability ($1,000,000 per occurrence/$2,000,000 aggregate), workers' compensation, professional liability ($1,000,000 per claim), commercial automobile liability ($500,000), and cyber and privacy insurance ($1,000,000 per occurrence/$2,000,000 aggregate), with the City named as additional insured. The consultant is prohibited from assigning work without prior City approval, must avoid conflicts of interest, maintain confidentiality for five years post-termination, and comply with prevailing wage requirements for public works, nondiscrimination provisions, and the City's Equal Benefits Ordinance.
