ATTACHMENT 1 – DESCRIPTIONS AND SPECIFICATIONS
J-1. CONFORMANCE
(a) The Contractor shall, in conformance with the contract provisions set forth in solicitation/contract and all attachments, furnish all personnel, materials, services, and facilities necessary to perform the requirements set forth in the Performance Work Statement, Annexes, and Appendixes.
(b) Section K (Representations, Certifications, and other statements of Offeror), as signed.
J-2. NOTES AND CLIN DESCRIPTIONS
The following Contract Line item Number (CLIN) descriptions apply to the Air Force C-12 contract.
All firm-fixed prices shall include all direct and indirect costs, such as overhead, G&A expense and profit.
All pricing shall be entered the PRICING MATRIX. Line item Extended Totals are for evaluation purposes only.
Note that estimated quantities are provided in Section M, Evaluation Factors for Award. Failure of the Government to order such items in the amounts or quantities described in the schedule as “estimated” will not entitle the Contractor to any equitable adjustment in price.
The Contractor is responsible for arranging all international movement of material in accordance with all applicable International and US Customs Regulations.
(X001 – X007) – Base Operations Support: These CLINs cover all labor necessary for the maintenance support, to include Attachment 1, PWS, Sections 1.2, 1.3, 1.4, 1.5, 1.9, 1.10, 1.11, 1.12, 1.13, and 1.21 for the Air Force C-12 aircraft. These CLINs cover all Contractor site staff necessary to provide technical maintenance skills at each Main Operation Base (MOB). These CLINs cover all Contractor provided services which are necessary to meet scheduled mission requirements and provide for 24-hour coverage of priority requirements and on-call support.
NOTE: Under these CLINs due consideration shall be given to ensure that site personnel at the Defense Intelligence Agency (DIA), Defense Security Cooperation Agency (DSCA), and Foreign Military Sales (FMS) sites are adequately compensated including hardship pay and difficult-to-staff pay, per Department of State (DoS) guidelines.
These CLINs cover all Contractor provided MOB capabilities necessary to perform C-12 maintenance to achieve the required MC rate. These CLINs cover the Contractor Operated and Maintained Parts (COMP) at each site which are necessary to conduct logistics operations to maintain MC rates. These CLINs cover Contractor initial stocking of spares and repair parts in the COMP and also includes replenishment, as required, of bench stock, consumable materials, tools and support equipment not provided as Government Furnished Property (GFP). These CLINs cover all packaging, shipping, and marking requirements. These CLINs cover all costs associated with custom clearance processes.
These CLINs cover the Contractor efforts necessary to develop, operate and maintain a supply ordering and inventory system. These CLINs cover the Contractor’s efforts necessary to provide, coordinate and manage off-site repair, inspection and calibration of all spares, components and Contractor provided support equipment for the aircraft, aircraft systems, subsystems and engines.

These CLINs cover the database subscription services necessary for aircraft navigation systems. These CLINs cover all travel and per diem costs for off-site recovery of grounded aircraft within a 200-mile radius of the aircraft’s home site. These CLINs cover the Contractor’s efforts necessary to identify any inadequacies or non-availability of items impacting MC rate and identify corrective action for obtaining those items. These CLINs cover the transportation of spares, components, and unique support equipment to and from the repair and overhaul source and from the COMP and suppliers to an aircraft regardless of location. These CLINs cover “day to day” technical and engineering support for technical/engineering inquiries requiring up to 40 hours per inquiry (anticipated 1000 recurring hours per year). A Firm-Fixed Price (FFP) per month shall be proposed under these CLINs for each main operating base MOB. The FFP per month, per MOB, shall cover all costs necessary to support Base Operations for the C-12 aircraft based at that MOB. These CLINs cover all labor costs for all aircraft Service Action requirements for the C-12 fleet when such requirements are within the capability of the site personnel to perform. These CLINs cover the management labor costs except as defined by CLINs X060-X065. These CLINs cover all costs associated with preparing and delivering all reporting requirements of the PWS including all Contract Data Requirements Lists (CDRLs). CDLRs are not separately priced.
NOTE: There shall be a minimum of an equivalent of two (2) full-time technicians manning the C-12 sites at Holloman AFB, Turkey and Egypt.
NOTE: If the monthly flying hour estimate for a site, provided in CLINs X008-X017, are exceeded by 30% or more for three consecutive months, or the flying hours flown at a site is less by 30% or more for three consecutive months; the Government and the Contractor each may, under the “Changes” clause, renegotiate the Base Operations Support price at that site, as deemed necessary.
The Base Operations Support CLINs X001-X007 includes the following priced CLINs.

(X008 – X017) – Flying Hour Support: These CLINs cover all Contractor provided supply items and replenishment spares necessary, for maintenance support as described in PWS, Sections 1.4, 1.5, 1.6, 1.7, 1.8, and 1.21. Included under these CLINs are all parts and materials required to accomplish engine Hot Section Inspections (HSI). Such support shall also include the

replenishment of spare parts inventories in the COMP, as necessary. It also includes the furnishing of spare parts, not stocked in the COMP, which are required to maintain the Air Force C-12 aircraft.
The parts installed on the aircraft shall follow the processes outlined in the Title 41 Part 102-39 and Federal Management Regulation (FMR) Part 102-33 and shall be considered exchange parts. The contractor will process life limited parts and flight safety critical aircraft parts (FSCAP),and provide documentation in accordance with Federal Management Regulation parts (33 and 39). This support shall not include labor, which is covered under the Base Operations Support CLINs. These CLINs cover all packaging, shipping, and marking requirements for replenishment spares. These CLINs cover all costs associated with custom clearance processes. A fixed rate per flying hour rate shall be established at the time of contract award for the appropriate C-12 model aircraft for the flying hour quantity estimates specified for each site under these CLINs.
NOTE: Due to the minimal variance between the C and D model aircraft, C and D models shall have the same flying hour rate. The Government will reimburse the Contractor each month under the established CLINs X008-X017. The amount paid each month for each CLIN will equal the sum of the total due at each site under that CLIN. The amount paid by Government per site will be equal to the total flying hours flown in the month by the aircraft assigned to that site multiplied by the established rate.
NOTE: The Government and the Contractor reserve the right to renegotiate the Baseline Support FH prices and FH Capacities (Price Matrix) at any site where the actual/anticipated AVG aircraft FH utilization has varied by 30% of the AVG monthly FHs per aircraft at a site for 3 consecutive months.
The Flying Hour Support includes CLINs X008 through X017. For each CLIN, the table below identifies the title, applicable Flying Hour Rate and the Air Force estimate for the flying hours per month to be flown at each site.

(X018 – X024) – Propeller Overhaul: These CLINs cover, at a firm-fixed unit price, overhauls of the propellers. The propeller overhauls under these CLINs will be accomplished on a “per occurrence” basis in accordance with Attachment 1, PWS, Sub-Section 1.25.11, entitled “Propeller Overhaul”. Any Contractor effort to meet the requirements under these CLINs shall be authorized in advance by the PCO/ACO. The firm-fixed unit price includes costs associated with the overhaul, packaging, and shipping of propellers. The FFP excludes the cost of parts and material for Technical Directive (TD) compliance for TDs issued after the date of contract award.
(X025 – X031) – Aircraft Condition Inspection (ACI): These CLINs cover ACIs performed under this contract. An ACI will be performed on a per occurrence basis at a FFP per unit. Any Contractor effort to meet the requirements under these CLINs shall be authorized in advance by the PCO/ACO. An ACI shall be performed in accordance with Attachment 1, PWS, Sub-Section 1.25.3, entitled “Aircraft Condition Inspection” of Attachment 1, PWS, and Appendix K entitled “Aircraft Condition Inspection.” The FFP shall include labor, services, equipment, tools, tooling, lubricants fuel, direct and indirect parts and material, necessary to perform the ACI, repair minor defects found in areas which are not normally inspected at the site, treating and correction of light corrosion removable by chemical cleaners and repairable by chemical treatment, light to moderate corrosion removable by manual application of mild abrasive compounds or soft grit blasting and repairable by chemical treatment, moderate to severe corrosion removable by mechanical methods and repairable by chemical treatment and any discrepancies elected for repair by the Contractor. The FFP also includes Contractor performance of post ACI functional check flights (FCFs) and incorporation of bulletins, modifications, and TDs issued prior to contract award. Upon completion of the ACI (and FCFs), the aircraft will be presented to the accepting flight crew with a full load of fuel. Flight hours for contractor performed FCF's during ACI will not be charged against CLINs X008-X017.

The FFP does not include the labor and materials to correct major defects discovered which are in areas not normally inspected at the site (reference Appendix K, Section II of the PWS) for definition of major and critical defects), discrepancies that require skills, tools or other support available only at the depot facility, repair of severe corrosion damage removable by mechanical methods and repairable by Structural Repair Manual and severe corrosion not removable by any method and requires replacement of the affected part and repair of discrepancies directed by the Government representative which would otherwise be performed at the home operating site, over and above work directed by the Government , engine and propeller changes or incorporating bulletins, modifications and TDs issued after contract award. These items will be reimbursed as an Over & Above (O&A) when approved by the ACO/PCO.
Parts and materials to correct the major defects referenced above in this paragraph shall be paid for by the Government on a Cost Reimbursable (CR) basis under CLINs X072-X075, O&A Parts and Material (Aircraft). Labor required to correct these major defects shall be paid for by the Government under CLINs X046-X049 entitled Aircraft Labor (Depot). The Contractor shall have 20 calendar days from the date of induction to ACI to submit a proposal for any additional labor, parts or materials needed to complete the effort. If the Contractor requires more time to submit their proposal, then they shall submit a written request to the PCO (email may be used) for an extension of the proposal due date.
Discrepancies that should have been corrected during performance of on-site support shall not be included in the FFP of an ACI or reimbursed as O&A maintenance during an ACI, but must be repaired before leaving the ACI at the Contractor’s expense, unless approved by the Government prior to induction into the ACI. This includes the correction of all discrepancies which would prevent the aircraft from conducting flight operations in icing conditions under Instrument Flight Rules (IFR) and/or extended over water flights.
(X032 – X038) – Engine Overhaul: These CLINs cover engine overhauls. Engine overhauls will be performed at a FFP on a per occurrence basis. Any Contractor effort to meet the requirements under these CLINs shall be authorized in advance by the PCO/ACO. Engine overhauls shall be performed in accordance with Attachment 1, PWS, Sub-Section 1.25.1.”Engine Time Between Overhauls (TBOs)/Off Aircraft Maintenance”. The FFP for overhaul engines shall include returning the engine requiring overhaul to a serviceable condition and will cover the cost of shipping, packaging and handling required to transport the engine to and from the engine repair facility Title for the engine removed from the aircraft shall remain with the Government. The replacement engine shall be freshly overhauled, capable of meeting its next engine Time Between Overhaul (TBO) limit. Therefore, the per occurrence FFP shall include all labor, services, equipment, tools, facilities, fuel, lubricants, mandatory replacement parts and materials, indirect materials necessary to perform the overhaul requirements.
On condition parts and parts and material costs for performance of TDs and/or Service Actions, mandatory and/or non- mandatory, issued after date of contract award and authorized by the Government are excluded from the firm-fixed unit price and shall be paid for by the Government under a CR basis under CLINs X076-X079 entitled “Parts and Material (Engines)”. Labor for these efforts shall be paid for by the Government under a CR basis under CLINs X056-X059 “Engine Repair Labor”. The Contractor shall have 30 calendar days from the date of engine induction to overhaul to submit a proposal for any additional labor, parts or materials needed to complete the effort. If the Contractor requires more time to submit their proposal, then they shall submit a written request to the PCO (email may be used) for an extension of the proposal due date.
NOTE: Contractor-provided engines shall be utilized, when a Government-owned engine is not available to replace a removed engine. The Air Force will not rent engines and provide them to the

Contractor. The cost of a Contractor-provided engine (including transportation) to replace a PT6A-42 model engine that has been removed for overhaul shall be covered in the flying hour rate under the appropriate CLINs X008-X017. The cost of a Contractor-provided engine (including transportation) to replace a PT6A-41 or a PT6A-65 engine that has been removed for overhaul will be covered under CLINs X080-X085, Other Efforts.
(X039 – X045) – Engine Tear-Down and Inspection (TD&I): Repair Only: These CLINs cover engine TD&Is. The TD&I shall be performed at a FFP and on a per occurrence basis. Engine TD&I shall be performed for engines requiring repair at a manufacturer approved repair facility as described in accordance with Attachment 1, PWS, Section 1.6, “Engine Maintenance” and Sub-section 1.25.1, “Engine Time Between Overhauls (TBOs)/Off Aircraft Maintenance”. These FFP CLINs will cover the cost of shipping, packaging and handling required to transport the engine to and from the engine repair facility and the labor required to tear-down for inspection and build up of the engine. The Contractor shall be responsible for all customs requirements for engine shipment. Parts and material needed to correct engine defects shall be paid for by the Government on a CR basis under CLINs X076-X079 “Parts and Material (Engines).” Any additional labor required to correct engine defects (excluding engine build up) shall be paid for by the Government under CLINs X056-X059 “Engine Repair Labor”.
Any Contractor effort to meet the requirements under these CLINs shall be authorized in advance by the
PCO/ACO.
NOTE: Contractor-provided engines shall be utilized, when a Government-owned engine is not available to replace removed engine. The Air Force will not rent engines and provide them to the Contractor. The cost of a Contractor-provided engine (including transportation) to replace a PT6A-42 model engine that has been removed for repair shall be covered in the flying hour rate under the appropriate CLINs X008-X017. The cost of a Contractor-provided engine (including transportation) to replace a PT6A-41 or a PT6A-65 engine that has been removed for repair will be covered under CLINs X080-X085, Other Efforts.

If the Contractor requires more time to submit their proposal, then they shall submit a written request to the PCO (email may be used) for an extension of the proposal due date.
(X046 – X049) – Aircraft Labor (Depot): These CLINs cover Contractor labor to be performed in accordance with Sub-Sections 1.25.3, 1.25.6, and 1.25.7 of Attachment 1, PWS. These CLINs shall be used whenever major on-aircraft repairs at a FAA certified repair facility are required. This labor will be performed on a per occurrence basis and will be priced at the fixed-hourly composite rate (including overhead and profit) established in the contract at the time of contract award. Any Contractor effort to meet the requirements under these CLINs shall be authorized in advance by the PCO/ACO.
NOTE: In accordance with the Procedures, Guidance, and Information (PGI) 217.7701 referenced at DFARS 217.7701, and the Clause at DFARS 252.217-2028, to the maximum extent practical, over and above work performed under these CLINs shall be negotiated prior to performance of the work.
(X050 – X055) – Aircraft Labor (Non-Depot): These CLINs cover Contractor provided labor to repair or maintain the aircraft (excluding the engine) in accordance Attachment 1, PWS, Sub-sections 1.25.5, 1.25.6, and 1.25.8, that is not otherwise covered under the Base Operations Support CLINs X001-X007 and does not require that work be performed at a FAA certified repair facility. This labor will be

performed on a per occurrence basis and will be priced at the fixed-hourly rate (including overhead and profit) established in the contract at the time of contract award. Any Contractor effort to meet the requirements under these CLINs shall be authorized in advance by the PCO/ACO.
NOTE: In accordance with the Procedures, Guidance, and Information (PGI) 217.7701 referenced at DFARS 217.7701, and the Clause at DFARS 252.217-2028, to the maximum extent practical, over and above work performed under these CLINs shall be negotiated prior to performance of the work.
(X056 – X059) – Engine Repair Labor: These CLINs cover the labor for the repair or completion of the overhaul of the aircraft engine at a manufacturer approved facility in accordance with Attachment 1, PWS, Section 1.6 and Sub-Section 1.25.1”. It does not cover labor that is included in the Base Operations Support CLINs X001-X007 and the Engine TD&I CLINs X039-X045. This labor will be performed on a per occurrence basis and will be priced at the fixed-hourly rate (including overhead and profit) established in the contract at the time of contract award. Any Contractor effort to meet the requirements under these CLINs shall be authorized in advance by the PCO/ACO.
NOTE: In accordance with the Procedures, Guidance, and Information (PGI) 217.7701 referenced at DFARS 217.7701, and the Clause at DFARS 252.217-2028, to the maximum extent practical, over and above work performed under these CLINs shall be negotiated prior to performance of the work.
(X060 – X065) – Modifications: These FFP CLINs cover O&A work performed in accordance with Attachment 1, PWS, Sub-Section 1.25.6, “Aircraft Modifications”. These CLINs are not priced prior at contract award. However, a composite material wrap rate (CMWR), composite subcontract wrap rate (CSWR) and composite labor wrap rate (CLWR) shall be included in the contract for the basic and each option year at the time of contract award. The CMWR and CSWR shall include all applicable indirect material rates, Cost of Money (COM) rate and profit. The CLWR shall include the applicable direct labor rate, all applicable indirect rates, COM and profit. These rates shall apply to all modification CLINs. The CMWR, CSWR and CLWR proposed for each option period will be considered not to exceed (NTE) rates. These NTE rates will be considered as non-negotiable throughout the life of the contract.
Before accomplishing any requirement under these CLINs the contractor shall propose the cost of the direct material dollars, subcontracting dollars, and the number of labor hours required. The total cost to the Government for accomplishing the requirement will be calculated by multiplying an agreed-to direct material and subcontracting dollars cost by the applicable CMWR and CSWR; and adding this total to the total for labor. The total for labor will be calculated by multiplying the agreed-to number of labor hours by the applicable CLWR. For the purposes of these CLINs, the CSWR rate applied to Interdivisional Transfers proposed as “subcontracts” shall be inclusive of all markups throughout all Interdivisional levels applied to the subcontract cost.
The requirement shall be authorized in advance by PCO/ACO. In addition, each identified requirement shall normally be negotiated prior to PCO/ACO authorization as a FFP effort with a separate PWS, as applicable. O&A work is performed under these CLINs, only when the work is not covered under any other CLINs in the contract, falls within the general scope of the contract, and work cannot be reimbursed under the hourly composite rate O&A CLINs. These CLINs cover the management labor hours used to manage the aircraft modification or upgrade effort and not covered under any other CLINs.
Types of O&A effort to be accomplished under these CLINs include work to modify and or upgrade the current aircraft configuration.

EXHIBITS AND OTHER ATTACHMNETS
(X066 – X071) – Travel and Per Diem: These CR CLINs cover all Contractor travel and per diem necessary to provide maintenance support for the C-12 aircraft, to include travel for aircraft recovery at a location other than the home site in accordance with Attachment 1, PWS. The Government will reimburse the Contractor for travel and per diem costs for efforts not included in another CLINs of the contract, on the basis of allowable actual costs incurred up to the equivalent allowed a Government employee in “The Joint Travel Regulations – Uniformed Service Members and DoD Civilian Employees” for domestic travel and the Department of State Regulations for foreign travel. Travel to and from military installations shall be accomplished via Government transportation to the maximum extent possible. Travel and per diem costs incurred in Contractor-directed replacements, backfill for vacations, emergencies, etc. of personnel or the attendance of Contractor-directed training courses shall not be reimbursed. Contractor personnel shall be authorized Government quarters, when available, while performing official travel. For the purpose of utilizing Government quarters, Contractor personnel are considered equivalent to a GS-11. All travel and per diem accomplished under these CLINs for the purpose of performing these actions shall be authorized in advance by the PCO/ACO.
The Contractor may include its allowable, allocable, and reasonable charges in accordance with FAR 31.205-46 and FAR 52.216-7, “Allowable Cost and Payment,” for cost reimbursable travel and per diem.
Fee/Profit and subcontractor costs/add-ins are UNALLOWABLE under these CR CLINs.
(X072 – X075) – Parts and Material (Aircraft): These CR CLINs cover all direct parts, material, and support equipment necessary to accomplish O&A work requirements for the C-12 aircraft (excluding engine work), which is not covered under any other CLINs of the contract. The Government will reimburse the Contractor for the allowable actual cost of purchase and replenishment of direct parts and material or support equipment that are necessary for the performance of the work requirements of this contract, parts, and material required due to the performance of a TD on the aircraft systems, landing gear and propellers issued after the date of contract award, or as otherwise specified in PWS Section 1.25, “Over and Above (O&A)”. “Direct Parts and Materials” are defined as property that is incorporated into or attached to a deliverable end item or that is expended in performing the maintenance and logistics support on the aircraft and support equipment. The parts installed on the aircraft shall follow the processes outlined in the Title 41 Part 102-39 and Federal Management Regulation (FMR) Part 102-33 and shall be considered exchange parts. The contractor will process life limited parts and flight safety critical aircraft parts (FSCAP), and provide documentation in accordance with Federal Management Regulation parts (33 and 39). The Contractor shall be allowed its normal material burdens in accordance with FAR 52.216-7, “Allowable Cost and Payment,” and actual shipping costs.
Types of effort to be accomplished under these CR CLINs include those efforts necessary to repair or maintain the aircraft to its current configuration and include:
Replacement of Government-owned GSE Parts and material needed to accomplish site relocation Parts and material needed to complete an ACI not already covered under ACI CLINs X025-X031 Parts and material needed to repair FOD damage Parts and material needed to repair crash damage Parts and material needed to repair damage that is not a result of normal wear and tear
Fee/Profit is UNALLOWABLE on CR parts and materials. All direct parts, material and support equipment provided under these CLINs shall be authorized in advance by the PCO/ACO.

EXHIBITS AND OTHER ATTACHMNETS
(X076 – X079) – Parts and Material (Engines): Under these CR CLINs, the Contractor shall provide all direct parts, material and support equipment necessary to accomplish engine work requirements for the C-12 aircraft in accordance with the requirements of Attachment 1, PWS, Sub-Section 1.25.1, “Engine Time Between Overhauls (TBOs)/Off Aircraft Maintenance” not covered under Engine Overhaul CLINs X032-X038 or the Engine TD&I CLINs X039-X045. The Government will reimburse the Contractor for the allowable actual cost to purchase direct parts and materials that are necessary as a result of engine repair, parts and material required due to the performance of a TD on the engine, on-condition parts and materials necessary for engine overhaul or to purchase replacement engines. The parts installed on the engine shall follow the processes outlined in the Title 41 Part 102-39 and Federal Management Regulation (FMR) Part 102-33 and shall be considered exchange parts. The contractor will process life limited parts and flight safety critical aircraft parts (FSCAP),and provide documentation in accordance with Federal Management Regulation parts (33 and 39).Fee/Profit is UNALLOWABLE on CR parts and materials. All direct parts, material and support equipment provided under these CLINs shall be authorized in advance by the PCO/ACO.
(X080 – X085) – Other Efforts: Under these CR CLINs, the Contractor shall provide all direct parts, material, support equipment, subcontracting costs and vendor costs necessary to accomplish efforts in accordance with Attachment 1, PWS, Section 1.25 not covered under any other CLINs of the contractor.
These CLINs also cover Contractor dependent schooling, Contractor-provided engines and purchasing title to Contractor spares. The requirement and shall be authorized in advance by the PCO/ACO.
Fee/Profit is UNALLOWABLE for the CR efforts performed under these CLINs. Any Contractor effort to meet the requirements under these CLINs shall be authorized in advance by the PCO/ACO.
(X086 – X090) – Collective Bargaining Agreement (CBA) Adjustments: These FFP CLINs cover CBA adjustment for the C-12 fleet for sites with applicable CBAs. These CLINs will only be utilized to reconcile current contract period CBA adjustments. Future contract period CBA adjustments will be reflected in Attachment 9 - Pricing Matrix and funded on the original Base Operations CLINs. These CLINs pay for timely received Requests for Equitable Adjustment (REA) Proposals for each respective site in response to the Government’s incorporation of newly negotiated or updated CBAs.
(X091– X096) – Phase-In: These FFP CLINs cover all Contractor tasks necessary to accomplish phase-in operations to include all direct and indirect labor and services necessary to perform the requirements of Attachment 1, PWS, Sub-Section 1.24.1 “Phase-In Period” and the approved Transition Phase-In Plan (Base Year Only).
(X097 – X102) – Phase-Out: These FFP CLINs cover all Contractor tasks necessary to accomplish phase-out operations to include all direct and indirect labor and services necessary to perform the requirements of Attachment 1, PWS, Sub-Section 1.24.2 “Phase-Out Period” and the approved Transition Phase-Out Plan.
(X103– X105) – Incentive: These FFP CLINs cover the incentive earned that will be provided to the contractor through contract modifications and is in addition to the firm‐fixed‐price provisions of the contract. The incentive earned and payable will be determined by the Procuring Contracting Officer (PCO) based upon review of the contractor's performance against the criteria set forth in Attachment 12 ‐ Incentive Plan.
